Registered Capital and the Five-Year Subscription Rule: A Setup Guide for Foreign Investors |

China’s 2024 revision of the *Company Law* reshaped the registered-capital landscape. For foreign investors incorporating in China, the move from open-ended subscription to a five-year paid-in deadline is one of the most consequential setup decisions. This guide explains the rule, the transition for existing companies, and the practical setup implications.

The core rule

Effective 1 July 2024, the revised *Company Law* provides:

  • A limited-liability company’s registered capital is the total subscribed by all shareholders, and all shareholders must pay their subscribed capital in full within five years from the date of incorporation.
  • A joint-stock company’s promoters must pay the full amount of subscribed shares before incorporation.
  • Capital may be contributed in currency or non-currency property that can be monetised and transferred; shareholders contributing non-currency assets must value them and transfer ownership.

The law targets the old problems of excessively long subscription periods, “sky-high” nominal capital and empty-shell companies that undermined transaction security.

The transition for existing companies

A State Council regulation (effective 1 July 2024) gives a three-year transition for companies registered before the new law:

  • Limited-liability companies whose remaining subscription term exceeds five years from 1 July 2027 must adjust the remaining term to within five years by 30 June 2027, and shareholders must pay the subscribed amount within the adjusted term.
  • Joint-stock promoters must pay subscribed shares in full by 30 June 2027.
  • Exceptions exist for companies involving national interest or major public interest, where the market regulator may approve the original term.
  • Where subscription term or amount is clearly abnormal, the registry may require adjustment after assessment.

For many foreign-invested entities incorporated years ago with long (even decades-long) subscription periods, the 30 June 2027 deadline is the forcing function.

Publicity and liability

  • Publicity. Within 20 working days of a capital contribution, the company must publicise shareholders’ subscribed and paid-in amounts, method and date via the national enterprise credit-information system. Failure to publicise, or false publicity, draws correction and fines under the Company Law and the credit-publicity regulation.
  • Acceleration of maturity. Where a company cannot pay due debts, the company or a creditor with due claims may require subscribed-but-unpaid shareholders to pay early — a creditor-protection mechanism imported from bankruptcy and judicial interpretations.
  • False capital. False capital reporting, false materials or fraudulent registration draw correction and fines of 5%–15% of the falsely reported amount, plus personal liability for responsible personnel.

Foreign-investment specifics

Foreign-invested companies must also respect the foreign-exchange dimension:

  • Capital account. Subscribed foreign capital is settled into a SAFE-administered capital account; drawdown and use follow SAFE rules.
  • Reconciliation. The subscribed/paid-in amounts in the SAMR filing, the credit system and the SAFE registration must align.
  • Five-year transition for FIEs. The same 30 June 2027 adjustment applies; FIEs with legacy long terms should plan the adjustment now.

Practical steps

  1. Model the schedule. For each entity, set the five-year payment timeline from incorporation (or adjusted deadline for legacy firms).
  2. Adjust legacy terms early. Don’t wait for 30 June 2027; amend the articles and re-register the term before then.
  3. Automate publicity. Trigger the 20-working-day credit-system publicity automatically on each contribution.
  4. Align FX. Coordinate capital injections with SAFE capital-account and registration steps.
  5. Avoid abnormal amounts. Set registered capital to a realistic, supportable level to avoid registry challenge.

Practitioner Quick Reference

  • Five-year rule: LLC shareholders pay in full within 5 years of incorporation (Company Law, eff. 1 Jul 2024).
  • 3-year transition: legacy firms with >5-year remaining terms adjust by 30 Jun 2027.
  • 20-working-day publicity: publish paid-in capital via the credit system or face fines.
  • Acceleration: creditors can demand early payment when debts are due and unpaid.

Common Pitfalls

  • Assuming the old open-ended term survives: legacy long terms must be compressed by 30 June 2027.
  • Forgetting FX alignment: SAMR, credit-system and SAFE figures must match on capital.
  • Skipping the 20-day publicity: a contribution unnotified draws correction and penalties.

Accelerated Capital Contributions and Post-Transfer Shareholder Liability under China’s New Company Law: A Risk Guide for Foreign-Invested Enterprises

  • Article 54 lets a creditor force early payment of unpaid subscribed capital once the company cannot settle a matured debt — no bankruptcy filing required.
  • A distant contribution deadline in the articles of association is no longer a shield; the five-year rule in Article 47 and acceleration in Article 54 together compress the funding runway.
  • Article 88(1) makes the transferee liable for unpaid capital while the transferor bears open-ended supplementary liability, and the Supreme People’s Court has given that rule retroactive effect.
  • Directors appointed by foreign shareholders must verify contributions and issue written call notices under Article 51, with personal damages liability for delay.
  • The Article 52 forfeiture procedure requires a grace period of at least sixty days, and forfeited equity not transferred or cancelled within six months falls on the remaining shareholders.
  • Acceleration can trigger an unplanned inbound capital remittance, so FX registration, group treasury and parent approval timelines should be pre-cleared rather than improvised.

Accelerated Capital Contributions and Post-Transfer Shareholder Liability under China’s New Company Law: A Risk Guide for Foreign-Invested Enterprises |

The Five-Year Rule and the End of the Long Runway

The Company Law of the People’s Republic of China was amended for the second time on 29 December 2023 at the Seventh Session of the Standing Committee of the Fourteenth National People’s Congress, took effect on 1 July 2024 and runs to fifteen chapters. Article 47: a limited liability company’s registered capital is the total subscribed by all shareholders as registered with the company registration authority, and must be paid up within five years of establishment as provided in the articles of association, unless laws, administrative regulations or State Council decisions provide otherwise on paid-in capital, minimum amounts or contribution periods. Article 54 then removes the assumption that a deadline set in the articles binds outside creditors.

Article 54: Acceleration Outside Bankruptcy

Article 54: where the company is unable to pay its debts as they fall due, the company or a creditor holding a matured claim may require shareholders who have subscribed capital but whose contribution period has not yet arrived to pay in early. This is the first time Chinese legislation has provided for acceleration outside bankruptcy and outside dissolution. Three features matter for a foreign parent:

  • No insolvency gateway. No bankruptcy petition, ruling or administrator is needed; an unpaid matured debt suffices.
  • Direct creditor standing. A supplier, landlord, lender or employee with a matured claim can look through to the shareholder.
  • The offshore parent is in scope. Unpaid subscribed capital on the parent’s balance sheet is a callable China funding obligation.

Background: acceleration previously rested on Article 35 of the Enterprise Bankruptcy Law (the administrator may demand subscribed capital regardless of deadline, but only inside bankruptcy) and Article 6 of the Minutes of the National Courts’ Civil and Commercial Trial Work Conference (supplementary liability within the unpaid amount where enforcement against the judgment-debtor company finds no property and bankruptcy grounds exist without a petition). Article 54 makes it statute.

Article 88: Liability That Follows the Shares

Article 88(1): on transfer of equity whose contribution period has not yet arrived, the transferee assumes the payment obligation; if it does not pay in full when due, the transferor bears supplementary liability for the unpaid amount.

Article 88(2): if the transferring shareholder missed the contribution date in the articles, or its non-monetary contribution was worth obviously less than the subscribed amount, transferor and transferee are jointly and severally liable within the shortfall; a transferee who did not know and should not have known is excused, leaving the transferor liable.

Two escape routes close: selling to a shell does not end the seller’s exposure (Article 88(1) liability has no time limit), and defective equity brings joint liability with a buyer who cannot pay.

Retroactive Effect of Article 88(1)

The Provisions of the Supreme People’s Court on Several Issues Concerning the Temporal Effect of the Application of the Company Law took effect the same day. Article 4(1): where a civil dispute arises from legal facts predating the Company Law and earlier law had no rule but the new law does, the Company Law applies — expressly including transferor and transferee liability where equity with an unexpired contribution period was transferred and the transferee failed to pay on time. So a 2021 intra-group reorganisation, or a dormant WFOE passed to a local partner, can be reopened.

Articles 51 and 52: Verification, Call Notices and Forfeiture

Article 51: after establishment the board must verify shareholders’ contributions and, where a shareholder has not paid in full by the date in the articles, have the company issue a written call notice (催缴书); directors who fail to act in time must compensate the loss.

Article 52: the notice may set a grace period of at least sixty days from issue. If the shareholder still does not perform, the board may resolve to issue a written forfeiture notice (失权通知), and from its issue date the shareholder loses the equity for the unpaid contribution. That equity must be transferred by law, or the capital reduced and the equity cancelled; if neither happens within six months, the other shareholders must pay it in full pro rata.

A nominee director, including a non-resident who rarely attends, thus carries a statutory duty backed by personal liability; in a joint venture, one partner’s default can land on the other’s balance sheet.

Formation Liability, the Veil and Disclosure

  • Article 50. If a founding shareholder does not pay the contribution set in the articles, or its non-monetary property is worth obviously less than the subscribed amount, the other founding shareholders are jointly and severally liable within the shortfall.
  • Article 49. Pay in full and on time: money into the company’s bank account, non-monetary property with transfer formalities completed; a defaulter must pay up and compensate the company’s loss.
  • Article 48. Contribution may be currency or non-monetary property — assets, IP, land use rights, equity, claims — valuable in money and lawfully transferable, appraised and verified, neither over- nor under-valued.
  • Article 23. Abusing separate legal personality and limited liability to evade debts and seriously harm creditors brings joint and several liability for company debts; two or more controlled companies used this way are each liable for the others’ debts; and in a one-person company a shareholder who cannot prove asset separation is jointly liable — decisive for the single-shareholder WFOE, where proof is reversed.
  • Article 40. Subscribed and paid-in amounts, contribution methods and dates and equity changes must be publicised on the National Enterprise Credit Information Publicity System, true, accurate and complete, so any creditor can read the funding gap.

What This Changes for Foreign Investors

Treasury. Unpaid subscribed capital is a callable commitment; on a thin equity base funded by intercompany loans or trade credit, one unpaid invoice can turn the whole subscription into an immediate demand.

FX timing. Capital may have to move at a moment not of the group’s choosing; capital-account FX registration, bank documents, RMB settlement and parent approvals take time — see our contribution methods and foreign exchange article.

Reorganisations. Transferee capacity is a diligence item: confirm the buyer can fund the subscription, or the transferor keeps supplementary liability; defective equity brings Article 88(2) joint liability.

Directors. Add an annual verification item with minuted resolution; refresh delegations and D&O cover for seconded and non-resident directors; issue call notices in writing.

Lawful de-risking. Use the statutory capital reduction procedure with creditor notice and announcement, not silent delay; unpaid contributions stay payable on exit — see our deregistration and liquidation article.

Action Checklist

  1. Reconcile the capital figure, the schedule in the articles and the Article 47 five-year rule; amend if unrealistic.
  2. Keep a contribution ledger: subscribed and paid-in amounts, method, date, valuation evidence, bank receipts.
  3. Hold an annual board verification with minutes; keep a call-notice template with a sixty-day grace period.
  4. Diligence the transferee’s solvency before any transfer; add funding covenants, escrow or indemnities.
  5. Audit the entity’s National Enterprise Credit Information Publicity System entries.
  6. Model an acceleration scenario: how fast could the parent remit, and which approvals stand in the way?

Coping with the Five-Year Subscription Rule: Capital Reduction for Legacy Foreign-Invested Enterprises

  • The 2023 Company Law caps a limited-liability company’s subscribed capital at five years from incorporation, effective 1 July 2024.
  • Legacy FIEs incorporated before 1 July 2024 enjoy a “3+5” transition: residual subscription periods exceeding five years must be realigned to within five years by 30 June 2027.
  • Capital reduction is a primary, lawful tool for foreign shareholders who cannot or will not fund the original nominal capital.
  • An ordinary capital reduction triggers full creditor protection: board plan, shareholder resolution, creditor notice within 10 days, public announcement within 30 days, and a 30/45-day creditor claim window.
  • A simplified reduction (Article 225) is limited to loss make-up, needs no creditor notice, but cannot distribute profits to or relieve shareholders of their contribution duties.
  • Every FIE capital reduction must be followed by a capital-project foreign-exchange registration change with SAFE under the 2024 Capital Account FX Guidelines.
  • Reduction dovetails with simplified and forced deregistration: an unviable FIE may reduce first, then exit via simplified liquidation or face forced deregistration.

Coping with the Five-Year Subscription Rule: Capital Reduction for Legacy Foreign-Invested Enterprises |

Overview

The revised Company Law, effective from 1 July 2024, reshaped China’s subscribed-capital regime. Under the old model, many foreign-invested enterprises (FIEs) were incorporated with very large nominal capital and very long subscription periods. That assumption is now invalid.

For FIEs already in existence on 1 July 2024, the new rule does not apply overnight. A State Council regulation grants a “3+5” transition, but the deadline is real: by 30 June 2027, any limited-liability company whose residual subscription period would still exceed five years must realign it. Foreign shareholders face a choice — fund the commitment, extend the period within the window, or restructure capital through reduction.

This article covers that third path: how a legacy FIE lawfully reduces registered capital, ordinary versus simplified reduction, foreign-exchange consequences, and the link to deregistration.

The five-year subscription rule

Article 47 provides that the aggregate subscribed capital of a limited-liability company shall be paid in full by the shareholders within five years from the date of establishment. For joint-stock companies, promoters must pay the full subscription before establishment.

The five-year cap is a mandatory default. Only where a separate law, administrative regulation, or State Council decision imposes a different rule does the general cap yield. For the vast majority of FIEs structured as limited-liability companies, the five-year rule applies.

Crucially, the cap binds the subscription period, not the paid-in amount at any single moment. A shareholder may still pay in installments, but the final installment must fall within five years of incorporation.

The transition window for legacy FIEs

The State Council’s Regulation on Registered-Capital Registration under the Company Law (effective 1 July 2024) addresses this reconciliation through a three-year transition layered onto the five-year payment period — the “3+5” window.

For companies incorporated before 30 June 2024:

  • A limited-liability company whose residual subscription period would exceed five years from 1 July 2027 must adjust it to within five years by 30 June 2027. Shareholders then pay within the adjusted period.
  • A joint-stock company’s promoters must pay subscribed shares in full by 30 June 2027.
  • If the residual period is already under five years on 1 July 2027, no adjustment is required.
  • Where operations involve national interest or major public interest, and a competent authority so advises, SAMR may permit the original period to stand.

Practically, the latest permissible final payment is 30 June 2032. Failure to adjust draws a correction order; persistent non-compliance leads to a special flag on NECIPS. Reduction becomes attractive because many FIEs cut capital to a level the foreign shareholder can support.

Capital reduction procedure

A reduction that lowers the shareholder’s forward contribution obligation is an ordinary reduction under Article 224. The sequence is strict:

  1. Board plan. Cover financial position, form and amount of reduction, pre- and post-reduction capital and shareholding, and creditor status.
  2. Shareholder resolution. Requires at least two-thirds of the voting rights unless the articles provide otherwise; a one-person company acts by written decision.
  3. Balance sheet and asset list. So creditors can assess solvency.
  4. Creditor notice and announcement. Notify known creditors within ten days; announce on NECIPS or in a newspaper within thirty days.
  5. Creditor protection window. A notified creditor may, within thirty days, and an announced-only creditor may, within forty-five days, demand repayment or security.
  6. Articles amendment and registration. After the announcement period, amend the articles and apply to SAMR for the capital-reduction change registration.

Reduction is presumptively pro rata. A non-pro-rata reduction of an LLC therefore requires the unanimous consent of all shareholders — a point foreign minority shareholders should watch closely.

Simplified vs ordinary reduction

Article 225 introduced a simplified reduction for loss make-up only: after exhausting profit, discretionary and statutory reserves, and capital reserves, a loss still remains. Differences from the ordinary route: (i) only a thirty-day announcement is needed — no creditor notice or 30/45-day claim window, since net assets are unchanged; (ii) no distribution to shareholders and no relief of the contribution duty; (iii) no profit distribution until reserves reach 50% of registered capital. Strategically, lowering nominal capital to cut future funding is an ordinary reduction with full creditor protection; a simplified reduction only absorbs historical losses. Misusing it to dodge funding risks an Article 226 unlawful-reduction finding.

FX and registration steps

For an FIE, a domestic reduction is incomplete until the FX side is handled. Under the Capital Account FX Guidelines (2024 edition, SAFE Hui Fa [2024] No. 12), an FIE must register capital-account changes for increases, reductions, and equity transfers. After the SAMR change registration and new license, the company (or its bank) files a written application with the Domestic Direct Investment Basic Information Registration Application Form (I), the business registration credential, and the updated license copy; a tax certificate is added if a foreign investor’s domestic legitimate income is reinvested, and a paid-in regulated sector attaches the industry authority’s approval.

A key limitation: the amount remittable offshore is, in principle, limited to the reduction of the foreign investor’s paid-in registered capital and excludes reserves and undistributed profit; where the reduction only offsets book losses or trims the contribution obligation, the remittable amount is zero. On tax, SAT Announcement 2011 No. 34 treats a reduction partly as non-taxable recovery of original investment, partly as a dividend, and partly as a capital gain.

Practical checklist

  1. Audit the gap — registered capital, paid-in capital, original horizon, residual period from 1 July 2027.
  2. Choose the path — fund, extend within 3+5, reduce, transfer equity, or exit.
  3. Board plan with financials and creditor status.
  4. Shareholder vote — two-thirds majority (unanimity for non-pro-rata LLC reductions).
  5. Financials — balance sheet and asset list.
  6. Notify and announce — creditors within 10 days; NECIPS or newspaper within 30 days.
  7. Handle claims — settle debts or provide security for 30/45-day claims.
  8. SAMR filing — capital-reduction change registration after the 45-day announcement.
  9. SAFE change — capital-project FX registration change; confirm remittable amount.
  10. Publicity — disclose updated subscribed and paid-in amounts on NECIPS within 20 working days.

Capital contributions to a China FIE: methods, currencies and FX registration

  • Foreign investors can contribute capital to a China FIE in cash (foreign currency or offshore RMB) or in kind — equipment, intellectual property, land-use rights, equity and even debt claims — as long as the assets can be valued in money and transferred legally.
  • Registered capital may be denominated in RMB or any freely convertible currency; conversion between currencies uses the PBOC central parity rate on the actual payment date.

  • Non-cash contributions must be appraised and must not be overvalued; IP and equipment contributions also need ownership transfer to the company and, for imported equipment, customs procedures.
  • Foreign-currency capital flows through an FDI capital account opened at a bank, which now handles foreign-exchange registration directly under SAFE’s delegated regime — no separate SAFE approval visit is needed.
  • The Foreign Investment Law guarantees that capital contributions, profits and liquidation proceeds can be freely remitted in or out in RMB or foreign exchange, making clean capital records essential for future repatriation.

Overview

Choosing how — and in what — to fund a foreign-invested enterprise (FIE) is one of the most consequential early decisions in a China setup. The rules changed materially with the Company Law that took effect on 1 July 2024, which imposes a five-year full-payment deadline on subscribed capital, and they interact with a foreign-exchange regime that has been progressively delegated from the State Administration of Foreign Exchange (SAFE) to commercial banks. Getting the mechanics right matters twice: once at funding, and again years later when profits or liquidation proceeds need to leave China against a clean capital-verification trail.

This article covers permitted contribution methods, currency denomination rules, the five-year payment deadline, valuation requirements for in-kind contributions, the FDI account and FX registration workflow, and common mistakes. It is general information, not legal or tax advice.

What you can contribute

The Company Law and the Foreign Investment Law regime allow shareholders to contribute:

  • Cash — the default and simplest: foreign currency wired from the investor’s offshore account, or offshore RMB. Domestic RMB earned in China (for example, profits of another FIE the investor owns) can be reinvested subject to reinvestment procedures.
  • Physical assets — machinery, equipment, vehicles, inventory. Imported equipment contributed as capital goes through customs; duty exemptions that once favoured such imports have largely narrowed, so model the landed cost.
  • Intellectual property — patents, trademarks, copyrights, software and proprietary technology. The 2024 Company Law explicitly confirms IP as a permitted contribution class; ownership (not a mere licence) must be assigned to the company and registered with CNIPA or the relevant registry.
  • Land-use rights — granted (出让) land-use rights transferable under law.
  • Equity and debt claims — shares in other companies and creditor’s rights are now expressly listed as contributable assets, enabling share-swap and debt-to-equity funding structures.

Assets that cannot be valued in money or legally transferred — labour, personal credit, goodwill detached from assets — cannot be contributed. There is no longer a statutory cap on the non-cash proportion of registered capital, but practical bankability favours a solid cash core.

Currency denomination and conversion

SAMR’s registration rules confirm that an FIE’s registered capital may be expressed in RMB or in any other freely convertible currency. Whichever currency is chosen for the articles of association, actual payments may arrive in other currencies: conversion between the payment currency and the denomination currency is calculated at the People’s Bank of China central parity rate on the payment (remittance) date. Practical tips:

  • Denominate in the currency you will actually remit to avoid FX noise between subscription and payment.
  • Record each remittance’s date, amount and applied central parity in a capital ledger — the numbers must reconcile with bank inbound records at audit and at repatriation.
  • If group treasury operates in USD but the business plan is RMB-based, remember the five-year window spreads remittances across years of exchange-rate movement; the articles can be amended to adjust capital if needed, but amendments cost time.

The five-year payment deadline

For limited liability companies established on or after 1 July 2024, all subscribed capital must be fully paid within five years of establishment. Companies established earlier were given a transition schedule to bring outstanding subscription periods into line. Consequences of the rule for foreign founders:

  • Size capital realistically. Registered capital signals commitment but every subscribed yuan must land within five years. A ¥50 million figure that once lived harmlessly in the articles now creates a real funding obligation.
  • Directors’ duties. The board must verify contributions; directors can bear liability for un-collected capital. Keep payment certificates and capital-verification records tidy.
  • Publicity. Subscription and actual payment amounts, dates and methods are published through the National Enterprise Credit Information Publicity System — counterparties and banks do check.

In-kind contributions: valuation and transfer

Non-cash contributions must be appraised and valued, and must not be over- or under-valued. In practice:

  1. Engage a qualified PRC appraisal firm; foreign valuations can inform but not replace the domestic appraisal.
  2. Transfer title: assign the patent or trademark at CNIPA, re-register vehicle/equipment ownership, complete customs import in the company’s name for offshore equipment.
  3. Board and shareholder documents should record the appraisal value adopted and the completion of transfer.
  4. If the contributed asset’s actual value turns out significantly below the stated value, the contributing shareholder must make up the difference — and co-founders at establishment bear joint liability for the shortfall.

For IP-heavy founders, contributing technology can lift the equity share without cash, but weigh the downstream effects: PRC title to the IP, potential taxable disposal in the home jurisdiction, and licensing-back complexity.

FDI accounts and FX registration

The foreign-exchange workflow has been simplified over successive reforms and now runs almost entirely through banks:

  1. FX registration. After the business licence is issued, the company completes foreign-exchange (FDI) registration directly at its bank, which files into SAFE’s capital-account information system on a delegated basis.
  2. Capital account. The bank opens an FDI capital account; each shareholder remittance references the company name and “capital contribution” purpose.
  3. Conversion and use. Capital may be converted to RMB at will (discretionary conversion) and paid out for genuine business uses against supporting documents. Negative-list uses — securities investment other than permitted products, lending to non-affiliates, purchasing non-self-use real estate — remain prohibited.
  4. Reinvestment and changes. Capital increases, share transfers and reinvestment of RMB profits each trigger registration updates at the bank.
  5. Repatriation. FIL Article 21 guarantees free inward and outward remittance of contributions, profits, capital gains, IP royalties and liquidation proceeds in RMB or foreign exchange — but banks pay against documentation: audited statements, tax filings and the capital records built up from day one.

Common mistakes

  • Wiring from the wrong account. Contributions must come from the registered shareholder, not a founder’s personal account for a corporate shareholder or an affiliate; mismatched remitters cause registration headaches.
  • Treating registered capital as a vanity number. The five-year rule converts headline figures into enforceable obligations.
  • Skipping appraisal on IP. An unappraised or inflated IP contribution can be challenged, with shareholders liable for shortfalls.
  • Ignoring the ledger. Repatriation years later fails not on policy but on missing paper: keep remittance advices, conversion records and capital-verification reports permanently.

What to do next

  1. Decide the funding mix (cash vs in-kind) and denomination currency before drafting the articles.
  2. Set registered capital at what the business genuinely needs for 18–36 months, knowing it must be paid within five years.
  3. For in-kind funding, sequence appraisal, title transfer and customs before the accounting entries.
  4. Complete FX registration and open the FDI capital account immediately after licensing; brief group treasury on remittance references.
  5. Build the capital ledger from the first remittance and archive every document that a bank will one day ask for at dividend time.

  • 用实际将汇入的货币作为表示币种,避免认缴与实缴之间的汇率噪音;
  • 每笔汇款的日期、金额、适用中间价记入出资台账——审计和汇出时必须与银行入账记录对得上;

  1. 聘请境内有资质的评估机构;境外估值可作参考但不能替代境内评估;
  2. 转移权属:在国家知识产权局办理专利/商标转让、办理车辆设备过户、境外设备以公司名义完成进口通关;
  3. 董事会与股东文件记录采纳的评估值及权属转移完成情况;

  1. 外汇登记。 营业执照签发后,公司直接在开户银行办理外商直接投资外汇登记,银行代报外汇局资本项目信息系统;
  2. 资本金账户。 银行开立 FDI 资本金账户;每笔股东汇款注明公司名称与”出资”用途;
  3. 结汇与使用。 资本金可意愿结汇,凭真实业务单证支付使用。负面清单用途——证券投资(允许的产品除外)、向非关联方放贷、购买非自用房产——仍然禁止;
  4. 再投资与变更。 增资、股权转让、人民币利润再投资均须在银行更新登记;

  • 打款账户错误。 出资必须来自登记的股东本人/本公司,公司股东用创始人个人账户汇款、或用关联公司代付,都会造成登记障碍;
  • 把注册资本当门面数字。 五年规则把纸面数字变成可执行义务;
  • 知识产权不评估。 未评估或高估的 IP 出资可能被质疑,股东须补足差额;

  1. 起草章程前先定资金组合(货币/非货币)与表示币种;
  2. 注册资本按业务 18–36 个月的真实需求设定,牢记五年缴足;
  3. 非货币出资按”评估→权属转移→海关→入账”顺序推进;
  4. 领照后立即办理外汇登记并开立资本金账户,向集团资金部门交代汇款附言规范;

Registered Capital Under the New Company Law |

Overview

Registered capital (注册资本) is the amount shareholders promise to contribute to a limited liability company (LLC, 有限责任公司) and, historically in China, a figure loaded with signalling and compliance weight. The revised Company Law (新《公司法》, adopted 29 December 2023, effective 1 July 2024) fundamentally resets the subscription regime: LLC shareholders must now pay in their subscribed capital within five years of incorporation. A State Council regulation (Order No. 784) gives companies incorporated before 1 July 2024 a three-year transition window to bring long-dated commitments into line. This note explains the five-year rule, the transition period, how to set a sensible amount, and the penalties for non-compliance.

The five-year subscription rule

Under the new Company Law, the total capital subscribed by all shareholders of an LLC must be paid in full within five years from the date of incorporation For joint-stock companies, promoters must pay their subscribed shares in full before incorporation. This reverses the open-ended subscription freedom introduced in 2013, which allowed companies to set 20- or 30-year (or even longer) contribution horizons and led to “sky-high” registered capital with no real backing. The five-year clock starts at incorporation; the articles of association must state the amount, method, and deadline of each shareholder’s contribution.

The transition period for existing companies

For companies registered on or before 30 June 2024, the State Council’s Regulation on the Administration of Registered Capital Registration (国务院令第784号) provides a three-year transition. If a company’s remaining subscribed contribution period, counted from 1 July 2027, would exceed five years, it must adjust that period to within five years and record it in the articles before 30 June 2027; shareholders then pay within the adjusted period. Joint-stock companies must pay their subscribed shares in full before 30 June 2027. A narrow exception exists: where production or business involves national interest or major public interest, and a competent authority or provincial government so advises, the market-regulation authority may permit the original period to stand.

How to set a sensible registered capital

Registered capital should reflect genuine funding need and the shareholder’s real ability to pay within five years — not a vanity number. Consider: (1) minimum statutory or sector floors (some industries, e.g. certain financial, HR, or construction licences, still impose paid-in minima); (2) the working capital needed to reach profitability and to satisfy licence thresholds; (3) the foreign-exchange practicality of remitting capital in from overseas within the window; and (4) the signalling value to customers, banks, and tender processes, which often screen on capital size. A common, defensible approach for a services WFOE is a modest figure (e.g. RMB 1–5 million) topped up as the business grows, while capital-intensive or licence-gated ventures set higher amounts backed by a credible injection plan.

A further consideration often missed by foreign parents is the interaction between the five-year statutory clock and the realistic foreign-exchange timeline. Capital must not only be promised but actually remitted from overseas within the window. If the parent’s home-country approvals, treasury queues, or internal compliance mean funds cannot leave for 12–18 months, the five-year deadline still runs from incorporation — it does not wait. Practically, many groups therefore set an initial registered capital they can fund from readily available offshore cash, and plan a capital increase (增资) later once the China subsidiary has a track record and a clearer working-capital need. A capital increase is itself a formal step (shareholders’ resolution, articles amendment, and — for an FIE — updated FDI registration and foreign-exchange record), so it is not a casual top-up, but it is far cleaner than setting an unsustainably high number at birth.

The signalling value of capital should also be calibrated by sector rather than copied from peers. A WFOE bidding for government or state-owned-enterprise contracts is frequently screened against a minimum registered-capital threshold (commonly RMB 5,000,000 or RMB 10,000,000 for certain service tenders), and too low a figure can disqualify it at the pre-qualification stage. Conversely, an R&D or consultancy WFOE with no licence floor and no tender ambition can safely operate at RMB 1,000,000–3,000,000. The art is to match the number to the specific gating thresholds the business will actually face in its first 24 months, not to a generic “impressive” figure.

Wrong numbers create real risk

Setting capital too high without the means to pay invites enforcement: the registry can deem an abnormally long period or abnormally high amount non-compliant and require adjustment; creditors can also invoke the accelerated maturity of subscription (认缴出资加速到期) when the company cannot meet debts. Setting it too low can hinder bank credit, tender eligibility, and the credibility of a foreign parent. The goal is an amount the shareholder can actually fund on time and that covers the operational runway.

Penalties and consequences of non-compliance

If a pre-1-July-2024 company fails to adjust its contribution period or capital, the registry may order correction and, if still non-compliant, mark it specially on the National Enterprise Credit Information Publicity System Companies with abnormal periods or capital that cannot be adjusted may be placed in a separate “另册管理” register with a public mark. Shareholders who fail to pay, or companies that fail to publicise contribution information, are punished under the Company Law and the Interim Regulations on Enterprise Information Publicity. Separately, the new Law introduces a forfeiture system (失权制度): a shareholder who fails to pay on time, after a formal demand and grace period, may lose the unpaid shares. Late or false publicity itself draws penalties.

Practical example

Worked scenario: a services WFOE incorporated on 1 March 2021 with registered capital of RMB 10,000,000 and an original subscription period of 30 years (full payment due by 2051). Under the pre-2024 regime this was lawful. Now apply the transition rules. The State Council regulation measures from 1 July 2027: the company’s remaining subscription period at that date would be 24 years (2051 minus 2027), far beyond the five-year cap. The company must therefore amend its articles before 30 June 2027 so that the remaining capital is paid in no later than 1 July 2032 (five years after the 1 July 2027 reference point). A practical schedule is to spread the RMB 10,000,000 across the adjusted window — for example, three tranches of RMB 3,000,000, RMB 3,000,000, and RMB 4,000,000 due in 2028, 2030, and 2032 respectively — each recorded in the revised articles and publicised on the credit-information system within 20 working days of amendment. If the shareholder instead wished to avoid the large near-term outlay, it could reduce registered capital to RMB 3,000,000 (a figure it can fund by 2032) via a shareholders’ resolution, a 45-day creditor notice on the publicity system, and a corresponding articles amendment, then inject the lower amount on a five-year schedule.

For a company incorporated fresh today, the arithmetic is simpler but the discipline is the same. Suppose a trading WFOE is set up on 1 September 2026 with RMB 5,000,000 registered capital. The full amount must be paid by 1 September 2031. The foreign parent should map the remittance to its own treasury cycle: an initial RMB 2,000,000 within the first year (to fund licence thresholds and working capital), then RMB 1,500,000 in year three and RMB 1,500,000 in year five. Each injection must clear the FDI capital-account registration and be publicised. Crucially, the articles must state the exact amount, form (cash or in-kind), and deadline per shareholder; a vague “to be decided” clause is non-compliant.

The example also shows the penalty exposure: had the 2021 company simply ignored the transition and kept its 2051 deadline, from 1 July 2027 its period would be “abnormally long”; the registry could order correction, and if uncorrected, mark it on the publicity system or move it to the separate “另册管理” register, damaging its tender and bank-credit standing.

What to do next

  • Read your current articles: if incorporated before 1 July 2024, calculate the period from 1 July 2027 and confirm whether it breaches the five-year cap.
  • If it breaches, plan the amendment to the articles and the contribution schedule before 30 June 2027 — do not wait.
  • Set a new company’s registered capital to a figure you can genuinely fund within five years, balancing licence needs and credibility.
  • Keep contribution status publicised on the credit-information system within 20 working days of any change.
  • If you discover you cannot meet a commitment, act early — reduce capital (减资), transfer shares, or restructure before enforcement or creditor acceleration bites.

Structuring Foreign Investment in Chinese Listed Companies: Strategic Investment, Cross-Border Swaps and the 2026 Channels |

Why this matters now

In November 2024, the Ministry of Commerce, the CSRC, SASAC, the State Taxation Administration, SAMR and SAFE jointly issued the revised Strategic Investment Measures for Foreign Investors Investing in Listed Companies (effective 2 December 2024). The 2026 utilisation of foreign capital action plan builds on this framework by allowing qualified foreign equity investment institutions to participate, as strategic investors, in securities issuance of listed companies in non-related industries. The first cross-border swap transaction under the new rules was cleared by the Shanghai Stock Exchange in August 2025, when a listed cable-materials company swapped in a global top-four semiconductor lead-frame supplier. For foreign investors deciding how to enter or expand in China’s listed-company space, 2026 offers the widest structural menu since the regime was created in 2005. This article explains the five threshold reductions, the practical channels and how to choose among them.

The five threshold reductions

The revised Measures lower barriers across five dimensions. First, foreign natural persons are now eligible as strategic investors, aligning with the Foreign Investment Law; previously only foreign legal persons or other organisations qualified. Second, the asset requirements on foreign investors are relaxed, expanding the pool of eligible investors. Third, tender offer is added as a method of strategic investment alongside targeted issuance and negotiated transfer. Fourth, cross-border share swaps using unlisted overseas equity are permitted in targeted issuance and tender-offer scenarios — the most significant structural innovation, as it lets an A-share company issue shares for unlisted overseas assets and lets foreign holders of unlisted overseas equity swap into A-share listed companies. Fifth, the shareholding floor is lowered from 10% to 5% for negotiated transfer and tender offer (the floor for targeted issuance is removed), and the lock-up period is shortened from no less than three years to no less than twelve months.

The structural options in 2026

For a foreign investor targeting a Chinese listed company, the options are now: strategic investment via targeted issuance (directed placement with the investor as a pre-identified issuer), negotiated transfer (minimum 5%), or tender offer; foreign M&A of a domestic target under the forthcoming revised 10-Order, which the 2026 action plan says will optimise merger procedures and consideration requirements; QFLP (qualified foreign limited partnership) vehicles in pilot regions for private-equity entry; and, for new operations, a greenfield WFOE. Each route differs in approval sequence, shareholding floor, lock-up and tax treatment. Strategic investment requires CSRC- and MOFCOM-related compliance and a long-term holding intent; foreign M&A triggers SAMR concentration filing where thresholds are met; QFLP requires local pilot registration; greenfield requires the standard WFOE setup plus admission review where the sector is restricted.

The cross-industry channel

The 2026 action plan’s “cross-industry” language is aimed at the capital-strategic-investor category. Under current rules, a strategic investor in a targeted issuance must either be an industrial investor holding strategic resources in the same or related industry, or a capital investor. Whether foreign equity investment institutions could qualify as capital investors was uncertain. The action plan removes the requirement of an industry link for qualified foreign equity investment institutions, allowing them to participate in securities issuance of listed companies in non-related industries. This widens access for foreign private equity funds, sovereign funds and long-term capital to A-share placements without a sector synergy test, while retaining the strategic-investment lock-up discipline.

Practical considerations by exit horizon

Structure choice now turns on the investment horizon. For long-term strategic buyers seeking board representation and industrial synergy, strategic investment via targeted issuance or negotiated transfer remains the core tool, with a 12-month lock-up and a 5% floor for the transfer route. For financial investors seeking liquidity, QFLP entry and the cross-industry placement channel are more suitable; note that a strategic-investment lock-up still applies to placements taken as a strategic investor, so financial investors should verify the role under which they subscribe. For acquirers of unlisted overseas assets, cross-border swap into an A-share listed company is now a tested route, but the transaction must show genuine business purpose to withstand tax re-characterisation and regulatory review.

Practical steps

First, define the objective: control, board seat, financial return or asset exchange. Second, map the approval chain — CSRC issuance review, MOFCOM foreign-investment reporting, SAMR concentration filing, and SAFE registration for the foreign exchange. Third, compare the shareholding floor and lock-up across routes and confirm the role (industrial vs capital strategic investor) under which you subscribe. Fourth, for cross-border swaps, prepare valuation evidence for the unlisted overseas equity and a clear business rationale. Fifth, coordinate with a qualified domestic counsel on the pending 10-Order revision, since the action plan promises process optimisation that may alter consideration flexibility. Sixth, for QFLP, verify the pilot region’s current quotas and registration practice.

Compliance notes

Strategic investment conveys an expectation of long-term holding; a 12-month lock-up is the minimum, and disposal must comply with the relevant measures. Cross-border swap consideration must satisfy the “genuine business purpose” test to avoid re-characterisation as a direct transfer of Chinese taxable assets under SAT rules. Non-related-industry participation under the action plan awaits implementing details, so confirm current practice with the CSRC before relying on it. Finally, the revised Measures do not exempt transactions from the general foreign investment reporting, anti-monopoly and security-review regimes.

Choosing the Right Organisation Form for a Foreign-Invested Enterprise in China: Companies, Partnerships and Representative Offices

  • Since 1 January 2020, foreign-invested enterprises (FIEs) are no longer carved into CJV/EJV/WFOE types; they take the same company or partnership forms as domestic firms under the Company Law and Partnership Law.
  • A foreign investor may set up a limited-liability company, a joint-stock limited company, a general or limited partnership, or a non-profit resident representative office (RO) — each with distinct liability and financing profiles.
  • The 2026 foreign-investment action plan explicitly encourages foreign R&D centres, offering import tax breaks for research goods and easier high-level talent introduction.
  • A resident representative office cannot engage in profit-making activity; it is limited to market research, exhibitions and liaison, suiting a pre-entry foothold.
  • Where the target sector sits on the negative list, obtain industry-access approval before market-entity registration; the registration pathway otherwise mirrors domestic firms.
  • Practical step: choose the form by scale, risk appetite and exit plan — LLC for most, JSC for listings, partnership for funds, RO for scouting — then align with the negative list and licensing.

Choosing the Right Organisation Form for a Foreign-Invested Enterprise in China: Companies, Partnerships and Representative Offices |

The legal architecture of a foreign-invested enterprise (FIE) in China changed fundamentally with the *Foreign Investment Law*, effective 1 January 2020. The old trichotomy of Chinese-foreign equity joint ventures (EJVs), contractual joint ventures (CJVs) and wholly foreign-owned enterprises (WFOEs) was abolished. Today an FIE is simply a Chinese company or partnership, governed by the *Company Law* or the *Partnership Law*, with foreign investment adding only the negative-list and national-treatment overlay.

Company forms

A foreign investor may establish a limited-liability company (LLC) — 1 to 50 shareholders, each liable to the company within its subscribed capital, the company liable for its debts with all its assets. The LLC is the default for SMEs and greenfield projects: low setup threshold, flexible governance. A joint-stock limited company (JSC) has capital divided into equal shares and stronger financing and liquidity; it suits large projects and pre-IPO structures (advanced manufacturing, new energy). Both register under the *Regulations on the Registration and Administration of Market Entities*.

Partnership forms

A general partnership has partners jointly and severally liable without limit — suited to close-knit, risk-sharing ventures. A special general partnership is designed for professional services (foreign accounting, law or technical-advisory firms), allocating liability by fault. A limited partnership mixes general partners (unlimited liability) with limited partners (liable within subscribed capital) — the standard vehicle for private equity and industry funds. Foreign-invested partnerships register like domestic ones.

Representative offices

A resident representative office (RO) of a foreign enterprise is a non-legal-person, non-profit entity: it may conduct market research, exhibitions, product publicity, and liaison for sales, service delivery, local sourcing and local investment. It cannot invoice, sign commercial contracts or earn profit in China. The RO fits the pre-entry phase — a local foothold before committing to a full operating entity.

The 2026 R&D-centre impetus

The 2026 *Stabilise and Improve Foreign Investment Action Plan* (商资发〔2026〕97号) explicitly encourages foreign-invested enterprises to set up R&D centres in China, improving support policies, facilitating high-level foreign talent introduction, and allowing import tax breaks for research goods. For a foreign group weighing an innovation footprint, the LLC (or a JSC with an open platform) is the natural host, with the RO sometimes retained as a liaison shell.

Registration and the negative list

FIEs are registered by the market-regulation authority, exactly like domestic entities. Because foreign investment is negative-list managed, if the project falls under the *Foreign Investment Access Negative List* or another approval/filing regime, the investor must obtain industry-access approval before registration. Practically, confirm with the competent authority whether approval, filing or neither applies before filing the articles of association.

Practical steps

  1. Match form to purpose. LLC for control and flexibility; JSC for capital markets; partnership for funds; RO for scouting.
  2. Decide liability profile. Unlimited (general partner) vs limited (shareholder/limited partner) drives risk allocation.
  3. Screen the negative list early. If the sector is restricted, secure access approval before incorporation.
  4. Use the R&D incentive. If establishing an innovation centre, claim import-tax and talent facilitation under the 2026 plan.
  5. Prepare clean constitutional documents. Submit articles, identity and (if required) approval documents; inaccurate filings delay registration.

Practitioner Quick Reference

  • LLC first: the limited-liability company fits most SMEs and greenfield projects.
  • JSC for capital markets: the joint-stock company suits large or pre-IPO structures.
  • Partnership for funds: limited partnerships are the standard PE/industry-fund vehicle.
  • RO is non-profit: the representative office is for scouting only — no invoicing, no contracts.
  • Negative list first: secure industry-access approval before registration if the sector is restricted.

Common Pitfalls

  • Defaulting to WFOE thinking: the old trichotomy is gone; choose the form by liability and purpose.
  • Using an RO to operate: invoicing through a representative office is unlawful.
  • Registering before approval: incorporating a restricted-sector FIE without access approval stalls the filing.

Foreign-Invested Investment Companies and Regional HQs: Structuring Options for Market Entry |

Why this matters now

When a multinational first enters China it usually defaults to a single wholly foreign-owned enterprise (WFOE). But as the China footprint grows — multiple subsidiaries, repeated reinvestment, regional treasury or shared-service needs — the question shifts from “how do I set up one company” to “how do I structure the group.” Two PRC vehicles sit at the centre of that conversation: the foreign-invested investment company (外商投资性公司) and the regional headquarters (地区总部). The 2025 *Action Plan for Stabilizing Foreign Investment* (forwarded by the State Council General Office, drafted by MOFCOM and the NDRC) materially improved both, removing a long-standing onshore-financing constraint on investment companies and explicitly encouraging multinationals to establish them. This article explains what each vehicle is, how they differ, and how a foreign group should choose.

Foreign-invested investment company: the onshore holding vehicle

A foreign-invested investment company is a limited-liability or joint-venture company incorporated in China by a foreign investor (or investors) for the purpose of making equity investments in other enterprises within China. It is governed by MOFCOM’s rules on foreign-invested investment companies, operated within the Foreign Investment Law framework.

Its defining features:

  • It is an operating legal person in China, not a mere letterbox. It can itself run business, but its core permitted activity is investing in — and managing — the group’s China portfolio.
  • It can use onshore funding for investment. Historically, investment companies were constrained in using domestic RMB loans for equity investment. The 2025 Action Plan lifted that restriction (“取消外商投资性公司使用境内贷款限制”), allowing an investment company to use domestic loans to conduct equity investment and thereby easing the group’s onshore funding of China reinvestment.
  • It enjoys foreign-invested-enterprise treatment for the enterprises it invests in, provided those investee companies are lawfully established — the Action Plan expressly protects the FIE status of companies invested in by qualified investment companies.

For a group that reinvests profits in China, an investment company can consolidate holding, dividend flow and reinvestment under one PRC resident entity, which simplifies the group’s legal map and, with the 2025 change, its funding map.

Regional headquarters: the recognised coordination centre

A regional headquarters (地区总部) is not a separate legal form so much as a recognised status conferred by a provincial or municipal commerce authority on a China-incorporated enterprise (or, in some programmes, a branch) that is authorised by its offshore parent to perform regional management, service, R&D, sales, settlement or treasury functions.

Typical recognition criteria (illustrated by Beijing’s 2025 implementing opinion and Shenzhen’s batch guidelines) include:

  • the parent holds direct or indirect shareholding of not less than 50% and has total assets above a threshold (commonly US$100 million or more);
  • the China entity has paid-in registered capital above a local floor (often US$1–2 million, varying by city and by headquarters tier);
  • it is authorised to manage or service a minimum number of owned enterprises (commonly ≥2, sometimes ≥3 with at least one outside the host province);
  • it has operated in China for a continuous period (e.g., one year in Beijing) and is not on a serious失信 list.

Recognition is valuable because it unlocks conveniences rather than a single statutory tax holiday: dedicated talent quotas and easier work-permit/residence handling for expatriate staff, streamlined customs and foreign-exchange settlement for the managed entities, and — in cities such as Shanghai, Beijing, Guangdong and others — discretionary fiscal incentives, R&D subsidies and award payments for upgrading headquarters能级. Beijing’s 2025 opinion, for example, moves regional-HQ recognition to a “inform-and-undertake” (告知承诺) track that can be concluded on the spot, with a three-working-day standard track.

How the two vehicles relate

The regimes are complementary, not mutually exclusive:

  • A group may incorporate an investment company as the legal holding vehicle, and then have that same company (or a subsidiary) recognised as the regional HQ. The investment company supplies the legal person and the funding mechanism; the regional-HQ recognition supplies the coordination status and the local conveniences.
  • Where a group does not need a holding company but wants a coordination centre, it may seek regional-HQ status on an existing operating WFOE or a dedicated service company.
  • Where a group wants only a holding vehicle without the substance thresholds of an HQ, the investment company alone may suffice.

Choosing the right structure

The choice turns on four questions:

  1. Footprint and reinvestment. A single-market entrant with one subsidiary gains little from an investment company. A group with several China entities and a habit of reinvesting profits should consider consolidating under an investment company.
  2. Funding. If the group wants to fund China reinvestment with onshore RMB borrowings, the 2025 liberalisation makes the investment company materially more attractive than a plain WFOE.
  3. Substance and functions. If the group intends a genuine regional treasury, shared services, R&D or sales coordination centre, regional-HQ recognition delivers talent, customs and foreign-exchange conveniences that a bare holding company cannot.
  4. Compliance cost. Both vehicles require maintained substance — managed entities, local staff, real premises and reporting. A recognised HQ that loses its substance risks decertification and clawback of incentives.

Practical steps

  1. Map the group’s existing and planned China entities, and decide whether a holding layer adds value.
  2. If yes, incorporate a foreign-invested investment company in a location aligned with the group’s China hub (often Shanghai, Beijing, Shenzhen or a pilot free-trade zone), capitalising it to meet both MOFCOM and local HQ thresholds.
  3. Prepare the regional-HQ recognition filing with the local commerce authority, including the parent’s authorisation, asset-proof and the list of managed entities.
  4. Use the 2025 onshore-loan liberalisation to fund reinvestment through the investment company where appropriate, while keeping the foreign-exchange capital-account filings clean.
  5. Maintain substance — staff, premises, reporting — to preserve both FIE treatment and HQ recognition.

  • 母公司直接或间接持股不低于 50%,且总资产高于门槛(通常为 1 亿美元以上);
  • 中国实体实缴注册资本高于地方下限(常为一两百万美元,依城市与总部层级而异);
  • 获授权管理或服务的自有企业达到最低数量(常 ≥2 家,有时 ≥3 家且至少一家在 host 省之外);

Rebuilding FIE Governance After the Five-Year Transition: From Board-as-Supreme-Organ to the Shareholders’ Meeting, and How to Design Articles, Organs and Control

  • The Foreign Investment Law took effect on 1 January 2020 and repealed the three former statutes, so an FIE’s organisational form and internal organs now follow the Company Law or the Partnership Enterprise Law.
  • Article 44 of the Implementing Regulations (State Council Order No. 723) gave a five-year window, and from 1 January 2025 registration authorities refuse other registration applications from those that have not converted and publicise the situation.
  • You are a legacy FIE if registered before 1 January 2020, your articles name the board or joint management committee as supreme organ, and the enterprise type carries a Sino-foreign equity or cooperative label.
  • Conversion runs in three steps: a resolution of the original organ signed by all directors or committee members, a shareholders’ resolution under the Company Law, then alteration registration or filing.
  • Article 46 preserves the bargain: the agreed methods for equity transfer, profit distribution and distribution of residual property may continue to be performed as agreed after conversion.

Rebuilding FIE Governance After the Five-Year Transition: From Board-as-Supreme-Organ to the Shareholders’ Meeting, and How to Design Articles, Organs and Control | 外商投资企业的治理架构改造:从董事会最高权力机构到股东会——《外商投资法》五年过渡期终结后的章程、机构与控制权设计

Overview

A Sino-foreign joint venture long ran on an unusual rule: the board, not the shareholders, was the supreme organ, and fundamental matters needed unanimous director consent. It ended on 1 January 2020, when the Foreign Investment Law took effect and the three former FIE statutes were repealed. An FIE’s form and organs now follow the Company Law and the Partnership Enterprise Law.

What the Transition Period Changed

Article 44 of the *Regulations for the Implementation of the Foreign Investment Law* (State Council Order No. 723) let an FIE established before the Law under the three FIE laws — an “existing foreign-invested enterprise” — adjust its form and organs within five years and register the change, or keep the original. From 1 January 2025, where it has not adjusted and registered according to law, the market regulation department will not process other registration matters it applies for, and will publicise the situation. Article 45 leaves the mechanics to the market regulation department; Article 49 confirms four old implementing rules were repealed.

Are You a Legacy FIE?

Three cumulative tests: registration before 1 January 2020; articles naming the board or a joint management committee (联合管理委员会) as the supreme organ; and an enterprise type labelled 中外合资, 中外合作, 外商合资, 台港澳与境内合资, 港澳台与境内合资, 港澳台与境内合作, 港澳台与外国投资者合资 or 港澳台合资. The second is substantive: read the filed articles, since some early WFOE articles copied joint-venture templates; a non-legal-person FIE instead becomes a partnership.

What Must Be Amended

The supreme organ becomes the shareholders’ meeting, or the sole shareholder, and the board becomes an executive organ. The way the legal representative and the directors and officers are produced must be restated: the legal representative is now the director who represents the company in performing company affairs, or the manager, as the articles specify. The deliberation and voting mechanism must be written out — notice, quorum, vote counting and supermajority matters — since unanimity belonged to the old statute. The articles must be fully restated. The filing may involve enterprise type alteration, articles filing and director filing.

The Three-Step Filing Route

Following SAMR’s circular on registration under the Foreign Investment Law (国市监注〔2019〕247号), provincial notices set out three steps in order.

  1. The existing supreme organ resolves to amend the articles and move supreme authority to the shareholder or shareholders’ meeting. The resolution must be signed by all directors or all committee members, not a majority — the commonest obstacle where a director has resigned or the parties have fallen out.
  2. The shareholders then resolve, under the Company Law and the new articles, on the restated articles, board composition, supervisors or audit committee, legal representative and enterprise type.
  3. The company applies for the alteration registration and filings, with the *Application for Company Registration (Filing)*, the signed resolution, the restated articles and the shareholders’ resolution.

Filing is available online via Guangdong’s platform at https://qykb.gdzwfw.gov.cn/qcdzhdj/ or Fujian’s service hall, and at local counters.

Consequences of Not Converting

Once other registration matters are refused, the company cannot change its legal representative, domicile, registered capital or business scope; there is no fine — it simply cannot transact when a lease ends or capital is injected. The litigation risk is larger: where the filed articles still vest supreme authority in an organ the law no longer treats as supreme, the legality of the highest organ and of its decisions may be challenged, leaving the rights of the Chinese and foreign investors and of the FIE hard to safeguard. The situation is publicised, so it surfaces in due diligence.

Redesigning Control in a Joint Venture

Protection that rested on board unanimity disappears unless rebuilt:

  • Migrate the veto upward into reserved matters at shareholder level with a supermajority threshold, listed item by item — articles, capital, merger, division, dissolution, scope, major related-party transactions, disposal of core assets.
  • Consider separating voting rights from contribution, which a limited liability company’s articles may permit where the minority brings technology, brand or channels.
  • Fix the legal representative and how they are replaced; that person holds the chops and the registration file. Allocate board seats, nomination rights, the chair and quorum too.
  • Choose the supervisory model — a board of supervisors, supervisors, or an audit committee under the Company Law — and add deadlock and exit machinery with pre-emption, tag-along and drag-along rights.

What Survives From the Old Contract

Under Article 46, once an existing FIE has lawfully adjusted its form and organs, the methods for transfer of equity or rights and interests, for distribution of profits and for distribution of residual property agreed by the original joint-venture or cooperative parties may continue to be performed as agreed. This preserves bargains such as accelerated recovery of the foreign investment or non-capital contributions. Locate the original contract and restate those terms expressly.

Investors From the Hong Kong SAR, the Macao SAR and the Taiwan Region of China

Under Article 48, investors from the Hong Kong Special Administrative Region of China and the Macao Special Administrative Region of China investing in the mainland are handled by reference to the Foreign Investment Law and its Implementing Regulations. Investors from the Taiwan region of China apply the *Law on the Protection of Investment by Taiwan Compatriots* and its implementing rules first, with the Law and Regulations covering matters those instruments omit. Chinese citizens settled abroad are likewise handled by reference.

Beyond the WFOE: branches, foreign-invested partnerships and holding vehicles for China market entry |

Overview: Why “WFOE First” Is Not Always Right

The reflex for an overseas group is to incorporate a Wholly Foreign-Owned Enterprise (WFOE): a limited-liability company with full legal personality, a bank account, direct hiring power and a clean profit-repatriation path. Yet the WFOE is not the only lawful door, nor always the cheapest or fastest. A short market test may be better served by a representative office or a branch; a light-asset creative or fund project may fit a foreign-invested partnership; a group building several subsidiaries often wants an onshore holding platform.

This article maps the “non-typical” vehicles beside the WFOE — the branch of a foreign company, the foreign (regional) enterprise directly engaged in production, the foreign-invested partnership (FIP), and the investment company / holding platform — and explains when each is preferable and what the legal-personality, registration, employment, foreign-exchange and tax consequences are.

The Legal Gateway: What the Foreign Investment Law Permits

The *Foreign Investment Law* (外商投资法) defines a FIE in Article 2(3) as an enterprise invested in wholly or partly by foreign investors that is established through registration within China in accordance with Chinese law. Article 31 is the pivot: a FIE’s organisational form and operating rules are governed by the Company Law, the Partnership Enterprise Law and other laws — so a foreign investor may lawfully choose a company or a partnership form.

The implementing regulations (State Council Order No. 723, 国务院令第723号) confirm the registration split in Article 37(1): FIE registration is handled by SAMR or its authorised local departments. The *Market Entity Registration Administration Regulations* (State Council Order No. 746, 国务院令第746号) list branches of foreign companies in Article 2 as a distinct registered category, separate from a WFOE.

Branch of a Foreign Company

Article 38 of the 2023 Company Law requires a company establishing a branch to register and obtain a business licence. A branch of a foreign company is a registered extension of an overseas parent, not a separate Chinese legal person; the parent bears civil liability for the branch’s mainland activities.

Operationally a branch can sign contracts, open bank accounts and invoice, and — unlike a representative office — directly employ staff. It has no registered capital; funding comes from the parent and profit is remitted as branch proceeds. A branch suits a group with a clear China mandate avoiding a full company’s overhead; it is weaker than a WFOE where local limited liability matters.

Foreign (Regional) Enterprises Directly Engaged in Production

The *Measures for Registration of Foreign (Regional) Enterprises Engaged in Production and Operation within China* (1992 SAIC Order No. 10, third修订 by SAMR Order No. 31 in 2020) govern a distinct path. Article 2 requires a foreign enterprise approved by the State Council or its authorised authority to apply to the provincial market-regulation department and obtain a licence before operating. Article 4 sets a 30-day application window from approval. Article 17 extends the measures to enterprises from the Hong Kong SAR, the Macao SAR and the Taiwan region of China; the item was devolved to the provincial level by Guofa [2013] No. 19.

This vehicle is not a company and has no independent legal personality; it is a licensed establishment tied to a specific approved project. It fits contractors and resource projects where the foreign principal does not wish to incorporate. Its rigidity: the licence is project-bound and cannot be renamed or pivoted like a WFOE, and winding down needs de-registration.

Foreign-Invested Partnership (FIP)

A foreign-invested partnership is formed under the Partnership Enterprise Law with at least one foreign partner — common in private funds where the overseas party is LP and a domestic party is GP. It is a non-corporate, pass-through vehicle with no registered capital, and does not itself pay enterprise income tax; profit is attributed to the partners.

MOFCOM’s foreign-investment department, in a reply dated 25 May 2026 (message No. 730151, question raised 7 April 2026), confirmed that sectors outside the negative list are managed on the same basis as domestic and foreign investment, pre-2020 inconsistencies give way to the Foreign Investment Law, and partnerships are also subject to foreign-investment administration, including the rules on foreign investment in domestic investment.

The sharp edge is tax. A partnership is not a resident-enterprise taxpayer, so profit to an overseas partner is assessed under pass-through principles and treaty-benefit determination is complex — reduced treaty withholding is not automatic. A FIP is a poor fit where the group needs a balance sheet, limited liability, or straightforward dividend repatriation.

Investment Company

For groups holding several China subsidiaries or reinvesting profits onshore, a dedicated onshore holding platform — typically a WFOE incorporated as an investment company — is cleaner than owning each subsidiary from offshore. It is a limited-liability company that can employ, borrow and invest, and re-deploy subsidiary dividends without an immediate outflow.

The 2026 policy environment supports this. The *Action Plan for Stabilising and Optimising the Use of Foreign Investment* (Shangzifa [2026] No. 97, 商资发〔2026〕97号, issued by MOFCOM, the NDRC and the Ministry of Finance on 16 June 2026 with State Council approval) commits to encouraging foreign-invested enterprises to re-invest in the mainland, implementing the tax preference for overseas investors’ direct investment with distributed profits, and improving support for foreign-invested R&D centres, and signals accelerated revision of the rules on foreign investors’ merger and acquisition of domestic enterprises.

When NOT to Use a WFOE

  • Pure market-testing or liaison. A representative office (RO) is cheaper and needs no capital, but may not employ Chinese staff directly and must use dispatched labour.
  • A defined, site-bound project. A foreign enterprise directly engaged in production, or a branch, avoids company governance overhead when tied to one approval or contract.
  • A light-asset fund or creative venture. A FIP gives flexibility and pass-through treatment where a corporate shell adds little.
  • A multi-subsidiary group. A holding platform consolidates control, streamlines re-investment and can capture the distributed-profit tax preference.

Conversely, choose the WFOE when you need local limited liability, a standalone balance sheet, unrestricted direct hiring, and the cleanest dividend path.

Registration, Reporting and the 2026 Bilingual Forms

All foreign-invested vehicles are caught by the *Foreign Investment Information Reporting Measures*: an initial report within 30 days of licence issuance, and change reports within 30 days of the SAMR change registration, filed online via MOFCOM’s system (wzzxbs.mofcom.gov.cn) with auto-checks against the enterprise credit and tax systems.

In 2026, the Beijing Municipal Administration for Market Regulation introduced the first national bilingual (Chinese–English) registration documents, extending coverage from companies to partnerships and all foreign-invested types, absorbing SAMR’s 2026 document specifications (Guoshi Jian Zhu Fa [2026] No. 5, effective 1 May 2026) — lowering the barrier for English-using applicants.

What to Do Next

  1. Fix the commercial purpose first — test, project, fund or controlled group points to a different vehicle.
  2. Screen the negative list and approvals — some sectors still need approval or a joint-venture form.
  3. Map the employment need — many direct hires favour a WFOE or branch over an RO.
  4. Model the tax and FX path — a FIP’s pass-through profit and a branch’s proceeds need treaty and FX analysis.
