Overview

The revised Company Law, effective from 1 July 2024, reshaped China’s subscribed-capital regime. Under the old model, many foreign-invested enterprises (FIEs) were incorporated with very large nominal capital and very long subscription periods. That assumption is now invalid.

For FIEs already in existence on 1 July 2024, the new rule does not apply overnight. A State Council regulation grants a “3+5” transition, but the deadline is real: by 30 June 2027, any limited-liability company whose residual subscription period would still exceed five years must realign it. Foreign shareholders face a choice — fund the commitment, extend the period within the window, or restructure capital through reduction.

This article covers that third path: how a legacy FIE lawfully reduces registered capital, ordinary versus simplified reduction, foreign-exchange consequences, and the link to deregistration.

The five-year subscription rule

Article 47 provides that the aggregate subscribed capital of a limited-liability company shall be paid in full by the shareholders within five years from the date of establishment. For joint-stock companies, promoters must pay the full subscription before establishment.

The five-year cap is a mandatory default. Only where a separate law, administrative regulation, or State Council decision imposes a different rule does the general cap yield. For the vast majority of FIEs structured as limited-liability companies, the five-year rule applies.

Crucially, the cap binds the subscription period, not the paid-in amount at any single moment. A shareholder may still pay in installments, but the final installment must fall within five years of incorporation.

The transition window for legacy FIEs

The State Council’s Regulation on Registered-Capital Registration under the Company Law (effective 1 July 2024) addresses this reconciliation through a three-year transition layered onto the five-year payment period — the “3+5” window.

For companies incorporated before 30 June 2024:

  • A limited-liability company whose residual subscription period would exceed five years from 1 July 2027 must adjust it to within five years by 30 June 2027. Shareholders then pay within the adjusted period.
  • A joint-stock company’s promoters must pay subscribed shares in full by 30 June 2027.
  • If the residual period is already under five years on 1 July 2027, no adjustment is required.
  • Where operations involve national interest or major public interest, and a competent authority so advises, SAMR may permit the original period to stand.

Practically, the latest permissible final payment is 30 June 2032. Failure to adjust draws a correction order; persistent non-compliance leads to a special flag on NECIPS. Reduction becomes attractive because many FIEs cut capital to a level the foreign shareholder can support.

Capital reduction procedure

A reduction that lowers the shareholder’s forward contribution obligation is an ordinary reduction under Article 224. The sequence is strict:

  1. Board plan. Cover financial position, form and amount of reduction, pre- and post-reduction capital and shareholding, and creditor status.
  2. Shareholder resolution. Requires at least two-thirds of the voting rights unless the articles provide otherwise; a one-person company acts by written decision.
  3. Balance sheet and asset list. So creditors can assess solvency.
  4. Creditor notice and announcement. Notify known creditors within ten days; announce on NECIPS or in a newspaper within thirty days.
  5. Creditor protection window. A notified creditor may, within thirty days, and an announced-only creditor may, within forty-five days, demand repayment or security.
  6. Articles amendment and registration. After the announcement period, amend the articles and apply to SAMR for the capital-reduction change registration.

Reduction is presumptively pro rata. A non-pro-rata reduction of an LLC therefore requires the unanimous consent of all shareholders — a point foreign minority shareholders should watch closely.

Simplified vs ordinary reduction

Article 225 introduced a simplified reduction for loss make-up only: after exhausting profit, discretionary and statutory reserves, and capital reserves, a loss still remains. Differences from the ordinary route: (i) only a thirty-day announcement is needed — no creditor notice or 30/45-day claim window, since net assets are unchanged; (ii) no distribution to shareholders and no relief of the contribution duty; (iii) no profit distribution until reserves reach 50% of registered capital. Strategically, lowering nominal capital to cut future funding is an ordinary reduction with full creditor protection; a simplified reduction only absorbs historical losses. Misusing it to dodge funding risks an Article 226 unlawful-reduction finding.

FX and registration steps

For an FIE, a domestic reduction is incomplete until the FX side is handled. Under the Capital Account FX Guidelines (2024 edition, SAFE Hui Fa [2024] No. 12), an FIE must register capital-account changes for increases, reductions, and equity transfers. After the SAMR change registration and new license, the company (or its bank) files a written application with the Domestic Direct Investment Basic Information Registration Application Form (I), the business registration credential, and the updated license copy; a tax certificate is added if a foreign investor’s domestic legitimate income is reinvested, and a paid-in regulated sector attaches the industry authority’s approval.

A key limitation: the amount remittable offshore is, in principle, limited to the reduction of the foreign investor’s paid-in registered capital and excludes reserves and undistributed profit; where the reduction only offsets book losses or trims the contribution obligation, the remittable amount is zero. On tax, SAT Announcement 2011 No. 34 treats a reduction partly as non-taxable recovery of original investment, partly as a dividend, and partly as a capital gain.

Practical checklist

  1. Audit the gap — registered capital, paid-in capital, original horizon, residual period from 1 July 2027.
  2. Choose the path — fund, extend within 3+5, reduce, transfer equity, or exit.
  3. Board plan with financials and creditor status.
  4. Shareholder vote — two-thirds majority (unanimity for non-pro-rata LLC reductions).
  5. Financials — balance sheet and asset list.
  6. Notify and announce — creditors within 10 days; NECIPS or newspaper within 30 days.
  7. Handle claims — settle debts or provide security for 30/45-day claims.
  8. SAMR filing — capital-reduction change registration after the 45-day announcement.
  9. SAFE change — capital-project FX registration change; confirm remittable amount.
  10. Publicity — disclose updated subscribed and paid-in amounts on NECIPS within 20 working days.

对于 2024 年 7 月 1 日已经存续的外资企业,新规并非即刻生效。国务院配套法规给出了”3+5″过渡期,但倒计时是真实的:到 2027 年 6 月 30 日,任何剩余认缴期限仍将超过五年的有限责任公司,都必须将其调整至五年内。外方股东现在面临战略选择——实缴出资、在允许窗口内延长认缴期,或通过减资重构资本。

本文聚焦第三条路径:存量外资企业如何合法减少注册资本、普通减资与简易减资的程序差异、外汇后果,以及减资与注销的衔接。据市场监管总局相关解读,存量公司数量庞大,三年过渡期的设计正是为避免”一刀切”冲击市场,给予企业从容调整的空间。本文不重复新《公司法》的概览,也不赘述外资出资的方式与币种,相关内容另文专述。

五年认缴规则

《公司法》第四十七条规定,有限责任公司全体股东认缴的出资额,由股东按照公司章程的规定自公司成立之日起五年内缴足;股份有限公司的发起人应当在公司成立前按认购股份全额缴纳股款。

五年期限是一项强制性默认规则。只有当其他法律、行政法规或国务院决定另有规定(例如特定行业要求实缴最低限额)时,一般规则才让位。对于绝大多数采用有限责任公司形式的外资企业,五年规则即为适用规则;股份有限公司形式的外资企业较少,但其发起人须在成立前全额缴足,且同样享有三年过渡期至 2027 年 6 月 30 日。对外资企业而言,理解这一区分有助于选择正确的调整路径。

关键是,该期限约束的是”认缴期限”,而非任一时点的实缴金额。股东仍可分期缴付,但最后一期不得晚于成立后五年。若一家公司在旧法下以三十年期限设立、且已存续多年,新法迫使其实缴安排作出调整,不能再无限期拖延,否则将触发下文所述的整改与标注后果。

存量外资企业的过渡窗口

国务院《关于实施〈中华人民共和国公司法〉注册资本登记管理制度的规定》(2024 年 7 月 1 日施行)正是对此作出的安排,其核心机制是在五年缴付期之上叠加三年过渡期,即”3+5″窗口——”3″指三年的调整过渡期(至 2027 年 6 月 30 日),”5″指调整后的最长五年缴付期,二者相加最迟可至 2032 年 6 月 30 日。

对于 2024 年 6 月 30 日前设立的公司:

  • 有限责任公司剩余认缴出资期限自 2027 年 7 月 1 日起超过五年的,应当在 2027 年 6 月 30 日前调整至五年内,并记载于公司章程;股东应在调整后的期限内足额缴纳。
  • 股份有限公司的发起人应在 2027 年 6 月 30 日前按认购股份全额缴纳股款。
  • 若公司剩余认缴期限在 2027 年 7 月 1 日时已不足五年,则无需调整。
  • 公司生产经营涉及国家利益或重大公共利益,且国务院主管部门或省级人民政府提出意见的,市场监管总局可同意其按原出资期限出资。

实际上,最迟缴足日为 2032 年 6 月 30 日。未调整者将收到责令改正;拒不改正的,将在国家企业信用信息公示系统被特别标注。这正凸显了减资的吸引力:与其仓促筹集被虚增的名义资本,许多外资企业选择将注册资本削减至外方股东真正能够支撑的水平,从而既符合法律,又避免资金压力。

减资程序

以减少股东未来出资义务为目的的减资,属于由第二百二十四条规范的”普通减资”,其法定步骤严格。需要强调的是,上述六步适用于以减少股东未来出资义务为目的的普通减资;若仅为弥补亏损而简易减资,则无需通知债权人,程序更简,详见下节。

  1. 董事会方案。 拟订减资方案,涵盖财务状况、减资方式与金额、减资前后注册资本与股权结构、减资对价处理及债权人状况。
  2. 股东决议。 股东会作出减资决议,章程无特别规定的须经代表三分之二以上表决权的股东通过;一人有限责任公司由股东作出书面决定。
  3. 资产负债表与财产清单。 公司编制二者,供债权人评估偿债能力。
  4. 通知与公告。 自减资决议作出之日起十日内通知已知债权人,三十日内在公示系统或报纸公告。
  5. 债权人保护期。 接到通知的债权人可于三十日内、未接到通知的债权人可于公告之日起四十五日内,要求公司清偿债务或提供担保。
  6. 章程修订与登记。 公告期满后,公司修订章程,并向市场监管部门申请减资变更登记。实务中须注意:变更登记须待公告期满四十五日、且债权人求偿期结束后再申请,不能提前;公告既可登报,也可直接在国家企业信用信息公示系统发布,后者更为便捷。

减资原则上”等比例”,即按股东出资或持股比例相应减少。因此,有限责任公司的非等比例(定向)减资须全体股东一致同意——外资少数股东尤其应关注此点,防止自身持股比例被不当稀释。例如,若仅减少某一外方股东名下的认缴额以使其退出,必须经全体股东同意,否则只能采取等比例减资配合股权转让的方式实现。

简易减资与普通减资

第二百二十五条新增”简易减资”,与上一路由不同。它仅适用于:公司依规定先用当年利润、任意公积金与法定公积金弥补亏损,仍不足时再用资本公积金,仍有亏损的,方可减资弥补亏损。

核心区别如下:

  • 无需通知债权人或清偿。 简易减资仅须在三十日内公告,跳过十日的个别通知与 30/45 日求偿期,因为公司净资产与偿债能力未变,债权人利益不受影响。
  • 不得分配、不得免责。 减资弥补亏损的,不得向股东分配,也不得免除股东缴纳出资或股款的义务。换言之,它不能用来逃避未来的缴资义务。
  • 分红锁定。 在法定公积金与任意公积金累计额达到注册资本 50% 前,公司不得分配利润。

战略区分十分明确:若外方股东的目标是”降低名义资本以减少待缴金额”,这属于普通减资,触发完整债权人保护。简易减资则是一种账面调整,仅用于吸收历史亏损,出资义务依然存续。举例而言,一家账面累计亏损、但股东仍负有未来缴资义务的企业,若想减轻未来出资压力,只能走普通减资;若仅想抹平亏损数字、账面已无未分配利润可供分配,则简易减资更合适。若以简易减资规避缴资,将无法达成目的,并可能依第二百二十六条被认定为违法减资(免除的出资须恢复原状,造成损失的须赔偿)。

外汇与登记步骤

对外资企业而言,境内减资在完成市场监管登记前不算真正完结。依据《资本项目外汇业务指引(2024 年版)》(国家外汇管理局汇发〔2024〕12 号),外商投资企业增资、减资、股权转让等资本变动事项均须办理外汇登记变更。

在市场监管部门完成减资变更、换发新营业执照后,企业(或受其委托的银行,银行系依外汇局登记信息办理)提交书面申请,附《境内直接投资基本信息登记业务申请表(一)》及业务登记凭证,并附变更后营业执照(加盖公章复印件)。实操中,减资的外汇登记变更通常应在境内工商变更登记完成、取得新执照后再行办理,顺序不可颠倒。若减资涉及外国投资者以境内合法所得再投资,须补充主管税务部门出具的税务凭证;实缴登记制行业,另附行业主管部门批准文件。

一项关键限制:减资可汇出境外的金额,原则上仅限于减少外国投资者”实缴”注册资本,不包括资本公积、盈余公积、未分配利润。若减资仅用于弥补账面亏损或调减出资义务(而非返还实缴资本),可汇出金额设为零。税务方面,国家税务总局 2011 年 34 号公告规定,企业撤回或减少投资所取得的资产,相当于初始出资的部分确认为投资收回(不征税),相当于留存收益的部分视为股息分配,其余部分确认为投资资产转让所得,故资金出境前须征求专业税务意见。另须注意,若仅完成境内工商减资而遗漏外汇登记变更,企业后续利润汇出、增资及最终退出都将受阻,故两项登记须同步规划。

实操清单

  1. 核查缺口 —— 注册资本、实缴资本、原认缴期限,以及自 2027 年 7 月 1 日起计算的剩余期限。
  2. 选择路径 —— 实缴、在 3+5 窗口内延长、减资、转让股权或退出。减资只是选项之一,并非唯一。
  3. 董事会方案 —— 含财务与债权人状况的减资方案。
  4. 股东表决 —— 三分之二多数(有限责任公司非等比例减资须全体一致);记入纪要。
  5. 财务报表 —— 资产负债表与财产清单。
  6. 通知与公告 —— 十日内通知债权人,三十日内在公示系统或报纸公告。
  7. 处理债权 —— 对行使 30/45 日权利的债权人清偿或提供担保。
  8. 市场监管申报 —— 公告满四十五日后办理减资变更登记,换领新执照。
  9. 外汇变更 —— 办理资本项目外汇业务登记变更;若拟汇回,确认可汇出金额。
  10. 公示义务 —— 自相关信息产生之日起二十个工作日内,在公示系统披露更新后的认缴与实缴金额、方式及日期。

需要提醒的是,越临近 2027 年 6 月 30 日的 deadline,存量企业的减资与延期申请将越集中,登记机关与外汇窗口的办理周期可能拉长。外方股东宜尽早评估,避免在过渡期末尾扎堆办理而错失调整窗口;若企业本身已无持续经营计划,更应提前规划”减资—清算—注销”或”减资—简易注销”的一体化路径,以降低合规与资金成本。
