WFOE Registration Timeline: 2026 Benchmark |

Overview

Setting up a Wholly Foreign-Owned Enterprise (WFOE) in China is a sequenced, multi-agency process. Since the 2014–2016 streamlining reforms (“five-in-one” / “multi-in-one” certificates, 多证合一) and the 2020 replacement of case-by-case approval with an information-reporting system under the Foreign Investment Law, the formal steps are largely integrated into a single business-licence application, with follow-on actions at the bank, the tax authority, and the foreign-exchange system. This note sets out an end-to-end 2026 benchmark: the typical order of steps, what each step achieves, and realistic calendar-day expectations in a major city. Treat the figures as planning ranges, not guarantees — industry-specific pre-approvals, a disputed company name, or incomplete notarisation of overseas documents are the usual sources of slippage.

The headline: most of it is now one integrated filing

Under the “one licence, one code” (一照一码) framework, a newly formed company receives a single unified social credit code that simultaneously satisfies the registration, tax, social-insurance, statistical, and (for foreign-invested entities) commerce-reporting requirements. You no longer walk door-to-door collecting separate certificates. The practical sequence is: reserve/declare the name → obtain the business licence → engrave seals → open the bank accounts → activate tax and social-insurance registration in the electronic systems → complete the foreign-exchange (FDI) registration and open the capital account. Everything downstream of the licence is parallelisable to a degree, which is why a well-prepared application can complete in roughly three to four weeks in tier-1 cities.

Step 1 — Name reservation

Most provinces now use autonomous name declaration (名称自主申报) through the provincial enterprise-registration e-platform rather than a separate pre-approval queue. You submit 3–5 candidate names; the system checks against the live registry and confirms availability, typically within the same day, occasionally 1–2 working days if a human review is triggered (for example, a name touching a sensitive or well-known mark). Foreign-invested entities must still respect the negative list and any sector naming rules. The declared name is valid for a limited period (commonly 30 days in many localities) within which the licence application must be filed.

Step 2 — Business licence (the “one licence, one code” integration)

The core incorporation step. You file the company登记表, articles of association, proof of the registered address (lease + property certificate), identification of the legal representative, directors, supervisors and senior management, and the foreign investor’s qualifying documents. A foreign corporate investor’s incorporation documents and the natural-person investor’s passport generally require notarisation and authentication by a Chinese embassy/consulate (or an apostille where applicable); plan this into the pre-filing calendar, as it can take one to three weeks offshore. Once accepted, the market-regulation authority issues the business licence — commonly in 3–7 working days, and as fast as 1–2 days (or even same-day in pilot “one-window” windows) in reform-leading districts. This is also the moment the foreign-investment initial report is pushed to the commerce authority via the registration system, so no separate commerce approval is needed.

Step 3 — Company seals

With the licence, you engrave the statutory seals at a public-security-designated engraver: the official seal (公章), financial seal (财务章), legal-representative seal (法人章), and often a contract seal and invoice seal. Seal making is fast — usually 1 working day — and in many cities is bundled into the same “one-window” incorporation flow, sometimes free of charge. Keep the official and financial seals under strict control; they bind the company.

Step 4 — Bank account opening (basic + capital)

A WFOE needs a basic deposit account (基本存款账户) for operating cash and payroll, and a capital account (资本金账户) to receive foreign-currency or cross-border RMB capital contributions. Banks conduct their own KYC/AML review, which is the single most variable step: expect 5–10 working days, occasionally longer for complex ownership chains or sanctioned-jurisdiction links. You will need the licence, the three seals, the legal representative’s ID, and the articles. The capital account is opened at the same or a different bank; the bank also performs the FDI basic-information registration (see Step 6) as part of, or immediately after, account opening.

Step 5 — Tax, social insurance and statistical registration

Thanks to the multi-in-one integration, tax and social-insurance registration are created automatically when the licence is issued, but they must be “activated”: the company logs into the provincial electronic tax bureau to confirm tax types (税种核定), assign a tax officer, and enable invoicing; and registers employees for social insurance and housing-fund via the human-resources system. Budget 1–3 working days of internal processing, but note that invoicing (尤其是增值税专用发票) often requires an on-site verification of the premises and the legal representative. Statistical and customs records, where relevant, are likewise auto-derived from the licence.

Step 6 — Foreign-exchange (FDI) registration and capital account

Since the SAFE reform implemented by 汇发〔2015〕13号, foreign-invested enterprises no longer visit the foreign-exchange authority for registration — the bank handles it. The bank files the (FDI basic-information registration) and opens the capital account; subsequent capital remittances are recorded through the bank via the capital-account information system. The bank typically completes this within 3–7 working days after the licence and account documents are in hand. Capital can then be remitted in and, under the voluntary settlement rule (意愿结汇), converted to RMB into a “settlement-to-be-paid” account, to be used within the business scope on a true-self-use basis. The foreign-investment initial report already lodged at Step 2 satisfies the commerce side; no separate approval certificate is issued.

What to do next

  • Reserve a compliant name early and prepare 3–5 alternates to avoid a review loop.
  • Start the notarisation/authentication (or apostille) of overseas investor documents before filing — this is the most common offshore bottleneck.
  • Bundle seal-making, bank pre-checks, and tax activation into the same incorporation window rather than sequencing them strictly.
  • Confirm whether your sector needs a pre-establishment approval or licence (negative-list / regulated industry) before you file the licence; if so, add that lead time.
  • Choose a bank with a strong foreign-exchange desk and confirm its KYC list before submission to avoid a restart.
  • Lodge the WFOE initial report through the registration system at filing; verify the commerce push landed.

Exiting China: Deregistration Reform Under the Enterprise Deregistration Guide (2025 Revision)

  • The Enterprise Deregistration Guide (2025 Revision), jointly issued by SAMR and five other departments, is being implemented across localities in 2026 through simplified procedures, agency (“da wei”) deregistration and integrated “one-stop” services.
  • Under the 2025 Revision, directors — not shareholders — are the primary liquidation obligors for companies; a director who fails to organise liquidation may bear compensatory liability.
  • Agency deregistration solves the “impossible exit” deadlock: where a shareholder has died, been deregistered or been dissolved, its successor or investors may apply for deregistration on its behalf.
  • Simplified deregistration now uses a 20-day publicity period (down from 45 days), with a 20-day filing window after publicity, extendable up to 30 days; the whole process can finish in around 50 days.
  • Tax clearance is the precondition: land value-added tax settlement, annual CIT final settlement and all social insurance arrears must be cleared before deregistration; pre-check services on the e-tax platform flag outstanding items.
  • For foreign-invested enterprises, the 2025 Revision and the Company Law’s director-obligor rule matter in practice: WFOE dissolution should name liquidation directors early, clear customs/tax records first, and use the 20-day publicity track where debts are fully settled.

Exiting China: Deregistration Reform Under the Enterprise Deregistration Guide (2025 Revision) |

Why this matters now

In late 2025, the State Administration for Market Regulation (SAMR) together with the Ministry of Public Security, the Ministry of Human Resources and Social Security, the People’s Bank of China, the General Administration of Customs and the State Taxation Administration issued the Enterprise Deregistration Guide (2025 Revision), published as Announcement No. 52 of 2025. During 2026, market regulators nationwide have been implementing it through special guidance, “one-stop” integrated services and agency deregistration mechanisms. The China Market Regulation News reported in August 2026 on how localities are rolling out “agency deregistration” (dai wei zhu xiao), the Chifeng Municipal Market Regulation Bureau issued a special-circumstances deregistration guidance in August 2026, and Foshan issued a specific deregistration procedure for domestic and foreign-invested companies. For foreign investors holding WFOEs or joint ventures that have reached the end of their life cycle, the 2025 Revision restructures the exit path: clearer liquidation duties, a shortened simplified-publicity track and standardised solutions for the classic deadlock cases. This article explains the key changes and their practical application to foreign-invested companies.

The new exit architecture

The Guide organises market exit around three core stages: resolution to dissolve, liquidation and distribution, and deregistration registration. Dissolution triggers include voluntary cases (expiry of the articles, shareholders’ resolution, merger or division) and compulsory cases (revocation of licence, court-ordered dissolution). Within ten days of the dissolution event, the enterprise must publicise the dissolution on the National Enterprise Credit Information Publicity System. Liquidation is a statutory obligation: except in merger or division cases, liquidation must precede deregistration registration.

The most significant structural change is the identity of the liquidation obligor. Under the new Company Law (effective 1 July 2024) and the 2025 Revision, directors are the liquidation obligors for companies. The liquidation group is normally composed of directors, unless the articles or the shareholders’ meeting select other persons. Where a director fails to organise liquidation and thereby causes loss to the enterprise or creditors, the director bears compensatory liability. This shifts personal risk onto board members and matters directly to foreign-appointed directors of WFOEs.

Agency deregistration for deadlock cases

A second headline change is the national adoption of agency deregistration for the “impossible exit” cases. Where a natural-person shareholder has died, a legal-person shareholder has itself been deregistered or dissolved, or a competent authority has been abolished through institutional reform, the traditional “who established, who deregisters” rule left the company trapped. Under the Company Registration Administrative Measures (effective 10 February 2025) and the 2025 Revision, the lawful successor or investor may apply for deregistration on behalf of the absent shareholder: the heirs of a deceased natural-person shareholder, or the successor body or investors of a dissolved legal-person shareholder. Localities such as Fujian and Heilongjiang have issued detailed implementation guidance. For foreign-invested companies with complex shareholder chains — including offshore holding entities that have been wound up — this mechanism provides a practical path that did not exist before.

Simplified deregistration and tax pre-checks

The 2025 Revision shortens the simplified deregistration publicity period from 45 days to 20 days, adds a 20-day filing window after publicity (extendable to a maximum of 30 days), and establishes a fault-tolerance mechanism: where publicity was launched but the company is later found unsuitable for simplified deregistration (e.g. abnormal operation list, frozen or pledged equity, un-deregistered branches), the publicity need not be revoked; once the abnormal status is cured, the company can apply again on the same publicity. For individual businesses, no publicity is required at all. On the tax side, the e-tax platform now offers a deregistration pre-check service, and the preconditions are explicit: land value-added tax settlement, annual corporate income tax final settlement and all social insurance arrears must be cleared before the process starts. Tax authorities do not object to simplified deregistration where the taxpayer never handled tax matters, handled them but never received invoices and has no arrears, or has already completed invoice cancellation and tax clearance.

Application to foreign-invested enterprises

For a foreign-invested enterprise, the practical sequence is: first, confirm the dissolution trigger and publicise within ten days; second, constitute a liquidation group of directors (or persons selected under the articles) and register the group information within ten days, publishing the creditors’ announcement within 60 days for a 45-day period; third, clear tax and customs records — including VAT, export duty refunds, invoice and tax-control device cancellation, and customs filing cancellation for companies with import-export records; fourth, settle employees’ wages, social insurance and compensation; fifth, distribute remaining assets in the statutory order; sixth, file the liquidation report approved by the shareholders’ meeting (or court) and apply for deregistration. Where the company has no outstanding debts, the simplified track applies: no full liquidation report is needed beyond the investors’ commitment letter and a 20-day publicity. Cross-border specifics include the closing of the foreign exchange settlement account, cancellation of the capital account and, for listed or foreign-funded financial institutions, coordination with the relevant financial regulator.

Compliance notes

The 2025 Revision implements the new Company Law, so the director-obligor rule applies to companies established before the new law took effect as well, in respect of liquidation triggered after that date. Foreign-appointed directors should confirm D&O insurance covers liquidation duties. Deadlines are real: the ten-day publicity window for dissolution, the ten-day liquidation-group registration window and the 45-day creditors’ announcement period should be calendared. Finally, the Guide is national policy; local bureaus may apply procedural details differently, so confirm with the local SAMR bureau and tax authority before starting.

Leaving the China market is as regulated as entering it. The *Enterprise Deregistration Guide (2025 Revision)*, jointly issued by SAMR with the Ministry of Public Security, the Ministry of Human Resources and Social Security, the People’s Bank of China, the General Administration of Customs and the State Taxation Administration, is the third revision since 2019 and the first to fully align with the 2024 *Company Law*. For a foreign-invested enterprise (FIE), the guide provides a clear map of three exit routes.

Three routes

Ordinary deregistration remains the default for entities with live debts, disputes or approval requirements: set up a liquidation group, announce the liquidation (ordinarily a 45-day public notice), settle creditors, obtain tax clearance, and then deregister with the market-regulation authority. Simplified deregistration applies where the company has no debts or has cleared them, and is not in a barred category (e.g., not under investigation, not in the abnormal-operation list, no frozen equity). The announcement period is no less than 20 days; if no objection arises, the company may apply for deregistration within 20 days after the announcement ends. “One-thing” joint deregistration bundles tax, social-security and bank-account closure into a single coordinated process, designed to cut procedures by over 60%.

The new Company Law overlay

The 2025 guide explicitly absorbs the 2024 *Company Law* changes: the dissolution public notice, the clarification of the liquidation obligor, and mandatory deregistration Mandatory deregistration lets the registry strike off an entity that has been suspended for a long time and meets statutory conditions, without a full liquidation — but if shareholders gave false commitments about having no debts, they remain jointly liable for pre-deregistration debts. This protects creditors while letting genuinely defunct shells exit.

FIE-specific considerations

Because foreign investment is negative-list managed, an FIE in a restricted sector may need industry-access exit approval before market-entity deregistration. Tax clearance is non-negotiable: unpaid enterprise income tax, withholding tax or outstanding audit obligations block the path. Social-security and foreign-exchange formalities (e.g., closing the capital-account and profit-repudiation records) should be closed in parallel. Where a court has declared bankruptcy or ended compulsory liquidation, the FIE deregisters by submitting the court ruling.

Special cases handled

The guide gives targeted solutions for hard cases — lost shareholders, missing licences, an uncooperative legal representative — drawing on local practice. It also lays out the “one-thing” workflow so that an investor does not have to visit separate tax, social-security, customs and bank counters sequentially. Local service windows publish the required materials; SAMR’s 2026 materials standard lists the exact documents for simplified and ordinary deregistration.

Practical steps

  1. Choose the route. No debts and not barred → simplified; live debts/disputes → ordinary; want speed → one-thing joint.
  2. Announce correctly. Use the national enterprise credit information publicity system; observe the 20-/45-day windows.
  3. Clear tax first. Obtain tax clearance; settle IIT, CIT and withholding before applying.
  4. Close ancillaries. Social security, bank accounts, customs and foreign-exchange records in parallel via the one-thing window.
  5. Keep proof. Retain the deregistration certificate and clearance letters; false simplified-注销 commitments carry personal liability.

Practitioner Quick Reference

  • Three routes: ordinary (45-day notice), simplified (≥20-day notice) and “one-thing” joint deregistration.
  • Simplified needs no debts: no debts or cleared, and not in a barred category (investigation, abnormal list, frozen equity).
  • Tax clearance first: unpaid CIT, withholding or audit blocks the path.
  • Mandatory deregistration exists: long-dormant shells may be struck off, but false “no-debt” promises keep shareholders liable.
  • Close ancillaries together: social security, bank, customs and FX via the one-thing window.

Common Pitfalls

  • Skipping tax clearance: applying before clearance is rejected.
  • Misusing simplified: hidden debts or an investigation disqualifies simplified deregistration.
  • Forgetting FX close-out: leaving capital-account records open complicates future matters.

2026 Watchlist

  • First mandatory-deregistration cases: watch how authorities apply 强制注销 to dormant shells.
  • One-thing window coverage: more cities will bundle tax, social-security and bank closure.
  • Guide interpretation: local windows will publish material lists under the 2026 standard.

Key Figures

  • 106 items: the 2025 market-access negative list, down from 117 in 2022.

  • ≥20 days: the simplified-deregistration public announcement period.
  • 45 days: the ordinary liquidation public notice window.
  • 60%+: target procedure cut under the “one-thing” joint deregistration.

Voluntary Liquidation of Foreign-Invested Enterprises: From Shareholder Resolution to Deregistration

  • Under the 2023 Company Law (effective 1 July 2024), directors — not shareholders — are the statutory liquidation obligors, and a liquidation group must be formed within 15 days of a dissolution event.
  • Voluntary liquidation of a foreign-invested enterprise follows a mandatory three-stage path: resolution to dissolve, liquidation and distribution, then deregistration.

  • A foreign-invested enterprise still must complete tax deregistration and obtain a clearance certificate before the market-regulator cancels its business licence.
  • Distributing remaining assets to foreign shareholders before all debts are settled is prohibited; repatriation of liquidation proceeds follows the foreign-exchange capital-account rules.
  • Voluntary liquidation is distinct from simplified deregistration and from bankruptcy liquidation — each applies to a different factual scenario and carries different timelines.

Voluntary Liquidation of Foreign-Invested Enterprises: From Shareholder Resolution to Deregistration |

Why this matters now

For a foreign investor, deciding to exit a China subsidiary is rarely the headline event — the quiet, procedural work that follows is what protects the parent company, its local staff and any remaining creditors. China’s exit regime changed materially with the 2023 revision of the Company Law, which took effect on 1 July 2024, and again with the *Enterprise Deregistration Guidelines (2025 Revision)* issued by six agencies including the State Administration for Market Regulation (SAMR) as Announcement No. 52 of 2025. For a foreign-invested enterprise (FIE) that is solvent and simply choosing to wind down, the correct route is voluntary liquidation — a non-bankruptcy, non-simplified procedure that must nonetheless be executed in strict statutory sequence. This article walks through that sequence and the FIE-specific checkpoints (tax clearance, foreign-exchange repatriation, customs cancellation) that a generic domestic guide tends to omit.

The legal trigger and the 15-day clock

A voluntary liquidation begins with a resolution to dissolve. For a limited-liability company, this is a shareholder resolution; for a company limited by shares, a shareholders’ meeting resolution. Under the Foreign Investment Law, an FIE’s Articles of Association and the合资/合作 contract (where applicable) still govern internal voting, but the dissolution itself is now squarely within the Company Law framework.

The 2023 Company Law shifted the liquidation obligor from the shareholders to the directors. Article 232 provides that, where a company dissolves for the relevant statutory reasons, the directors constitute the liquidation obligor and must form a liquidation group within 15 days of the dissolution event. If the directors fail to act, creditors, shareholders or other interested parties may petition the people’s court to appoint a liquidation group. This is a meaningful change for foreign groups: the local board — not the offshore parent acting directly — is the body legally responsible for timely liquidation, and directors face liability for losses caused by delay.

On the dissolution event, the company must, within 10 days, publish the dissolution cause through the National Enterprise Credit Information Publicity System This publicity step is mandatory for companies (it does not apply to sole proprietorships or partnerships in the same way) and starts the clock for creditors.

Stage one: resolution to dissolve

The shareholder (or shareholders’ meeting) resolution should expressly:

  • approve dissolution and the chosen exit route (voluntary liquidation, as opposed to simplified deregistration or a going-concern transfer);
  • appoint the liquidation group (typically the directors, unless the Articles provide otherwise or the shareholders resolve to appoint others);
  • authorise a preliminary liquidation plan and budgeting for professional advisers (audit, legal, tax).

Where the FIE is a joint venture, the dissolution resolution interacts with the joint-venture contract and any approval/record-filing obligations under the foreign-investment regime. Even though most FIE establishment and change matters are now filed rather than approved, certain sectors and certain contractual exit mechanics may still require partner consent thresholds set out in the venture’s constitutional documents.

Stage two: liquidation and distribution

Once the liquidation group is formed, it must, within 10 days, announce the liquidation-group information on the publicity system and, within 60 days, publish a creditors’ announcement (the announcement period is 45 days for companies). Creditors must file claims within 30 days of notice, or within 45 days of the announcement if not individually notified.

The liquidation group then:

  1. takes custody of the company’s assets and prepares a balance sheet and an asset inventory;
  2. notifies and settles employees — wages, social-insurance premiums, statutory compensation and statutory remedies must be paid in full before any distribution to shareholders;
  3. settles tax and customs matters — this includes enterprise income-tax clearance, deregistration of export/import (customs) records where the company was a customs registrant, cancellation of tax-control devices and invoices, and payment of any outstanding duties, late fees or penalties;
  4. verifies and settles claims and debts with creditors;
  5. disposes of assets and, where the business is being sold as a going concern, structures the transfer to minimise double taxation;
  6. prepares and executes a liquidation plan, confirmed by the shareholders (or the court, if court-supervised).

A core prohibition: the company must not distribute remaining assets to shareholders before all debts and employee/social obligations are settled. The distribution order is fixed — liquidation expenses, employee wages and social premiums and statutory compensation, tax arrears, and then residual debt — after which remaining property is distributed to shareholders in proportion to capital contributions (LLC) or shareholding (company limited by shares). During liquidation the company continues to exist but may not engage in business unrelated to the winding-up.

Stage three: deregistration

With the liquidation complete and a signed liquidation report confirmed by the shareholders (or the court), the FIE proceeds to deregistration. The 2025 Guidelines consolidate what was once a serial, agency-by-agency exercise into a “one-thing” (一件事) online channel:

  • Tax deregistration first. The tax authority runs a pre-clearance check. Where the company has never conducted tax matters, or meets the “tolerance + instant” (容缺即时) conditions (e.g., tax-credit grade A/B, no arrears, no invoices issued), a clearance certificate is issued instantly. Companies holding equity, real estate or unpaid export rebates that have not been cleared will be refused. For companies adjudicated bankrupt, the administrator obtains an instant clearance certificate on presentation of the court’s termination ruling.
  • Market-regulator business-licence cancellation. After tax clearance, the liquidation group files for cancellation of the business licence with the registration authority, submitting the resolution, the confirmed liquidation report and other documents. Where handled through the “one-thing” channel, the tax, social-insurance, bank-account and (where relevant) customs cancellations are pushed synchronously.
  • Customs, social insurance, bank account, seals. A customs-registered FIE must cancel its customs filing; bank accounts are closed by application to the bank (information is shared automatically post-deregistration); and the official seals are cancelled.

FIE-specific checkpoints

Tax clearance and the clearance certificate. Unlike a routine change, exit triggers a full tax settlement. The 2025 Guidelines and the tax authority’s pre-clearance logic mean an FIE should reconcile all provisional tax payments, close out any export rebate suspense, cancel tax-control devices, and resolve transfer-pricing or related-party positions before filing. Obtaining the clearance certificate is the gateway to licence cancellation.

Foreign-exchange repatriation of liquidation proceeds. Returning the distributed residual assets to the offshore parent is a capital-account transaction. The FIE must complete the relevant FDI foreign-exchange登记/注销 with its bank, and the repatriation of liquidation dividends is settled under the prevailing cross-border capital rules. Directors and the finance team should line up the foreign-exchange documentation (liquidation report, tax clearance, audit report) early, because the bank’s capital-account review runs in parallel with, not after, the domestic deregistration steps.

Customs where applicable. An FIE that imported equipment under customs supervision, or that holds an export/import registration, must close those records before deregistration. Outstanding duties, supervised-equipment release conditions and bonded-status items must be squared away or the market regulator’s synchronous push to customs will stall.

Voluntary vs simplified vs bankruptcy

  • Voluntary liquidation (this article) suits a solvent FIE that has creditors, assets or employees to settle formally and that does not qualify for — or prefers not to use — the simplified route.
  • Simplified deregistration applies where there are no outstanding creditors (or they are fully settled), no equity freezes or pledges, and no pending investigations; it dispenses with the creditors’ announcement and can be completed in roughly 20 days of publicity plus a short filing window.
  • Bankruptcy liquidation applies where the company cannot pay its due debts and assets are insufficient — handled under the Enterprise Bankruptcy Law, with a court-appointed administrator and an instant tax clearance on presentation of the termination ruling.

Choosing the wrong track wastes time and can expose directors to liability. A solvent FIE with any contested creditor or unresolved tax position should default to the full voluntary-liquidation path.

Practical steps for the foreign parent

  1. Pass the dissolution resolution and appoint the liquidation group within the 15-day window; publish the dissolution cause within 10 days.
  2. Engage a PRC auditor early to prepare the balance sheet, asset inventory and liquidation report; engage tax advisers to pre-clear positions.
  3. Settle employees fully and document the social-insurance termination.
  4. Obtain the tax clearance certificate before filing for business-licence cancellation.
  5. Cancel customs, bank and seal records through the “one-thing” channel.
  6. Prepare foreign-exchange repatriation documents in parallel and complete the capital-account settlement to return residual proceeds offshore.

  • 批准解散及所选退出路径(自愿清算,而非简易注销或存续式转让);
  • 任命清算组(通常为董事,章程另有规定或股东会另选他人除外);

  1. 接管公司财产,编制资产负债表与财产清单;
  2. 通知并结清员工——工资、社保费、法定补偿金与法定救济须在向股东分配前全额支付;
  3. 结清税务与海关事项——包括企业所得税清算、海关报关单位备案注销(如公司为海关备案主体)、税控设备与发票缴销,以及欠缴关税、滞纳金或罚款的缴纳;
  4. 核实并与债权人了结债权债务;
  5. 处置资产,若以存续式转让出售业务,则安排交易以尽量降低双重征税;

Tax Deregistration and the Tax Clearance Certificate for FIEs Exiting China: Liquidation Income Filing, Instant Processing and the Commitment-Based Tolerance Channel

  • The tax clearance certificate (清税证明) is the real gatekeeper of an FIE exit: without it the market regulator will not deregister the business licence.
  • Two categories of taxpayer are exempt from the certificate altogether and may go straight to simplified deregistration.
  • Instant processing (即办注销) issues the clearance document on the spot for never-active taxpayers, court-ordered liquidation or bankruptcy cases, and qualifying consolidated branches.
  • The commitment-based tolerance channel (承诺制容缺办理) delivers the certificate before loose ends are closed, but breach puts the legal representative and finance head into Tax Credit Grade D.
  • Liquidation income CIT must be declared and paid before deregistration, and moving the registered domicile outside China — including to Hong Kong, Macao or the Taiwan region of China — is deemed a liquidating distribution.
  • A general deregistration is completed within 20 working days of acceptance, suspended for major evasion or false-invoicing suspicions and for special tax adjustments.
  • Around fifteen categories of outstanding items — from invoices in stock and tax-control equipment to land VAT liquidation and export refund status — must be settled before issuance.
  • Exiting FIEs should run a tax health check three to six months before the board resolves to dissolve, especially where cross-border related-party transactions exist.

Overview

Foreign investors plan entry in detail and exit hardly at all. Yet the slowest step in closing a China entity is rarely the shareholder resolution or the market-regulator filing — it is tax. The tax clearance certificate (清税证明) is a precondition for deregistering the business licence.

Why Tax Deregistration Is the Real Bottleneck

The market regulator will not accept a deregistration application without the certificate or an exemption, and the tax authority will not issue one while items remain open — and related-party transactions, payments abroad, export refund status and transfer-pricing files all generate such items.

Legal Basis

  • Tax Collection Administration Law, Article 16. A taxpayer whose registration particulars change applies for change or deregistration on the relevant certificates, before filing with the administration for industry and commerce.
  • Implementing Rules, Article 15. A taxpayer dissolved, bankrupt, revoked or otherwise terminating its tax obligation must first settle taxes, surcharges and fines and surrender invoices and tax documents; absent such registration, it files within 15 days of approval or announcement of termination.
  • Measures for the Administration of Tax Registration, Chapter V — STA Order No. 7, amended by Orders No. 36, No. 44 and No. 48.

Fast channels derive from 税总发〔2018〕149号, 税总发〔2019〕64号 and 国市监注发〔2021〕45号.

Three Processing Channels

Exemption. No certificate is needed where the taxpayer never handled any tax-related matter, or handled tax matters but never collected or used invoices (including invoices issued on its behalf), has no arrears, surcharges or fines and no other unresolved matters; such taxpayers apply directly for simplified deregistration.

Instant processing (即办注销). The clearance document issues on the spot for taxpayers that never handled a tax matter and apply voluntarily; taxpayers in court-ordered compulsory liquidation or declared bankrupt, applying on the terminating ruling; and branches whose VAT and CIT are paid on a consolidated basis by the head office without local prepayment or apportionment.

Commitment-based tolerance (承诺制容缺办理). With incomplete documents the certificate still issues immediately against an undertaking, if the taxpayer is not under tax inspection, has no arrears, surcharges or fines, has surrendered VAT special invoices and tax-control equipment, and is one of: Grade A or B; Grade M with a Grade A parent; an enterprise founded by provincially introduced talent or industry-leading talent recognised at or above provincial level; a fixed-amount individual household outside credit rating; or a taxpayer below the VAT threshold. Breach places the legal representative and finance head under Grade D management.

Liquidation Income CIT

Before deregistration an enterprise must declare liquidation income and pay CIT. The treatment applies where an enterprise ceases to be a going concern, terminates business, disposes of assets, settles debts and distributes residual property, covering liquidation income, liquidation income tax and dividend distributions. Transferring the place of registration outside China — including to Hong Kong, Macao or the Taiwan region of China — is deemed a liquidating distribution. A liquidation matters filing form (清算事项备案表) precedes the return, and where real property is held, land appreciation tax (LAT) liquidation comes first.

The Pre-Clearance Checklist

No certificate issues while items remain open: unresolved risk tasks (风险任务); audit and inspection cases; anti-counterfeiting tax-control risk items; tax-control qualifications and equipment not deregistered; invoices in stock; violation records; arrears, surcharges and fines; “abnormal” status (非正常); incomplete tax assessment (纳税评估); incomplete special tax adjustment (特别纳税调整); unfiled liquidation CIT return; incomplete LAT liquidation; export refund status not deregistered, claims settled first; same-city branches still operating; unfiled financial statements and unsurrendered cross-regional tax matter reports.

A general deregistration completes within 20 working days of acceptance, suspended where the taxpayer is suspected of tax evasion, fraudulent export refunds, refusal to pay tax or false invoicing, or where a special tax adjustment is required.

Online Filing Walkthrough

A pre-check runs against the file: if nothing is outstanding and instant processing applies, the certificate downloads at once; otherwise the taxpayer settles the items or, where eligible, signs the 《即办〈清税证明〉承诺书》 online, requiring real-name authentication of the legal representative. Real-name taxpayers need not produce the tax registration certificate or identity documents, and service halls run dedicated deregistration windows offering “single-window acceptance, internal routing, time-limited completion, counter delivery” (一窗受理、内部流转、限时办结、窗口出件). Taxpayers eligible for neither channel proceed on the 20-working-day track.

Representative Offices, Contractors and Revoked Licences

A foreign enterprise’s resident representative office whose term expires or which terminates early must also deregister for tax. A non-resident enterprise contracting projects or providing services in China files within 15 days before completing the project and leaving China. A revoked or withdrawn entity files within 15 days of that date.

Practical Timeline for an Exiting FIE

  • −6 to −3 months. Tax health check: status, credit grade, risk tasks, invoice stock; confirm A/B grade; assess special tax adjustment exposure.
  • −3 to −1 months. Surrender invoices, deregister tax-control equipment, close export refund status and same-city branches, clear any “abnormal” flag.
  • Month 0 to +3. Dissolution resolution and liquidation committee; dispose of assets, settle debts, file the liquidation matters form, complete LAT liquidation, pay liquidation CIT.
  • +3 to +4 months. File tax clearance, obtain the certificate, deregister the licence, close bank accounts, complete foreign-exchange formalities for the residual property remittance.

Common Pitfalls

  • Treating the certificate as a formality rather than a substantive clearance.
  • Signing the undertaking without capacity to honour it — Grade D attaches to individuals.
  • Omitting the liquidation matters filing form, or assuming redomiciliation avoids liquidation tax.
  • Leaving export refund status open, which blocks issuance.
  • An offshore legal representative unavailable for real-name authentication.
  • Underestimating the special tax adjustment suspension.

Foreign-invested enterprises in judicial bankruptcy: a China exit playbook for insolvent FIEs |

Overview: Two exits, one statute

Most foreign-invested enterprises (FIEs) leave China through the administrative route — simple or compulsory deregistration under the Company Law. But when an FIE cannot pay its debts as they fall due, and its assets are insufficient to cover all debts or it is clearly unable to pay, the Enterprise Bankruptcy Law of the PRC (adopted 27 August 2006, President Order No. 54, effective 1 June 2007) governs a judicial exit. This article explains that path for foreign shareholders, directors and cross-border creditors who face a distressed China subsidiary.

The legal basis

The operative statute is the Enterprise Bankruptcy Law of the PRC. Article 2 defines the trigger: an enterprise legal person that cannot satisfy due debts while assets are insufficient, or is clearly lacking the ability to pay, shall have its debts liquidated under the law; where it faces those circumstances or has a clear possibility of losing the ability to pay, it may undergo reorganization. The Supreme People’s Court has, in its 2026 work report, emphasized bankruptcy’s “exit” function — in 2025 courts applied bankruptcy liquidation to some 29,000 “zombie enterprises,” and pushed “enforcement–bankruptcy linkage” to free frozen assets.

Who may file, and where

Article 7 permits three filers: (1) the debtor (the FIE itself) may apply for reorganization, compromise or bankruptcy liquidation; (2) a creditor may apply for the debtor’s reorganization or bankruptcy liquidation where the debtor cannot pay due debts; (3) where an enterprise legal person has been dissolved but liquidation has not started or finished and assets are insufficient, the person with liquidation responsibility must apply for bankruptcy liquidation. Article 3 vests jurisdiction in the people’s court at the debtor’s domicile.

Extraterritorial reach and foreign judgments

Article 5 is critical for foreign parties: a bankruptcy commenced under the law takes effect against the debtor’s property outside China’s territory. Where a foreign court’s effective bankruptcy judgment or ruling concerns the debtor’s property within China and recognition/enforcement is sought, the people’s court examines it under China’s concluded or acceded international treaties, or on the reciprocity principle, recognizing and enforcing it where it violates no fundamental legal principle, breaches no state sovereignty, security or public interest, and harms no legitimate rights of domestic creditors.

The administrator: the engine of the case

The administrator (管理人) is appointed by the court and takes over the debtor’s property, investigates the business, recovers assets and runs the procedure. Under Article 15 the debtor and its officers must cooperate and submit books. The 13-agency opinion 发改财金规〔2021〕274号 (“Opinions on Promoting and Safeguarding Administrators’ Performance of Duties in Bankruptcy Proceedings to Further Optimize the Business Environment,” issued by the NDRC, the Supreme People’s Court, the Ministry of Finance, the tax authority, the market-supervision authority, the banking and insurance regulator and others on 25 February 2021) makes banks, registries and tax bureaus legally obliged to cooperate with the administrator’s takeover, investigation, management and disposal of assets.

What the 274 opinion unlocks for an FIE exit

The opinion directly attacks the “hard to exit” problem:

  • Status publicity: on acceptance, the National Bankruptcy Reorganization Case Information Network pushes bankruptcy status to the National Enterprise Credit Information Publicity System.
  • Simplified deregistration: the administrator may apply for cancellation with the court’s termination ruling; market-supervision departments may not add extra conditions.
  • Account takeover: with the acceptance ruling and administrator appointment, banks must let the administrator take over accounts, activate abnormal accounts, and query transaction and credit records.
  • Tax clearance: the tax bureau must supply invoices needed for the procedure and, on the strength of the court’s bankruptcy-termination ruling, issue a clearance certificate instantly and write off “dead debts” without demanding full recovery.
  • Credit repair: after a reorganization or compromise plan is approved, the administrator may apply to repair the enterprise’s tax credit.

Cross-border creditors: filing and recognition

Foreign creditors must file claims within the period announced by the court; late filing risks subordination. Where a foreign judgment or award concerns China-seated assets, recognition follows Article 5 (treaties/reciprocity). For arbitral awards, the New York Convention path covered in our separate article on enforcement remains available. Administrators are also empowered to pursue claw-back of fraudulent or preferential transfers to protect the creditor pool — a priority given the Supreme People’s Court’s 2025 typical cases against “escape of debts.”

Reorganization vs. liquidation: the early choice

An FIE with going-concern value should consider reorganization (Chapter VIII) or compromise (Chapter IX) before liquidation. The 274 opinion encourages financial institutions to vote efficiently and extends credit to reorganizing firms that meet industrial-policy direction, and supports bad-asset funds and private-equity participation. Foreign shareholders weighing a restart should engage the administrator early and model a viable plan.

Practical steps for foreign investors

  1. Read the distress signals: inability to pay due debts plus insufficient assets or clear inability to pay.
  2. Preserve books and seals; cooperate with any administrator to avoid penalties under Article 15.
  3. Engage counsel on filing, claim submission, and, if a creditor, timely proof of debt.
  4. Plan tax clearance with the administrator using the 274 opinion’s instant-clearance rule.
  5. Decide reorganization vs. liquidation before value erodes.
  6. Map cross-border assets and, where relevant, seek recognition of foreign proceedings under Article 5.

  • The new Company Law (effective 1 July 2024) adds two exit tools: simplified deregistration (Article 240) and compulsory deregistration (Article 241).
  • Simplified deregistration is for debt-free companies: if no debts arose or all debts are cleared, all shareholders may promise and deregister through a simplified procedure via the National Enterprise Credit Information Publicity System, with a public notice of at least 20 days.
  • False shareholder promises under simplified deregistration create joint-and-several liability for pre-deregistration debts — the shortcut is not a shield.
  • Compulsory deregistration targets “zombie” companies: a company revoked, closed or annulled for three full years that still has not applied for deregistration may be compulsorily deregistered by the registry after a public notice of at least 60 days.
  • The Implementing Measures for Compulsory Deregistration (SAMR Order No. 105, effective 10 October 2025) operationalise Article 241: 90-day batch notice, 7-working-day formal review of objections, and a three-year re-trigger window.
  • Compulsory deregistration does NOT extinguish liability: the original shareholders’ and liquidation obligors’ responsibilities remain unaffected after the company is struck off.
  • Both tools are preceded by dissolution — FIEs should also settle FX closure, tax deregistration and Customs/licence cancellations before the registry step.

Simplified and Compulsory Deregistration under China’s New Company Law: an exit playbook for FIEs |

Overview

Exiting China can be as important as entering it. Under the former regime, deregistration was slow and paperwork-heavy, and many foreign-invested enterprises (FIEs) that wound down operations simply let their licences lapse — becoming “zombie” companies that clogged the registry and exposed shareholders to lingering liability. The new Company Law, effective 1 July 2024, introduces two purpose-built exit mechanisms: simplified deregistration (Article 240) for clean, debt-free companies, and compulsory deregistration (Article 241) for entities that have been revoked but never closed. The State Administration for Market Regulation (SAMR) then issued the Implementing Measures for Compulsory Deregistration (Order No. 105, effective 10 October 2025) to operationalise the compulsory route. This article explains both, with official sources. It is general information, not legal advice.

Why two new mechanisms

The 2012–2013 tightening of dispatch rules and the 2013 company-registration reform were about market entry; the 2024 Company Law pays unusual attention to orderly exit. Ordinary deregistration requires forming a liquidation group, a creditor-notice period, and a longer publicity period — appropriate but cumbersome for a company with no debts. Compulsory deregistration addresses the opposite problem: companies that were revoked, closed or annulled but whose shareholders never filed for closure, leaving them “alive” on paper for years.

Simplified deregistration (Article 240)

A company that, during its existence, incurred no debts or has repaid all debts may, upon the commitment of all shareholders, apply for deregistration through the simplified procedure. Excluded are listed joint-stock companies. The steps:

  1. The company must not have outstanding items such as unpaid liquidation expenses, employee wages, social-insurance premiums, statutory compensation, or unpaid taxes (with late fees/penalties).
  2. The application is publicised through the National Enterprise Credit Information Publicity System for a notice period of no less than 20 days.
  3. If no objection arises after the notice period, the company may apply to the registry for deregistration within 20 days.

The trade-off is liability: if shareholders’ commitment under Article 240(1) is untrue, they bear joint and several liability for debts existing before deregistration. The simplified route therefore suits genuinely clean exits — a dormant FIE with no creditors, no tax arrears and no pending licences.

Compulsory deregistration (Article 241)

Where a company has been revoked, ordered to close, or annulled, and three full years have passed without it applying for deregistration, the registry may publicise it through the National Enterprise Credit Information Publicity System with a notice period of no less than 60 days. If no objection arises, the registry may deregister it. Critically, compulsory deregistration does not affect the liability of the original shareholders and liquidation obligors.

This is a passive, public-law act by the registry — distinct from the shareholder-driven simplified route. It is limited to the “revoked/closed/annulled” dissolution causes; other dissolution events (expiry of term, resolution, merger/spin-off, serious management deadlock) go through ordinary or simplified deregistration, not compulsory.

SAMR Order No. 105 — how compulsory deregistration works in practice

Effective 10 October 2025, the Implementing Measures for Compulsory Deregistration detail Article 241:

  • Scope. A company revoked/closed/annulled for three years that has not applied for deregistration may be compulsorily deregistered under Article 241 and the State Council’s implementation provisions. Sectors requiring pre-deregistration approval are excluded.
  • Notice. The registry publicises via the publicity system, recorded under the company, with a 90-day batch-capable notice stating name, domicile, legal representative, unified social credit code, the statutory ground, legal basis, proposed action, objection method and dates.
  • Objection. During the notice, related departments, creditors and other interested parties may object via the system or in writing, providing materials showing a creditor or interest relationship. The registry conducts a formal review within 7 working days; if the objection is sustained, the procedure terminates; if not, it notifies the objector in writing with reasons.
  • Decision and delivery. If the notice expires with no (or unsuccessful) objection, the registry issues a compulsory-deregistration decision within 10 working days and serves it by the Civil Procedure Law’s service rules.
  • Re-trigger. If the procedure is terminated, or the company is restored and still does not apply within three years, the registry may restart the compulsory process.

Practical cautions for FIEs

  • Compulsory deregistration may occur without prior liquidation, so shareholders’ and liquidation obligors’ duties (including any unpaid tax, social insurance or creditor claims) survive the strike-off. Do not assume “the registry closed it, so I’m free.”
  • Restore and cure. The measures contemplate objection and restoration mechanisms; an FIE that is wrongly flagged should object promptly with evidence during the 90-day window.
  • Settle the front-end first. Before the registry step, close FX (SAFE) registration, tax deregistration, Customs documents and industry licences; a clean simplified deregistration depends on having no outstanding tax/social items.
  • Don’t let it lapse. An FIE that stops operating should choose a proactive route (ordinary or simplified) rather than wait to be compulsorily struck, which leaves liability intact and may harm the shareholders’ credit record.

Cross-agency coordination

Market regulators coordinate with tax, human-resources/social-security and the people’s courts. For FIEs, the deregistration chain typically runs: board/shareholder resolution → liquidation (ordinary route) or shareholder commitment (simplified) → tax clearance and deregistration → SAFE FX closure → industry-licence cancellation → market-registry deregistration (ordinary/simplified) or compulsory strike. Mapping this chain prevents a stranded step.

What this means for foreign investors and FIEs

  • Prefer proactive exit. Choose ordinary or simplified deregistration rather than risking compulsory strike with surviving liability.
  • Use simplified deregistration only when truly debt-free — and ensure the shareholder commitment is accurate.
  • Watch the 90-day compulsory notice if your FIE was revoked/closed and never closed; object with evidence if wrongly listed.
  • Clear tax, FX, Customs and licences before the registry step.
  • Confirm specifics with qualified PRC corporate counsel before initiating any deregistration.

What to do next

  1. Decide the exit route (ordinary / simplified / anticipate compulsory) based on debt and licence status.
  2. For simplified: confirm zero outstanding tax, wages, social insurance and licences; obtain all-shareholder commitment.
  3. Complete tax deregistration and SAFE FX closure ahead of the registry filing.
  4. Publicise via the National Enterprise Credit Information Publicity System and monitor for objections.
  5. If facing compulsory deregistration, review the 90-day notice and file a timely, evidenced objection if appropriate.
  6. Brief shareholders that liability survives compulsory strike; plan any curing payments.

  1. 不存在未结清的清偿费用、职工工资、社会保险费用、法定补偿金、应缴纳税款(滞纳金、罚款)等;
  2. 通过国家企业信用信息公示系统公告,不少于 20 日;

  • 优先主动退出。 选择普通或简易注销,避免责任存续的强制注销;
  • 仅当真正无债时用简易注销,且确保股东承诺真实;
  • 关注 90 日强制公告,若 FIE 曾被吊销/关闭却未注销,被错误列入应及时举证异议;
  • 注销前结清税务、外汇、海关与许可;

  1. 依债务与许可状态决定退出路径(普通/简易/预期强制);
  2. 简易注销:确认无欠税、欠薪、社保与许可,取得全体股东承诺;
  3. 在登记申报前完成税务注销与外汇注销;
  4. 通过国家企业信用信息公示系统公告并监控异议;
  5. 若面临强制注销,复核 90 日公告,必要时及时、有据异议;

Dissolution & Deregistration of a WFOE |

Overview

Closing a WFOE is materially harder than opening one. Liquidation and deregistration require settling creditors, employees, taxes, and the foreign-exchange position before the legal person ceases to exist. China offers two tracks — standard (liquidation) deregistration and simplified deregistration (简易注销) — plus a “one-window” cancellation that links market-regulation, tax, social-insurance, and customs systems. This note maps the voluntary liquidation steps, explains who qualifies for the simplified route, stresses the tax-clearance gate, and lists the pitfalls that turn a tidy exit into a multi-month ordeal.

Standard route: voluntary liquidation

The board (or shareholder) resolves to dissolve and forms a liquidation group; within the period required by the Company Law the company must publish a creditors’ notice (typically 45 days) via the National Enterprise Credit Information Publicity System. The liquidation group settles debts, pays employees (wages, social insurance, statutory compensation), settles taxes, and disposes of assets; a liquidation report is adopted by the shareholders. Only after these are done is the company filed for deregistration with the market-regulation authority. For an FIE, the foreign-investment deregistration is pushed automatically when the market-registry record is cancelled, and the remaining capital (after debts and tax) can be repatriated under the forex rules.

Simplified deregistration (简易注销)

Simplified deregistration is available to companies that have not commenced business after obtaining the licence, or that have no outstanding creditor claims (or have fully cleared them), and that carry no unpaid tax, penalties, or social-insurance liabilities. The company publishes a simplified-liquidation commitment on the publicity system for 20 days; if no objection is raised, it may apply for deregistration within 20 days after the announcement ends (some localities extend the outer limit to 50 days). The simplified route waives the liquidation report, the creditor-publication newspaper proof, and the tax-clearance certificate in many cases. Crucially, FIEs subject to the negative list’s special admission measures are excluded from the simplified route; so are entities under abnormal status, with frozen equity, or under investigation.

The tax-clearance gate

Tax clearance (清税) is the decisive bottleneck for almost every exit. The tax authority checks for outstanding returns, unpaid tax, un-cancelled invoices, and undischarged withholding obligations; only then issues the tax-clearance certificate (or, under the multi-system “one-window” reform, shares clearance electronically so the registry proceeds). Under SAT Announcement 2022 No. 12, individual-industrial-and-commercial households meeting conditions may skip the clearance certificate, but companies generally still need it. Settle all CIT, VAT, IIT withholding, and deregister the tax-controlled equipment and invoices before applying. Unresolved related-party or transfer-pricing issues from prior years will surface here.

Foreign-exchange and capital repatriation

Before the legal person is extinguished, the WFOE must close its capital and settlement accounts and repatriate residual funds. The bank handles the FDI deregistration (境内直接投资基本信息登记注销) and the outbound remittance of after-tax, after-debt capital. Retained earnings, liquidation proceeds, and recovered capital can be remitted out, subject to verification that tax was paid. Plan this before the entity vanishes — once deregistered, re-opening accounts for a late repatriation is painful.

The repatriation step has its own ordering that is easy to get wrong. The FDI deregistration and the outward remittance can only be processed once the market-registry cancellation is effective and tax clearance is evidenced, because the bank must confirm the entity’s legal status and that the funds are post-tax. Concretely, the WFOE (or its liquidator) presents the deregistration proof, the tax-clearance confirmation, the liquidation report showing the capital distribution, and the bank’s FDI cancellation form; the bank then remits the verified residual. Trying to move money out before these proofs exist is the single most common reason late repatriation fails — and once the legal person is extinguished, re-opening a closed account to fix it is slow and uncertain.

A further point concerns what may lawfully leave. Only after-tax, after-debt capital may be repatriated: unpaid tax, un-settled employee claims, or undischarged creditor amounts must stay behind. Retained earnings and liquidation proceeds are outbound, but any amount the tax authority has flagged for adjustment (for example a disallowed related-party expense from prior years) is frozen until resolved. Plan the repatriation amount conservatively, reserving a buffer for contingencies, rather than remitting the full book residual on day one and discovering a later tax query leaves the entity unable to respond.

Common pitfalls

  • Starting deregistration before tax clearance is complete — the registry will bounce it or the tax hold will block it.
  • Forgetting to cancel the tax-controlled invoice system and any special licences (customs, foreign-contractor records).
  • Leaving employees or social-insurance arrears — these block simplified deregistration and create personal liability for directors.
  • Misusing simplified deregistration when the FIE is negative-list-covered or has hidden debts — a false commitment leads to revocation of the simplified result and penalties.
  • Failing to repatriate capital before deregistration, then discovering leftover funds cannot move.
  • Dormant “zombie” companies that never filed annual reports — these face credit penalties and, under the new Company Law’s forced-deregistration mechanism, can be struck off by the registry after three years of qualifying inactivity.

Practical example

Scenario A — simplified route: a small trading WFOE ceased operations in 2025 with no remaining creditors, no tax arrears, and no social-insurance debt. It is not in an abnormal status and is not negative-list-covered, so it qualifies for simplified deregistration. The WFOE publishes the investors’ commitment on the National Enterprise Credit Information Publicity System; the 20-day publicity runs, no objection is filed, and within 20 days of the announcement ending it submits the deregistration through the one-window system. Because it is a clean exit, the liquidation report, newspaper creditor proof, and tax-clearance certificate are waived, and the whole process closes in roughly six weeks.

Scenario B — standard route: a manufacturing WFOE with outstanding supplier payables, employees, and a customs record cannot use the simplified route. Its shareholder resolves to dissolve and forms a liquidation group, which publishes the 45-day creditors’ notice on the publicity system. During those 45 days the group settles supplier debts, pays statutory severance and social insurance, cancels the customs record and tax-controlled equipment, and files final CIT/VAT returns to obtain tax clearance. Only after the liquidation report is adopted and tax clearance shared electronically does the market-registry accept deregistration. The bank then handles FDI deregistration and repatriates the after-tax residual — retained earnings plus recovered capital — to the foreign parent.

The contrast is the lesson: attempting simplified deregistration in Scenario B would be a false commitment, exposing directors to revocation of the result and penalties, whereas a clean, debt-free entity that over-engineers a full liquidation only wastes time. Match the track to the facts.

What to do next

  • Decide early whether you qualify for simplified deregistration; if not, run the full liquidation with the 45-day creditor notice.
  • Clear all tax: file final returns, cancel invoices/equipment, settle IIT withholding, and obtain tax clearance first.
  • Cancel every licence and record (customs, forex, special permits) in parallel with the market-registry filing.
  • Repatriate residual after-tax capital through the bank before the entity is extinguished.
  • Keep the liquidation report and publicity evidence on file in case of later inquiry.

Five-year capital subscription under the new Company Law

  • The revised Company Law requires LLC shareholders to fully pay subscribed capital within five years of incorporation.
  • Existing companies incorporated before 1 July 2024 must adjust over-long subscription periods by 30 June 2027. 2024
  • Foreign-invested enterprises are subject to the same five-year capital subscription rule.
  • Failure to comply triggers an order to rectify, with serious cases leading to business-licence revocation.
  • The rule promotes genuine capital commitment and protects creditors of FIEs.
  • The five-year period runs from the date of incorporation stated on the business licence, not from the law’s effective date.
  • A company’s articles of association must state the subscription amount, method, and deadline for each shareholder.

Five-year capital subscription under the new Company Law |

The 2023 revision of the PRC Company Law (promulgated 29 December 2023, effective 1 July 2024) introduced one of the most consequential changes to company formation in over a decade: a hard five-year deadline for shareholders of limited liability companies (LLCs) to fully pay in their subscribed registered capital. For foreign investors setting up or maintaining a wholly foreign-owned enterprise (WFOE) or other LLC-form vehicle in China, this change reshapes how much capital must be committed, when, and with what legal exposure. This article explains the rule, the transitional relief for legacy companies, how it applies to foreign-invested enterprises (FIEs), the enforcement consequences, and practical steps for compliance.

Overview

Under the prior regime (the 2013 amendment), China adopted a purely subscription-based system with no statutory time limit on capital contribution. Founders could set nominal registered capital of, say, RMB 100 million with a 30-year or even 50-year subscription period. While flexible, this led to widespread “empty” registered capital, weak creditor protection, and uncertainty in enforcement and litigation. The 2023 revision reverses course: for LLCs, the subscription period is now capped at five years from the date of incorporation.

The five-year rule is set out in Article 47 of the revised Company Law. It applies to LLCs. Joint stock limited companies continue to be governed by separate provisions (with a general requirement that promoters’ subscriptions be paid in full before incorporation for the initial public offering scenario, and a separate transition for existing joint stock companies). This article focuses on LLCs, which is the dominant form used by foreign investors (the WFOE is an LLC).

Why this matters for foreign investors: a WFOE is a limited liability company under Chinese law. The parent company’s capital commitment to the WFOE is no longer an open-ended promise. The PRC subsidiary must have a realistic, fully-funded capital plan within five years, and the articles of association must reflect it.

The core rule: Article 47

Article 47 of the Company Law (2023) provides that the total amount of capital subscribed by all shareholders of a limited liability company shall be contributed in full by the shareholders within five years from the date the company is incorporated, as stipulated in the company’s articles of association.

Key points:

  • Five-year cap. The articles of association may not set a subscription period longer than five years for LLC shareholders. The deadline is measured from the company’s date of incorporation (the date on the business licence), not from the effective date of the new law.
  • Per-shareholder clarity. The articles must specify each shareholder’s subscribed amount, contribution method (cash, in-kind, intellectual property, land-use rights, etc.), and the time by which it is paid.
  • No minimum registered capital for most sectors. The five-year rule is about the *timing* of payment, not the amount. China has no general minimum registered capital for LLCs (special regulated sectors such as banking, insurance, and certain FIE-restricted lines are exceptions). The investor still chooses the amount, but must fund it within five years.
  • One-time or instalment. Payment may be made in instalments within the five-year window; there is no requirement of a single up-front injection, but the final instalment must clear before the five years lapse.

How the five years are counted

For a company incorporated on, for example, 1 September 2024, the latest permissible final payment date is 31 August 2029, as recorded in (and consistent with) the articles of association. The State Administration for Market Regulation (SAMR) and local market regulation bureaus review the articles at filing; a stated period exceeding five years will be rejected or flagged for correction.

Transitional relief for legacy companies

A central concern when the law was enacted was the large stock of companies incorporated before 1 July 2024 with very long subscription periods (10, 20, 30, or even 50 years). Forcing immediate compliance would have been disruptive. To manage this, SAMR issued the 《注册资本登记管理制度的规定》 (Provisions on the Administration of Registered Capital Registration), which sets a transitional period.

The transitional rule:

  • LLCs incorporated before 1 July 2024 whose remaining subscription period (as of the law’s effective date) exceeds five years must adjust their articles so that the subscription period from the date of incorporation does not exceed five years, with the adjustment completed by 30 June 2027.
  • In practice, a legacy company whose original articles set a 20-year period must amend its articles by 30 June 2027 to bring the contribution deadline within the five-year cap (measured appropriately from incorporation, with the adjustment mechanism set out in the SAMR provisions).
  • Companies whose original subscription period already fell within five years, or had already fully paid, are not required to adjust.

This three-year window (1 July 2024 to 30 June 2027) gives existing FIEs and domestic companies time to re-plan capital, renegotiate shareholder funding, or (where appropriate) reduce registered capital through a lawful capital reduction procedure.

Capital reduction as a compliance tool

Where a legacy FIE cannot realistically fund the originally subscribed amount within the five-year cap, the lawful route is a capital reduction (减资). A reduction requires:

  1. A shareholder resolution (typically two-thirds or more of voting rights, per the articles and the law).
  2. A balance-sheet and asset valuation, and protection of creditors.
  3. A public notice to creditors (typically via the National Enterprise Credit Information Publication System) and individual notice to known creditors, who may demand repayment or security.
  4. Amendment of the articles and re-registration with the market regulation authority.

Capital reduction is a routine but procedurally careful step; foreign investors should budget lead time and legal counsel.

Application to foreign-invested enterprises

Foreign-invested enterprises — including WFOEs, Sino-foreign equity joint ventures (EJVs), and cooperative joint ventures established as LLCs — are subject to the same five-year capital subscription rule. The FIE regime was largely unified with the domestic company regime after the 2020 Foreign Investment Law abolished the separate old FIE statutes and required existing FIEs to restructure into standard company forms. There is no special longer period or exemption for foreign shareholders.

Practical implications:

  • New WFOEs. When incorporating a new WFOE after 1 July 2024, the articles must set a five-year (or shorter) subscription period. The foreign parent should commit to a registered capital amount it can actually remit within five years, mindful of foreign-exchange (SAFE) inward-remittance procedures for capital contributions.
  • Legacy FIEs. FIEs incorporated before 1 July 2024 with long subscription periods fall under the SAMR transitional rule and must adjust by 30 June 2027.
  • Currency and remittance. Capital contributions by foreign shareholders are typically in foreign currency, converted via the registered capital account and the SAFE registration process. The five-year clock runs regardless of FX timing; plan remittances early.
  • No more “no-capital” WFOE. The era of setting an arbitrarily large registered capital with a decades-long horizon purely to impress partners or meet tender thresholds is over. Commit to a fundable number.

Enforcement and penalties

The revised Company Law and the SAMR provisions establish a graduated enforcement ladder:

  • Rectification order. Where a company or shareholder fails to pay subscribed capital on time, or the articles violate the five-year cap, the market regulation authority may order rectification within a prescribed period.
  • Creditor and derivative remedies. Unpaid capital exposes shareholders to liability toward the company and, in insolvency or piercing scenarios, toward creditors. Late or absent contributions can be claimed by the company or, derivatively, by other shareholders.
  • Serious cases — licence revocation. Where the violation is serious (e.g., material failure to rectify, or systemic non-payment that undermines the company’s basis), the authority may revoke the business licence. Loss of the licence effectively ends the company’s operating legitimacy and triggers liquidation/ deregistration steps.
  • Credit publicity. Violations are recorded on the National Enterprise Credit Information Publication System, affecting the company’s credit standing, bidding eligibility, and financing.

For FIEs, these consequences carry additional weight: a revoked or non-compliant licence can jeopardise work permits for expatriate staff, bank account operations, and the ability to repatriate profits later.

Policy rationale

The five-year rule is part of a broader recalibration of the company formation regime. The 2013 “zero-capital, no-time-limit” reform boosted ease of starting a business but created a layer of companies with nominal, un-funded capital — a source of commercial disputes, enforcement difficulty, and creditor risk. The 2023 revision restores a credible capital commitment norm while keeping formation flexible (no across-the-board minimum). For the foreign investment landscape, the rule signals that China expects genuine, traceable capital backing for operating entities, aligning with the broader push for high-quality, substantive investment rather than shell or passive holding structures without real funding.

Practical compliance checklist

  1. Set a fundable registered capital. Choose an amount the parent can actually remit within five years, considering FX and group cash-flow.
  2. Draft articles within the cap. Ensure the articles state a subscription period of five years or less from incorporation, with per-shareholder amounts and methods.
  3. Plan the remittance schedule. Map instalments against the five-year deadline; start SAFE registration early for foreign-currency contributions.
  4. Audit legacy entities. If your FIE was incorporated before 1 July 2024 with a long period, model the adjustment and aim to complete article amendments well before 30 June 2027.
  5. Use capital reduction if needed. Where funding the original amount is unrealistic, run a lawful reduction with creditor notice.
  6. Monitor credit records. Confirm filings on the National Enterprise Credit Information Publication System are accurate to avoid publicity penalties.

  1. 股东决议(通常须经代表三分之二以上表决权的股东通过,依章程与法律规定);
  2. 编制资产负债表及财产清单,并保护债权人;
  3. 通过国家企业信用信息公示系统公告并通知已知债权人,债权人可要求清偿或提供担保;

Five-Year Capital Subscription Under the New Company Law: What FIEs Must Know | 新公司法下注册资本五年认缴:外资企业须知

Overview

China’s Company Law was substantially revised on 29 December 2023 and entered into force on 1 July 2024. The most consequential change for investors is the reintroduction of a mandatory paid-in timeline: limited liability companies (LLCs) must now bring all subscribed capital fully into the company within five years of incorporation. This article explains the rule, the transition arrangements for companies already in existence, the accelerated-contribution mechanism, and the specific points that foreign-invested enterprises (FIEs) need to manage when setting up or restructuring in China.

The five-year subscription rule

Under the revised Company Law, the total capital subscribed by all shareholders of a limited liability company must be paid in full within five years from the date of the company’s establishment, in accordance with the schedule set out in the company’s articles of association. In other words, the “subscription” of capital and its eventual “payment” are no longer open-ended. The five-year clock starts on the incorporation date recorded by the registration authority.

This represents a clear departure from the previous regime, which allowed companies to set very long—even decades-long—contribution periods. The new rule brings legal certainty to creditors about when capital will actually be available to the company, while still giving founders a defined window to fund the business rather than requiring immediate full payment at registration.

The articles of association remain the governing internal document: the specific installment dates and amounts are fixed there, but they must collectively fit within the five-year outer limit. Shareholders should therefore align their capital-raising and cash-flow plans with the timetable recorded in the articles.

Transition for legacy companies

Companies established before 1 July 2024—often called “legacy” or “existing” companies—are treated separately. Where a legacy company’s originally registered contribution period exceeds the new statutory maximum, that period must be adjusted. The State Council is tasked with prescribing how the remaining subscribed capital is brought within a five-year framework, and legacy companies may complete payment step by step during the transition window.

In practice, this means a pre-2024 company that previously committed to contributing capital over, for example, twenty years must bring its schedule into compliance with the five-year ceiling. The widely understood outer boundary is that legacy companies should complete payment no later than 30 June 2032 under the State Council’s transition framework, though companies should follow the specific provisions issued by the State Council rather than assuming any single fixed date.

The key compliance action for legacy companies is to review their current articles and registered contribution timeline, identify any period that exceeds the allowed limit, and amend the articles of association and registration accordingly within the transition period.

Accelerated contribution

A particularly important provision is the accelerated-contribution mechanism. Where a company is unable to satisfy its due debts, the company itself—or a creditor whose claim has matured—may require shareholders who have subscribed capital but have not yet reached their contribution deadline to pay that capital early. This is set out in Article 54 of the Company Law.

The practical effect is that the five-year schedule is not an absolute shield. If the company becomes unable to pay its debts as they fall due, the protection of a future contribution date can be pierced, and creditors can reach unpaid subscribed capital to satisfy claims. Investors should therefore treat subscribed-but-unpaid capital as real exposure once the company is operating and incurring obligations, not merely a distant administrative commitment.

FIE specifics

Foreign-invested enterprises are governed first by the Foreign Investment Law, which took effect on 1 January 2020. That law replaced the old case-by-case approval model for foreign investment with an information-reporting system: foreign investors submit information reports through the commerce authorities’ system rather than obtaining individual project approvals for each investment.

Crucially, the form of organization matters. A foreign-invested limited liability company is still a limited liability company under the Company Law, and therefore the five-year subscription rule applies to it in the same way as to a domestic LLC. The shift to information reporting does not exempt an FIE LLC from the capital-timeline requirements.

Registration of market entities, including FIEs, is handled by the State Administration for Market Regulation (SAMR) and its local counterparts, under the 2026 edition of the registration document standards. At the same time, foreign-investment information reporting is submitted through the system operated by the commerce authorities. FIEs must therefore coordinate two workstreams: the SAMR registration (which records the company, its capital, and its contribution schedule) and the commerce-side information report (which captures the foreign-investment particulars).

Practical steps

For a new FIE LLC, the practical sequence is as follows. First, determine the total registered capital and a realistic five-year funding plan, since the full amount must be paid within five years of incorporation. Second, draft the articles of association so that the installment schedule fits inside that five-year window. Third, complete SAMR registration under the current registration document standards, ensuring the contribution period is recorded correctly. Fourth, file the foreign-investment information report through the commerce authorities’ system. Fifth, fund the company according to the articles, and keep evidence of remittance and verification.

For a legacy FIE, the priority is to review the existing contribution timeline against the five-year ceiling, adopt the State Council transition framework, amend the articles and registration if the old period exceeds the limit, and continue contributing step by step during the transition period. Throughout, monitor the company’s solvency, because the accelerated-contribution rule means unpaid subscribed capital can be called early if debts go unmet.

Shareholders who fail to contribute on time bear liability for breach of contract toward the company and the other shareholders, and the registration authority may order correction or impose a fine. Timely, documented contribution is therefore both a compliance and a risk-management imperative.
