Paying for Everything in China: A Practical Guide for Foreign Visitors and Residents

  • China is a mobile-first payment economy — mobile-payment penetration is around 86%, the highest in the world — so cash and foreign cards, while accepted, are no longer the default.

Paying for Everything in China: A Practical Guide for Foreign Visitors and Residents |

Overview

For a newcomer, the single most disorienting part of daily life in China is not the language — it is paying for things. A country that leapfrogged plastic cards straight to QR codes can feel closed to anyone holding only a foreign Visa and a wallet of banknotes. The good news: since late 2023, and formalised in 2024, China has run a coordinated national campaign to make payment “just work” for foreigners, led by the People’s Bank of China (PBOC) under a State Council General Office directive. This article maps the whole payment landscape — mobile wallets, foreign cards, cash, bank accounts, tax refunds and e-CNY — and tells you exactly what to set up before and after you arrive, whether you are here for a week or a decade.

The policy backdrop

The reference document is the State Council General Office Opinions on Further Optimising Payment Services and Improving Payment Convenience (国办发〔2024〕19号), issued in 2024. Its design principle — repeated by PBOC leadership — is “large amounts by card, small amounts by QR code, cash as the backstop” (大额刷卡、小额扫码、现金兜底). The PBOC set up a dedicated inter-agency working mechanism and has since driven measurable expansion: foreign-card acceptance at merchants, “bind-a-foreign-card” and “use-your-home-wallet” mobile flows, ATM foreign-card withdrawal upgrades, RMB cash-acceptance enforcement, and simplified bank-account opening. Local pilots (Shanghai, Shenzhen Qianhai, Dalian and others) have layered on city-level measures such as multilingual payment guides, one-stop inbound-service apps and instant tax refunds around major events.

Route 1 — Mobile payment (the default)

Two mechanisms now open China’s QR-code economy to foreigners:

  • “Bind a foreign card” (外卡内绑): Inside Alipay (支付宝) or Weixin Pay (微信支付), a visitor can register with a passport, link an overseas Visa, Mastercard, JCB, American Express or Discover/Diners card, and pay by scanning QR codes. Below a set threshold, small transactions can go through without repeated identity verification.
  • “Use your home wallet” (外包内用): Selected overseas e-wallets can be used directly for in-China QR payments. Coverage has grown to dozens of overseas wallets/wallet-networks across many countries and regions (for example PayPal and various Asian e-wallets), so travellers can sometimes pay with the app they already use at home.

Practical notes: transaction and daily/annual caps apply; small foreign-exchange or service fees may be charged by the wallet; a stable data connection (roaming, eSIM, or a local SIM) is essential because everything is app-based.

Route 2 — Foreign bank cards

Card acceptance is expanding fastest exactly where visitors need it: airports, ports, railway stations, hotels, large shopping malls and designated key business districts. The PBOC has directed banks and payment institutions to convert priority merchants to foreign-card POS and to upgrade ATMs so more machines dispense cash to overseas cards. Real-world usage is rising steeply — major cities report foreign-card transaction volumes growing tens of percent year on year. Still, acceptance is not universal: expect it at “big and formal” venues, not necessarily at a neighbourhood noodle shop.

Route 3 — Cash (the backstop that cannot be refused)

Refusing RMB cash is unlawful in China. The PBOC runs recurring “cash-rejection” enforcement campaigns and requires merchants to accept banknotes. Improvements include ATM foreign-card withdrawal, more foreign-currency exchange points (airports, key hotels, some malls), and small-denomination “change packs” (零钱包). Advice: always carry some small notes (¥1, ¥5, ¥10, ¥20) for taxis, wet markets, small vendors and rural areas where mobile and card coverage is thinner.

For residents: open a Chinese bank account

If you hold a residence permit (work, study, family), opening a Chinese bank account unlocks the full stack: real-name Alipay/Weixin, salary receipt, utilities, rent, and higher payment limits. The PBOC has pushed banks to implement tiered/graded account management and to simplify onboarding for foreigners. Bring your passport and residence permit; some banks ask for proof of employment, address or a Chinese mobile number. Once the account is real-name linked to a mobile wallet, day-to-day life becomes identical to a local’s.

Tax refunds for shoppers

Departure VAT refund for overseas tourists has been widened and accelerated in 2026. Beyond the traditional “refund on departure” at the airport, cities have rolled out instant refund (即买即退 / “buy-and-refund-now”) and one-tap refund (一键退税) at qualifying stores, with some localities cutting the refund experience to under two minutes. Look for “Tax Free” signage, keep the goods and invoices, and confirm eligibility (minimum spend, unused goods, departure window) before you buy.

Emerging: digital RMB (e-CNY)

Digital RMB (数字人民币, e-CNY) hard wallets are an emerging option at pilots — for example, tapping through metro turnstiles or paying at exhibitions — and can be used without a Chinese bank account. Coverage is still uneven and event-driven, but for short visits during major conferences or in pilot districts, an e-CNY hard wallet can be a convenient, account-free fallback.

What to do next

  • Before you fly: notify your home bank of China travel; install Alipay and/or Weixin and complete passport registration; check whether your home e-wallet supports “外包内用”.
  • On arrival: bind a foreign card in the wallet; withdraw some RMB cash at an airport ATM or exchange counter; keep small notes handy.
  • If staying long-term: open a Chinese bank account with passport + residence permit; convert your wallet to a real-name account for full limits.
  • When shopping big: use “Tax Free” stores and ask about instant/one-tap refund; keep invoices and goods for departure checks.
  • Always: never assume a foreign card works everywhere — keep cash as the backstop; if any merchant refuses RMB cash, that is unlawful.

Healthcare Access & Medical Insurance for Expatriates in China |

Overview

For a foreign national arriving in China — whether as an executive, an engineer on assignment, or a trailing spouse — healthcare is usually the first practical worry after housing. China’s system is different from many home countries: it is a statutory social-insurance backbone plus a fast-growing commercial-insurance market, layered over a hospital network that mixes public tertiary hospitals, international departments and private clinics. This article maps how an expatriate actually gets care and pays for it, what the law requires of employers, and which 2026 measures make daily life easier. It pairs naturally with our HR (social insurance), visas (residence) and living-guide articles in this library.

Who is covered — the statutory basis

The backbone is the Social Insurance Law of the PRC and the Interim Measures for Foreigners Employed in China to Participate in Social Insurance (Ministry of Human Resources and Social Security Order No. 16, amended 2024). Under Article 3, employers registered in China that hire foreigners must enroll them in five insurances: basic old-age, basic medical, work injury, unemployment and maternity — with premiums shared by employer and employee. Article 4 requires registration within 30 days of the work permit. Foreigners dispatched from an overseas employer to a China branch are covered the same way by the in-China work unit.

For unemployed permanent-residence holders, the Notice on Treatment Enjoyed by Foreigners with Permanent Residence in China (MOHRSS Fa [2012] No. 53) lets them use the Permanent Resident ID as a valid ID to enrol in social insurance; those not employed but meeting local conditions may join urban-rural resident basic medical insurance. Foreign students enrol under school-location rules.

How to enroll

  • Employed foreigners: the employer handles it. After the work permit and residence permit are issued, HR opens social-insurance registration at the local social-insurance/medical-security service hall or online portal; the employee then receives a 医保电子凭证 (electronic medical-insurance credential) usable via the 国家医保服务平台 app.
  • Unemployed Green-Card holders: apply at the local medical-security agency with the Permanent Resident ID; choose resident basic medical insurance.
  • Newborns/students: foreign newborns born in China and foreign students may enrol in resident basic medical insurance per local rules — several cities (e.g. Jiangmen) have publicly reported cases of foreign families reimbursed through the system.

Commercial & private insurance

Because public coverage alone may not meet expatriate expectations (waiting times, language, network hospitals), most foreign employees and their families also hold commercial international health insurance. Products range from 惠民保 and 百万医疗险 to mid- and high-end medical insurance (高端医疗险). High-end plans — often the default choice for expats — typically cover private hospitals and international departments of public hospitals, offer direct billing (直付), multilingual support, 24/7 service and emergency medical evacuation. Many carriers (incl. Allianz, AIA, Cigna & CMB, Generali China) underwrite foreigners; most require a minimum stay (commonly six months+) and passport-based application. A few city 惠民保 schemes now admit foreigners who have joined social insurance.

Using the healthcare system day-to-day

  • Public tertiary hospitals: book via 公众号/APP or on-site; bring passport + residence permit + 医保电子凭证. Expect Chinese-language service; international departments (国际医疗部) exist in major cities.
  • Private & international clinics: common in Beijing, Shanghai, Guangzhou, Shenzhen; usually English-friendly, higher cost, often direct-billed by insurer.
  • Emergency: dial 120 for ambulance. Keep a note of blood type, allergies and your insurer’s emergency line.
  • Cross-border (Greater Bay Area): several insurers now offer GBA cross-border medical plans linking mainland, Hong Kong and Macao networks.

Recent 2026 facilitation measures

  • Guide for Foreign Business Persons Working and Living in China (2026 edition) — issued 2026-07-10 and hosted on the State Administration of Foreign Exchange portal, this multi-agency compendium covers social insurance, individual income tax, work/residence permits, accommodation registration and banking in one place. It is the single most useful recent official onboarding document for newcomers.
  • Online accommodation registration pilot — NIA 2026 No.1 Notice (effective 2026-03-20) lets foreigners (or their hosts) complete accommodation registration online via the NIA website or the 移民局 12367 app/WeChat/AliPay mini-programs in Hebei, Liaoning, Zhejiang, Hubei, Guangxi, Chongqing and Sichuan, with national rollout to follow.

What to do next

  • Confirm your employer enrolled you in social insurance within 30 days; obtain your 医保电子凭证.
  • Assess whether statutory cover is enough for your family; if not, buy a high-end plan with direct billing and your preferred hospital network.
  • Check if your city’s 惠民保 admits foreigners on local social insurance — a low-cost top-up.
  • Save offline: passport copy, residence permit, insurer emergency number, and the 120 / local embassy lines.
  • Green-Card holders who are not employed: enrol in resident basic medical insurance at the local medical-security agency.

Living in China: a starter guide for expatriates

  • Your lawful stay hinges on the right visa and residence permit — enter on the correct catgory (typically Z for work) and complete the 24/48-hour temporary lodging registration after each move.
  • Mobile payment (WeChat Pay / AliPay) is near-universal in China; link it to your bank card early, as many shops no longer accept much cash.
  • Open a local bank account with your passport + residence permit; be ready for enhanced KYC and annual FX purchase quota (USD 50,000 equiv.) for personal remittance.
  • Public healthcare is accessible but most expats use international or private clinics; confirm whether your employer-provided insurance covers them.
  • A Chinese provisional driving permit can be issued on a foreign licence for short stays; long-term residents should obtain a China licence.
  • Individual income tax (IIT) applies to China-sourced and worldwide income for tax residents; keep records and file the annual reconciliation by 30 June.

Living in China: a starter guide for expatriates |

Overview

Relocating an expatriate to China involves more than a work contract — it is a stack of administative steps that, done in the right order, make daily life smooth. This guide bundles the practical essentials: visas and residence, lodging registration, banking and mobile pay, healthcare and schools, driving, and personal tax. It complements the employment, visa and tax articles elsewhere in this library and is aimed at HR teams onboarding foreign staff and at the individuals themselves.

China is highly digital and cash-light; mastering two or three apps early removes most daily friction. The bigger risks are procedural — missing a registration window or mixing up visa catgories — not danger. Below is the sequence that works.

Visas and residence

Foreigners enter China on catgory-specific visas. Work is typically the Z visa, preceded by a Notification Letter of Foreigner Work Permit; study, family reunion, business and journalist catgories exist too. On arrival, convert the Z visa into a Residence Permit (外国人工作许可 + 居留许可) at the local immigration exit-entry authority — this, not the visa sticker, is what governs lawful long stay.

Critical: after every change of lodging (hotel, rented flat, serviced apartment), complete the temporary lodging registration (临时住宿登记) — hotels do it automatically, but for private rentals you must register at the local police station within 24 hours (some cities 48). Missing this is a common, fixable, but penalty-bearing oversight.

Accommodation and daily admin

Short-term expats often use serviced apartments; longer stays sign standard leases (note: lease registration with the housing authority is required in many cities for the residence-permit address). Daily admin — utility bills, some permit renewals, household services — increasingly runs through city “Government Service” (政务服务) mini-programs and apps, which also host social-insurance and tax functions.

Banking, payments and personal tax

Open a local bank account with passport + residence permit; major banks serve foreigners, though KYC is stricter than at home. Mobile payment (WeChat Pay / AliPay) links to that card and is used for almost everything — from taxis to hospitals — so connect it in week one. For moving personal funds out, China applies an annual FX purchase quota of USD 50,000 equivalent per individual; plan remittances within it and keep documentation.

Individual income tax (IIT) taxes China-source income of all, and worldwide income of tax residents (generally those resident ≥183 days a year). Employers withhold monthly; the individual files an annual reconciliation by 30 June of the following year. Keep payslips, social-insurance and special-deduction records.

Healthcare and education

Public hospitals are cheap and capable but language-heavy and crowded; most expats use international clinics or private hospitals, often covered by employer insurance — verify the network before relying on it. For children, options are international schools, some bilingual public schools, and (for certain catgories) local schools; admission, tuition and waiting lists vary widely by city, so start early.

Driving and getting around

A provisional driving permit (临时驾驶许可) can be issued on a valid foreign licence for short stays. For long-term residents, convert or sit the test for a Chinese licence; note that many cities restrict foreign-plate vehicles. High-speed rail and ride-hailing apps cover most inter-city and urban mobility efficiently.

What to do next

  • Confirm the correct visa catgory before booking travel; prepare the work-permit notification early.
  • Register temporary lodging within the local window after every move — set a reminder.
  • Link WeChat Pay / AliPay to a local bank card in the first week.
  • Verify your insurance network (clinics/hospitals/schools) with HR before arrival.
  • Track the 30 June IIT reconciliation deadline and keep all records.
  • Save the local 政务服务 app and the National Immigration Administration portal.

Easier Living in China for Foreigners: Online Lodging Registration and the 2026 Rollout

  • Since 20 March 2026 the National Immigration Administration has piloted online lodging registration for foreigners staying at addresses other than hotels, and is rolling it out nationwide after a stable pilot.
  • The online service is available through the NIA government-services platform, the “12367” mobile app, WeChat mini-program or Alipay mini-program, and has the same legal effect as registering at a public-security office.
  • Foreigners living in their own property, or residents holding residence permits or permanent-residence documents who return after travel, are exempt from repeat registration.

  • Under the Exit-Entry Administration Law, failure to register lodging as required can draw a warning and possibly a fine, so online registration removes a common compliance pain point for expatriate staff.
  • Separately, Shenzhen Bao’an International Airport launched free city tours for transit passengers with layovers over six hours, enriching the 240-hour visa-free transit experience.
  • For foreign companies, online lodging registration and transit-friendly services reduce HR administration and improve the experience of visiting executives, auditors and business travellers.

Easier Living in China for Foreigners: Online Lodging Registration and the 2026 Rollout |

Why this matters now

One of the quieter but most practical changes for foreigners living in China took effect across several provinces on 20 March 2026. The National Immigration Administration (NIA) began piloting online lodging registration for foreigners staying at addresses other than hotels — covering rented apartments, company dorms and private homes — and after a stable pilot period, announced it would roll the service out nationwide. Combined with the free transit city tours that Shenzhen Bao’an International Airport began offering in August 2026, the change points to a broader trend: China is systematically removing the small administrative frictions that complicate expatriate life, alongside the headline visa-free and transit policies.

What the online registration actually means

Under the Exit-Entry Administration Law, a foreigner staying at a hotel has the hotel register their stay, but a foreigner staying elsewhere must register with the public security organ within 24 hours, either personally or through the host. The new online channel lets the guest or the host complete that registration through the NIA government-services platform, the “12367” mobile app, its WeChat or Alipay mini-program — without a trip to the police station. The registration has the same legal validity as an in-person filing. The service is designed with sensible simplifications: a person who has already registered once at the same address, or who owns the property, can register independently; a host who has registered in the past can help. Those who live in their own property, or who hold residence permits or permanent residence documents and return after travelling within the validity period, need not register again. The pilot covers Hebei, Liaoning, Zhejiang, Hubei, Guangxi, Chongqing and Sichuan, and NIA has stated it will extend the service gradually nationwide, with the 12367 hotline and police service windows available for assistance.

Why this matters for expatriates and employers

For a foreign employee renting an apartment in China, the 24-hour registration duty has long been a source of anxiety: miss the window and a warning or fine can follow under Article 76 of the Exit-Entry Administration Law. For HR teams at foreign-invested enterprises, the process was often a “shoe-leather” task — coordinating passports, addresses and police visits for every new arrival, short-term auditor or visiting executive. Online registration converts that into a same-day digital form. For companies running apartments or staff quarters, it also reduces the risk that a new hire or a visiting director fails to register on time. When combined with the expansion of visa-free entry — China now has unilateral visa-free access for citizens of 50 countries and 240-hour visa-free transit for 55 countries — the effect is a measurable reduction in the administrative cost of having foreigners on the ground.

The Shenzhen free transit tour as a signal

On 7 August 2026, Shenzhen Bao’an International Airport launched a free city tour for overseas transit passengers with layovers longer than six hours, offering itineraries such as a half-day visit to Nantou Ancient Town and coastal parks, or the Shenzhen Bay waterfront. The airport reported 567,000 inbound foreign travellers since the start of the year, up 31.3% year on year. The tour is open to passengers holding a valid visa or eligible for China’s 240-hour visa-free transit. For multinationals using Shenzhen as a regional hub, the service makes long layovers productive for first-time visitors and strengthens the city’s appeal for business-travel stopovers.

Practical steps for foreign companies and expatriates

  1. Stand up a registration process. Update your HR/relocation playbook so every foreign hire, auditor or visiting director completes online lodging registration within 24 hours of checking in at a non-hotel address.
  2. Choose the right channel. Use the NIA government-services website or the 12367 app/mini-program; keep a screenshot or reference number as proof of filing.
  3. Determine who registers. Let the host or the guest register, following the guidance: first-time registrations are typically completed with the host’s assistance; repeat stays at the same address or owner-occupied properties can be registered by the guest.
  4. Use the exemption. For staff holding residence permits or permanent residence documents who live in a regular residence, confirm the exemption applies after domestic or international travel and avoid duplicate filings.
  5. Watch the 24-hour clock. Even with online filing, the legal deadline remains 24 hours from check-in; build reminders so the window is never missed.
  6. Leverage transit conveniences. For visiting teams on 240-hour visa-free transit through hubs like Shenzhen, coordinate with the free city tour and other airport services to maximise the layover.

Risks and compliance notes

Online registration eases compliance but does not eliminate it. The 24-hour requirement and the warning-and-fine consequences of Article 76 remain in force. Registration data must be truthful: providing false information to immigration authorities is itself a violation. Companies should also remember that hotel stays are handled by the hotel and do not need guest action, while short-stay rentals, guesthouses and company quarters all fall under the non-hotel regime. Finally, because the pilot is still rolling out, confirm the online channel is actually available in the province where the foreigner is staying before relying on it; where not yet available, the in-person window remains the fallback.

Education for Expatriate Children and International Schools in China: A 2026 Guide |

Why this matters now

For an expatriate family relocating to China — or an FIE moving a key assignee — schooling is often the decisive factor in accepting the posting. China maintains a distinct, separately regulated system of schools for children of foreign personnel (commonly called “international schools” for expatriates), quite different from the local public system and from the growing number of bilingual private schools open to Chinese nationals.

This article explains who can attend, who can establish these schools, the 2024 regulatory updates, fees, and practical steps for families and HR teams. It pairs with our living-in-China coverage.

What these schools are

Schools for children of foreign personnel are educational institutions that adopt a foreign teaching model (often a home-country or international curriculum) and primarily serve:

  • foreign children lawfully residing in China;
  • children of HK, Macau, and Taiwan residents lawfully residing locally;
  • children of Chinese citizens who have settled abroad (foreign or green-card status); and
  • in some localities, introduced high-level talent children, with education-department approval.

They do not admit mainland Chinese citizens and may not open branches or teaching points. They are a public-welfare undertaking, established on a needs-based, strictly-approved, standardised, and lawfully-managed basis.

Who may establish them

Sponsors may be foreign institutions, foreign-invested enterprises, international organisations’ China offices, or lawfully resident foreigners. The establishment is approved by the provincial education authority (devolved from the Ministry of Education since 2012). Conditions include a credible track record, stable funding, suitable premises, qualified teaching staff, and a curriculum plan.

The 2024 local updates

While the national framework dates to the 1995 interim measures and the 2015 MOE opinion, major cities refreshed their local rules in 2024:

  • Beijing issued a revised management method clarifying governance, staffing (including work-permit rules for foreign teachers), fee setting in RMB, and the requirement to offer Chinese-language and culture courses.
  • Anhui issued a trial method (2024) restating the sponsor categories, admission scope, and the “no branch / no teaching point” rule.
  • Other provinces maintain analogous rules; expatriate-heavy cities (Shanghai, Guangdong, Jiangsu) have long-established schools.

Fees and oversight

Tuition is set according to schooling cost and market demand, disclosed in RMB, and supervised by competent authorities; fee policy is jointly governed by the NDRC and the MOE. Schools must establish financial and asset systems, keep statutory books, and use funds mainly for education. They are subject to annual inspection and, for serious violations, may be ordered to close.

Scale and access

The Ministry of Education’s 2017 published list recorded 116 approved schools nationwide, concentrated in expatriate-heavy regions. Families should confirm a school is on the approved list and that their child’s residency status matches the admission scope before committing.

Practical steps for families and HR

  1. Confirm status eligibility — match the child’s residence/status to the school’s admitted categories.
  2. Verify the approved list — only MOE/province-approved schools may operate lawfully.
  3. Plan the school year — international schools run on an annual/semester calendar; align relocation timing.
  4. Budget in RMB — tuition and fees are RMB-denominated and disclosed upfront.
  5. Coordinate with the employer — many FIEs include schooling support in assignment packages; involve HR early.

Relocation timing and the school calendar

Relocating mid-year is the single most common — and most disruptive — mistake families make. Most schools for children of foreign personnel run an August/September-to-June calendar, with a defined enrolment and placement-testing window in spring. Arriving after the cut-off typically means a waitlist or a lost academic year.

Practical timing guidance:

  • Start the search 9–12 months out. Approved-school capacity in tier-1 cities is finite; popular year groups fill quickly. Engage HR and the school admissions office early.
  • Align the visa and school timelines. A child’s eligibility flows from the parent’s residence status. Secure the work and residence permits before the school’s document deadline, not after.
  • Budget for a transition. Many families arrive one term early to settle housing near the school and complete placement testing; factor this into assignment cost.
  • Consider the curriculum hand-off. Moving between an IB, British, or American curriculum and the next posting’s system affects university pathways; request a transcript and course-map discussion with the school.

For employers, building schooling support into the assignment package — including a relocation buffer and an HR point of contact — materially improves assignee retention.

  • 在华合法居留的外籍儿童;
  • 在本地合法居留的港澳特区、台湾地区居民子女;

Annual Reporting & Business-Information Publicity for Foreign-Invested Enterprises in China

  • Every foreign-invested enterprise (FIE) in China must file an annual report between 1 January and 30 June each year through the National Enterprise Credit Information Publicity System (国家企业信用信息公示系统, GSXT) — the same online window used for both market-regulator and MOFCOM reporting.
  • The obligation flows from two regimes at once: the market-entity annual report (市场主体年报) under SAMR rules, and the foreign-investment information report (外商投资信息报告) under the Foreign Investment Law and its 2019 Information Reporting Measures — now merged into a single “multi-report-in-one” (多报合一) filing.
  • Resident representative offices of foreign enterprises (外国企业常驻代表机构) have a shorter, distinct window: 1 March to 30 June.
  • Missing the deadline is costly: the registration authority lists the company on the Business Abnormality List (经营异常名录), which is public, damages creditworthiness, and can escalate to further penalties.
  • The FDI-specific fields (investor and actual-controller information, capital, assets and liabilities) are reported to commerce authorities and are NOT publicly disclosed, while the general market-entity fields are published on GSXT.
  • Beyond the annual report, FIEs must also file “as-occurred” changes (initial and change reports) when key investment particulars change — annual reporting does not replace event-driven reporting.
  • Government does not charge any fee for annual reporting; beware of scam calls or sites demanding payment.

Annual Reporting & Business-Information Publicity for Foreign-Invested Enterprises in China |

Overview

Registering a WFOE, joint venture or representative office is the beginning — not the end — of a foreign investor’s compliance calendar in China. Every year, foreign-invested enterprises (FIEs) and foreign-enterprise resident representative offices must file an annual report and keep certain corporate information public. Get it wrong, and the company lands on the Business Abnormality List, a public black mark that banks, partners and tenderers can all see.

The good news: the process has been consolidated. What used to be several separate filings (market-regulator annual report, MOFCOM foreign-investment report, customs and forex data) is now a single “multi-report-in-one” (多报合一) submission through one portal. This guide explains who must file, when, what to report, where, and the consequences of getting it wrong — grounded in the Foreign Investment Law, the Information Reporting Measures, and SAMR’s market-entity registration rules.

Two overlapping obligations, one portal

An FIE in China sits under two reporting regimes that now share a single online entry point:

  1. Market-entity annual report (市场主体年报) — required of virtually all registered companies under the *Regulations on the Administration of Registration of Market Entities* and the *Interim Regulations on Enterprise Information Publicity*. This is the general obligation that any Chinese company, foreign-invested or not, must meet.
  2. Foreign-investment information report (外商投资信息报告) — required specifically of FIEs under the Foreign Investment Law (2020), its Implementing Regulations, and the Measures on the Reporting of Foreign Investment Information (外商投资信息报告办法, 2019) jointly issued by MOFCOM and SAMR.

Since the reform, both are submitted together as the “multi-report-in-one” annual filing on the National Enterprise Credit Information Publicity System (国家企业信用信息公示系统, GSXT) at www.gsxt.gov.cn. The general fields are published; the FDI-specific fields are routed to commerce authorities and are not disclosed to the public.

Who must file — and when

  • Foreign-invested companies and partnerships established and registered on or before 31 December of the reporting year must file the annual report the following year. Companies set up during the current year begin reporting from the next year.
  • Filing window: 1 January – 30 June each year (for the previous calendar year).
  • Resident representative offices of foreign enterprises (外国企业常驻代表机构): a distinct window of 1 March – 30 June, with their own submission rules under the *Regulations on the Administration of Registration of Resident Representative Offices of Foreign Enterprises*.

If a company discovers an error or omission before 30 June, it corrects it on GSXT. From 1 July, corrections to the FDI portion must be made through the MOFCOM business system unified platform

What goes in the report

The consolidated annual report blends general market-entity fields (public) with FDI-specific fields (reported to commerce authorities, not public):

General fields (published on GSXT):

  • Contact details (address, postcode, phone, email) and status (operating / dormant / in liquidation).
  • Shareholder/partner subscribed and paid-in capital, amount, timing and method of contribution; equity-change information.
  • Outbound investments and equity acquisitions; websites and online-shop details.
  • Headcount (including dispatched workers), total assets, total liabilities, guarantees provided, owners’ equity, total operating revenue, main-business revenue, total profit, net profit, and total tax paid.
  • Social-insurance participation data.
  • For large enterprises: overdue payments owed to SMEs (under the *Regulations on Guaranteeing Payments to SMEs*).

FDI-specific fields (to commerce authorities, not public):

  • Foreign-investment basic information; investor and actual-controller information.
  • Foreign-investment operating information; claims and debts; duty-exemption on imported equipment; assets and liabilities.

How to file

  • Web: log in to GSXT (www.gsxt.gov.cn) — most provinces have a localized entry (e.g., js.gsxt.gov.cn for Jiangsu).
  • Login methods: by liaison person (联络员) — register a designated liaison and log in with the unified social credit code plus the liaison’s ID and a mobile verification code — or by electronic business licence (电子营业执照).
  • Representative offices submit through GSXT and, per recent simplification, no longer need consular-authenticated parent-company documents in every case (notarized documents plus an apostille-style certificate may be accepted).

Government charges no fee for annual reporting. Any demand for payment is a scam.

Consequences of non-compliance

  • Business Abnormality List (经营异常名录): failing to file by 30 June triggers listing by the registration authority. The listing is public on GSXT and visible to banks, counterparties and procurement platforms.
  • Reputational and practical harm: an abnormality flag can block financing, tender participation, and routine registration changes.
  • Escalation: prolonged non-compliance and false or concealed reporting can lead to administrative penalties; for representative offices, serious cases can mean revocation of the registration certificate.
  • Remediation: file the overdue report(s), then apply to the local market-regulation authority to be removed from the abnormality list.

Annual reporting is not the whole picture

The information-reporting system also requires event-driven reports, separate from the annual cycle:

  • Initial report (初始报告): at establishment/registration.
  • Change report (变更报告): when key investment particulars change (investor, capital, equity, etc.).

Annual reporting summarizes the year; the initial and change reports capture developments as they happen. Both are part of staying compliant.

What to do next

  1. Diarize the window: 1 January–30 June (companies) or 1 March–30 June (reps offices) every year.
  2. Register a liaison person or set up electronic-business-licence login before the season opens.
  3. Prepare financials early: audited or management accounts feed the assets/liabilities and revenue fields.
  4. Separate public vs. non-public data: ensure investor/controller fields are complete but understand they are not published.
  5. Reconcile with tax, forex, customs and HR data so the multi-report-in-one figures are consistent across agencies.
  6. File event-driven reports promptly on any investment change — do not wait for the annual cycle.
  7. Check your status on GSXT after filing; if listed as abnormal for any prior year, catch up and apply for removal.

Yellow River basin: one certificate recognised across eight provinces

  • From 1 July 2026, eight Yellow River basin provinces mutually recognise foreign investors’ principal-qualification certificates (“one certificate, eight provinces”).
  • It applies to foreign investors already invested in one of the eight provinces when re-investing, changing equity, or pledging equity.
  • Investors may submit a copy of the certificate (with the investing enterprise’s registry archive stamp) instead of a notarised and authenticated original.
  • Three safeguards apply: valid certificate, no restricted region, and no “no-copy” marking.
  • Five exclusions apply (pre-approval required, abnormal credit, under investigation, revoked, or other risk).
  • The scheme lowers institutional and compliance costs for foreign-invested enterprise setup across the basin.

Yellow River basin: one certificate recognised across eight provinces |

Overview

From 1 July 2026, eight Yellow River basin provincial-level regions — Shandong, Shanxi, Inner Mongolia, Henan, Shaanxi, Gansu, Qinghai and Ningxia — implemented a joint scheme for cross-regional mutual recognition of foreign (overseas) investors’ principal-qualification certificates Published by the Shandong Market Regulation Administration together with the other seven provincial market-regulation departments, the scheme is nicknamed “one certificate recognised across eight provinces” (一证通八省).

This article explains what it means for foreign investors setting up or expanding in the Yellow River basin.

Informational guidance only; the exact scope and documents are set by the provincial market-regulation authorities, so verify with the local authority before acting.

Scope of application

  • Applies to foreign investors already invested in one of the eight provinces who subsequently re-invest, handle equity-change registration, or handle equity-pledge registration in the basin.
  • The investor’s existing principal-qualification certificate (already on file from the first investment) can be reused across the eight regions.

How it works

  • A four-step method: enterprise self-application → pre-transaction credit verification → in-transaction mutual recognition → post-transaction supervision.
  • Instead of a notarised and authenticated original, the investor may submit a copy of the certificate bearing the archive-query stamp of the registering authority of the already-invested enterprise — enabling “one-place certification, eight-province recognition” (一地认证、八省互认).

Three safeguards

  1. The principal-qualification certificate must be within its validity period (or, if no period is stated, within one year from issuance).
  2. The document must not be marked for a restricted region or must not exceed that region.
  3. The document must not be marked “not for copying”.

Five exclusions

The mutual recognition does not apply where:

  1. Pre-approval is required for the matter at hand.
  2. The investor is on the abnormal-operation list or serious-violation/trust-broken list and credit repair is incomplete.
  3. The investor is under investigation or in litigation/arbitration.
  4. The investor’s business licence has been revoked or the entity ordered to close.
  5. Other risk circumstances exist.

Where an exclusion applies, the normal document and review route must be followed.

What to do next

  • If you already hold an invested entity in one of the eight provinces, reuse that certificate for new investments or equity changes elsewhere in the basin.
  • Prepare the archive-stamped copy from the original registering authority rather than a fresh notarised/authenticated original.
  • Confirm the certificate is within validity and not region-restricted or “no-copy”.
  • Screen for the five exclusions early; if any applies, budget for the standard document route.
  • Coordinate with the target-province market-regulation window; training and inter-provincial coordination are in place.

One-Stop Setup Service Windows for Foreign-Invested Enterprises in China: The “FIE Opening One-Thing” Integrated Model |

Overview

For a foreign founder, the hardest part of entering China used to be not the law but the logistics. One trip to the market regulator for the licence, another to the tax bureau, a third to carve the official seal, then social insurance, then a bank — each step in a different office with its own form, its own queue and its own clock. That fragmentation is precisely the target of China’s current “one-stop” reform for foreign-invested enterprises (FIEs). The reform’s core unit is the “FIE Opening One-Thing” (外资企业开办一件事) — a government-service scenario that bundles the founding sequence into a single entry point. Behind it sit three reinforcing layers in 2026: municipal one-session onboarding windows, provincial foreign-investment facilitation packages that remove notarisation and identity barriers, and a national service framework written into the 2026 Action Plan to Stabilize and Optimize Foreign Investment.

The “FIE Opening One-Thing” Integrated Service

The “One-Thing” (一件事) model packages related matters into one scenario triggered from a single page. For FIEs it bundles: the business licence (mandatory); a free official seal (optional, many localities now engrave it at no charge); tax matters (optional, processed in parallel); employee social insurance and housing fund (optional); and a bank-account appointment (optional). The applicant files once and the back offices act in parallel, removing the serial re-queuing that once ate weeks. Nothing forces every step together; the value is a single submission feeding multiple bureaus at once.

Beijing’s One-Session Foreign-Investor Onboarding

Beijing’s portal exposes the FIE scenario explicitly: applying for the business licence (including a free official seal), tax matters, employee registration (five insurances and one housing fund), and bank-account opening. The licence step is listed as “instant handling” (即时办理), with the other items processed in parallel. For foreign founders, the portal accepts six identity documents for online authentication: a foreign passport, a Hong Kong/Macao Resident Permit, or a Taiwan Resident Permit may verify via bank-card validation; a Foreign Permanent Resident ID, a Mainland Travel Permit for Hong Kong and Macao, or a Mainland Travel Permit for Taiwan may verify by facial recognition or bank card. An overseas investor holding one of these can complete the whole sequence remotely, with no counter visit.

Hainan’s 2026 Facilitation Package

Hainan’s second batch of FIE registration-facilitation measures took effect on 30 June 2026 and remains valid through 29 June 2031, adding three conveniences. First, notarisation mutual recognition — “one place certified, five places recognised” (一地办、五地通): Hainan, together with Beijing, Tianjin, Hebei and Guangxi, mutually recognises identity authentication across the five jurisdictions, so an investor authenticated once is recognised everywhere without repeat notarisation; an FIE already incorporated may also use a copy of its still-valid notarised material. Normal notarisation took one to three months per cycle. Second, identity verification “online, globally accessible” (线上办、全球通): if an overseas natural-person investor’s name, bank card, passport number and reserved mobile number all match, real-name verification and an electronic signature complete remotely with zero paper; over 240 FIEs have used it, and legal representatives with certain permits obtain the e-licence online. Third, “dedicated handler, full-process handling” (专人跟、全程办): a multilingual service team gives one-on-one consultation and review. The published effect: combined cost drops by over 60% and the whole flow shrinks from days to within one day.

The 2026 National Service Framework

The 2026 Action Plan to Stabilize and Optimize Foreign Investment (商资发〔2026〕97号, issued 16 June by MOFCOM, the NDRC and the Ministry of Finance) writes a national architecture into policy: a foreign-investment digital service platform integrating information, consultation, support and feedback, plus an “Invest in China” (投资中国) portal; dedicated task forces for major FIE projects (the State Council briefing cites nearly 3,000 issues resolved); the FIE roundtable, at 50 sessions and over 2,000 enterprise-times by June 2026; and optimised information reporting. This turns the municipal window from a convenience into an expected right.

Practical Checklist and Pitfalls

Approach the window in order: confirm the host city’s scenario; prepare the identity credential that unlocks remote verification; reserve the name with alternatives; decide which optional steps to bundle; upload notarised docs using mutual recognition; apply e-signatures and submit; request the dedicated handler if language is a barrier. The model resolves classic failures — serial re-queuing (parallel processing), name clashes (pre-filing alternatives), notarisation cost (mutual recognition), language gaps (multilingual handler), and unclear escalation (roundtable plus task force).

Foreign-Invested Enterprise Setup and the Investment-Information Reporting Duty |

Setting up a foreign-invested enterprise (FIE) in China is no longer a “register and forget” event. Under the *Foreign Investment Law* and its implementing regulations, an FIE must feed investment information into the state system continuously — at setup, on change and every year. Understanding this reporting duty is as important as the licence itself.

The legal backbone

Article 34 of the *Foreign Investment Law* establishes a foreign-investment information-reporting system: foreign investors or FIEs report investment information through the enterprise registration system and the enterprise credit-information publicity system to the commerce authorities. The *Foreign Investment Information Reporting Measures* (promulgated by MOFCOM and SAMR as Order No. 2 of 2019, effective 1 January 2020) operationalise this.

The reporting philosophy is “only what is necessary”: information obtainable through inter-department sharing need not be reported again. But the items that must be reported are specific and time-bound.

The three recurring reports

  1. Initial report. When a foreign investor establishes an FIE in China, the initial report is submitted through the enterprise registration system at the time of FIE setup registration. For an equity merger of a domestic enterprise, the initial report is submitted when the acquired enterprise’s change registration is handled.
  2. Change report. When initial-report information changes and the change requires SAMR registration/filing, the FIE submits the change report through the registration system; where no SAMR filing is needed, it must be submitted within 20 working days of the change.
  3. Annual report. Every year from 1 January to 30 June, the FIE submits the prior year’s annual report through the national enterprise credit-information publicity system. New FIEs start the year after establishment.

Local commerce authorities publish reminders — e.g., Hainan’s 2026 annual-report notice and Xi’an’s 2026 annual-report announcement — confirming the 1 January–30 June window and the consequence (late filers are listed in the business-abnormality catalogue by SAMR).

The Shanghai in-market investment pilot

A notable refinement: MOFCOM Announcement No. 12 (2025) launched a pilot for FIEs’ domestic investment information reporting, with Shanghai as a first batch from 1 July 2025. The pilot covers an FIE using its own name to invest in, capital-increase or buy equity in a domestic enterprise (excluding multi-layer investment). Reported items include the investee’s name, unified social credit code, paid-in registered capital, actual investment amount and time, and funding source. Shanghai routes this through its “Enterprise Registration Online (Foreign Investment Information Reporting)” portal.

The 2026 upgrade signal

The *Action Plan for Stabilising and Improving Foreign Investment* (Shang Zi Fa [2026] No. 97) directs a comprehensive optimisation of the foreign-investment information-reporting system: a direct reporting channel, ensuring information is true, accurate and complete, and an information-sharing mechanism to support foreign-exchange registration, administrative licensing and fixed-asset-investment management. For foreign groups, this points to tighter integration between the commerce report, the SAMR filing and the SAFE (foreign-exchange) registration.

Practical steps

  1. Calendar the three reports. Log setup, 20-working-day change and 30 June annual deadlines per entity.
  2. Reconcile systems. Ensure the commerce report, SAMR filing and SAFE registration tell the same story on investors, capital and equity.
  3. Use the Shanghai pilot if eligible. If investing domestically from a Shanghai FIE, file through the dedicated in-market investment track.
  4. Watch the 2026 upgrade. Expect a consolidated direct-reporting channel; prepare data feeds accordingly.
  5. Avoid the abnormality list. File the annual report on time — late filers face SAMR’s business-abnormality catalogue and Foreign Investment Law liability.

Practitioner Quick Reference

  • Three reports: initial (at setup), change (20 working days), annual (by 30 June).
  • Legal base: Foreign Investment Law Art. 34 + MOFCOM/SAMR Order No. 2 (2019).

Common Pitfalls

  • Treating setup as the end: the annual and change reports are ongoing statutory duties.
  • Missing the 20-working-day clock: changes not needing SAMR filing still trigger a 20-day report.
  • Inconsistent data across filings: commerce, SAMR and SAFE must agree on capital and equity.

Online Incorporation and Electronic Business Licence for Foreign-Invested Enterprises in China: End-to-End Digital Registration, Identity Verification and E-Licence | 外商投资企业全程网办设立登记与电子营业执照:端到端数字化登记、身份核验与电子执照

Overview

For foreign investors, the heaviest step used to be incorporation: paper forms, notarised overseas documents, in-person checks and a physical licence at the counter. That model is gone. China now runs a unified national enterprise registration network in which a foreign-invested enterprise (FIE) — a WFOE, an equity or contractual joint venture, or a foreign-invested partnership — can be incorporated entirely online, from real-name verification of the overseas investor and legal representative through form submission to issuance of the electronic business licence (电子营业执照), all behind one digital window.

This article walks the end-to-end online path for a foreign founder.

Online Registration Channels and Identity Verification

The national system is reached through three channels: SAMR’s National Enterprise Registration Service Platform; provincial and municipal bureaus’ online service halls; and the integrated government service platform (政务服务平台), linking registration to tax, customs, foreign exchange and social insurance.

Identity verification is the gate: every investor, director, supervisor and legal representative must complete real-name authentication before filing. For overseas parties, China supports several methods:

  • Foreign passport. Upload and a facial-recognition or video step.
  • Foreign permanent resident ID card (外国人永久居留身份证). “China Green Card” holders use the resident-ID channel.
  • HK/Macao and Taiwan travel permits. The Mainland Travel Permits for Hong Kong and Macao (港澳居民来往内地通行证) and Taiwan (台湾居民来往大陆通行证) residents are equivalent real-name credentials.
  • Bank-card-plus-mobile element authentication (银行卡+预留手机号要素认证). A bank card bound to a reserved mobile number plus an electronic signature lets the founder register remotely where facial matching fails.
  • Electronic signature (电子签名). Once verified, the signatory signs the documents; it equals a handwritten signature.

For an overseas corporate investor, verification runs through the authorised representative.

The 2026 Edition Registration Documents and Material Standards

A structural change took effect on 1 May 2026. SAMR issued the 2026 edition of the *Standards for Business Entity Registration Documents* (《经营主体登记文书规范》) and the *Standards for Materials Submitted* (《提交材料规范》); the 2022 version (国市监注发〔2022〕24号) was repealed, and every new FIE application must now follow the 2026 edition.

Effects are threefold: form consolidation (incorporation, alteration and deregistration forms merged); clearer material lists (the submitted-material standards itemise exactly what an overseas investor must provide); and online archiving (materials uploaded and stored electronically, so later alterations and annual reporting reference the original without re-submitting paper).

Electronic Business Licence

Once incorporation is approved, the legal representative obtains the electronic business licence (电子营业执照) — the digital, legally equivalent counterpart to the paper licence, issued through the national e-licence system and downloaded into a verified mobile app.

Carrying the unified social credit code and cryptographically signed, it can be presented to banks, tax, customs and counterparties without a physical card. The legal representative can authorise designated employees to use it within defined scopes — opening bank accounts, filing tax, signing online contracts — without handing over the original.

Material Mutual Recognition and Notarisation Reduction

Historically the most painful cost for a foreign founder was the notarisation and authentication chain: corporate documents notarised in the home country and authenticated by the Chinese embassy or consulate. China’s accession to the Apostille Convention already removed consular legalisation for member states, and several pilot regions also practise mutual recognition and material reduction.

Hainan is the clearest example. Its second batch of foreign-investment registration facilitation measures, effective 30 June 2026 and valid through 29 June 2031, pushes notarisation reduction, multilingual filing and dedicated follow-up.

Practical Step-by-Step Checklist

A realistic online incorporation runs in this order:

  1. Reserve the enterprise name via the self-declaration system; prepare three to five alternatives, as name clashes are the most common first-round failure.
  2. Complete real-name identity verification for every investor, director, supervisor and proposed legal representative, before drafting documents.
  3. Prepare and notarise (or rely on mutual recognition for) overseas corporate or individual documents per the 2026 edition material standards for your host province.
  4. Fill the consolidated 2026 incorporation form on the provincial portal, attach uploads, and apply the electronic signatures of all verified signatories.
  5. Submit and track through the single window; most straightforward FIE filings clear within a few working days.
  6. Download the electronic business licence and, where needed, authorise employees for bank, tax and contract use.
  7. Proceed to post-incorporation steps — tax registration, foreign-exchange登记, bank account, social insurance and, for eligible sectors, the FDI information reporting.

Provincial one-stop windows and follow-up (跟办) desks provide multilingual guidance.

Common Rejection Reasons

Even on a digital platform, applications are returned. Recurring causes:

  • Name rejection. The chosen name duplicates an existing entity or fails industry-expression rules. Always submit alternatives.
  • Incomplete or stale notarisation. Overseas documents not notarised or authenticated to the current standard, or expired, are bounced. Confirm the 2026 material list.
  • Signatory mismatch. The person who signed is not the verified identity, or a required signatory is missing. Verify everyone first.
  • Unclear registered address. A virtual or unverifiable domicile, or proof not matching the application, triggers return. Use a confirmed, provable address.
  • Inconsistent capital and scope. Subscribed capital, currency and business scope conflicting with the entity type or sector restrictions are flagged. Align scope wording with the catalogue.
  • Missing legal-representative verification. If the legal representative has not completed real-name authentication, the filing cannot be accepted.

None are substantive legal obstacles; a pre-submission checklist removes them.
