Overview
For foreign investors, the heaviest step used to be incorporation: paper forms, notarised overseas documents, in-person checks and a physical licence at the counter. That model is gone. China now runs a unified national enterprise registration network in which a foreign-invested enterprise (FIE) — a WFOE, an equity or contractual joint venture, or a foreign-invested partnership — can be incorporated entirely online, from real-name verification of the overseas investor and legal representative through form submission to issuance of the electronic business licence (电子营业执照), all behind one digital window.
This article walks the end-to-end online path for a foreign founder.
Online Registration Channels and Identity Verification
The national system is reached through three channels: SAMR’s National Enterprise Registration Service Platform; provincial and municipal bureaus’ online service halls; and the integrated government service platform (政务服务平台), linking registration to tax, customs, foreign exchange and social insurance.
Identity verification is the gate: every investor, director, supervisor and legal representative must complete real-name authentication before filing. For overseas parties, China supports several methods:
- Foreign passport. Upload and a facial-recognition or video step.
- Foreign permanent resident ID card (外国人永久居留身份证). “China Green Card” holders use the resident-ID channel.
- HK/Macao and Taiwan travel permits. The Mainland Travel Permits for Hong Kong and Macao (港澳居民来往内地通行证) and Taiwan (台湾居民来往大陆通行证) residents are equivalent real-name credentials.
- Bank-card-plus-mobile element authentication (银行卡+预留手机号要素认证). A bank card bound to a reserved mobile number plus an electronic signature lets the founder register remotely where facial matching fails.
- Electronic signature (电子签名). Once verified, the signatory signs the documents; it equals a handwritten signature.
For an overseas corporate investor, verification runs through the authorised representative.
The 2026 Edition Registration Documents and Material Standards
A structural change took effect on 1 May 2026. SAMR issued the 2026 edition of the *Standards for Business Entity Registration Documents* (《经营主体登记文书规范》) and the *Standards for Materials Submitted* (《提交材料规范》); the 2022 version (国市监注发〔2022〕24号) was repealed, and every new FIE application must now follow the 2026 edition.
Effects are threefold: form consolidation (incorporation, alteration and deregistration forms merged); clearer material lists (the submitted-material standards itemise exactly what an overseas investor must provide); and online archiving (materials uploaded and stored electronically, so later alterations and annual reporting reference the original without re-submitting paper).
Electronic Business Licence
Once incorporation is approved, the legal representative obtains the electronic business licence (电子营业执照) — the digital, legally equivalent counterpart to the paper licence, issued through the national e-licence system and downloaded into a verified mobile app.
Carrying the unified social credit code and cryptographically signed, it can be presented to banks, tax, customs and counterparties without a physical card. The legal representative can authorise designated employees to use it within defined scopes — opening bank accounts, filing tax, signing online contracts — without handing over the original.
Material Mutual Recognition and Notarisation Reduction
Historically the most painful cost for a foreign founder was the notarisation and authentication chain: corporate documents notarised in the home country and authenticated by the Chinese embassy or consulate. China’s accession to the Apostille Convention already removed consular legalisation for member states, and several pilot regions also practise mutual recognition and material reduction.
Hainan is the clearest example. Its second batch of foreign-investment registration facilitation measures, effective 30 June 2026 and valid through 29 June 2031, pushes notarisation reduction, multilingual filing and dedicated follow-up.
Practical Step-by-Step Checklist
A realistic online incorporation runs in this order:
- Reserve the enterprise name via the self-declaration system; prepare three to five alternatives, as name clashes are the most common first-round failure.
- Complete real-name identity verification for every investor, director, supervisor and proposed legal representative, before drafting documents.
- Prepare and notarise (or rely on mutual recognition for) overseas corporate or individual documents per the 2026 edition material standards for your host province.
- Fill the consolidated 2026 incorporation form on the provincial portal, attach uploads, and apply the electronic signatures of all verified signatories.
- Submit and track through the single window; most straightforward FIE filings clear within a few working days.
- Download the electronic business licence and, where needed, authorise employees for bank, tax and contract use.
- Proceed to post-incorporation steps — tax registration, foreign-exchange登记, bank account, social insurance and, for eligible sectors, the FDI information reporting.
Provincial one-stop windows and follow-up (跟办) desks provide multilingual guidance.
Common Rejection Reasons
Even on a digital platform, applications are returned. Recurring causes:
- Name rejection. The chosen name duplicates an existing entity or fails industry-expression rules. Always submit alternatives.
- Incomplete or stale notarisation. Overseas documents not notarised or authenticated to the current standard, or expired, are bounced. Confirm the 2026 material list.
- Signatory mismatch. The person who signed is not the verified identity, or a required signatory is missing. Verify everyone first.
- Unclear registered address. A virtual or unverifiable domicile, or proof not matching the application, triggers return. Use a confirmed, provable address.
- Inconsistent capital and scope. Subscribed capital, currency and business scope conflicting with the entity type or sector restrictions are flagged. Align scope wording with the catalogue.
- Missing legal-representative verification. If the legal representative has not completed real-name authentication, the filing cannot be accepted.
None are substantive legal obstacles; a pre-submission checklist removes them.

在线登记通道与身份核验
全国统一的企业登记系统通过三条汇聚合流的通道接入。主入口是国家市场监督管理总局运营的国家企业登记服务平台;各省、市市场监管局通过各自网上办事大厅暴露同一后台,确保全国规则一致;第三条路径是政务服务平台,它将登记与税务、海关、外汇、社保等后续环节衔接起来,实现”一表填报、多部门共享”,让境外申请人不必在多个部门间重复提交材料。对境外投资者而言,这意味着无论身处何地,都可依托网络完成设立。
身份核验是第一道关口。每一位投资者、董事、监事及法定代表人须在提交前完成实名认证,未核验者无法进入申报流程。针对境外主体,中国支持多种相互认可的核验方式:
- 外国护照。 持有人上传护照并完成人脸识别或视频核验;在平台支持时,护照会与旅行证件数据池交叉比对,提升真实性。
- 外国人永久居留身份证(”中国绿卡”)。 持证人通过居民身份证通道核验,这是最快捷、最可靠的路径。
- 港澳居民来往内地通行证与台湾居民来往大陆通行证被接受为等效的实名凭证,使港澳台投资者能以与内地居民相同的方式完成认证,无需额外公证。
- “银行卡+预留手机号”要素认证。 当护照或通行证无法进行人脸匹配时,境外自然人可使用绑定预留手机号的银行卡配合电子签名完成核验。该通道保持包容,使缺乏生物识别覆盖的创始人仍能远程登记。
- 电子签名。 身份核验完成后,签字人对设立文件施加合规的电子签名;该签名与手写签名具有同等法律效力,正是它使全流程无纸化申报有效。
对于境外企业投资者,核验通过其授权代表个人身份完成,并以下文的公证认证企业文件为支撑。核心原则是”谁签字、谁核验”——堵住此前代理人在未核验授权下代为申报的缺口,也降低冒名登记风险。这五类通道覆盖了绝大多数境外投资者的身份情形,基本消除了”无法线上核验”的死角。
2026年版登记文书与材料规范
一项结构性变化自2026年5月1日起施行。市场监管总局发布2026年版《经营主体登记文书规范》与《提交材料规范》,同时废止2022年以国市监注发〔2022〕24号发布的版本。每一宗新设外资企业申请现须遵循2026年版,旧版表单与材料要求不再适用。
对境外创始人的实际影响有三。其一,表单整合——设立、变更、注销表单被合并与精简,申请人填写一套连贯材料包而非多份重叠表格,减少重复录入。其二,材料清单更清晰——提交材料规范逐项列明境外投资者须提供的材料,终结各地口径不一、自由裁量的局面。其三,在线归档——支撑材料被上传、哈希并电子化存储;登记簿留存核验记录,使后续变更与年报可引用原始申报,无需再次提交纸质件。对首次来华的投资者,这意味着只需与一套统一规则打交道。表单整合后,同一投资人的名称、住所等信息只填一次,后续环节自动带出,显著降低了填报负担。
电子营业执照
设立获批后,法定代表人取得电子营业执照——与纸质执照具有同等法律效力的数字化对应物。它经国家电子执照系统签发,由法定代表人使用申报时的同一实名身份,在已核验的移动应用中下载,无需到窗口领取实体卡片。该执照与纸质执照具有相同法律效力,可作为企业办理各类政务与商务事项的统一电子凭证。它同样是银行开户与税务报到的标准凭证,覆盖了设立后最主要的用照场景。
电子营业执照载有统一社会信用代码并经密码签名,可无需实体卡片地向银行、税务机关、海关、外汇局及交易对手出示,验证方扫码即可读取并核验真伪。由于执照与法定代表人的实名身份绑定,任何授权使用都可被溯源,降低了冒用与盗用的风险。关键在于,法定代表人可在约定范围内授权指定员工使用执照——开立银行账户、办理税务或在线签约——而无需交出原件。这把执照从单一实体凭证转变为可管理、可撤销的数字凭据,使设立后的运营实现完全远程化。该授权可随时收回或调整范围,灵活适配企业不同阶段的用人需求。
材料互认与公证认证压减
长期以来,外国创始人最痛的成本是公证认证链条:企业文件须在原籍国公证、经中国使领馆认证,有时还须依据《海牙公约》办理附加证明书(Apostille)。中国加入《海牙公约》已取消成员国间的领事认证环节,显著缩短周期。在此之上,多个试点地区推行材料互认与压减——接受预先核验的境外文件,或在基础事实已确立时豁免重复公证,进一步减轻负担。对中小企业与初创外资而言,这意味着更低的合规成本与更快的落地节奏。在海南等试点地区,部分境外主体甚至可”免提交”公证文件,进一步压缩落地时间。随着互认范围扩大,预计将有更多地区与事项被纳入试点。
海南是最清晰的范例。其第二批外资企业登记便利化措施自2026年6月30日起施行,有效期至2031年6月29日,明确推进公证认证压减、多语种申报支持,以及面向外资的专属跟办服务。这些措施是一揽子宽松政策的一部分:2026年上半年海南新增外资企业1303户,同比增长38.62%——市场监管部门将其作为”线上优先”模式正把意向转化为实际设立的佐证。
实操步骤清单
一次现实的线上设立按以下顺序推进。下面以最常见的外商独资企业为例,给出一套可直接照做的步骤,其他外资载体可参照调整:
- 预先核准企业名称,通过全国统一的企业名称自主申报系统;准备三至五个备选,因名称冲突是最常见的首轮失败原因。
- 完成实名身份核验,覆盖每一位投资者、董事、监事及拟任法定代表人,使用上述任一通道,并在起草文件前完成,使签字人先进入系统。
- 准备并公证(或依互认豁免)境外企业或个人文件,按所在省份2026年版材料规范执行,避免多跑冤枉路。
- 填写整合后的2026年版设立表单,在省级登记门户上传材料,并由所有已核验签字人施加电子签名。
- 提交并跟踪,通过单一窗口;材料齐全时,多数常规外资申报在数个工作日内办结,状态可实时查询。
- 下载电子营业执照,由法定代表人完成;必要时授权员工用于银行、税务与合同等用途。
- 进入设立后环节——税务登记、外汇登记、银行账户、社保,以及符合条件的行业办理外资信息报告——均可从同一政务服务平台抵达,形成闭环。这些后续环节同样可在线上完成,整条链路无需线下跑动。
对于希望获得协助的投资者,省级外资”一站式”服务窗口与外资跟办专岗提供多语种指引,可陪伴首次创始人走完第2至第6步,显著降低语言与流程门槛。部分园区还提供免费帮办服务,使毫无中国经验的创始人也能顺畅完成设立。
常见退回原因
即便在数字平台上,申请仍会被退回。多数退回发生在首次申报阶段,且往往源于准备不足而非实质不合规。只要前期准备充分,绝大多数退回都可以避免。反复出现的原因包括:
- 名称被拒。 所选名称与现存主体重复、含限制性用字,或不符合行业表述规则。务必提交备选,先核名再填报。
- 公证不全或失效。 境外文件未按现行标准公证认证,或已过有效期,会被退回。请对照所在省份2026年材料清单确认,避免用旧版要求准备。
- 签字人不符。 电子签字人与已核验身份不一致,或缺少必备签字人(例如企业投资者的授权代表)。签字前务必核验所有人。
- 住所不清。 虚拟或无法核验的住所地,或与申请不符的住所证明会触发退回。使用确认、可证明的注册地址,并备齐产权或租赁证明。
- 资本与范围不一致。 认缴资本、币种与经营范围同所选主体类型或行业限制冲突,会被标记。经营范围表述须对齐规范目录。
- 法定代表人未核验。 法定代表人未完成实名认证,无论其余材料多齐全,申报都无法受理,这是最常见的”卡住”环节之一。
这些均非实质性法律障碍,而是程序性错配,一份审慎的提交前清单即可消除。建议在正式提交前由专业人员做一次完整性复核,可避免绝大多数无谓退回,节省宝贵时间。
