Why Foreign-Invested Enterprises Get Selected for Inspection

For a foreign-invested enterprise (FIE) in China, a tax inspection is rarely a surprise visit triggered by a whistleblower. Most audits originate from the risk-monitoring and random-selection system run by the tax authority’s inspection bureau. The State Taxation Administration (STA) and its provincial and municipal offices operate a “double-random, one-open” (双随机、一公开) mechanism: both the inspected entities and the inspectors are drawn randomly from a platform, and the results are published. An FIE can be pulled in through the central STA deployment, a provincial/municipal random draw, or a joint multi-department sweep. Understanding this pipeline is the first step to staying ready.

The Double-Random Selection Model

Under the 2026 local implementation plans published by provincial tax bureaus, the inspection bureau selects objects through the “Golden Tax III” double-random platform, drawing from the key-inspected, non-key and abnormal object registers at prescribed ratios and frequencies. The principle is “no risk, no disturbance; violations must be pursued” (无风险不打扰,有违法要追究). Inspectors are assigned randomly as well, through the same platform, to prevent human interference. A key practical feature: checks combine a “direct inspection” with a “self-check first, then focused inspection” approach. If the taxpayer truthfully reports violations during self-correction, cooperates with the inspection, and voluntarily pays back tax and late fees, the penalty is mitigated, reduced or waived.

Self-Correction and the Mitigation Ladder

The self-correction ladder is the single most valuable tool for an FIE facing potential exposure. The logic is simple: a voluntary, pre-emptive fix costs far less than a penalty imposed after a focused inspection finds the same issue. Concretely:

  • Voluntary disclosure + back-payment: A taxpayer who, before or during self-correction, reports underpaid tax and pays the principal and late fees (滞纳金) is eligible for a lighter or waived administrative penalty.
  • Focused inspection findings: If the focused inspection uncovers material violations or deliberate concealment, the penalty is imposed at the higher end, and in serious cases criminal referral follows.
  • Recurring or concealed conduct: Where the same violation recurs within two years, or is deliberately hidden, mitigation is withdrawn and the upper penalty band applies.

For an FIE, the cheapest path is therefore to run its own compliance sweep—transfer pricing, related-party charges, withholding on outbound payments, and permanent-establishment questions—before the tax authority knocks.

The Three-Year Limitation and Its Exceptions

Under the Tax Collection Administration Law, where a taxpayer fails to file or miscalculates, causing non-payment or under-payment, the tax authority may pursue the tax and late fees within three years; the period extends to five years for under-payment exceeding 100,000 yuan attributable to computation errors; and there is no time limit for tax fraud (偷税), resisted taxes (抗税), fraudulent export rebates (骗税), or concealed income that should have been declared. The STA has also reminded resident individuals to self-check overseas income for 2022–2024, signalling that the three-year window is actively enforced and that voluntary correction is preferred over assessment.

Highest-Risk Areas for a China FIE

Foreign-invested enterprises concentrate risk in a handful of recurring lines:

  1. Transfer pricing on related-party transactions—royalties, management fees, cost-sharing, and intra-group financing—where documentation (master file, local file, country-by-country report) and the arm’s-length test are scrutinised.
  2. Related-party service fees that lack demonstrable benefit to the Chinese entity, or that duplicate onshore functions already paid for.
  3. Deemed-dividend distributions where a shareholder’s loans to the company are not repaid within the prescribed period, triggering a constructive dividend.
  4. Withholding on outbound payments—royalties, technical fees, interest, dividends, and service fees—where the 10% withholding obligation (or treaty-reduced rate) may have been missed.
  5. Permanent establishment risks from seconded expatriates whose activities may create a taxable presence.

Smart Tax and Real-Time Data Matching

China’s “Smart Tax” (金税四期) phase integrates invoice data, bank and capital flows, declaration data and external regulatory feeds. The system flags mismatches—for example, a large cross-border service payment with no corresponding withholding record, or related-party royalties lacking a transfer-pricing file. For an FIE, this means the old assumption that cross-border transactions are hard to trace no longer holds; the data trail from SAFE, the bank and the tax authority is increasingly joined up.

Practical Steps Before and During an Audit

  • Run a self-risk scan on the five high-risk lines above at least annually, and again before any restructuring or dividend.
  • Keep the contemporaneous file (transfer-pricing documentation, intercompany agreements, benefit analyses) audit-ready.
  • Fix before you are found: where an error is identified, self-correct, pay the tax and late fees, and document the remediation—this is what unlocks mitigation.
  • Engage the right owner: the finance lead, the tax adviser and, for cross-border items, the transfer-pricing specialist should be aligned before any inspection interview.
  • Mind the exit: a tax-clearance certificate is a precondition for deregistration, liquidation and profit repatriation; unresolved inspection exposure blocks the clearance.

三年追征期及其例外

依据《税收征收管理法》,因纳税人未申报或计算错误造成不缴或少缴税款的,税务机关三年内可追征税款与滞纳金;因计算错误等失误造成少缴税款超过十万元的,追征期延长至五年;对偷税、抗税、骗税以及隐瞒收入不申报的,追征不受期限限制。税务总局亦提醒居民个人对2022至2024年境外所得开展自查,表明三年窗口正被积极执行,且更倾向于引导自愿纠错而非事后核定。

外资企业的高风险点

外资企业的风险集中在几条反复出现的线上:

  1. 转让定价:特许权使用费、管理费、成本分摊、集团内融资等关联交易,重点审查同期资料(主体文档、本地文档、国别报告)与独立交易原则。
  2. 关联交易服务费:对中国境内企业无明显受益,或与已付费的境内职能重复的服务费。
  3. 视同股息分配:股东借款逾期未还,触发视同分红。
  4. 对外支付代扣代缴:特许权使用费、技术费、利息、股息、服务费,易遗漏10%代扣义务(或协定优惠税率)。
  5. 常设机构风险:借调外籍员工的活动可能构成应税存在。

金税四期与实时数据比对

中国”金税四期”阶段整合了发票数据、资金流水、申报数据与外部监管信息。系统会自动标记异常——例如一笔大额跨境服务费支付却无对应代扣记录,或关联方特许权使用费缺少转让定价文档。对外资企业而言,跨境交易难以追踪的旧假设已不成立;外汇局、银行与税务机关的数据线索正日益打通。

稽查前与稽查中的实操步骤

  • 每年至少一次自风险扫描:围绕上述五条高风险线,并在重组或分红前再次扫描。
  • 保持同期资料就绪:转让定价文档、关联合同、受益性分析随时可查。
  • 在被发现前纠错:发现问题即自查补报、缴税与滞纳金,并留存整改证据——这是触发从轻的关键。
  • 明确责任人:财务负责人、税务顾问,以及跨境事项的转让定价专家,应在任何稽查约谈前对齐口径。
  • 注意退出限制:清税证明是注销、清算与利润汇出的前置条件;未结稽查风险会卡住清税。
