Chongqing’s 14-Measure Plan for Foreign Investment Service Guarantees: What Document 2026 No. 42 Commits To | 重庆外资服务保障体系 14 条:渝商务发〔2026〕42 号承诺了什么

Overview

On 18 September 2026 the Chongqing Municipal Commerce Commission issued the Working Measures for Improving the Foreign Investment Service and Guarantee System, numbered Yu Shangwu Fa [2026] No. 42 and issued with the consent of the municipal government. The document contains 14 measures and applies to foreign investment, including investment from Hong Kong, Macao and Taiwan.

Its structure is practical rather than declaratory. The measures cluster around five commitments — national treatment; faster approval for major projects; energy and talent supply; tax, fee and financing services; and the clean-up of policy documents that do not match the Foreign Investment Law — and each measure names the municipal departments responsible for carrying it out.

National treatment: production factors, competition, standards and procurement

The first measure restates national treatment in operational terms. Foreign-invested enterprises are to be guaranteed equal use of production factors in accordance with the law, fair participation in market competition, and equal participation in standards-setting work. Their products and services are to participate equally in municipal government procurement.

The measure then addresses a recurring friction point in consumption-support programmes: it prohibits excluding products or services that meet the conditions from consumption-support policies on the ground that they are foreign-brand products or come from a foreign-invested enterprise. In other words, eligibility for a consumption-support measure is to be decided by the conditions of the measure, not by the origin of the brand.

The responsible units are the Municipal Development and Reform Commission, the Municipal Administration for Market Regulation, the Municipal Finance Bureau and the Municipal Commerce Commission.

A 50-working-day green channel for major project approvals

The second measure builds a “green channel” for the approval of major foreign-invested projects. It requires timely support across the approval chain — project initiation, planning, land use and environmental-impact assessment — and sets the approval time limit within 50 working days.

For a foreign investor, the significance lies in the bundling. A large manufacturing or infrastructure project typically touches several approvals in sequence, each with its own clock. The measure commits the relevant municipal bodies to a single overall ceiling rather than leaving the investor to add up separate statutory periods.

The responsible units are the Municipal Development and Reform Commission, the Municipal Planning and Natural Resources Bureau and the Municipal Ecology and Environment Bureau.

Energy and talent: the guaranteed-supply whitelist and green-power direct connection

The third measure responds to two input constraints that foreign-invested manufacturers raise most often: energy and people.

On energy, the measure requires the guaranteed-supply whitelist for foreign-invested enterprises’ energy use to be updated dynamically. It also calls for implementing the national green-power direct-connection policy and formulating municipal implementation rules, and for supporting manufacturing foreign-invested enterprises in raising their green-power consumption share through multiple channels, including green-power direct connection and green-power trading. For export-facing manufacturers that must document the carbon intensity of their electricity, the green-power provisions are the operative part of the measure.

On people, the measure requires making good use of municipal-level talent policies. The responsible units are the Municipal Economy and Information Technology Commission, the Municipal Energy Bureau and the Municipal Human Resources and Social Security Bureau.

Tax, fee and financing services: one-to-one coaching and “Yu Mao Dai”

The fourth measure is the densest, because it converts several existing national tax preferences into a local service obligation.

First, it requires identifying the eligible subjects of the deferred tax on overseas investors’ reinvested profits, of the tax credit, and of the import-equipment duty exemption, and establishing a “one-to-one” coaching mechanism, together with integrated tax coaching that spans tax and fee types. The point is not to create a new preference but to make sure that companies that already qualify know that they do and can claim it.

Second, it calls for bringing eligible foreign-invested enterprises into the scope of “Yu Mao Dai” support and for carrying out bank-enterprise matchmaking on a regular basis.

Third, it requires policy interpretation to be published regularly: an annual foreign-related policy briefing and dedicated training on foreign-investment policy, and continued delivery of the “three deliveries and one visit” activity. The responsible units are the Chongqing Municipal Tax Service of the State Taxation Administration, the Municipal Commerce Commission, the Chongqing office of the national financial regulator and the Chongqing branch of the People’s Bank of China.

Cleaning up policy documents inconsistent with the Foreign Investment Law

The fifth commitment is a clean-up. The document requires thorough review and removal of policy documents and policy measures that do not conform to the Foreign Investment Law, and of provisions that may contain unreasonable differential treatment between domestic and foreign investment.

This is the mirror image of the national-treatment measure. National treatment is enforced not only by adding guarantees but also by removing older provisions that treat foreign-invested enterprises differently from domestic ones. For an investor, the practical effect is that the municipal rulebook is meant to converge on the Foreign Investment Law standard rather than retain legacy divergences.

How the document was drafted

The drafting account published alongside the measures is itself a data point. The whole process was problem-oriented and demand-oriented: more than 100 key foreign-invested enterprises were visited and served, and the findings were used to absorb the new international investment landscape, new modes of using foreign investment and the issues foreign-invested enterprises care about.

Once the draft was prepared, it was circulated in writing for comment to 59 units, covering relevant municipal departments, district and county governments and development-zone administrative committees. After several rounds of revision it became the 14 measures that were issued.

Chongqing’s foreign-investment baseline in 2026

Official figures for January–August 2026 set the context: 296 newly established foreign-invested enterprises, up 17% year on year; actual use of foreign investment of USD 320 million, up 26.73% and positive for eight consecutive months; 325 Fortune Global 500 companies with a presence in the city; and import-export value of foreign-invested enterprises up 26.5% year on year.

Practical notes for foreign investors

  • Check the consumption-policy angle. If a product or service of a foreign-invested enterprise is excluded from a consumption-support programme because of the brand’s origin, the first measure is the provision to cite.
  • Map the 50-day clock onto the project. For a major project, the green channel aggregates initiation, planning, land use and environmental-impact approvals under a single 50-working-day ceiling.
  • Confirm whitelist and green-power status. Energy-use whitelist membership and green-power direct connection are the two levers that matter most for manufacturing operations, and both are to be updated or implemented at municipal level.
  • Use the one-to-one tax coaching. Reinvested-profit deferred tax, the tax credit and import-equipment duty exemption are existing preferences; the measure’s contribution is a named channel to confirm eligibility.

Practical Guide to China’s Low-threshold MNC Cash Pool: Lower Entry Bar, Flexible Quota Pooling, Simplified Filing

  • The PBOC and SAFE notice on multinational companies’ cross-border RMB and foreign-currency fund concentration operation business was issued on 14 August 2026 and took effect on 14 September 2026, so its mechanics are now the operative rules.
  • Access is wider: the notice further lowers the pool-entry threshold and reaches small and medium-sized multinationals across a larger population; a lead enterprise registered in a pilot free-trade zone may use an even lower pool-establishment threshold.
  • Operations are more flexible: a group may centralise members’ external-debt and outbound-lending quotas, decide its own fund-collection ratio, and use a single account to manage both RMB and foreign-currency funds.
  • Filing is simpler: registration is handled externally by the SAFE branch where the lead enterprise is located, and some change registrations may be processed directly at the co-operating bank, lowering institutional transaction costs.
  • Compliance duties are explicit: the bank and the lead enterprise must each keep archives and documents proving the transactions genuine and lawful for five years, apply “know your customer”, “know your business” and “due diligence” review principles, and earnestly perform anti-money-laundering obligations.
  • A structural limit matters: a company running a pool under this notice may in principle not conduct other cross-border cash-pooling business, except where it already holds a cross-border two-way RMB cash-pooling filing under Yin Fa [2015] No. 279.

Practical Guide to China’s Low-threshold MNC Cash Pool: Lower Entry Bar, Flexible Quota Pooling, Simplified Filing |

Overview

The Notice of the People’s Bank of China and the State Administration of Foreign Exchange on Matters Concerning the Cross-Border RMB and Foreign-Currency Fund Concentration Operation Business for Multinational Companies was issued on 14 August 2026 and took effect on 14 September 2026. The two regulators had sought public comment between 25 July and 25 August 2025, so the text in force since 14 September is the settled version rather than a draft.

This guide covers the operating layer: regime choice, who files and where, quota centralisation and collection ratios, single-account management, document and anti-money-laundering duties, post-filing supervision, and the mutual-exclusivity rule. It is limited to the cash-pooling business and does not cover the separate revision of the foreign M&A rules.

Two regimes coexist, and they are not interchangeable

Two regimes run in parallel. The integrated RMB and foreign-currency cash pool, generalised nationwide in December 2025, is the more comprehensive instrument aimed at larger groups. The cross-border fund concentration operation business covered by the August 2026 notice is the lower-threshold, lighter-filing variant, often called the “lower version” cash pool. They are layered and tiered, serving different populations, and filings are not mutually recognised.

The choice follows scale and management need. A group with substantial cross-border current-account and financing flows looks at the integrated pool; a mid-sized group that could not clear that entry bar, but has genuine cross-border needs, looks at the concentration operation business. Because the notice lowers the threshold and a free-trade-zone lead enterprise may use an even lower one, the second route now serves groups it did not previously reach.

Filing: who applies, and through which channel

A qualifying group designates a domestic member as the lead enterprise, which files for and operates the pool. Filing is handled externally by the SAFE branch where the lead enterprise is located — a single window that compresses the chain rather than routing the group through several desks. Some change registrations may be handled directly at the co-operating bank, removing a layer of travel and lead time for routine adjustments.

The co-operating bank is therefore no longer only a settlement counterparty; it becomes part of the pool’s administrative workflow. Groups should select the bank with that in mind and agree which categories of change it can process. The regulators describe this as reducing institutional transaction costs — cutting the administrative burden of running a pool, not relaxing the substantive rules.

Quota centralisation and the collection ratio

Inside the pool, a group may centralise members’ external-debt and outbound-lending quotas. Rather than each member holding a separate quota, the group deploys its balance sheet as a whole and allocates headroom where needed. This is the feature that changes treasury behaviour most: financing and outbound-lending decisions can be taken at group level rather than entity by entity.

The notice also lets the multinational decide its own fund-collection ratio — how much member liquidity is swept into the pool — and adjust it as cash-flow geography changes. A conservative ratio keeps more cash at member level; an aggressive ratio maximises central liquidity but demands tighter forecasting. Either way the ratio should be documented, because it drives both the pool’s funding position and the bank’s monitoring. The notice encourages using the domestic currency first, broadening RMB use in cross-border settlement.

One account for both currencies

The notice permits a single account to manage both RMB and foreign-currency funds, removing the duplicated account structure of earlier arrangements: the group no longer runs parallel pooling accounts and reconciles them.

In practice, treasury teams must map which existing accounts are absorbed and which are closed, and revisit controls over conversion, position limits and reporting. A simpler account structure does not simplify the group’s own risk-management duties.

Transitional rules

From the date of effect, newly added cash-pooling business in each locality — excluding the integrated pool — and existing multinational cross-border centralised fund operation business are handled under this notice. Article 3 of the SAFE notice Hui Fa [2017] No. 3 no longer applies, and the SAFE Provisions on the Administration of Multinational Companies’ Cross-Border Centralised Fund Operations (Hui Fa [2019] No. 7) is simultaneously repealed.

For a group holding a pool set up under the old rules, the old framework is gone and the new one governs. The transition should be planned with the SAFE branch and the bank rather than assumed to be automatic.

Documents, anti-money-laundering and the five-year archive

The notice places record-keeping duties on both sides. The co-operating bank and the lead enterprise must each retain archives and documents sufficient to prove the underlying transactions genuine and lawful, kept for five years for inspection. Because the duty falls on both, a group cannot rely on the bank’s records alone; it should keep its own file per transaction.

When handling the business, the parties must conduct authenticity and compliance review under the “know your customer”, “know your business” and “due diligence” principles, and earnestly perform anti-money-laundering obligations. The bank must also establish a monitoring and evaluation mechanism, periodically assess the business and assist with off-site monitoring. Abnormal circumstances must be reported promptly to the local PBOC branch and SAFE branch.

For a foreign-invested group this means three workstreams: a per-transaction file that can survive a five-year lookback; internal policies giving the “know your business” standard real content for cross-border flows; and a defined escalation path to the regulators.

Supervision after filing

Regulators supervise during and after the event, not only at the gate. PBOC branches and SAFE branches strengthen ongoing supervision: guiding banks and enterprises, requiring banks to establish operating procedures and internal control systems, strengthening off-site monitoring together with on-site inspection, and establishing a list of participating multinational companies.

Risk assessment follows: periodic or ad-hoc assessments, and for companies and banks with relatively high risk, interviews, risk-warning letters or rectification within a time limit; suspected violations are filed and investigated. Filing is therefore the start of a supervised relationship.

The mutual-exclusivity rule

A company conducting cash-pooling business under this notice may in principle not conduct other cross-border cash-pooling business, except where it already holds a cross-border two-way RMB cash-pooling filing under the PBOC notice Yin Fa [2015] No. 279.

The rule has architectural consequences. A group already running, or considering, a cross-border two-way RMB pool cannot treat the new regime as an add-on layer: it must decide which structure to run and plan the migration or retention of existing arrangements. The decision tree has two levels — which regime fits, and whether mutual exclusivity forces a choice against any other pool held. Settle this before filing, not after.

Implementation checklist

  1. Classify the group. Confirm eligibility and check whether the lead enterprise’s location brings a lower threshold.
  2. Choose the regime. Weigh the integrated pool against the concentration operation business.
  3. Map existing pools. Identify any cross-border cash-pooling business already held.
  4. Pick the lead enterprise and bank. The bank now handles routine changes.
  5. Agree the ratio and quota allocation, and document both.
  6. Redesign the account structure and revisit currency and position controls.
  7. Build the archive: per-transaction files retained for five years.
  8. Operationalise anti-money-laundering and reporting, including the escalation path.
  9. Prepare for supervision: off-site monitoring, assessment and possible on-site inspection.
  10. Plan the transition with the SAFE branch and the bank.

Clarifying “Non-taxable Transactions” under China’s VAT Law: What the 2026 MOF/STA Announcement Changes for Foreign-invested Groups |

Overview

On 27 August 2026, the Ministry of Finance (MOF) and the State Taxation Administration (STA) issued the Announcement on Clarifying Value-Added Tax Matters Including Non-taxable Transactions It takes effect on 1 September 2026.

The announcement addresses a boundary question that foreign-invested groups meet constantly: when a receipt or payment is not itself a taxable transaction under the VAT Law, how should the related input tax be treated? The announcement sets out two express lists — six situations on the positive side and four on the negative side — and a definitional clarification on agricultural-product sales invoices.

The legal backdrop: the VAT Law, the implementing regulations and Article 22

The Value-Added Tax Law of the People’s Republic of China and its implementing regulations took effect on 1 January 2026. Article 22 of the implementing regulations first introduced the concept of a “non-deductible non-taxable transaction” — that is, a non-taxable transaction whose related input tax is not deductible.

That concept created the practical difficulty. A group may receive a payment that is plainly outside the scope of VAT (a dividend, an insurance recovery, a policy subsidy), yet still incur input tax on the costs behind it. Whether that input tax can be credited depends on whether the receipt falls inside or outside the Article 22 concept. Announcement 2026 No. 25 draws that line with two lists.

The six situations outside the “non-deductible” category (Article 1)

Article 1 provides that the following six situations do not constitute a “non-deductible non-taxable transaction” as referred to in Article 22 of the implementing regulations, so the corresponding input tax may be deducted:

  1. Receiving an insurance payout as the insured
  2. Accepting a donation of monetary or non-monetary assets
  3. Obtaining income such as liquidated damages because a contract was not performed and no taxable transaction occurred
  4. Providing services free of charge, excluding the gratuitous transfer of financial products
  5. Transferring receivables and similar claims arising from one’s own taxable transactions, excluding securities
  6. Fiscal subsidies obtained under relevant policy provisions and not directly linked to the revenue or quantity of the goods, services, intangible assets or immovable property sold

The list is a positive enumeration: it tells taxpayers that these six flows do not strand the input tax behind them.

The four situations inside the “non-deductible” category (Article 2)

Article 2 confirms four situations that are “non-deductible non-taxable transactions” as referred to in Article 22, so the corresponding input tax is not deductible:

  1. Supplies of goods, services, intangible assets or immovable property that do not fall within the situations listed in Article 4 of the VAT Law as a taxable transaction occurring within China
  2. Paid transfer of equity, excluding securities
  3. Dividends from holding equity (excluding securities) and dividends from holding ordinary shares of a joint-stock company (including securities)
  4. Goods-futures trading, excluding the physical-delivery leg

The announcement expressly lists these four situations as non-deductible. It does not state that anything outside the four is deductible; the positive side of the rule is set out separately in Article 1.

Agricultural-product sales invoices (Article 3)

Article 3 provides that the agricultural-product sales invoice among VAT deduction vouchers refers to the ordinary invoice issued by an agricultural producer selling self-produced agricultural products under the VAT exemption policy. This pins down what counts as a qualifying voucher for agricultural-product input deduction.

Companion rules: withholding VAT on natural persons (Announcements 28 and 19)

Two instruments issued in the same period sit alongside Announcement 25:

  • The Announcement on Issuing the Measures for the Administration of Withholding and Paying VAT on Natural Persons by Domestic Entities (财政部 税务总局公告2026年第28号), issued on 3 September 2026.
  • The STA Announcement on Matters Concerning the Filing of VAT Withheld and Paid on Natural Persons by Domestic Entities (国家税务总局公告2026年第19号), issued on 4 September 2026 and effective 1 November 2026, which publishes the *Return Form for VAT and Surcharges Withheld and Paid on Natural Persons by Domestic Entities* and its attachments.

For groups that engage natural persons for services in China, these two instruments define the withholding and filing mechanics that accompany the substantive rules in Announcement 25.

Mapping the lists for foreign-invested groups

Foreign-invested groups in China — holding platforms, regional headquarters and shared-service centres — run a recurring set of flows. The value of the two lists is that each flow can now be mapped to a side.

Holding platforms and regional headquarters

A China holding platform typically holds equity in operating subsidiaries and funds itself partly through dividends. Dividends from holding equity fall within the negative list (Article 2, item 3). The practical consequence is that input tax on costs supporting that dividend flow is not deductible, and the platform’s cost base should be read on that basis.

Equity transfers and dividends

A paid transfer of equity falls within the negative list (Article 2, item 2), as do dividends (Article 2, item 3). Both are expressly enumerated as non-deductible non-taxable transactions. Groups restructuring their China holdings should therefore treat the input tax on related advisory, legal and administrative costs accordingly.

Intra-group gratuitous services

Providing services free of charge falls on the positive list (Article 1, item 4), with the express carve-out for the gratuitous transfer of financial products. Where a group provides a service to an affiliate without charge, this item is the one to read first.

Government subsidies

A fiscal subsidy not directly linked to sales revenue or quantity is on the positive list (Article 1, item 6). The announcement’s wording turns on the linkage test: subsidies tied directly to the revenue or quantity of what is sold sit outside this item, while policy-based subsidies that are not so linked are within it.

Insurance payouts

Insurance payouts received as the insured are on the positive list (Article 1, item 1). A group that recovers on an insured loss can locate that receipt on the positive side.

What this means for transaction-structure design

The operational takeaway is that input-VAT treatment should be considered when a transaction structure is designed, not only when the return is filed. Two design habits follow from the two lists.

First, know which side a flow sits on before the structure is fixed. Dividends and equity transfers are on the negative list; insurance payouts, donations, unperformed-contract penalties, gratuitous services, related receivables transfers and unlinked subsidies are on the positive list. A structure that routes a group’s funding or services through a particular entity will carry the input-VAT consequences of the flows that entity receives.

Second, separate linked from unlinked subsidies at the drafting stage. Because Article 1, item 6 turns on whether a subsidy is directly linked to sales revenue or quantity, the documentation of a subsidy — what it is for and how it is calculated — matters to its treatment.

For foreign-invested groups, the announcement’s contribution is clarity of boundary: it fixes where the two lists begin and end, and leaves the design of the structure to the taxpayer.

Foreign-Invested R&D Centres in China: Support Policies, Imported Research Supplies and IP Positioning under the 2026 Action Plan |

Overview

The Action Plan for Stabilising and Optimising Foreign Investment (MOFCOM, NDRC and MOF, document No. 97 of 2026, completed on 16 June 2026 with State Council approval) contains a dedicated measure on R&D centres. Under Part Two, item (7), it calls for vigorously attracting foreign-invested enterprises to establish R&D centres in China, with five supporting elements set out below.

An R&D centre in China is not simply a cost centre attached to a factory. It sits where market access, tax and intellectual property meet, and its value depends on whether research results become assets the group can protect, license and operate. This article sets out the official wording, the tax position of imported research supplies, how a centre differs from a factory or a regional headquarters, and the steps that turn a research presence into a productive one.

The measure in the 2026 Action Plan

The provision is short and programmatic, with five building blocks:

  • Improving support policies for foreign R&D centres. The Plan does not restate the criteria; it directs that the support framework be improved.
  • Facilitating the introduction of foreign high-level talent. Talent mobility is part of the R&D-centre package, linking the measure to the work-permit and talent-administration regime.
  • Supporting open innovation platforms, practical training bases and new-type R&D institutions. This recognises centres that collaborate with universities, institutes and industrial partners rather than operating as closed corporate laboratories.
  • Increasing support for the transformation of innovation results. Commercialisation, not only discovery, is written into the measure.
  • Enjoying import tax preferences for scientific research supplies in accordance with law. The Plan affirms the entitlement by reference to the applicable law rather than creating a concession of its own.

Two adjacent provisions frame the demand side. Part One, item (1), on services-sector opening, calls for steadily expanding pilot openings for vocational-skills training institutions, vocational colleges and high-level science, engineering, agriculture and medical universities, and for supporting Beijing’s national comprehensive demonstration zone for services opening, with pioneering measures in the digital economy and healthcare. Part One, item (3) calls for promptly issuing implementation rules for segmented drug production, seeking approval to further expand pilot regions for biotechnology and wholly foreign-owned hospitals, supporting insurers in bringing more innovative drugs and devices into commercial insurance coverage, and building platforms that ease the entry of foreign-invested enterprises’ drugs into pharmaceutical retail channels.

Imported research supplies: what “in accordance with law” means in practice

The import-tax element is deliberately general. The Plan affirms that foreign R&D centres may “enjoy import tax preferences for scientific research supplies in accordance with law”, and sets out no thresholds, covered-goods list or procedure of its own. Those details live in the import tax policy for scientific and technological innovation and in the provincial qualification review measures that implement it.

The consequence is procedural rather than interpretive. A centre intending to rely on the preference should confirm with the competent commerce, finance, customs and tax authorities the framework in force and the applicable qualification criteria. It should keep documentary evidence of its research substance — investment or research input, full-time research personnel, equipment purchased — because qualification is assessed against such indicators rather than the centre’s name. It should also verify item by item that the goods it wishes to import meet the applicable conditions, since the preference is bounded by those conditions rather than being a general exemption.

R&D centre, factory and regional headquarters: three different positions

A manufacturing company holds production-related licences and is assessed on output, quality and environmental performance; a regional headquarters is mainly a management, co-ordination and shared-service vehicle; an R&D centre is oriented to research and to the transformation of results. The difference matters in three places.

Licensing and approvals. The approvals, filings and supervisory expectations for a research entity differ from those for a production entity. A group planning to move a project from laboratory to pilot to production should design the entity chain in advance rather than assume that the R&D entity can carry the whole pipeline.

Intellectual-property ownership. Results created by employees in the course of their work raise questions of ownership and reward, which should be settled in employment contracts and internal rules and, where group companies are involved, in inter-company agreements on ownership, licensing and transfer.

Technology flows across the border. China administers technology import and export through classified management: free-category technology contracts are handled through registration, restricted-category technology requires licensing. A centre licensing technology to its overseas parent, or introducing technology from abroad, should complete the applicable formalities; the classification of the specific technology determines the route.

Turning results into protectable, operable assets

Patent layout. Filing strategy should be part of project design — deciding early which results are filed, where and in whose name. The revised Measures for the Prioritised Examination of Patents (State Intellectual Property Office Order No. 85), published on 28 July 2026 and effective from 1 September 2026, replaced the 2017 measures and steer fast-track examination toward high-quality applications serving emerging and future industries. For a portfolio concentrated in such fields, prioritised examination is one available accelerator; the substantive requirements and the grounds on which it will not be granted should be checked against the current measures, and the service carries no additional fee.

Contractual architecture. Collaboration with universities, institutes and partners should be documented, with clarity on background and foreground rights, publication and the treatment of jointly created results.

Commercialisation pathway. The emphasis on result transformation, read with the healthcare openings above, suggests that centres should plan the downstream route from the outset: pilot and scale-up capacity, approvals, and the commercial channels available.

Service safeguards

The Plan also addresses what happens after a project lands: it calls for fully implementing national treatment for foreign-invested enterprises and for a special rectification campaign in government procurement to remove barriers; it strengthens the “Invest in China” brand, provides for monthly roundtable meetings with foreign-invested enterprises, and establishes dedicated task forces for key foreign investment projects to provide “point-to-point” service.

Practical steps

  1. Read item (7) with items (1) and (3), which determine where results can go.
  2. Settle the entity design — R&D, pilot and production entities, and any regional headquarters — and map licences accordingly.
  3. Document the centre’s research substance from the start, so that qualification reviews rest on evidence rather than assertion, and confirm the current import-tax policy and its conditions before committing to equipment purchases.
  4. Write intellectual-property arrangements into employment contracts and inter-company agreements, covering ownership, licensing, transfer and cross-border technology flows.

Guangdong’s Greater Bay Area Data Special Zone Work Plan: What Cross-border Data Rules Mean for Foreign Firms (2026) |

Overview

Guangdong has published a work plan to build a data special zone across the Guangdong-Hong Kong-Macao Greater Bay Area. The Work Plan for Building the Guangdong-Hong Kong-Macao Greater Bay Area Data Special Zone was drafted and issued by the Guangdong Provincial Government Services and Data Management Bureau and publicly released on 15 September 2026. It sets quantified targets to the end of 2027 and the end of 2028, organises its measures into five task areas, and leans on two existing instruments — the Greater Bay Area standard contract for personal information cross-border flow and the data export negative list. For foreign firms with data-intensive operations in the region, the plan is best read together with the national threshold rules issued by the Cyberspace Administration of China in September 2026. This article sets out the targets, the five task areas, the national baseline and what it all means in practice.

Targets to 2027 and 2028

The plan sets two milestones. By the end of 2027, cross-border data is to become markedly more standardised, facilitated and large-scale, and 50 replicable, promotable key cross-border data scenarios are to be built. By the end of 2028, the cross-border data industry is to exceed RMB 200 billion in scale, the value added of related manufacturing, services and other industries driven by the cross-border data industry is to reach RMB 1 trillion, and the Greater Bay Area is to be helped to become the bay area with the highest level of digitalisation in the world.

The structure of the targets is telling: the first milestone is about scenarios and process, the second about industrial scale. That sequencing suggests the near-term work is about building usable pathways and reference cases rather than immediately maximising volume.

Five task areas

Special institutional rules

The first task area is to make full use of the special institutional rules. The plan calls for deepening application of the Greater Bay Area standard contract for personal information cross-border flow, and for exploring a filing “green channel” and “one filing, multiple uses”. It also calls for promoting wide application of the data export negative list and for exploring extending that list’s scope to the entirety of Guangzhou and Shenzhen as national comprehensive pilot cities for opening up the services sector. It further calls for developing “Bay Area standards” for digital technology and promoting mutual recognition of rules and standards. The wording matters: the green channel and the multiple-use filing are framed as exploration, not as an operating facility.

Specific infrastructure

The second task area is infrastructure. The plan advances cross-border computing interconnection such as “Hong Kong data, Guangdong computing” and “Macao data, Guangdong computing”; it provides for a provincial blockchain network and a cross-border trusted data space, and explores “space as a service”; and it calls for optimising the cross-border communications hub, including support for basic telecommunications carriers to expand direct optical cables to Hong Kong and Macao.

Characteristic application scenarios

The third task area is scenarios. Around industry, livelihood and governance, the plan deploys nine categories of scenario — data services, healthcare, education, scientific research, manufacturing, trade, finance, facilitation services and collaborative governance. Named examples include processing of inbound data, cross-border diagnosis and treatment, intelligent connected vehicles, transparent cross-border e-commerce, digital RMB and social security services under “Bay Area Connect”. For foreign firms, these are the areas where a cross-border data pathway is most likely to be relevant in day-to-day operations.

Service ecosystem

The fourth task area is the service ecosystem. The plan provides for a data special zone innovation cooperation centre and for cultivating three kinds of ecosystem — compliance and security, circulation and trading, and technical services — with the aim of lowering the threshold for firms to achieve cross-border compliance and to apply data across borders.

International cooperation platforms

The fifth task area is international cooperation. The plan supports Guangzhou (Nansha), Shenzhen (Qianhai and Hetao), Hengqin and Shantou in deepening cross-border data cooperation with countries under the Belt and Road Initiative, Portuguese-speaking countries, and regions such as Southeast Asia and Latin America, each building on its own strengths.

The national baseline: three export paths

The Greater Bay Area plan sits under national rules, and the operative quantitative boundary is set out in the Cyberspace Administration of China’s Questions and Answers on Policies and Regulations for Data Export Security Management (September 2026), released on 11 September 2026. For operators that are not critical information infrastructure operators, where the cumulative volume of personal information provided overseas since 1 January of the year is 100,000 or more but fewer than one million individuals (excluding sensitive personal information), or fewer than 10,000 individuals’ sensitive personal information, the information may be exported by concluding a standard contract or by obtaining personal information export certification. Where the volume reaches one million or more individuals’ personal information (excluding sensitive personal information), or 10,000 or more individuals’ sensitive personal information, a data export security assessment must be filed for. The Q&A also makes clear that “quantity splitting” and similar methods may not be used to evade the security assessment. The Provisions on Promoting and Regulating Cross-border Data Flows remain an upper-level regulation in this area.

In practice, this yields three paths: a standard contract, certification, or a security assessment. Which applies turns on the category and volume of data, and on whether the operator is a critical information infrastructure operator.

What it means for foreign firms

Three practical points follow. First, map your volumes before you design the pathway. Determine whether the personal information you send overseas is sensitive or not, count the cumulative number of individuals since 1 January of the year, and test that figure against the national thresholds; a standard contract or certification is available in the lower band, while the higher band requires a security assessment. Do not split flows to stay under a threshold, because the Q&A expressly prohibits that.

Second, treat the Greater Bay Area facilities as under exploration. The filing “green channel” and “one filing, multiple uses” are described in the plan as things to explore, not as facilities already built or running. Likewise, extending the data export negative list to the entirety of Guangzhou and Shenzhen is framed as something to explore. Firms should therefore plan on the basis of the current standard contract and negative-list arrangements, and track the pilot developments as they are announced, rather than assuming a fast-track filing is already available.

Third, match your sector to the scenarios. Cross-border diagnosis and treatment, intelligent connected vehicles, transparent cross-border e-commerce and finance are among the nine scenario categories named in the plan, and are the areas where a compliant cross-border data pathway is most likely to align with business needs. A foreign firm active in these areas in the Greater Bay Area can use the scenario list as a guide to where the regional policy energy is concentrated.

On 22 September 2026 the State Administration for Market Regulation published a draft revision of the Outbound Antitrust Compliance Guidelines for public comment, with feedback due by 29 September 2026. The draft is the first systemic revision of the guidelines issued in 2021, which had five chapters and 27 articles; the revised text runs to 33 articles and six appendices. Because it is a consultation draft, the 2021 guidelines remain the operative text. The signals matter to cross-border dealmaking: the draft folds digital-economy enforcement into the core chapters, updates merger notification thresholds in the EU, the United States and Germany, adds private civil antitrust litigation to the risk map, and asks companies to watch foreign investment security review and foreign subsidy review regimes.

Scope: who the guidelines speak to

The guidelines apply to Chinese companies doing business abroad and to companies operating in China whose activities may affect overseas markets, and the existing rules cover activities including exports, overseas investment and mergers and acquisitions. That scope is why the draft is worth reading even for groups that are not Chinese-owned: a China-based entity whose conduct reaches an overseas market can sit inside the same framework, and its compliance programme has to be built for the jurisdictions the draft now describes in detail.

What the consultation proposes

The regulator said the revision responds to five years of change: major jurisdictions have overhauled their antitrust rules, enforcement has intensified, digital platform conduct is scrutinised more closely, and cross-border merger review has tightened, while the 2021 text did not reflect digital-economy enforcement or the new merger-review landscape. It also noted that, as China’s trade scale and corporate globalisation have grown, some key industries and firms have faced overseas antitrust investigations or litigation, raising the challenges and risks of operating abroad.

Three revision priorities

Digital economy and updated merger thresholds

The draft embeds overseas enforcers’ digital-economy concerns in the chapters on monopoly agreements, abuse of market dominance and concentrations of undertakings. It updates the latest merger notification thresholds of major jurisdictions including the EU, the United States and Germany, and advises companies to pay attention to foreign investment security review and foreign subsidy review regimes.

Private civil antitrust litigation

Against a high incidence of extraterritorial antitrust litigation and investigations, the draft adds, alongside administrative fines and criminal liability, the rules of major jurisdictions on bringing private civil antitrust lawsuits — filling a gap in the 2021 guidelines.

Jurisdiction-by-jurisdiction detail

The draft selects representative jurisdictions: those with active antitrust enforcement, large volumes of Chinese investment and M&A, and distinctive antitrust regimes. It turns the 2021 text’s general “some jurisdictions…” wording into itemised descriptions, so that companies can identify risk effectively when investing, acquiring or operating in a given jurisdiction.

New chapter, cases and appendices

The draft adds a chapter on “service support and access to compliance resources”, covering professional service resources, support from social organisations, government service support, channels for obtaining compliance information and the building of a compliance resource library, and setting out how companies obtain remedies and raise issues with the authorities. It adds 15 typical cases from recent global antitrust litigation and investigations, describing the background, the outcome and the compliance lessons. Six appendices turn the guidance into a working toolkit: a self-check list of overseas antitrust risks, key points for building a compliance management system, a dawn-raid response process, an antitrust litigation response process, a merger notification and review process, and the concentration notification standards and features of selected jurisdictions.

Status: a draft, not yet in force

The document is a consultation draft. Comments close on 29 September 2026, and the text has not been finalised or brought into effect. The operative guidance remains the 2021 version. Readers should treat the draft as a signal of direction rather than as a current legal standard.

What it means for foreign-invested groups

For foreign-invested enterprises and their overseas parents, the draft is a map of how Chinese regulators classify and frame “overseas antitrust risk” in cross-border M&A and in global compliance programmes. Because it also flags foreign investment security review and foreign subsidy review, groups designing two-way investment structures should place China-side security review and host-country-side review on the same timeline and condition list, rather than treating an antitrust filing as the only regulatory gate. In practice, a deal timetable should carry, side by side, the merger notification in each relevant jurisdiction, any security review triggered in the host country, and any China-side review that the structure brings into play. The draft’s value lies less in new prohibitions — it introduces none — than in the checklist discipline it imposes on how those threads are tracked.

Practical steps for deal teams

Map each target jurisdiction’s merger notification thresholds against the draft’s updated list; check whether the transaction touches digital-economy conduct that enforcers scrutinise; add private civil litigation exposure to the risk register; and use the six appendices as templates for the deal file. Keep a dated record of the thresholds applied, so that a later revision can be reconciled against the position taken at signing. Because the text is a draft, verify the final version before relying on any specific threshold.

Beijing’s Huairou FTZ Linked Development Zone: Implementation Plan, Industry Focus and the “Going-Global Station” Service Matrix |

Overview

In August 2026 Huairou was formally included in the China (Beijing) Pilot Free Trade Zone linkage development zones, the step being taken on 6 August 2026. On 13 September 2026 the Huairou session of the 2026 China International Fair for Trade in Services — held at the Deloitte Academy under the theme “Sci-Tech Empowerment, Shared Openness” — released the Implementation Plan for Building the Huairou Linkage Development Zone of the China (Beijing) Pilot Free Trade Zone.

This article deals only with the Huairou zone: its own implementation plan, spatial scope, task list, service matrix and investment data. It does not restate the city-wide linkage-zone mechanism — how linkage zones are defined and the rules shared across the zones — which is a separate subject; readers looking for the general framework should consult that material instead.

The plan and its spatial scope

The plan sets the implementation area at 11.07 square kilometres, made up of two parts: the Huairou Science City core area and an industrial transformation demonstration area. The functional positioning is that of a demonstration zone for disruptive innovation sourcing and the transformation of scientific and technological achievements.

That positioning explains the two-part design. The core area is where basic research, large-scale scientific facilities and national strategic scientific and technological capabilities are concentrated. The industrial transformation demonstration area is where results are taken through pilot testing towards production. For a company deciding where to place an activity, the distinction matters: a research or validation function points to the core area, while a pilot, scale-up or early manufacturing function points to the transformation area.

Two industries, four boards, 17 tasks

The plan focuses on two industries — healthcare and integrated circuits — and organises its work around four boards: healthcare, integrated circuits, scientific and technological innovation resources, and factor guarantees. Across these four boards it deploys 17 key tasks.

The first batch of industrial projects named in the plan includes a high-throughput small-molecule drug screening platform and a 6/8-inch MEMS public pilot-testing platform. Both are platform-type projects: they are intended to be shared infrastructure rather than facilities for a single occupier, which is relevant to smaller research-stage companies that could not justify building such capacity alone.

The industry choice is consistent with the facilities already located in the district. The healthcare board draws on the science city’s research base; the integrated circuits board draws on the same concentration of scientific and technological resources, with MEMS pilot testing bridging the two.

The “Going-Global Station” service matrix

The distinctive feature of the Huairou launch is the service layer built around the plan. Three “Going-Global Station” service stations were formally awarded at the event:

  • a consulting station, undertaken by the Deloitte Academy;
  • a legal services station, undertaken by Yihe Law Firm;
  • a financial services station, undertaken by Bank of China Beijing Huairou Sub-branch.

Drawing on the global networks and professional capabilities of the host organisations, the stations provide services in going-global strategy planning, international market access, foreign-related legal protection and international resource matching.

The Deloitte side described its own reach at the event: service institutions in more than 150 countries and regions, and Chinese-speaking global service group colleagues deployed in more than 100 countries and regions. Its services cover going-global strategy planning, the design of human-resource structures and of going-global information systems, and matters of concern to companies such as tax questions and compliance in cross-border data flows.

For a foreign-invested enterprise, the practical value of the matrix is that it aggregates advisory, legal and financial support behind three named institutions rather than leaving the company to assemble providers itself. A company already operating in the district, or a Chinese-invested company expanding abroad from it, can approach the relevant station directly according to the issue at hand.

The cooperation alliance and the district’s investment data

A Huairou District Going-Global International Cooperation Alliance was also established, bringing together more than 50 key foreign-invested and foreign-trade enterprises. At the event, plaques were awarded to a group of key foreign-invested and foreign-trade enterprises including Jiannaixi Biotechnology, Shuanghesheng Five-Star Brewery, Mars Foods and Amazon Tong Technology Services; reporting on 16 September 2026 added Reynolds among the representatives receiving plaques.

The district’s investment figures give the context. Actually-utilised foreign investment has reached USD 355 million, an increase of 472 per cent year on year and a record high, with a full-year forecast of USD 600 million. In the first seven months of the year, total import and export ranked first among the city’s ecological conservation districts, with both imports and exports growing and exports up more than 30 per cent.

What the plan means for foreign enterprises

Three points are worth extracting for a company considering the zone.

Platform access. The named first-batch projects — the drug screening platform and the MEMS pilot-testing platform — are shared facilities. For a company whose work depends on pilot capacity it would not build itself, the relevant question is how access is arranged and on what terms, which is a matter to confirm with the zone.

Facility sharing as a stated direction. The district’s next steps include opening up the sharing of large-scale scientific facilities and major research instruments, and connecting the complete innovation chain from laboratory to small-scale and pilot testing to industrialisation. Taken with the platform projects, this signals that the science city’s equipment is intended to be reachable by enterprises, not reserved for institutes.

Policy delegation and stress testing. The district has also stated that it will replicate and extend the mature reform results of the Beijing Pilot Free Trade Zone, organise industrial innovation stress tests, continue to optimise the business environment, actively promote the delegation of Beijing Pilot Free Trade Zone policies, and connect the innovation chain described above. For a foreign investor, “stress testing” and “policy delegation” are the terms that indicate where pioneering measures may become available first — worth raising directly with the district commerce authorities when assessing a project.

Practical steps

  1. Decide which part of the zone fits the activity: research and validation in the science city core area, or pilot, scale-up and early production in the industrial transformation demonstration area.
  2. Identify which of the two industries and which of the four boards the project falls under, since the 17 tasks are organised along those lines.
  3. Ask the zone how access to the drug screening platform and the MEMS pilot-testing platform is arranged, and on what terms, before designing a project that depends on them.
  4. Approach the relevant “Going-Global Station” station — consulting, legal or financial — according to the issue, rather than assembling separate providers.
  5. Consider the Going-Global International Cooperation Alliance as a route to counterpart enterprises already active in the district.
  6. Raise questions on policy delegation, stress testing and facility sharing with the district commerce authorities at project-design stage.

  • 咨询服务站,由德勤书院承接;
  • 法律服务站,由易和律师事务所承接;

China’s Autumn 2026 Trade and Investment Promotion Calendar: CIFIT, the 140th Canton Fair and the Global Digital Trade Expo | 2026

Overview

China’s autumn trade-and-investment season in 2026 runs from early September to early November, bookended by three national-level platforms: the 26th China International Fair for Investment and Trade (CIFIT) in Xiamen on 8–11 September, the fifth Global Digital Trade Expo (GDTE) in Hangzhou on 23–27 September, and the 140th China Import and Export Fair — the Canton Fair — in Guangzhou from 15 October to 4 November.

For a foreign company planning a China entry, expansion or sourcing push, the calendar is a sequence of dated opportunities. This guide maps what each platform is for and when it happens, and focuses on how the Canton Fair’s buyer-facing logistics, and the investment-promotion machinery behind CIFIT, convert a visit into a landed project.

The autumn 2026 calendar at a glance

  • 26th CIFIT — Xiamen, 8–11 September 2026, under the permanent theme “expanding two-way investment for shared global development”.
  • Fifth GDTE — Hangzhou, 23–27 September 2026, the national-level specialised fair for digital trade.
  • 140th Canton Fair — Guangzhou, 15 October to 4 November 2026, in three phases.

The 140th Canton Fair: dates, scale and phases

Assistant Minister of Commerce Zhang Li presented the 140th session at a State Council Information Office press conference on 18 September 2026. The fair runs from 15 October to 4 November 2026 at the China Import and Export Fair Complex in Guangzhou, and is co-hosted by the Ministry of Commerce and the Guangdong provincial government, with the China Foreign Trade Centre as organiser. It is held in three phases:

  • Phase 1, 15–19 October — advanced manufacturing.
  • Phase 2, 23–27 October — quality home products.
  • Phase 3, 31 October–4 November — a better life.

The scale is the fair’s defining feature: a total exhibition area of 1.55 million square metres, 54 specialised exhibition sections and more than 75,000 booths, with more than 30,000 enterprises exhibiting. For reference, the 139th session drew 314,000 overseas buyers from 220 countries and regions.

What this edition emphasises

Three figures from the 18 September briefing frame the edition. Of the 32,000 exhibiting enterprises, more than 11,000 are “little giants”, single-item champions and other high-quality firms. Sixty-four per cent of exhibitors apply new technologies such as the industrial internet and artificial intelligence. New products account for 23.2% of exhibits and green products 26% — both record highs.

The fair is also embedding artificial intelligence in its own operation: it introduces 22 smart application scenarios and 16 AI-specific applications for the first time, and will provide booth-level navigation and augmented-reality booth information. On the services side, the trade-services zone is upgraded and covers all ten categories of producer services for the first time, with 36.5% of exhibitors shifting to a “product plus service” model.

Buyer convenience: pre-registration, visas and customs

Buyer logistics have been adjusted.

  • Pre-registration. Overseas buyer pre-registration is open year-round for the first time. The China Foreign Trade Centre reports that buyers from 196 countries and regions — more than 210,000 people — have pre-registered, with professional buyers close to 80% of them.
  • Badge collection. New buyers can obtain badges free of charge at remote counters including airports, railway stations, ports, designated hotels and the Hong Kong office.
  • Visas and entry. Guangdong has rolled out 29 upgrading measures, set up dedicated Canton Fair channels at key ports including Baiyun Airport, and is applying the 240-hour visa-free transit policy, with dedicated counters and same-day processing.
  • Customs. Exhibition-goods filing, declaration and appointment-based customs clearance are handled online end to end.
  • In-city movement. Guangzhou has arranged dedicated channels at the airport and the Pazhou port, dedicated bus and metro timetables, and more than 2,000 taxis and ride-hailing vehicles dispatched daily.

CIFIT and the Global Digital Trade Expo, in brief

CIFIT — the “9-8” fair — held its 26th session in Xiamen on 8–11 September 2026. Its exhibition area expanded from 120,000 to 200,000 square metres, it moved to the Xiamen International Expo Centre, and it introduced dual guest countries of honour (Saudi Arabia and Finland) and dual guest provinces. Organisers reported participants from 129 countries and regions and 30 international organisations, more than 1,200 government and business delegations, and total attendance above 100,000.

The fifth Global Digital Trade Expo was introduced by Vice-Minister of Commerce Yan Dong at a State Council Information Office press conference on 7 September 2026 and ran in Hangzhou on 23–27 September. It is the platform to watch for digital trade, e-commerce and artificial-intelligence-related market entry.

Turning exhibition leads into landed projects

The Action Plan for Stabilising and Optimizing Foreign Investment, issued in 2026, sets out in Part Three, “improving the level of investment promotion”, the machinery that sits behind these fairs. It commits to strengthening the “Invest in China” brand, holding a foreign-invested enterprise roundtable every month, and establishing a task force for key foreign-invested projects that provides point-to-point service.

Read alongside the fairs, that machinery turns a booth conversation into a project. The Ministry of Commerce describes CIFIT as the signature “Invest in China” exhibition, to be built into a high-level platform for two-way investment promotion, authoritative information release and investment-trend discussion, and invites localities to join “Invest in China” overseas activities for project matching and local business-environment promotion. The ministry, with the Ministry of Foreign Affairs and 11 other units, also publishes the annual Guide to Working and Living in China for Foreign Business People, in Chinese and English.

Practical notes for foreign investors

  • Work the calendar backwards from the project. Decide whether the goal is sourcing (Canton Fair), investment promotion (CIFIT) or digital-trade partnership (GDTE), and match the visit to the phase.
  • Register early for buyer status. Year-round pre-registration and remote badge counters reduce the friction of a first visit.
  • Use the entry channels. The 240-hour visa-free transit policy and dedicated port channels are the practical layer beneath a fair visit; check eligibility before booking.
  • Prepare the customs side. For exhibitors, online filing, declaration and appointment-based clearance mean the paperwork can be settled before the goods move.
  • Plan the follow-up. The roundtable and key-project task-force mechanisms are the domestic channels through which an exhibition lead becomes a filed, serviced project.

China’s Foreign M&A Rules Revision and the Nationwide Rollout of MNC Cross-border Cash Pooling (2026)

  • The Action Plan for Stabilising and Optimizing Foreign Investment (Shangzi Fa [2026] No. 97) commits China to expediting the revision and promulgation of the rules on foreign investors’ M&A of domestic enterprises and to optimising the M&A administration process and the consideration-payment requirements — but no revised text has been published, so the rules in force today remain the operative baseline.
  • The same Action Plan allows qualified foreign equity investment institutions to participate, as strategic investors, in securities issuance by listed companies in unrelated industries.
  • The PBOC and SAFE notice on multinational companies’ cross-border RMB and foreign-currency cash-pooling business, issued 14 August 2026 and effective 14 September 2026, further lowers the pool threshold, supports small and medium-sized multinationals more broadly, applies an even lower pool-establishment threshold where the lead enterprise is registered in a pilot free-trade zone, and simplifies filing and registration.
  • Under the notice, groups may centralise members’ foreign-debt and outbound-lending quotas, decide their own fund-collection ratio, and use a single account to manage both RMB and foreign-currency funds; the notice repeals the SAFE rules on cross-border centralised fund operations (Hui Fa [2019] No. 7).

  • Two cash-pooling regimes coexist — the integrated RMB and foreign-currency pool rolled out nationwide in December 2025 and the cross-border cash-pooling business covered by the 2026 notice — and they are layered and tiered rather than interchangeable.
  • Early implementation is visible: Shanghai’s first eight multinationals completed filing with 55 domestic and 10 overseas member enterprises, centralised foreign-debt quotas above RMB 50 billion and outbound-lending quotas above RMB 8 billion; Tianjin, Zhejiang, Fujian and Chongqing have also reported first deals.

China’s Foreign M&A Rules Revision and the Nationwide Rollout of MNC Cross-border Cash Pooling (2026) |

Overview

Two policy tracks moved in parallel in 2026 for foreign investors in China. On the investment side, the Action Plan for Stabilising and Optimizing Foreign Investment (Shangzi Fa [2026] No. 97), issued by MOFCOM, the NDRC and the Ministry of Finance and endorsed by the State Council, commits China to expedite the revision and promulgation of the rules on foreign investors’ M&A of domestic enterprises, optimise the M&A administration process and the consideration-payment requirements, and strengthen inter-departmental regulatory coordination; it also allows qualified foreign equity investment institutions to participate, as strategic investors, in securities issuance by listed companies in unrelated industries. On the treasury side, the People’s Bank of China and the State Administration of Foreign Exchange issued a notice on multinational companies’ cross-border RMB and foreign-currency cash-pooling business on 14 August 2026, effective 14 September 2026. This article explains both instruments, how the two cash-pooling regimes fit together, where the first deals landed, and the practical path for foreign firms.

The Action Plan: what it commits to

Drafted on 16 June 2026 by MOFCOM, the NDRC and the Ministry of Finance and issued with the State Council’s approval, the Action Plan states in Part Two, item (4), headed “Improving the foreign M&A administration system”, that China will expedite the revision and promulgation of the rules on foreign investors’ M&A of domestic enterprises, optimise the M&A administration process and the consideration-payment requirements, and strengthen inter-departmental regulatory coordination. It also allows qualified foreign equity investment institutions to participate, as strategic investors, in securities issuance by listed companies in unrelated industries.

One point of discipline matters. The Action Plan is a policy commitment: it directs that the revision be accelerated and published, but it does not itself publish a revised text, and no revised rules have been made public as of this writing. Investors should treat the rules in force today as the operative baseline while noting the direction of travel on process and consideration payment. The strategic-investor commitment opens a specific channel whose practical scope will depend on the implementing rules of the securities and foreign-investment authorities.

The August 2026 cash-pooling notice

The notice of the People’s Bank of China and the State Administration of Foreign Exchange on matters concerning multinational companies’ cross-border RMB and foreign-currency cash-pooling business was issued on 14 August 2026 and took effect on 14 September 2026. On access, it further lowers the threshold for cash-pooling business, supporting small and medium-sized multinationals to establish pools across a wider range; where the lead enterprise is registered inside a pilot free-trade zone, an even lower pool-establishment threshold applies. On facilitation, it eases the cross-border collection and allocation of RMB and foreign-currency funds, centralises member enterprises’ foreign-debt and outbound-lending quotas, allows multinationals to decide their own fund-collection ratio, and permits the use of a single account to manage both RMB and foreign-currency funds. On procedure, it simplifies filing and registration: business filing and registration are handled externally by the SAFE branch where the lead enterprise is located, and some change registrations may be handled directly at the partner bank. The notice also repeals the SAFE notice on the administration of multinational companies’ cross-border centralised fund operations (Hui Fa [2019] No. 7).

The design lowers both the fixed cost of setting up a pool and the ongoing administrative cost of running one: lower thresholds widen the eligible population, a single account and self-determined collection ratios give treasury teams flexibility, centralised foreign-debt and outbound-lending quotas let a group deploy its balance sheet as a whole, and bank-handled change registrations shorten the loop from decision to implementation.

Two regimes coexist: layered and tiered, not interchangeable

A frequent misreading is to treat the 2026 notice as a replacement for the integrated RMB and foreign-currency cash pool that was rolled out nationwide in December 2025. The two are separate regimes that coexist; they are layered and tiered — higher and lower versions serving different populations and different needs — and should not be conflated. The distinction determines which instrument a group targets: the integrated pool is the more comprehensive regime, while the business covered by the 2026 notice is the more accessible, threshold-oriented one. A group should not assume that qualifying for one means qualifying for the other, or that a filing completed under one is valid under the other.

Where the first deals landed

Official disclosures show rapid take-up after 14 September 2026. The Shanghai branch of SAFE reported that the first eight multinationals in Shanghai completed filing, involving 55 domestic and 10 overseas member enterprises, with centralised foreign-debt quotas exceeding RMB 50 billion and outbound-lending quotas exceeding RMB 8 billion. In Tianjin, two multinational groups completed filing, with a combined upper limit on centralisable funds of nearly RMB 100 billion. Zhejiang’s Wankai New Materials landed the first deal on 14 September and processed its first current-account centralised receipt of foreign exchange the same day. Fujian’s Hengshen Group completed filing, and Chongqing landed its first batch of business. For a foreign group, these cases signal that the filing channel is live and that early movers have tended to be groups with substantial cross-border current-account and financing flows.

Practical path for foreign firms

The M&A path

Design the transaction structure against the rules in force today, and separately track the Action Plan’s commitment on process and consideration payment. Because the revision has not been published, do not assume any particular new payment or process rule; build the deal so that it can accommodate a change in the process, and factor inter-departmental coordination into approval sequencing. For listed-company transactions, assess whether a qualified foreign equity investment institution can participate as a strategic investor in an issuance by a company in an unrelated industry, and confirm the implementing requirements with the securities and foreign-investment authorities.

The capital path

Four questions frame the choice. Size: is the group a large multinational or a small and medium-sized one? The 2026 notice widens support for the latter. Location: is the lead enterprise registered inside a pilot free-trade zone? If so, a lower pool-establishment threshold may apply. Regime: does the group want the more comprehensive integrated pool, or the cross-border RMB and foreign-currency cash-pooling business? The two are separate and should be assessed on their own terms. Channel: file and register through the SAFE branch where the lead enterprise is located, and check which change registrations can be handled directly at the partner bank.

China’s Nationwide Online Accommodation Registration for Foreign Nationals: What Changed on 21 September 2026

  • From 21 September 2026 the National Immigration Administration has rolled out nationwide online registration of foreign nationals’ accommodation outside hotels, after a pilot from 20 March 2026 in Hebei, Liaoning, Zhejiang, Hubei, Guangxi, Chongqing and Sichuan.
  • The legal duty is unchanged: under Article 39 of the Exit and Entry Administration Law, a foreign national staying outside a hotel must register with the public security authority of the place of residence within 24 hours of check-in, by himself or through the host.
  • Online filing runs through the NIA government-service platform, the “12367” application and the 12367 mini-programs on WeChat and Alipay, with the same legal effect as registering in person; the offline channel remains available.
  • The first registration at an address is to be assisted by the host, who may be a Chinese citizen or a foreign national; self-registration is available where the person has registered at the same address before or is staying in a home he or she owns in China.
  • No repeat registration is needed when returning to an owned home after travel inside or outside China, or when returning to a habitual residence within the validity of the same residence or permanent residence permit.
  • Visa-free entry does not exempt anyone: entry permission is a border formality while accommodation registration is a domestic legal duty, and online registration neither extends the permitted stay nor authorises work or study.
  • Failure to register can bring a warning and, under Article 76, an additional fine of up to RMB 2,000; keeping a screenshot of the submission is a simple safeguard.

China’s Nationwide Online Accommodation Registration for Foreign Nationals: What Changed on 21 September 2026 |

Overview

Since 21 September 2026, foreign nationals staying anywhere in China other than a hotel can register their accommodation online, nationwide. The National Immigration Administration announced the rollout in Public Notice No. 7 of 2026, after a pilot from 20 March 2026 in Hebei, Liaoning, Zhejiang, Hubei, Guangxi, Chongqing and Sichuan. The reform changes the channel, not the duty: Article 39 of the Exit and Entry Administration Law still requires registration within 24 hours of check-in, and online filing has the same legal effect as a counter visit. This article covers the legal basis, the channels, who may self-register, four common living arrangements, the host’s role and the risk of a missed deadline.

The legal basis and the 24-hour rule

Article 39 provides that hotel stays are registered by the hotel, which reports the information to the local public security authority, while a foreign national living or staying in any other accommodation must register with the public security authority of the place of residence within 24 hours of check-in, by himself or through the host. Two points follow. The 24-hour clock runs from check-in and is not limited to business hours. And the duty can fall on either the foreign national or the host — which is why a landlord, a company administrator or a friend who provides accommodation has an interest in the filing being made.

What changed on 21 September 2026

The change is nationwide online availability. The NIA notice states that, to improve convenience for foreign nationals staying outside hotels and building on the pilot, the online service was extended nationwide from 21 September 2026; online and counter registration have the same legal effect, and the offline channel remains. The pilot ran from 20 March 2026 in seven provincial-level regions and was to be extended progressively. Nothing in the notice shortens the duty or relaxes the 24-hour limit.

Channels and process

Official channels are the NIA government-service platform (website), the “12367” application, and the 12367 mini-programs on WeChat and Alipay. The user goes to “Foreigner Service”, selects “Accommodation Registration”, and submits after registering and completing identity authentication; the record can then be viewed under “Registration Record Query”. The platform carries an online guide, and the 12367 hotline is available for consultation; assistance is also available at the local exit-entry service window or police station.

Who can register online

Either the foreign national or the host may file. Because the host knows the property better, and to keep the information accurate, the first registration at an address is to be assisted by the host, who may be a Chinese citizen or a foreign national. Self-registration is available where the person has registered at the same address before, or is staying in a home he or she owns. An “owned home” is one owned by the foreign national or the spouse; a “habitual residence” is a long-term residence, “long term” meaning more than 180 days in China, per Article 36 of the Regulations on the Administration of Entry and Exit of Foreigners.

No repeat registration in two cases

No repeat registration is needed where the person lives in an owned home in China and returns after travel inside or outside China; or where the person holds a residence or permanent residence permit, lives at a habitual residence, and returns within the validity of the same permit. The simplification is tied to the same address and document, so moving house or changing permit restarts the ordinary duty.

Four situations in practice

Renting, or staying with friends or relatives

The foreign national or the host files online within 24 hours of check-in. On a first registration at the address, the host should assist; the host may be a Chinese or foreign national. A landlord renting to an expatriate family, or a friend putting up a colleague, is a host and can file on the guest’s behalf.

Owning a home in China

The owner can self-register, and later returns to an already-registered owned home need no fresh filing. The owned home is one owned by the foreign national or the spouse.

Hotel stays

The hotel registers the guest under the hotel-industry public-security rules and reports the information. The guest does not file individually, and the non-hotel online service is not the relevant channel.

Expatriate executives, employees and dependants

For a family in a leased apartment, or an employee in company housing or a talent apartment, the employer’s administrator can act as host and assist with the first registration. On a later return to the same registered address, the repeat-registration simplification may apply, depending on whether the address is an owned home or a habitual residence held with a residence permit. Visa-free entry changes none of this: the accommodation rules apply to visa-free entrants too, because entry permission is a border formality while accommodation registration is a domestic legal duty. Online registration neither extends the permitted stay nor authorises work, study or other activities requiring a specific visa category.

The host’s role

The law places the duty on the foreign national or the host, and the online guidance builds the host into the first registration at an address. For companies, the person handling housing — a relocation manager, an HR administrator or a local office manager — is a practical point of control. For individuals, a landlord or a friend providing accommodation should confirm the filing has been made.

Risk of late registration

Under Article 76, a foreign national or host who fails to register as required by Article 39(2) is given a warning and may additionally be fined up to RMB 2,000. The online channel removes the excuse of travelling to a counter, which raises the value of a simple internal reminder: file within 24 hours of check-in, and keep the record.

Practical steps

Agree before check-in who files. Complete identity authentication in advance so the 24-hour window is not consumed by setup. Have the host assist on a first registration at the address. After submission, keep a screenshot and the record shown under “Registration Record Query”. Note the two no-repeat cases, and that moving or changing permit restarts the duty. Visa-free visitors should not treat the absence of a visa as the absence of the registration duty.
