Dissolution & Deregistration of a WFOE | 外商独资企业的注销与清算
Overview
Closing a WFOE is materially harder than opening one. Liquidation and deregistration require settling creditors, employees, taxes, and the foreign-exchange position before the legal person ceases to exist. China offers two tracks — standard (liquidation) deregistration and simplified deregistration (简易注销) — plus a “one-window” cancellation that links market-regulation, tax, social-insurance, and customs systems. This note maps the voluntary liquidation steps, explains who qualifies for the simplified route, stresses the tax-clearance gate, and lists the pitfalls that turn a tidy exit into a multi-month ordeal.
Standard route: voluntary liquidation
The board (or shareholder) resolves to dissolve and forms a liquidation group; within the period required by the Company Law the company must publish a creditors’ notice (typically 45 days) via the National Enterprise Credit Information Publicity System. The liquidation group settles debts, pays employees (wages, social insurance, statutory compensation), settles taxes, and disposes of assets; a liquidation report is adopted by the shareholders. Only after these are done is the company filed for deregistration with the market-regulation authority. For an FIE, the foreign-investment deregistration is pushed automatically when the market-registry record is cancelled, and the remaining capital (after debts and tax) can be repatriated under the forex rules.
Simplified deregistration (简易注销)
Simplified deregistration is available to companies that have not commenced business after obtaining the licence, or that have no outstanding creditor claims (or have fully cleared them), and that carry no unpaid tax, penalties, or social-insurance liabilities. The company publishes a simplified-liquidation commitment on the publicity system for 20 days; if no objection is raised, it may apply for deregistration within 20 days after the announcement ends (some localities extend the outer limit to 50 days). The simplified route waives the liquidation report, the creditor-publication newspaper proof, and the tax-clearance certificate in many cases. Crucially, FIEs subject to the negative list’s special admission measures are excluded from the simplified route; so are entities under abnormal status, with frozen equity, or under investigation.
The tax-clearance gate
Tax clearance (清税) is the decisive bottleneck for almost every exit. The tax authority checks for outstanding returns, unpaid tax, un-cancelled invoices, and undischarged withholding obligations; only then issues the tax-clearance certificate (or, under the multi-system “one-window” reform, shares clearance electronically so the registry proceeds). Under SAT Announcement 2022 No. 12, individual-industrial-and-commercial households meeting conditions may skip the clearance certificate, but companies generally still need it. Settle all CIT, VAT, IIT withholding, and deregister the tax-controlled equipment and invoices before applying. Unresolved related-party or transfer-pricing issues from prior years will surface here.
Foreign-exchange and capital repatriation
Before the legal person is extinguished, the WFOE must close its capital and settlement accounts and repatriate residual funds. The bank handles the FDI deregistration (境内直接投资基本信息登记注销) and the outbound remittance of after-tax, after-debt capital. Retained earnings, liquidation proceeds, and recovered capital can be remitted out, subject to verification that tax was paid. Plan this before the entity vanishes — once deregistered, re-opening accounts for a late repatriation is painful.
The repatriation step has its own ordering that is easy to get wrong. The FDI deregistration and the outward remittance can only be processed once the market-registry cancellation is effective and tax clearance is evidenced, because the bank must confirm the entity’s legal status and that the funds are post-tax. Concretely, the WFOE (or its liquidator) presents the deregistration proof, the tax-clearance confirmation, the liquidation report showing the capital distribution, and the bank’s FDI cancellation form; the bank then remits the verified residual. Trying to move money out before these proofs exist is the single most common reason late repatriation fails — and once the legal person is extinguished, re-opening a closed account to fix it is slow and uncertain.
A further point concerns what may lawfully leave. Only after-tax, after-debt capital may be repatriated: unpaid tax, un-settled employee claims, or undischarged creditor amounts must stay behind. Retained earnings and liquidation proceeds are outbound, but any amount the tax authority has flagged for adjustment (for example a disallowed related-party expense from prior years) is frozen until resolved. Plan the repatriation amount conservatively, reserving a buffer for contingencies, rather than remitting the full book residual on day one and discovering a later tax query leaves the entity unable to respond.
Common pitfalls
- Starting deregistration before tax clearance is complete — the registry will bounce it or the tax hold will block it.
- Forgetting to cancel the tax-controlled invoice system and any special licences (customs, foreign-contractor records).
- Leaving employees or social-insurance arrears — these block simplified deregistration and create personal liability for directors.
- Misusing simplified deregistration when the FIE is negative-list-covered or has hidden debts — a false commitment leads to revocation of the simplified result and penalties.
- Failing to repatriate capital before deregistration, then discovering leftover funds cannot move.
- Dormant “zombie” companies that never filed annual reports — these face credit penalties and, under the new Company Law’s forced-deregistration mechanism, can be struck off by the registry after three years of qualifying inactivity.
Practical example
Scenario A — simplified route: a small trading WFOE ceased operations in 2025 with no remaining creditors, no tax arrears, and no social-insurance debt. It is not in an abnormal status and is not negative-list-covered, so it qualifies for simplified deregistration. The WFOE publishes the investors’ commitment on the National Enterprise Credit Information Publicity System; the 20-day publicity runs, no objection is filed, and within 20 days of the announcement ending it submits the deregistration through the one-window system. Because it is a clean exit, the liquidation report, newspaper creditor proof, and tax-clearance certificate are waived, and the whole process closes in roughly six weeks.
Scenario B — standard route: a manufacturing WFOE with outstanding supplier payables, employees, and a customs record cannot use the simplified route. Its shareholder resolves to dissolve and forms a liquidation group, which publishes the 45-day creditors’ notice on the publicity system. During those 45 days the group settles supplier debts, pays statutory severance and social insurance, cancels the customs record and tax-controlled equipment, and files final CIT/VAT returns to obtain tax clearance. Only after the liquidation report is adopted and tax clearance shared electronically does the market-registry accept deregistration. The bank then handles FDI deregistration and repatriates the after-tax residual — retained earnings plus recovered capital — to the foreign parent.
The contrast is the lesson: attempting simplified deregistration in Scenario B would be a false commitment, exposing directors to revocation of the result and penalties, whereas a clean, debt-free entity that over-engineers a full liquidation only wastes time. Match the track to the facts.
What to do next
- Decide early whether you qualify for simplified deregistration; if not, run the full liquidation with the 45-day creditor notice.
- Clear all tax: file final returns, cancel invoices/equipment, settle IIT withholding, and obtain tax clearance first.
- Cancel every licence and record (customs, forex, special permits) in parallel with the market-registry filing.
- Repatriate residual after-tax capital through the bank before the entity is extinguished.
- Keep the liquidation report and publicity evidence on file in case of later inquiry.

普通路径:自愿清算
董事会(或股东)决议解散并成立清算组;依《公司法》要求期限内,公司须通过国家企业信用信息公示系统发布债权人公告(通常 45 天)。清算组清偿债务、支付员工(工资、社保、法定补偿金)、结清税款、处置资产;股东会通过清算报告。完成后方得向市场监管机关申请注销登记。对外资企业,市场监管记录注销时外资注销信息自动推送;清偿债务与税款后的剩余资本可依外汇规则汇出。
简易注销
简易注销适用于领取营业执照后未开展经营,或未发生债权债务/已清偿完结,且无未缴税款、滞纳金、罚款及社保负债的企业。公司在公示系统发布简易注销全体投资人承诺,公示期 20 天;无人异议的,可于公示期满之日起 20 日内申请注销(部分地区将最长期限放宽至 50 天)。简易路径在许多情形下免予提交清算报告、报纸公告样张与清税证明。关键的是:受负面清单特别管理措施约束的外资企业被排除在简易注销之外;处于异常状态、股权冻结或受调查的企业同样不适用。
清税关卡
清税几乎是每次退出的决定性瓶颈。税务机关核查未申报、欠税、未注销发票及未了扣缴义务,而后出具清税证明(或在”一网通办”下电子共享清税信息以便登记继续)。依税务总局公告 2022 年第 12 号,符合条件的个体工商户可免清税证明,但企业一般仍须取得。在申请前结清企业所得税、增值税、个税代扣,并注销税控设备与发票。往年的关联方或转让定价问题会在此暴露。
外汇与资本汇出
在法人消灭前,WFOE 须注销资本与结汇账户并汇出剩余资金。银行办理境内直接投资基本信息登记注销及税后、债后资本的对外汇出。留存收益、清算所得与收回资本可汇出,但须核验已完税。应在实体消失前规划——一旦注销,为迟来的汇出重开账户十分痛苦。
汇出步骤有其自身顺序,极易出错。FDI 注销与对外汇出,须待市场监管注销生效、清税获证后方可办理,因为银行须确认法人状态及资金已税后。具体而言,WFOE(或其清算人)提交注销证明、清税凭证、载明资本分配的清算报告及银行 FDI 注销表;银行据以汇出经核验的剩余。在凭证齐备前试图汇出,是迟来汇出失败的最常见原因——而法人一旦消灭,为补救重开已闭账户既慢且不确定。
另一要点为何者可合法离境。仅税后、债后资本可汇出:未缴税款、未了员工诉求或未偿债权须留存。留存收益与清算所得可出境,但税务机关已标注调整的金额(如往年一笔被否决的关联方费用)须待解决方可动。汇出金额应从宽规划、预留或有缓冲,而非首日即全额汇出账面剩余,事后发现税务问询令实体无力回应。
常见陷阱
- 清税前即启动注销——登记机关会退回,或税务管控会阻断。
- 忘记注销税控开票系统与特殊许可(海关、对外承包记录)。
- 遗留员工或社保欠费——这会阻断简易注销,并使董事承担个人责任。
- 在受负面清单约束或有隐债时误用简易注销——虚假承诺将导致简易结果被撤销并受罚。
- 注销前未汇出资本,事后发现余款无法移动。
- 从不报年报的”僵尸”企业——面临信用惩戒,且依新《公司法》强制注销机制,符合消极情形满三年可由登记机关依公告注销。
实操示例
场景甲——简易路径:一家小型贸易 WFOE 于 2025 年停止经营,无剩余债权人、无欠税、无社保负债。其未处于异常状态,亦不受负面清单约束,故符合简易注销。WFOE 在公示系统发布全体投资人承诺,20 天公示期满无人异议,并于公示期满后 20 日内经一网通办提交注销。因属干净退出,清算报告、报纸公告样张与清税证明均获豁免,整体约六周办结。
场景乙——普通路径:一家负有供应商应付款、员工与海关记录的制造型 WFOE,无法走简易路径。其股东会决议解散并成立清算组,在公示系统发布 45 天债权人公告。45 天内,清算组清偿供应商债务、支付法定经济补偿与社保、注销海关记录与税控设备,并申报最终企业所得税/增值税以取得清税。待清算报告通过、清税信息电子共享后,市场监管方受理注销。银行随后办理 FDI 注销,并将税后剩余(留存收益加收回资本)汇出境外母公司。
对比即教训:在场景乙中试图简易注销属虚假承诺,将使董事面临结果被撤销及处罚;而干净无债的实体若过度走完整清算,只是浪费时间。路径须与事实匹配。
