  • Financial institutions, local-government financing vehicles and real-estate companies are excluded from the scheme, except where a finance company acts as the lead enterprise; the Notice also sets out prudential supervision requirements to guard against cross-border capital-flow risks.
  • As of end-June 2026 more than 260 multinational companies had registered under the pilot, covering over 5,500 domestic and foreign member companies, showing strong uptake by mid-sized groups that found the integrated pool threshold too high.

Multinational Companies Get a Nationwide Cross-Border Cash Pool: PBOC and SAFE Announcement of 14 August 2026 |

The announcement in context

On 14 August 2026 the People’s Bank of China and the State Administration of Foreign Exchange jointly issued the Notice on Matters Concerning the Cross-Border RMB and Foreign-Currency Fund Concentration Operation Business for Multinational Companies (the “Notice”), extending nationwide a pilot first launched in 2023 in Beijing and Guangdong (including Shenzhen). The Notice takes effect on 14 September 2026. It is the second nationwide rollout of a cash-pooling instrument in under a year: in December 2025 the two regulators already generalised the integrated cross-border RMB/foreign-currency cash pool, which primarily serves large multinationals. The new Notice generalises the lower-threshold, simpler-filing variant, so that mid-sized groups — including foreign-invested companies in China — can pool and redeploy their domestic and overseas funds with lighter regulatory overhead.

Who qualifies and at what threshold

A multinational company is defined as a group linked by capital ties among domestic and overseas parents, subsidiaries and associated companies. A qualifying group designates one domestically incorporated member as the “lead enterprise” to file and operate the pool. The group must meet at least one of two financial tests based on the prior year: total cross-border receipts and payments of all domestic members of RMB 700 million or more; or total revenue of domestic members of RMB 1 billion or more with overseas member revenue of at least RMB 200 million. For a lead enterprise registered in a free trade zone, the thresholds fall to RMB 350 million, RMB 500 million and RMB 100 million respectively. Additional conditions include a genuine business need, a sound cross-border fund management framework and internal controls, an internal electronic management system, no major cross-border payment violations in the past two years, and at least three domestic and overseas members in total.

What the pool lets a company do

Inside the pool, a multinational may concentrate the external-debt and overseas-lending quotas of member companies, decide the allocation ratio itself, and manage RMB and foreign-currency funds through a single account — giving the group a consolidated treasury position while member companies retain flexible use. The headroom is meaningful: a pool may incur external debt up to 3.5 times the pool’s attributable owner’s equity and extend overseas lending up to 0.6 times that equity. The Notice encourages using the domestic currency first, which also broadens RMB use in cross-border settlement. By contrast with the integrated cash pool, which grants larger quotas to very large groups, the concentration-operation business is designed for general multinationals: lower thresholds, one-window filing, and bank-level handling of routine changes.

Simplified filing and bank involvement

Filing is streamlined in two ways. First, business registration is handled through a single window at the SAFE branch where the lead enterprise is located, compressing the approval chain. Second, member-company changes that do not involve external-debt or overseas-lending quota adjustments can be processed directly by the co-operating bank, cutting travel and lead time for companies. The Notice also restates the boundaries: financial institutions, local-government financing vehicles and real-estate companies cannot participate, unless a finance company within the group acts as the lead enterprise. Prudential requirements and post-filing supervision remain in place so that the flexibility is not accompanied by elevated cross-border capital-flow risk.

What foreign-invested groups should do

For foreign-invested multinationals operating in China, the practical path is: (1) check whether the group meets either threshold — many mid-sized groups that previously fell short of the integrated pool’s yardsticks will now qualify; (2) if the Chinese lead enterprise sits in a free trade zone (or a Hainan FTP entity), confirm the halved thresholds apply; (3) prepare the group structure chart, internal treasury framework and electronic system evidence required for filing; (4) engage the local SAFE branch and a co-operating bank early, since bank-side handling of routine changes becomes part of the operating model; and (5) decide, together with the existing 2025-era integrated pool (if any), which instrument or combination best fits the group’s cash-flow geography. The December 2025 integrated pool and the September 2026 concentration operation are complementary: the former for scale, the latter for speed and lower entry cost.

Merger Review as an Anti-“Involution” Tool: The SAMR’s Six Typical Cases of 21 August 2026

  • On 21 August 2026 the State Administration for Market Regulation published six typical cases of concentration review aimed at curbing “involution-style” competition, spanning online audio, photovoltaics, energy storage, lithium-battery materials, auto parts and coal logistics.
  • Tencent’s acquisition of Ximalaya was approved with five conditions: the SAMR found the deal could exclude or restrict competition in China’s online-audio and online-music platform markets, and attached targeted remedies.
  • The other five deals were cleared unconditionally: TCL Zhonghuan’s acquisition of Yidao New Energy, Jingjiang Industrial’s acquisition of East Group, Cangzhou Mingzhu’s JV in lithium separators, Ningbo Huaxiang’s auto-parts JV and Tiangchi Energy’s logistics JV — all framed as consolidating capacity to escape low-end price wars.
  • Delegated review is now routine in these cases: local bureaus (Beijing, Chongqing, Shanghai, Guangdong, Shaanxi, etc.) handled the case work under the SAMR’s delegation, with at least one deal cleared in 17 days.
  • For foreign companies, the signal is twofold: China’s merger control is being used proactively to reshape industry structure and police “involution”, and conditional approvals remain a live remedy — buyers should plan remedies into deal timelines where platform or market power is involved.

Merger Review as an Anti-“Involution” Tool: The SAMR’s Six Typical Cases of 21 August 2026 |

The six cases at a glance

On 21 August 2026 the State Administration for Market Regulation published six typical cases from its 2026 concentration-review campaign, which it has framed as serving both quality improvement and competition protection. The cases span: Tencent Holdings’ acquisition of Ximalaya (online audio); TCL Zhonghuan’s acquisition of Yidao New Energy (photovoltaics); Jingjiang Industrial Investment Group’s acquisition of East Group (energy storage / AI plus new energy); Cangzhou Mingzhu’s new JV with an East-Guangzhou investment vehicle (lithium-battery separators and pipe materials); Ningbo Huaxiang Xinsandian’s JV with Zhejiang Anzhi Auto Technology (high-end suspension and air-spring auto parts); and Tiangchi Energy’s new logistics JV (coal supply-chain transport). Five were cleared unconditionally; one — Tencent/Ximalaya — was approved with conditions.

The conditional approval that matters

The Tencent/Ximalaya deal is the case with the most compliance-relevant detail. The transaction was filed on 11 June 2025 and accepted on 3 September 2025. After market investigation and analysis, the SAMR concluded that the concentration could have the effect of excluding or restricting competition in China’s online-audio platform market and online-music platform market. On 12 May 2026 it approved the deal subject to five conditions designed to address the identified competition concerns and stakeholder expectations — preserving the competitive structure of the online-audio and online-music markets, protecting the interests of undertakings and consumers, and guarding against platform anti-competitive conduct. The case shows that in platform-economy deals, conditional approval with behavioural remedies is a live, structural feature of Chinese merger control, not a theoretical possibility.

Why the other five were cleared

The five unconditional clearances share a logic: the transactions consolidate capacity in sectors where the regulator sees low-quality, homogenous “involution” as the main problem. TCL Zhonghuan acquiring Yidao New Energy integrates BC-cell technology and reduces inefficient supply in photovoltaics, pushing the sector from scale expansion to quality improvement. Jingjiang Industrial’s acquisition of East Group channels state capital and industrial platforms into transforming the target into an “AI plus new energy” services provider. Cangzhou Mingzhu’s JV strengthens regional lithium-battery-material supply; Ningbo Huaxiang’s JV focuses high-end auto parts and helps break dependence on external technology; and Tiangchi Energy’s JV vertically integrates coal production with logistics to secure outbound transport capacity. In each case the regulator’s analysis explicitly links the transaction to curing price wars and improving industry structure.

Delegated review as the operating model

A striking operational detail is the role of provincial bureaus. Under the SAMR’s delegation system, the case work was handled by local authorities: Beijing reviewed TCL Zhonghuan/Yidao (accepted 3 April, cleared 25 May), Chongqing handled Jingjiang/East Group (accepted 9 January, cleared 22 January), Shanghai handled the Ningbo Huaxiang JV, Guangdong the Cangzhou Mingzhu JV, and Shaanxi the Tiangchi Energy JV — with the Cangzhou deal completed in 17 days end to end. The message for deal teams is practical: delegation is now the default for many cases, so the relevant timetable and dialogue partner is often the provincial bureau, and streamlined simple-case processing can deliver genuinely fast clearances.

What foreign companies should take away

For foreign acquirers, the August package carries three lessons. First, policy intent: Chinese merger control is an active industrial-policy instrument — deals that consolidate capacity to exit “involution” are welcomed and cleared quickly, while deals that entrench market power face conditions. Second, remedy planning: in platform or market-power situations, conditional approval with behavioural remedies should be assumed possible; building remedy negotiation into the deal timeline, and structuring the transaction to address competition concerns early, reduces uncertainty. Third, process: expect provincial-bureau delegation and prepare filings accordingly — engage the right bureau, budget for delegated timelines, and use the streamlined track where the case qualifies as simple. The six cases are also a useful precedent library: the SAMR’s published reasoning shows how it weighs market definition, competitive effects and remedies in the sectors now subject to its “anti-involution” scrutiny. Deal teams should download and circulate the full text to their internal antitrust review checklists, since the reasoning style and the kinds of evidence the regulator cites are the best available guide to how future filings in these sectors will be assessed.

Dalian’s Services-Opening Pilot Goes Operational: Medical Access Guides and the Implementation Plan |

From national pilot to city-level rules

Dalian was one of nine cities added to the national services industry expansion and opening comprehensive pilot in 2025 — together with Ningbo, Xiamen, Qingdao, Shenzhen, Hefei, Fuzhou, Xi’an and Suzhou — bringing the pilot network to 20 cities. In January 2026 the Ministry of Commerce issued the pilot tasks for these nine cities: 159 tasks spanning telecom services, medical and healthcare, business, culture and tourism, and finance, with a “common plus distinctive” structure that lets each city combine national commitments with locally tailored measures. In August 2026 Dalian translated this national framework into local, operational rules. On 20 August the municipal commerce bureau published the Dalian Implementation Plan for the Services Industry Expansion and Opening Comprehensive Pilot (draft) for a seven-day public comment period. Days earlier, the municipal health commission released three compliance guides covering the healthcare tasks.

The three medical compliance guides

The three guides issued by the Dalian health commission are: (1) the Compliance Guide for Foreign and Hong Kong, Macao and Taiwan Doctors Opening Clinics in Dalian; (2) the Compliance Guide for Applying to Establish Sino-foreign Jointly Invested or Co-operated Non-Profit Medical Institutions in Dalian; and (3) the Compliance Guide for Overseas Physicians Conducting Short-Term Practice in Accordance with Regulations in Dalian. Each guide standardises the approval chain end to end: the legal basis, applicant conditions, required documents and the filing process, converting national pilot tasks into the day-to-day norms that local regulators will apply. The three areas covered — foreign doctors’ clinics, short-term practice by overseas physicians and non-profit joint medical institutions — correspond exactly to the tasks the national pilot assigns to the healthcare sector.

What the draft implementation plan signals

The draft implementation plan, open for comment until 26 August, sets out how Dalian will implement the 159 tasks more broadly. It is grounded in the MOFCOM notice on the nine-city pilot tasks (Shang Zi Han [2026] No. 5) and, once finalised, will be the reference document for foreign investors assessing Dalian’s services sector. Combined with the medical guides, it signals that Dalian intends to be a practical testbed: national policy is being converted into city-level processes that businesses can follow, rather than left as abstract commitments.

Why it matters for foreign healthcare and services investors

For foreign healthcare providers, the package matters for three reasons. First, entry clarity: the three guides specify exactly what an overseas physician needs to open a clinic or practise short-term in Dalian — reducing the uncertainty that historically surrounded medical licensing for foreign professionals. Second, breadth: the implementation plan, once final, will clarify Dalian’s approach to telecom, business, culture and tourism and finance tasks, helping investors see the full opening landscape rather than a single sector. Third, precedent value: Dalian is among the first of the nine 2025-vintage pilot cities to convert its tasks into published compliance guides, so the format is likely to be imitated by other cities — making the Dalian documents useful templates for understanding how services opening is being operationalised across China.

Practical steps

Foreign investors and medical professionals should: (1) review the three health-commission guides against their specific plans — clinic establishment, short-term practice or a non-profit joint institution — and assemble the document package each guide lists; (2) engage the Dalian health commission early on applicant qualifications, since foreign-doctor clinic rules require careful checking of professional credentials and prior practice records; (3) track the finalised version of the implementation plan through the Dalian commerce bureau for wider services commitments; and (4) for investors comparing Chinese cities, treat Dalian’s published guides as one example of how the nine-city pilot tasks are being implemented, and benchmark against the progress of peer cities such as Fuzhou, Shenzhen and Xi’an.

The wider context: services opening as a national agenda

Dalian’s package sits inside a broader national push that foreign investors should read as a trend, not a one-off. The “15th Five-Year Plan” outline treats services as the main front of opening: expanding market access in telecom, internet, education, culture and healthcare, and steadily running the value-added telecom, biotech and wholly foreign-owned hospital pilots. Two negative lists are the operational instruments — the foreign-investment negative list and the cross-border services trade negative list — and pilot FTZs and services-opening pilot cities are the testbeds. For a foreign services provider, the practical implication is that city-level documents like Dalian’s implementation plan and compliance guides are where national commitments become enforceable processes; monitoring them is the difference between reading about opening and actually entering a market. The same mechanics — a national task, a local implementation plan, sector-specific compliance guides — are being replicated across the nine new pilot cities, so a company that understands Dalian’s format can apply the same analytical lens to Fuzhou, Shenzhen, Qingdao and the rest.

Short-Term Work Permits for Foreigners in China: The 90-Day Track, Explained |

When a short-term permit is needed

China’s work-permit system divides foreign employment into two tracks: the regular permit for work of 90 days or more, and the short-term permit for work periods under 90 days. The short-term track matters for employers who send specialists to China for brief assignments — sports coaches, models, instructors, engineers on commissioning visits, trainers and similar roles where the engagement is measured in weeks rather than years. In late August 2026 the Jinshan district government of Shanghai published a detailed guide to this track, walking through when the permit is required, the document package and the traps. The guide makes clear that a short engagement does not exempt the foreigner from the permit regime: for work under 90 days, a short-term work permit is required, filed by the employing unit before the individual enters China.

Documents and conditions

The application package includes: the work-permit application form (system-generated, signed by the applicant and sealed by the employer); the work contract, project contract or invitation letter — which must state the contract term, working hours, work locations and compensation, with a term of 90 days or fewer, up to five cities, and content within the company’s registered business scope; the passport information page; a full bilingual CV sealed by the employer; and, for technical roles, the relevant academic or professional qualification certificates. All materials must be uploaded as clear colour originals. Where the short-term work involves secondment, a three-party agreement covering the dispatcher, the applicant and the host unit is required.

The rules to watch

Several rules routinely trip up employers. First, the gap rule: for model-type work, two short-term applications must be separated by at least three months. Second, no in-country switching: an applicant already holding a valid visa cannot file a short-term work application from inside China — the application must be made from abroad and the individual enters after approval. Third, the five-city and business-scope limits: locations are capped at five cities and the work must stay within the employer’s business scope; the declared contract term, working hours and locations must match reality. Fourth, no moonlighting: short-term workers may not take other jobs. Fifth, insurance must be purchased before entry. Sixth, the employer and applicant bear responsibility for the truthfulness of commitments; false statements can lead to cancellation of the approval and suspension of the employer’s or agency’s future work-permit filings.

How it fits into Shanghai’s one-stop workflow

The short-term permit is part of Shanghai’s “foreigners working in China — one thing” package, run through the municipal Online-Offline Government (yiwangtongban) platform. The package links the work permit, the work-type residence permit and social-insurance registration: the employer files once, and after preliminary approval of the work permit, presents originals at the one-thing window for verification. The combined processing commitment is around 11 working days, and the workflow also covers the Shanghai overseas-talent residence permit and professional-title evaluation where applicable. For an employer bringing a specialist in for a short engagement, the one-stop path avoids the older pattern of three separate filings with three timelines.

Practical guidance for foreign employers

Foreign companies should: (1) decide which track applies — under 90 days means the short-term permit, not the regular one; (2) file from abroad before the individual enters, since in-country filing is unavailable for short-term work; (3) draft the contract with the 90-day ceiling, five-city cap and business-scope wording in mind, and match the declared information to reality; (4) route the application through the one-thing workflow where the operation sits in Shanghai, so residence and social-insurance follow the work permit automatically; and (5) calendar the constraints — the three-month gap for model-type roles, no moonlighting, and insurance before entry — to avoid compliance failures that could delay or cancel the assignment. Getting the short-term track right is also the foundation for a later upgrade: many short assignments, when extended, are converted into regular permits through the change procedures.

Common pitfalls and how to avoid them

The most frequent failure modes in short-term work-permit applications are documentation-based. First, mismatched contract data: the guide stresses that the contract term, working hours and locations declared must match reality — an employer that files a 90-day contract while the individual actually stays longer, or lists work content beyond the company’s registered scope, invites rejection and, in serious cases, suspension of the employer’s future filings. Second, incomplete passenger information: the passport page, the machine-readable zone and the signature page must all be uploaded; the CV must be bilingual and sealed. Third, the timing trap: because in-country filing is unavailable, a company that discovers the need for a permit after the individual has already entered on a business visa must either convert to the regular track or send the person out and re-enter — both costly. Fourth, delegation details: secondment cases need a three-party agreement, and the guide’s explicit requirement to disclose the dispatcher, the applicant and the host unit is often missed by HR teams. Fifth, insurance: coverage must be bought before entry, and evidence is part of the filing. Building these five checks into a pre-departure checklist removes the majority of avoidable delays.

Overview

The Action Plan for Stabilizing and Improving Foreign Investment (利用外资固稳促优行动方案) includes a financial-opening pillar (issued 16 June 2026, 商资发〔2026〕97号; effective from 1 July 2026). It broadens what foreign-invested institutions and enterprises can do in China’s financial market — from risk management and fund advisory to cross-border financing and domestic listings — within a prudential, well-supervised framework.

This article extracts the financial-opening measures most relevant to foreign investors and operators.

Informational guidance only; specific eligibility and approval routes are set by the financial regulators, so verify with the competent authority before acting.

Measures at a glance

Risk-management tools

  • Support more foreign institutions in using risk-management instruments including Treasury futures (国债期货), strengthening financial-risk management.
  • This widens access beyond the handful of qualified foreign participants previously permitted.

Fund investment advisory

  • Allow foreign institutions to conduct fund investment-advisory business (基金投资顾问业务) in accordance with the law.
  • Opens a fee-based advisory channel for foreign asset managers and wealth platforms.

Cross-border financing convenience

  • Provide cross-border financing convenience quotas (跨境融资便利化额度) for key foreign-invested enterprises.
  • Eases external financing for large, well-rated FIEs operating in China.

International settlement services

  • Guide domestic banks to offer “agency document preparation” (代客制单) international settlement document services to large FIEs.
  • Reduces the administrative burden of trade and cross-border settlement paperwork.

Domestic listings

  • Optimise pre-IPO communication (上市申报前预沟通) at the exchanges.
  • Support qualified key FIEs in domestic listings (境内上市融资), broadening exit and financing options.

How these fit

  • These are opening measures under the market-access agenda, distinct from — but complementary to — the financial and fintech licensing regime (e.g., payment, fund-management and securities licences).
  • They assume the institution already holds the relevant licence; the plan relaxes what the licence holder can do, not the licensing threshold itself.

What to do next

  • If you are a licensed foreign financial institution, assess which relaxed activities (Treasury futures, fund advisory) fit your China strategy.
  • For operating FIEs, evaluate eligibility for cross-border financing quotas and “agency document preparation” settlement.
  • For FIEs considering an exit/financing, engage the exchanges’ pre-IPO communication early.
  • Track implementing rules from the financial regulators (central bank, securities and banking regulators).
  • Confirm prudential and qualification thresholds with the competent regulator before relying on these openings.

Financial services & fintech licensing |

Overview

China has substantially opened its financial sector to foreign investors over the past decade. Caps on foreign ownership of securities firms, fund managers, futures companies, and life insurers were removed in 2020, and foreign banks and insurers can now operate on broadly the same footing as domestic institutions. Yet “open” does not mean “licence-free”: every activity — taking deposits, underwriting securities, selling insurance, moving money as a payment institution — requires a specific licence granted by a specific regulator.

This article outlines the regulatory perimeter for foreign financial institutions, the licensing paths for banking, securities, insurance, and fintech/payments, and the sandbox and pilot frameworks foreign entrants should know. It is informational; licensing strategy should be confirmed with qualified PRC legal and regulatory advisers.

The regulatory map

China’s financial regulators are: the People’s Bank of China (PBOC, the central bank), the National Financial Regulatory Administration (NFRA, banking and insurance), the China Securities Regulatory Commission (CSRC, securities and futures), and the State Administration of Foreign Exchange (SAFE, foreign exchange). The PBOC also leads payments, fintech, and anti-money-laundering supervision. A foreign group entering China typically needs a licence from one or more of these bodies, plus company registration with the SAMR and, for foreign-exchange matters, SAFE approval.

Banking and insurance access

Foreign banks may establish a representative office, a branch, or a locally incorporated foreign bank (a WFOE-style legal person). The NFRA approves the establishment and the scope of business; branches cannot take retail deposits from Chinese citizens in the same unrestricted way as locally incorporated banks. In insurance, the 2020 removal of the foreign-ownership cap on life insurers means a foreign insurer may now hold 100% of a life-insurance joint venture or set up a wholly foreign-owned insurer, subject to NFRA prudential approval. The same 2020 negative-list revision lifted caps on securities, fund-management, and futures companies.

Securities, asset management, and the 2020 opening

From 1 April 2020 the CSRC eliminated the foreign-ownership cap on securities companies; the 2020 negative list confirmed the removal of caps on securities firms, fund managers, and futures and life-insurance companies (effective 23 July 2020). Foreign-invested securities companies are governed by the CSRC’s Measures for the Administration of Foreign-invested Securities Companies. Wholly foreign-owned brokerages have since been approved (e.g., Standard Chartered Securities China was approved in 2023), and several global groups have taken full ownership of their China securities or fund ventures.

Fintech, payments, and the non-bank payment licence

Moving funds for others in China requires a Payment Business Licence from the PBOC. The Regulation on the Administration of Non-bank Payment Institutions (State Council Decree No. 768, effective 1 May 2024, with detailed implementing rules issued July 2024) is the governing framework. A non-bank payment institution must be a limited-liability or joint-stock company established in China, with a minimum registered capital of RMB 100 million (higher where it operates across more than 20 provincial regions), and its core business and technical services may not be outsourced. Cross-border payment services provided to mainland users generally require establishing a payment institution on the mainland.

Sandboxes, pilots, and innovation zones

Foreign fintechs rarely obtain a full banking or payment licence on day one. Practical entry routes include: participating in PBOC or local financial-regulator innovation sandboxes; partnering with licensed banks/insurers under open-banking and API frameworks; providing technology to licensed institutions (reg-tech, risk, data) without yourself holding customer funds; and locating in financial pilot zones such as the Lingang hub of the Shanghai FTZ or the Qianhai/Shekou area, which offer streamlined approvals for qualified foreign financial institutions.

What to do next

  • Map the exact regulated activity you intend to perform; “fintech” spans payments, lending, advisory, and custody, each with a different licence.
  • Confirm the lead regulator (PBOC for payments/AM, NFRA for banking/insurance, CSRC for securities/funds/futures, SAFE for FX) before filing.
  • For payments, budget for the RMB 100m minimum capital and a mainland-incorporated entity; do not plan to service mainland users from an offshore licence.
  • Use an innovation sandbox or a licensed-institution partnership as a phased entry before a full licence.
  • Engage PRC regulatory and legal counsel early — prudential approvals turn on fit-and-proper and systemic-risk assessments, not just form.
  • Register trademarks and reserve the Chinese brand name before approaching platforms and regulators.

SAFE’s cross-border investment & financing convenience package (Jul 2026) |

Overview

On 17 July 2026, at a State Council Information Office (SCIO) press conference, the State Administration of Foreign Exchange (SAFE) announced it would roll out a package of policies to further facilitate cross-border investment and financing. The package responds to market demand gathered from banks and enterprises and aligns with the high-level opening of the capital account. It directly supports the “stabilizing and improving foreign investment” agenda and also eases outbound flows for Chinese enterprises.

This article focuses on the parts most relevant to foreign-invested enterprises (FIEs) and cross-border payments.

Informational guidance only; the specific rules and effective dates are issued by SAFE, so verify with SAFE or your bank before acting.

Three categories of measures

1. Direct-investment convenience

  • FIE capital-project settlement & payment. SAFE will further simplify capital-project foreign-exchange settlement and payment procedures for foreign-invested enterprises, supporting the attraction and use of foreign investment (“固稳促优”).
  • Outbound funds. For Chinese enterprises going global, SAFE will orderly simplify the review of fund remittance, ensuring efficient and convenient use of funds needed for normal operations.

2. Expanding cross-border financing opening

  • Broader eligibility. SAFE will further expand the eligible entities covered by the cross-border financing convenience policy, extending the reach of science-tech and green-finance services.
  • Green foreign debt. SAFE will nationwide the green foreign-debt pilot (绿色外债试点), moving it beyond the current pilot regions.
  • Macro-prudential optimisation. To meet FIE hedging needs and allow more flexible cross-border fund allocation, SAFE will further optimise the macro-prudential management of cross-border financing.

3. Optimising capital-project registration

  • Bank-handled registration. Considering enterprises’ need for convenient cross-border investment and financing, SAFE will shift more registration items to be handled directly by banks.
  • More online services. SAFE will increase the types of capital-project business that can be done “online” (网上办), raising the digitalisation of foreign-exchange administration and lowering “shoe-leather” costs.

Status and timeline

  • The measures were announced on 17 July 2026 at the SCIO briefing; the SAFE official noted they will be released after the relevant procedures are completed and implemented as prescribed.
  • Treat the items above as announced policy direction until SAFE publishes the operative rules; banks will apply the new procedures once effective.

What to do next

  • For FIEs, prepare to use simplified capital-project settlement/payment once SAFE’s rules take effect; coordinate with your settlement bank.
  • If you need cross-border financing, assess eligibility under the expanded convenience policy and the green foreign-debt pilot.
  • For outbound groups, expect streamlined fund-remittance review; plan treasury flows accordingly.
  • Watch SAFE notices (and your bank’s notices) for the operative effective dates and exact procedures.
  • Keep foreign-exchange registration and reporting current so you can use the new “bank-handled / online” channels smoothly.

Cross-Border Service Payments

  • A single outbound service payment above USD 50,000 (excluding exactly USD 50,000) requires a tax record-filing (对外支付税务备案) before the bank releases the FX; below the threshold no filing is needed.
  • The Chinese payer is the withholding agent: EIT withholding is 10% on the gross amount by statute, often reduced by a tax treaty (0%/6%/10%) — check the applicable treaty rather than defaulting to 10%.
  • VAT is levied on offshore services consumed in China via the reverse charge at 6% (modern services/royalties); properly withheld VAT may be creditable input tax for a general VAT taxpayer.
  • Withholding must be remitted within seven days of the obligation arising (the contractual payment date, or the accrual/expense date if unpaid).
  • Related-party service payments must satisfy the arm’s-length principle and be disclosed in the annual CIT reconciliation (关联申报); an inflated fee with weak benefit is a classic transfer-pricing target.
  • Contemporaneous-documentation thresholds: a Master File if group related-party deals exceed RMB 1 billion; a Local File if the WFOE’s own related-party transactions exceed RMB 40m (or RMB 10m for financial services); a CbCR at the parent above ~RMB 5.5 billion.
  • The tax-bearing clause matters: a gross-up shifts the net cost to the payer and raises the withholding base, so model both pre-tax and post-tax cost before signing.

Cross-Border Service Payments |

Overview

A WFOE frequently pays its overseas related party for services — group IT, management fees, royalties, technical support, marketing, or contract R&D. These outbound payments are not simple wire transfers; they sit at the intersection of withholding tax, VAT, and foreign-exchange control. The Chinese payer is usually the withholding agent and must apply the correct tax treatment, complete the tax filing, and (above a threshold) obtain a tax record-filing (税务备案) before the bank releases the FX. This note sets out the withholding tax and VAT logic, the documentation chain, and the common mistakes that trigger disputes or blocked payments.

Withholding tax on the non-resident

Where the overseas service provider is a non-resident enterprise with no establishment in China but derives income sourced in China, the payment is subject to enterprise income tax by way of withholding at source The payer withholds and remits within seven days of the withholding obligation arising (generally the contractual payment date, or the date the amount is accrued and expensed if unpaid). The statutory withholding rate is 10% on the gross amount (预提所得税), but a tax treaty (税收协定) may reduce it — for many services the relevant article is for technical fees, royalties, or business profits, and the reduced rate (often 0%, 6%, or 10%) depends on the treaty and the nature of the payment. To claim treaty benefits the non-resident must file the relevant enjoyment-of-treaty-treatment forms

VAT and the reverse-charge

For services supplied by an offshore party consumed in China, VAT is also levied. Where the overseas supplier has no domestic establishment, the domestic purchaser is the withholding agent for VAT (reverse charge): generally 6% for modern services / intangible-asset royalties, with the computed VAT added on top of the consideration. The payer declares and pays this through the electronic tax bureau. Properly withheld VAT may be creditable as input tax by the WFOE if it is a general VAT taxpayer and the expense is for taxable business — a point often missed when budgeting the true cost of the payment.

The RMB 50,000 tax record-filing threshold

Under the STA/SAFE announcement on tax record-filing for outbound service payments (国家税务总局、国家外汇管理局公告2013年第40号, amended), a domestic entity paying a single outbound amount equivalent to more than USD 50,000 (excluding exactly USD 50,000) for covered items — including service trade income, royalties, dividends/interest/guarantee fees, and certain transfers — must complete a tax record-filing (对外支付税务备案) with the in-charge tax authority before the bank processes the FX. The filing is done online via the electronic tax bureau and is typically instant. Below the threshold, no filing is needed (though tax is still due if taxable). Note that since 2017, source-withholding contracts no longer require prior contract filing with the tax authority

Documentation you must hold

Build the file before you pay, not after. At minimum: (1) the underlying contract (with Chinese translation if foreign-language), spelling out the service, deliverables, and which party bears tax; (2) evidence the service was actually performed (timesheets, deliverables, acceptance); (3) the tax treaty analysis and any treaty-enjoyment forms; (4) the withholding computation for both EIT and VAT; (5) the tax record-filing confirmation (above USD 50,000); and (6) the bank’s FX payment documents. The tax-bearing clause matters: a “gross-up” clause shifts the net cost to the payer, while a “tax borne by payee” clause affects the withholding base.

Related-party and transfer-pricing exposure

Because the payee is usually a related party, the transaction must satisfy the arm’s-length principle. The WFOE must disclose related-party transactions in its annual CIT reconciliation (关联申报) and may need contemporaneous documentation (同期资料) if thresholds are met. An inflated management fee or royalty with weak benefit to the Chinese entity is a classic transfer-pricing target: the tax authority can re-characterise or disallow the expense, deny the deduction, and impose adjustments. Keep a clear benefit narrative and benchmark the charge.

The contemporaneous documentation regime has three tiers, and a China WFOE should know which it triggers. A master file is required where the group’s annual related-party transaction volume crosses a high threshold (broadly RMB 1 billion of related-party deals); a local file is required where the WFOE’s own related-party transactions exceed RMB 40 million (or RMB 10 million for related-party financial services); and a country-by-country report applies at the ultimate parent level above a consolidated revenue threshold (broadly RMB 5.5 billion). Even where no formal file is mandated, keeping a lightweight benefit narrative and a benchmarking memo protects the deduction if the tax authority questions the charge. The thresholds are not a safe harbour to ignore documentation — they set the point at which penalties for missing contemporaneous papers begin.

A second practical trap is the interaction between the tax-bearing clause and the withholding base. If the contract says the payee receives a “net” amount and the payer bears all tax (a gross-up), the EIT and VAT are computed on a grossed-up base, raising the actual outflow. If instead the payee bears tax, the base is the contract amount and the non-resident nets less. The WFOE’s finance team should model both the pre-tax and post-tax cost before signing, because the seemingly cheaper net contract can be the more expensive gross one once Chinese withholding is layered on. This modelling also feeds the transfer-pricing file, since the authority will test whether the charge — grossed up or not — remains arm’s length.

Practical example

Worked scenario: a China WFOE pays its Singapore parent USD 120,000 per year for centralized IT infrastructure, technical support, and regional management services. The payment is outbound and crosses the tax/FX line, so the WFOE runs the full sequence.

First, the WFOE captures the Singapore parent’s non-resident enterprise identity in the electronic tax bureau and confirms the service contract (with a Chinese translation) spells out the deliverables and that tax is borne by the payee. Second, it determines the EIT withholding rate. The statutory rate is 10% on the gross amount, but the China–Singapore tax arrangement may reduce it for technical-service and royalty items; assuming the advisor confirms a reduced rate of 6% applies to the relevant portion, the WFOE withholds USD 7,200 (6% of USD 120,000) and remits within seven days. Third, because the offshore supplier has no domestic establishment, the WFOE applies the reverse-charge VAT at 6% on the consideration — roughly RMB 52,000 at an indicative rate — which it declares and pays through the e-tax bureau and may later credit as input VAT if the WFOE is a general taxpayer with taxable use. Fourth, because the single payment exceeds USD 50,000, the WFOE completes the tax record-filing (对外支付税务备案) online before instructing its bank; below that threshold no filing would be needed. Fifth, the WFOE assembles the file: the contract, evidence the services were performed (monthly timesheets and an acceptance note), the treaty analysis and treaty-enjoyment forms, the EIT and VAT withholding computations, and the filing confirmation. The bank then releases the FX against that package.

The transfer-pricing discipline sits alongside: the WFOE discloses the related-party transaction in its annual CIT reconciliation and, because the annual related-party service charge exceeds the contemporaneous-documentation threshold, prepares a local file benchmarking the management fee against comparable intra-group and third-party charges. A clear benefit narrative (“the China entity receives 24/7 IT hosting and regional finance shared services it could not source locally at lower cost”) is documented so the expense is not re-characterised.

What to do next

  • Trigger the non-resident identity capture and contract filing in the electronic tax bureau before the first payment.
  • Determine the correct EIT withholding rate — check the applicable tax treaty rather than defaulting to 10%.
  • Apply the reverse-charge VAT and decide whether it is creditable input tax for your WFOE.
  • Complete the tax record-filing for any single payment above USD 50,000 before instructing the bank.
  • Hold a complete file (contract, performance evidence, tax computation, filing confirmation) and align it with your related-party disclosure.

Capital Injection & Verification

  • After the licence and bank account, the WFOE (through its bank) completes the FDI basic-information registration and opens a capital account in the WFOE’s name — the bank, not SAFE, handles FDI registration.
  • The foreign shareholder must remit from the EXACT registered shareholder entity; a mismatch (e.g. a sibling company) triggers a “投资人缴款人不一致” filing issue.
  • Verification (验资) is much reduced but not abolished: no routine report for a cash-funded standard WFOE, but it is required for non-cash contributions (IP, land-use rights, in-kind) and useful for licences/banks.
  • Funds convert to RMB at 100% voluntary settlement (意愿结汇) into a “settlement-to-be-paid account”, and may only be used within business scope on a true, self-use (真实、自用) basis.
  • The negative-list-plus rule forbids using settled capital for related-party lending to the parent, speculative property purchases, or direct equity investment (unless a licensed investment entity).
  • Keep the stated payment purpose, contract and invoice aligned — banks apply penetration review and may decline a payment whose purpose does not match the underlying document.
  • Paid-in capital must be reconciled identically across the forex, accounting and credit-information publicity system records each time you inject.

Capital Injection & Verification |

Overview

A WFOE’s registered capital becomes real money only when the foreign shareholder actually remits it into China. This note covers the mechanics of that process: opening the foreign-exchange capital account, injecting subscribed capital in foreign currency or cross-border RMB, the role of verification (验资) today, and the permitted use of the funds once they are in. The rules are shaped by the SAFE direct-investment reform (汇发〔2015〕13号 and 19号), which moved FDI registration to banks and introduced voluntary settlement (意愿结汇). The objective is a clean, traceable capital trail that satisfies both the foreign-exchange authority and the tax authority.

The foreign-exchange capital account

After the business licence is issued and the bank account is opened, the WFOE (through its bank) completes the FDI basic-information registration The bank then opens a capital account (资本金账户 / 结汇待支付账户) in the name of the WFOE. Under the 2015 reform, the foreign-exchange authority no longer registers or approves the FDI upfront — the bank does it and reports through the capital-account information system. There is no fixed cap on the aggregate capital-account balance relative to registered capital in the modern regime, but each remittance must correspond to a valid capital contribution and be properly recorded.

Injecting registered capital

The foreign shareholder remits funds from overseas to the WFOE’s capital account. Funds may be in a freely convertible foreign currency or as cross-border RMB. The remittance must be a genuine capital contribution — not a disguised loan or a payment for goods/services — and must match the shareholder and amount in the FDI registration. On receipt, the bank performs the “currency contribution entry registration” (货币出资入账登记) and issues the FDI capital-inflow registration form (FDI入账登记表) and the foreign-exchange receipt documents. The WFOE should obtain a capital contribution certificate (出资证明书) and reflect the paid-in amount in its books and in the credit-information publicity system.

Verification (验资): much reduced, not abolished

Historically, every capital injection required aCPA-issued capital verification report (验资报告). The 2015 SAFE reform cancelled the capital-verification inquiry system (验资询证制度) for FDI and removed the non-cash and equity-acquisition confirmation registrations. For a standard WFOE funded in cash, a separate verification report is generally no longer a routine foreign-exchange prerequisite. However, verification is still required or expected in specific situations: where the articles or a licence demand it, for non-cash contributions (capital contributed in kind, intellectual property, land-use rights) which need valuation and transfer-of-title evidence, and where the company later wants to evidence paid-in capital to a bank, a tender, or in a capital-increase filing. Treat a verification report as situation-driven, not automatic.

Settlement and permitted use of funds

Capital in the foreign-currency capital account can be converted to RMB under the voluntary settlement rule at 100% (意愿结汇,比例暂定100%), with the RMB placed into a “settlement-to-be-paid account” (结汇待支付账户). Use of the funds is governed by a negative-list-plus principle: money must be used within the company’s business scope, on a true and self-use (真实、自用) basis, and not for expressly prohibited purposes (e.g. certain restricted investment or related-party lending contrary to rules). Typical permitted uses include paying suppliers, staff, rent, taxes, and the company’s own operating expenses; direct equity investment by a non-investment WFOE is constrained. Banks monitor payments from the settlement-to-be-paid account and may request underlying contracts and invoices.

The negative-list-plus discipline is best understood by what it forbids as much as what it permits. Beyond related-party lending, the settled capital may not be used to purchase non-self-use real estate for speculation, to subscribe to financial products that are effectively margin or wealth-management exposures contrary to the rules, or to make direct equity investments unless the WFOE itself is a licensed investment entity. Banks apply “penetration” review: for larger payments they look through to the ultimate use and may decline a payment whose stated purpose does not match the underlying document. Keeping the stated purpose, the contract, and the invoice aligned is therefore not paperwork theatre but the actual control that keeps the funds movable.

Another practical point concerns timing and exchange-rate risk. Because the voluntary-settlement rate is the market rate on the day of conversion, a parent that delays settlement hoping for a better rate carries FX exposure on the RMB side; conversely, leaving capital in the foreign-currency account avoids that conversion risk but earns little and may not match RMB-denominated payables. Many WFOEs settle in tranches matched to near-term RMB obligations rather than converting the whole injection at once, which also smooths the bank’s payment monitoring and avoids large idle balances in the settlement-to-be-paid account.

Documentation and traps

Keep a tight paper trail: the FDI registration confirmation, the inbound remittance advice, the FDI capital-inflow registration form, the capital contribution certificate, and (if prepared) the verification report. Common pitfalls: remitting from a party that does not match the registered shareholder (触发”投资人缴款人不一致”说明); mixing capital with related-party service payments (which are subject to withholding tax, not capital); and converting capital to RMB and on-lending to the parent or an affiliate, which can be challenged. Align the forex, accounting, and tax records so the paid-in amount is identical everywhere.

Practical example

Concrete walk-through: a newly licensed WFOE has registered capital of RMB 3,000,000 subscribed by its Hong Kong parent. Before any money moves, the WFOE’s bank completes the FDI basic-information registration and opens a capital account in the WFOE’s name. On 15 March 2026 the parent remits USD 430,000 from its HK account. The bank checks that the remitter exactly matches the registered shareholder (the HK parent, not a sibling company), performs the currency contribution entry registration, and issues the FDI capital-inflow registration form. At an assumed spot rate the USD converts to roughly RMB 3,000,000-equivalent, which the WFOE records as paid-in capital and reflects on the credit-information publicity system within 20 working days.

The WFOE then needs RMB to pay local suppliers. It elects voluntary settlement at 100%, and the bank places RMB into the settlement-to-be-paid account When the WFOE pays an office-rent invoice of RMB 200,000, the bank reviews the lease contract and the VAT invoice and releases payment — a permitted “true and self-use” operating expense. What the WFOE must not do is take RMB 500,000 from that account and on-lend it to the HK parent; that would breach the negative-list restriction on related-party lending and invite a forex challenge. Each downstream payment is backed by a contract and invoice, so the trail stays clean.

A second sub-scenario shows when verification is required: suppose the same parent contributes a registered trademark valued at RMB 1,000,000 instead of cash. Here a CPA valuation and a capital verification report are needed, the trademark must be assigned to the WFOE (title transfer evidenced), and the non-cash contribution is recorded. Skipping verification here would leave the WFOE unable to evidence paid-in capital to a bank or in a later capital-increase filing.

What to do next

  • Complete the FDI basic-information registration with your bank before remitting, and open the capital account in the WFOE’s name.
  • Remit from the exact registered shareholder entity; keep the amount consistent with the FDI registration to avoid mismatch filings.
  • Decide deliberately whether you need a verification report — required for non-cash contributions and useful for licences/banks, but not a routine forex step for cash.
  • Settle to RMB via the settlement-to-be-paid account and keep every payment backed by a real contract and invoice.
  • Reconcile the paid-in capital across forex, accounting, and the credit-information publicity system each time you inject.

Multinational RMB-FX integrated cash pool goes national |

Overview

On 6 March 2026, the People’s Bank of China (PBOC) and the State Administration of Foreign Exchange (SAFE) issued the *Notice on Matters Relating to the RMB-FX Integrated Cash Pool Business for Multinational Corporations* (《关于跨国公司本外币一体化资金池业务有关事宜的通知》). The notice converts the previously piloted RMB-FX integrated cash pool from a regional trial into a nationwide regime. For foreign investors operating in China, it removes one of the most persistent frictions in cross-border treasury management: the separation of RMB and foreign-currency pools and the per-transaction approval model.

This article explains what changed, who qualifies, and how a multinational group should think about restructuring its China treasury under the new rules.

What is the RMB-FX integrated cash pool?

A cash pool lets a corporate group concentrate balances across subsidiaries into a single managed structure, so surplus cash in one entity can fund deficits in another. China historically ran two parallel systems:

  • A RMB cross-border cash pool (usually under the PBOC / SAFE “cross-border two-way RMB fund pooling” framework).
  • A foreign-currency cash pool (under SAFE’s foreign-debt and outbound-loan quota rules).

The integrated pool merges both into a single onshore/offshore pool covering RMB and foreign currencies, supervised under a quota-based filing regime rather than per-transaction approval.

What the nationwide rollout changes

DimensionBefore (pilot)After (nationwide, Mar 2026)
Geographic scopeSelected pilot regions onlyNationwide
Currency coverageSeparate RMB / FX poolsSingle integrated RMB+FX pool
Approval modelOften case-by-caseQuota-based filing
Foreign debt / outbound loanPer-entity quotasConcentrated group quota
Within-quota transactionsFiled individuallyNo single-transaction filing

The most important operational shift is the move from approval to filing. Once a group’s pool quota is set and filed, routine transfers, surplus allocation, and netting settlement inside the quota no longer require SAFE’s sign-off on every transaction.

Key functions available in the pool

  • Fund centralisation (资金集中): collect and concentrate member balances.
  • Surplus allocation (余缺调剂): move liquidity from cash-rich to cash-poor entities.
  • Current-account centralised collection and payment (经常项目集中收付): a designated entity handles collections and payments on behalf of the group.
  • Netting settlement (轧差净额结算): offset intercompany receivables/payables and settle only the net amount, cutting FX conversion and bank fees.

Eligibility thresholds

To set up an integrated pool, the onshore parent / designated entity must meet SAFE thresholds:

  • Onshore members’ annual foreign-exchange receipts and expenditure ≥ RMB 7 billion.
  • Onshore consolidated revenue ≥ RMB 10 billion.
  • Offshore consolidated revenue ≥ RMB 2 billion.
  • At least 3 member entities in the pool.
  • No major foreign-exchange violations in the preceding 2 years.

These thresholds target large, well-established multinationals rather than small entrants. Groups below the bar can still use the older separate RMB and FX pooling channels.

Quota concentration: foreign debt and outbound loans

Under the old model, each entity held its own foreign-debt quota and outbound-loan quota. The integrated pool lets the group concentrate these quotas at the group level. Within the approved quota:

  • Single-transaction filing is no longer required.
  • The group allocates debt and loan capacity flexibly across members.
  • Cross-border lending between related entities becomes far simpler to execute.

This is especially useful for groups that fund China operations from offshore holding companies, or that on-lend to overseas affiliates.

Scale of the reform

SAFE reports that the policy benefits 1,100+ multinational corporations and 19,000 member entities, covering roughly USD 2.1 trillion in cross-border fund flows. That scale signals the regime is now a core part of China’s cross-border capital management toolkit, not a fringe pilot.

Strategic implications for foreign investors

  1. Build the regional treasury in China. With a single integrated pool and quota filing, China can serve as a genuine in-country treasury hub rather than a passive cash sink.
  2. Reduce FX leakage. Netting settlement and centralised conversion lower transaction costs.
  3. Plan for the thresholds. Groups near the RMB 7bn / RMB 10bn lines should model consolidated figures early.
  4. Coordinate with banks. Pool onboarding still requires a qualified onshore bank and a filed quota; start the bank selection and filing package early.
