Cross-Border Service Payments | 跨境服务费支付
Overview
A WFOE frequently pays its overseas related party for services — group IT, management fees, royalties, technical support, marketing, or contract R&D. These outbound payments are not simple wire transfers; they sit at the intersection of withholding tax, VAT, and foreign-exchange control. The Chinese payer is usually the withholding agent and must apply the correct tax treatment, complete the tax filing, and (above a threshold) obtain a tax record-filing (税务备案) before the bank releases the FX. This note sets out the withholding tax and VAT logic, the documentation chain, and the common mistakes that trigger disputes or blocked payments.
Withholding tax on the non-resident
Where the overseas service provider is a non-resident enterprise with no establishment in China but derives income sourced in China, the payment is subject to enterprise income tax by way of withholding at source (源泉扣缴). The payer withholds and remits within seven days of the withholding obligation arising (generally the contractual payment date, or the date the amount is accrued and expensed if unpaid). The statutory withholding rate is 10% on the gross amount (预提所得税), but a tax treaty (税收协定) may reduce it — for many services the relevant article is for technical fees, royalties, or business profits, and the reduced rate (often 0%, 6%, or 10%) depends on the treaty and the nature of the payment. To claim treaty benefits the non-resident must file the relevant enjoyment-of-treaty-treatment forms (享受税收协定待遇).
VAT and the reverse-charge
For services supplied by an offshore party consumed in China, VAT is also levied. Where the overseas supplier has no domestic establishment, the domestic purchaser is the withholding agent for VAT (reverse charge): generally 6% for modern services / intangible-asset royalties, with the computed VAT added on top of the consideration. The payer declares and pays this through the electronic tax bureau. Properly withheld VAT may be creditable as input tax by the WFOE if it is a general VAT taxpayer and the expense is for taxable business — a point often missed when budgeting the true cost of the payment.
The RMB 50,000 tax record-filing threshold
Under the STA/SAFE announcement on tax record-filing for outbound service payments (国家税务总局、国家外汇管理局公告2013年第40号, amended), a domestic entity paying a single outbound amount equivalent to more than USD 50,000 (excluding exactly USD 50,000) for covered items — including service trade income, royalties, dividends/interest/guarantee fees, and certain transfers — must complete a tax record-filing (对外支付税务备案) with the in-charge tax authority before the bank processes the FX. The filing is done online via the electronic tax bureau and is typically instant. Below the threshold, no filing is needed (though tax is still due if taxable). Note that since 2017, source-withholding contracts no longer require prior contract filing with the tax authority (国家税务总局公告2017年第37号).
Documentation you must hold
Build the file before you pay, not after. At minimum: (1) the underlying contract (with Chinese translation if foreign-language), spelling out the service, deliverables, and which party bears tax; (2) evidence the service was actually performed (timesheets, deliverables, acceptance); (3) the tax treaty analysis and any treaty-enjoyment forms; (4) the withholding computation for both EIT and VAT; (5) the tax record-filing confirmation (above USD 50,000); and (6) the bank’s FX payment documents. The tax-bearing clause matters: a “gross-up” clause shifts the net cost to the payer, while a “tax borne by payee” clause affects the withholding base.
Related-party and transfer-pricing exposure
Because the payee is usually a related party, the transaction must satisfy the arm’s-length principle. The WFOE must disclose related-party transactions in its annual CIT reconciliation (关联申报) and may need contemporaneous documentation (同期资料) if thresholds are met. An inflated management fee or royalty with weak benefit to the Chinese entity is a classic transfer-pricing target: the tax authority can re-characterise or disallow the expense, deny the deduction, and impose adjustments. Keep a clear benefit narrative and benchmark the charge.
The contemporaneous documentation regime has three tiers, and a China WFOE should know which it triggers. A master file is required where the group’s annual related-party transaction volume crosses a high threshold (broadly RMB 1 billion of related-party deals); a local file is required where the WFOE’s own related-party transactions exceed RMB 40 million (or RMB 10 million for related-party financial services); and a country-by-country report applies at the ultimate parent level above a consolidated revenue threshold (broadly RMB 5.5 billion). Even where no formal file is mandated, keeping a lightweight benefit narrative and a benchmarking memo protects the deduction if the tax authority questions the charge. The thresholds are not a safe harbour to ignore documentation — they set the point at which penalties for missing contemporaneous papers begin.
A second practical trap is the interaction between the tax-bearing clause and the withholding base. If the contract says the payee receives a “net” amount and the payer bears all tax (a gross-up), the EIT and VAT are computed on a grossed-up base, raising the actual outflow. If instead the payee bears tax, the base is the contract amount and the non-resident nets less. The WFOE’s finance team should model both the pre-tax and post-tax cost before signing, because the seemingly cheaper net contract can be the more expensive gross one once Chinese withholding is layered on. This modelling also feeds the transfer-pricing file, since the authority will test whether the charge — grossed up or not — remains arm’s length.
Practical example
Worked scenario: a China WFOE pays its Singapore parent USD 120,000 per year for centralized IT infrastructure, technical support, and regional management services. The payment is outbound and crosses the tax/FX line, so the WFOE runs the full sequence.
First, the WFOE captures the Singapore parent’s non-resident enterprise identity in the electronic tax bureau and confirms the service contract (with a Chinese translation) spells out the deliverables and that tax is borne by the payee. Second, it determines the EIT withholding rate. The statutory rate is 10% on the gross amount, but the China–Singapore tax arrangement may reduce it for technical-service and royalty items; assuming the advisor confirms a reduced rate of 6% applies to the relevant portion, the WFOE withholds USD 7,200 (6% of USD 120,000) and remits within seven days. Third, because the offshore supplier has no domestic establishment, the WFOE applies the reverse-charge VAT at 6% on the consideration — roughly RMB 52,000 at an indicative rate — which it declares and pays through the e-tax bureau and may later credit as input VAT if the WFOE is a general taxpayer with taxable use. Fourth, because the single payment exceeds USD 50,000, the WFOE completes the tax record-filing (对外支付税务备案) online before instructing its bank; below that threshold no filing would be needed. Fifth, the WFOE assembles the file: the contract, evidence the services were performed (monthly timesheets and an acceptance note), the treaty analysis and treaty-enjoyment forms, the EIT and VAT withholding computations, and the filing confirmation. The bank then releases the FX against that package.
The transfer-pricing discipline sits alongside: the WFOE discloses the related-party transaction in its annual CIT reconciliation and, because the annual related-party service charge exceeds the contemporaneous-documentation threshold, prepares a local file benchmarking the management fee against comparable intra-group and third-party charges. A clear benefit narrative (“the China entity receives 24/7 IT hosting and regional finance shared services it could not source locally at lower cost”) is documented so the expense is not re-characterised.
What to do next
- Trigger the non-resident identity capture and contract filing in the electronic tax bureau before the first payment.
- Determine the correct EIT withholding rate — check the applicable tax treaty rather than defaulting to 10%.
- Apply the reverse-charge VAT and decide whether it is creditable input tax for your WFOE.
- Complete the tax record-filing for any single payment above USD 50,000 before instructing the bank.
- Hold a complete file (contract, performance evidence, tax computation, filing confirmation) and align it with your related-party disclosure.

概述
外商独资企业常向境外关联方支付服务费——集团 IT、管理费、特许权使用费、技术支持、营销或合同研发。这些对外付款并非简单电汇,而是处在预提所得税、增值税与外汇管制的十字路口。中国付款方通常是扣缴义务人,须适用正确税务处理、完成申报,并在超过阈值时取得税务备案,银行才会放行外汇。本文说明预提所得税与增值税的逻辑、单据链,以及引发争议或付款受阻的常见错误。
非居民的预提所得税
境外服务提供方若为在中国境内未设机构场所、但有来源于中国境内所得的非居民企业,该付款须以源泉扣缴方式缴纳企业所得税。付款方在扣缴义务发生之日起七日内扣缴解缴(通常为合同约定付款日;若未付但已计入成本费用的,在税前扣除时补缴)。法定扣缴率为全额的 10%(预提所得税),但税收协定可降低——许多服务适用技术费、特许权使用费或营业利润条款,减征率(常为 0%、6% 或 10%)取决于协定与付款性质。主张协定待遇的非居民须提交享受税收协定待遇相关表单。
增值税与反向征收
对境外提供、在中国消费的服务,亦征增值税。境外供应商无境内机构的,由境内购买方作为增值税扣缴义务人(反向征收):现代服务/无形资产特许权通常 6%,计算出的增值税加于价款之上。付款方通过电子税务局申报缴纳。若 WFOE 为一般纳税人且支出用于应税业务,合规扣缴的增值税可作为进项抵扣——这一点在做付款成本预算时常被忽略。
5 万美元税务备案阈值
依税务总局、外汇局《关于服务贸易等项目对外支付税务备案有关问题的公告》(2013 年第 40 号,已修订),境内机构单笔向境外支付等值 5 万美元以上(不含 5 万美元)的覆盖项目——包括服务贸易收入、特许权使用费、股息/利息/担保费及部分转让所得——须在办理外汇前向其主管税务机关办理对外支付税务备案。备案经电子税务局线上办理,通常即时办结。低于阈值无需备案(但应税仍须纳税)。注意:自 2017 年起,源泉扣缴类合同不再需在税务机关事先合同备案(国家税务总局公告2017年第37号)。
须留存的文件
在付款前而非付款后建立档案。至少包括:(1) 基础合同(外文须附中文译本),载明服务、交付物及税款由何方承担;(2) 服务实际履行的证据(工时表、交付物、验收);(3) 税收协定分析与协定待遇表单;(4) 企业所得税与增值税的扣缴计算;(5) 对外支付税务备案凭证(超 5 万美元);(6) 银行外汇付款单据。税款承担条款关键:包税条款将净额成本转嫁付款方,而”税款由收款方承担”条款影响扣缴基数。
关联方与转让定价风险
因收款方通常为关联方,交易须符合独立交易原则。WFOE 须在年度企业所得税汇算清缴中披露关联方交易(关联申报),达到阈值时可能需准备同期资料。对中方实体裨益薄弱的虚高管理费或特许权使用费,是经典的转让定价靶标:税务机关可重新定性或否决费用、否定扣除并作纳税调整。应保留清晰受益说明并对收费作基准比对。
同期资料制度分三个层级,中国 WFOE 应知自身触发哪一档。合并层(主体文档)于集团年度关联交易额跨越高门槛(约 10 亿元人民币关联交易)时要求;本地文档于 WFOE 自身关联交易超 4,000 万元(关联方金融服务超 1,000 万元)时要求;国别报告于最终母公司合并收入超约 55 亿元时适用。即便未强制要求正式文档,留存轻量受益说明与基准比对备忘,亦能在税务机关质疑费用时保护扣除。门槛并非可忽视文档的安全港——它们只是未备同期资料罚则的起算点。
第二实务陷阱是税款承担条款与扣缴基数的相互作用。若合同约定收款方收受”净额”、税款由付款方承担(包税),则企业所得税与增值税按加码后的基数计缴,实际流出增大。反之若税款由收款方承担,基数即为合同金额,非居民净收较少。WFOE 财务团队签约前应同时测算税前与税后成本,因为看似便宜的净额合同,叠加中国扣缴后可能更贵。该测算亦喂给转让定价档案,因为税务机关会检验该费用(无论是否加码)是否仍属独立交易。
实操示例
工作场景:一家中国 WFOE 每年向其新加坡母公司支付 12 万美元,用于集中式 IT 基础设施、技术支持与区域管理服务。该付款为对外付出,跨税务与外汇边界,故 WFOE 走完整流程。
首先,WFOE 在电子税务局采集新加坡母公司的非居民企业身份,并确认服务合同(附中文译本)载明交付物、且税款由收款方承担。其次,确定企业所得税扣缴率。法定税率为全额 10%,但中国—新加坡税收安排可对技术服务与特许权项目减征;假设顾问确认相关部分适用 6% 的减征率,WFOE 扣缴 7,200 美元(12 万之 6%),并于七日内解缴。第三,因境外供应商无境内机构,WFOE 按反向征收对价款计缴 6% 增值税——按参考汇率约合 5.2 万元人民币——经电子税务局申报缴纳,若 WFOE 为用于应税业务的一般纳税人,后续可作进项抵扣。第四,因单笔付款超 5 万美元,WFOE 在通知银行前先线上办理对外支付税务备案;低于该阈值则无需备案。第五,WFOE 整理档案:合同、服务履行证据(月度工时表与验收单)、协定分析与协定待遇表单、企业所得税与增值税扣缴计算、备案凭证。银行凭此包放行外汇。
转让定价纪律并行:WFOE 在年度企业所得税汇算清缴中披露该关联方交易;鉴于年度关联方服务费超过同期资料门槛,其制备本地文档,将该管理费与可比的集团内及第三方收费作基准比对。应留存清晰受益说明(”中国实体获得本地无法以更低成本获取的 24/7 IT 托管与区域财务共享服务”),以免费用被重新定性。

- 确定正确的企业所得税扣缴率——查阅适用税收协定,而非默认 10%。
