Overview

On 16 June 2026 the Ministry of Commerce, the National Development and Reform Commission and the Ministry of Finance issued the Action Plan for Stabilising and Optimising Foreign Investment Utilisation (利用外资固稳促优行动方案), numbered Shang Zi Fa [2026] No. 97 and issued with State Council approval. Article 1, on deepening the opening of the service sector, contains one sentence that has drawn attention from education groups: the plan calls for steadily expanding the opening pilot for vocational training institutions, vocational colleges and high-level science, engineering, agriculture and medical universities. The same article supports Beijing in raising the standard of its national comprehensive demonstration zone for expanded opening in the service sector.

Read that sentence for what it is. It is a deployment of direction inside an action plan on foreign investment, not an implementing rule, not a catalogue, and not a licensing standard. It does not name pilot regions, does not set a scale, and does not state what qualifications a foreign provider must hold. Those elements come from supporting rules, and those rules have not been published.

This matters commercially because the sentence is easy to quote and hard to rely on: read as permission to establish a wholly foreign-owned vocational college, it produces a structure no regulator has agreed to approve.

What the document does and does not do

Three things are clear from the text. The sectors named — vocational training institutions, vocational colleges and high-level universities in science, engineering, agriculture and medicine — point at skills and industrial workforce supply rather than at academic education generally. The verb is “steadily expand”, which implies a pilot being widened rather than a new regime. And the setting is a foreign investment action plan, so the intended audience is foreign capital looking for permitted sectors.

What is absent is just as important: no list of cities, no statement that wholly foreign-owned provision is permitted as opposed to Sino-foreign cooperation, no foreign-party qualification standard, no minimum capital, no cap on numbers. The honest position for a board paper is therefore narrow — the direction is favourable, the instrument is directional, and the timing of any implementing rule is unknown.

Three routes, three regulators

Foreign participation in training and vocational education in China is not a single permission. It is at least three, with different regulators, different outputs and different economics.

The Sino-Foreign Cooperative School route. A cooperative institution is established under the regulations on Sino-foreign cooperation in running schools and their implementing rules. It requires approval, the foreign party must be a qualified educational institution, and the institution may not deliver compulsory education. This is the route that can award academic qualifications, and it is also the slowest and the most heavily conditioned.

The for-profit vocational skills training route. A vocational skills training institution is a private school in the sense of the law on promoting private education, but it is licensed by the human resources and social security authorities rather than the education authorities, because its subject matter is vocational skills and vocational qualification training rather than academic education. It may be registered as a for-profit entity, may distribute profit, and may not award academic qualifications.

The in-house training or technical service centre route. A foreign company may set up an ordinary foreign-invested enterprise whose business scope covers technical services, management consulting or staff training for its own employees and customers. No school licence is needed. What is not permitted is enrolling the public or charging tuition.

The cooperative school route in practice

Approval is case by case and follows a defined sequence: an application with the cooperation agreement and the institutional charter, review of the foreign party’s credentials, approval of the establishment, and then registration and a licence to operate. The approval authority depends on the level of education involved, with undergraduate degree programmes going to the Ministry of Education and sub-degree and non-degree programmes handled at provincial level.

Two constraints shape the structure. The foreign party must be an educational institution with the standing to run the programme it proposes — a training company or a corporate academy will not satisfy that test, so a group wanting to use its own corporate university should expect to partner with a recognised institution. And cooperative schools are treated as public-interest undertakings, registered in practice as non-profit legal persons; a model that depends on distributing profit should not start here.

The for-profit training route in practice

This route suits short-cycle, fee-based, skills-oriented programmes: language and exam preparation, vocational certification, industry-specific technical training. The licence comes from the human resources and social security authority at the level set by local rules, and the permitted training subjects are written into the licence. Teaching outside the licensed subjects is the most common way a compliant institution becomes a non-compliant one.

Foreign investment in this category sits outside the special administrative measures of the negative list, which cover pre-school, senior secondary and higher education institutions and prohibit foreign investment in compulsory education. But local practice on whether a wholly foreign-owned training institution is acceptable varies, and the point should be confirmed with the local authority before a lease is signed.

The in-house centre route in practice

This is the structure most groups should use first: it can be stood up in weeks rather than years, and it does not consume a regulatory position that may be needed later. It is an ordinary company — registered with the market regulator, filing the foreign investment information report, invoicing for services.

Its limits are strict and easy to cross by accident. It may not enrol the public. It may not charge tuition. It may not describe itself in a way that suggests it is a school. The moment a customer-facing programme starts taking fees from individuals for a course advertised as a qualification, the structure has become unlicensed schooling.

Documents the foreign side must produce

Whatever the route, the foreign party’s file is where applications stall. The standard set runs as follows: evidence of the institution’s legal establishment and its accreditation in its home jurisdiction; the charter and governance documents; the curriculum, hours and assessment scheme; the faculty list with qualifications; audited financial statements or a bank-issued credit reference; identity, academic background and employment history of the proposed legal representative and principal; and a notarised and authenticated set of the above with Chinese translations prepared to the receiving authority’s format.

Start authentication before the commercial negotiation concludes, not after: it is the longest lead-time item.

Three reasons applications come back

The entity is a technology company that recruits students. A company registered for educational technology or consulting cannot enrol the public for a fee. This is the single most common failure, and it usually begins with a marketing decision rather than a legal one.

The programme promises a qualification it cannot award. Non-degree institutions may not promise degrees or diplomas. Brochures that say otherwise create a misrepresentation problem that outlasts the application.

Foreign teachers lack the right to work and the right to teach. A foreign teacher needs a work permit for the position and the teaching credentials the programme claims. A short visiting lecture is not a loophole; it is a separate filing question.

Preparing for a window that has not opened

The useful work now is preparatory, and it is cheap relative to the cost of a failed application.

  • Complete the foreign party’s accreditation file and authentication early; it is the longest lead-time item and it is reusable across routes and cities.
  • Screen the Chinese partner: verify its school licence, its recent compliance record, the ownership of its premises and its financial position.
  • Track three authorities rather than one — commerce for the foreign investment angle, education for schools, human resources and social security for skills training — because their answers will differ and the binding one is the licensing authority’s.
  • Keep the board paper honest about status: a directional deployment, no implementing rule, no application window.
