China’s Nationwide Pooling of Foreign-Invested Groups’ Cross-Border Funds (2026)

  • On 26 December 2025, the People’s Bank of China and SAFE issued the *Notice on Cross-Currency Cash Pooling for Multinational Companies* (Yin Fa [2025] No. 251), extending the integrated RMB/foreign-exchange pool nationwide.

China’s Nationwide Pooling of Foreign-Invested Groups’ Cross-Border Funds (2026) |

Why this matters now

For any foreign-invested group operating in China, treasury efficiency is a quiet but decisive competitive factor. Until recently, RMB and foreign-exchange pools ran on separate rulebooks, forcing duplicated accounts and per-transaction approvals that slowed every cross-border transfer. That changed with the 26 December 2025 Notice of the People’s Bank of China and the State Administration of Foreign Exchange (SAFE), *Yin Fa [2025] No. 251*, which extends the integrated cross-currency cash pool — previously a regional pilot — to the entire country. By early 2026 SAFE reported the policy had already reached over 1,100 multinationals and 19,000 member entities, covering USD 2.1 trillion in cross-border flows.

This article explains what the pool does, who qualifies, how to set it up, the freedoms and limits, and why it matters for foreign-invested enterprises (FIEs) considering a China regional treasury. It pairs with our cross-border finance and foreign-exchange registration coverage.

The 2025 PBoC/SAFE Notice

*Yin Fa [2025] No. 251* establishes a unified policy framework: it brings RMB and foreign-exchange pools under one management regime, encourages enterprises to run pools in the local currency, and designates the local SAFE branch as a “single window” for filing and registration — reducing the “shoe-leather cost” of multiple agency visits. It sets external-debt and outbound-lending concentration quotas linked to member equity, and supports autonomous, efficient fund allocation within quota. It also strengthens ex-post monitoring to guard against cross-border flow risks.

The Notice took effect on publication and builds on pilots run since 2021 in Beijing, Shenzhen and elsewhere, with successive expansions of scope and content.

What the pool enables

A qualifying multinational designates one domestic member with independent legal personality as the host enterprise, which opens an onshore master account (multi-currency, including RMB; overdraft within prudent limits is permitted). Through that account the group can:

  • concentrate and balance onshore and offshore RMB and FX funds;
  • run centralised current-account collection/payment for member enterprises;
  • perform netting settlement of current-account receivables/payables (at least monthly);
  • manage external-debt and outbound-lending quotas centrally, with one-time registration;
  • convert and settle eligible foreign-exchange and FDI funds under willing-or-payment settlement, with converted RMB staying in the master account rather than a separate pending-payment account.

For a group with surplus RMB at one subsidiary and an offshore unit needing FX, the pool turns what was a multi-day, document-heavy transfer into a near-instant internal allocation.

Eligibility and setup

To participate, a multinational must meet scale and governance thresholds:

  • genuine business need, sound cross-border fund-management architecture and internal controls, and an internal management IT system;
  • domestic members’ combined balance-of-payments scale ≥ RMB 7 billion; domestic members’ combined revenue ≥ RMB 10 billion; overseas members’ combined revenue ≥ RMB 2 billion equivalent;
  • no major cross-border receipt/payment violations in the prior two years;
  • trade-foreign-exchange classified A (where applicable);
  • at least three domestic and overseas member entities;
  • overseas members invested by the domestic enterprise must comply with outbound-investment rules; and domestic members must not be on the cross-border RMB key-supervision list.

Setup is a filing with the provincial SAFE branch (materials may be submitted by the host or a mandated cooperative bank), culminating in a filing certificate. The host must open the master account and commence business within one year, or the certificate lapses. Changes (cooperative bank, business type, quotas, members) are filed within 30 days; cessation requires closure of the master account and de-registration.

Operational freedoms and limits

Within quota, the host allocates funds autonomously — the regulatory logic shifts from per-transaction pre-approval to quota-based, ex-post monitoring. External-debt and outbound-lending balances must stay within the computed concentration limits (leverage 2.0 and macro-prudential parameter 1.75 for external debt; leverage 1.0 and coefficient 0.8 for outbound lending, initially). Currency arbitrage between RMB and FX within the pool is prohibited.

Excluded participants: financial institutions, local-government financing vehicles and real-estate enterprises — except that a finance company may serve as host. Cooperative banks must meet international-settlement, FX and AML criteria.

Why it matters for FIEs and regional HQs

The deeper strategic value is locational. Historically, many multinationals kept their regional treasury in Singapore or Hong Kong because China’s fragmented pool rules made onshore concentration cumbersome. A unified, quota-based, autonomous pool lowers that friction and supports the “Invest in China” aim of attracting regional headquarters and treasury centres. For an FIE, the gains are concrete: released idle “precautionary” cash, lower transfer and FX costs, and a finance team shifted from operations to planning, hedging and strategic funding.

SAFE has signalled that in 2026 it will extend centralised cross-border cash management to more mid-sized multinationals nationwide, broadening access beyond the large or super-large groups served by the current pool.

Practical steps for FIEs

  1. Assess scale eligibility against the RMB 7bn / 10bn / 2bn thresholds and the three-member minimum.
  2. Appoint a host enterprise with the governance, IT system and A-class trade classification.
  3. Prepare the filing package (application, authorisation, pool agreement, confirmations, licences, member list, equity structure).
  4. Open the master account within one year and commence business to avoid lapse.
  5. Design the intra-group allocation and netting workflow, keeping currency use compliant.
  6. Watch the 2026 extension to mid-sized groups if you fall below the current thresholds.

  • 集中调剂境内外本外币资金;
  • 为成员企业办理经常项目资金集中收付;
  • 开展经常项目应收应付轧差净额结算(原则上每月不少于一次);
  • 集中管理外债与境外放款额度,一次性登记;

  • 具备真实业务需求、完善的跨境资金管理架构与内控制度,以及内部管理电子系统;
  • 境内成员上年度本外币国际收支规模合计不低于70亿元;境内成员营业收入合计不低于100亿元;境外成员营业收入合计不低于20亿元等值;
  • 近两年无重大跨境收付业务违法违规行为;
  • 货物贸易分类结果为A类(如适用);
  • 境内外成员企业合计不少于三家;

China’s 2026 Battery Excise Tax Shift: What Foreign Battery and EV Firms Should Plan For | 中国2026年电池消费税新政:外资电池与电动车企业的规划要点

Why this matters now

For more than a decade, most advanced battery categories produced in or imported into China enjoyed a consumption tax exemption designed to nurture the industry. That era ends in stages from September 2026. On 17 July 2026, the Ministry of Finance, the General Administration of Customs and the State Taxation Administration jointly published Announcement No. 20 of 2026 adjusting the consumption tax treatment of specific battery products, and the State Taxation Administration followed with Announcement No. 16 of 2026 covering administrative details. The combined package matters to any foreign-invested enterprise (FIE) that manufactures, imports, assembles or sells batteries, battery packs, energy-storage systems, EVs or solar modules in China, because excise tax attaches to both domestic production and import flows and ripples through the whole supply chain.

What the new rates actually are

Under the new rules, from 1 September 2026 the following products are taxed at 2% at production, commissioned processing and import: mercury-free primary batteries; nickel-metal hydride (Ni-MH) batteries; lithium primary batteries; lithium-ion batteries; and vanadium redox flow batteries. From 1 September 2027 the rate steps up to 4%. Photovoltaic (solar) cells move to 2% from 1 April 2027 and to 4% from 1 April 2028. Importantly, a broad exemption corridor remains: from 1 September 2026 to 31 December 2028, sodium-ion batteries, solid-state batteries, fuel cells, and perovskite, tandem and gallium arsenide solar cells are exempt. Lead-acid batteries, which have been taxed at 4% since January 2016, continue under the existing framework. The announcements also make clear that where the 2015 base rules (Caishui [2015] No. 16 and Caiguan Shui [2015] No. 4) conflict with the new announcement, the new rules prevail.

Why the reform matters commercially

China is the world’s largest producer, consumer and exporter of lithium batteries, and the previous blanket exemption was designed to help the industry scale. With the sector mature, the authorities are shifting from “support everything” to “support the winners and the new technologies”. The differentiated treatment is a deliberate industrial-policy signal: mainstream lithium and nickel technology starts paying tax, while sodium-ion, solid-state, fuel-cell and advanced PV chemistries — the next generation candidates — are deliberately kept tax-free for now. For a foreign company, this affects the tax-inclusive cost base of products sold in China and of imports, the pricing of export-oriented production, and the relative competitiveness of different technology roadmaps. It also interacts with the separately growing cross-border financing and new-energy supply chain tax incentives that foreign investors increasingly layer together.

Administrative requirements to prepare for

Announcement No. 16 of 2026 imposes concrete compliance mechanics. Sellers of battery products must choose the “battery” category code in the goods-and-services tax classification code table when issuing invoices. Downstream producers that buy, or commission-processing firms that import, duty-paid batteries and use them to continuously produce taxable battery products may credit the excise tax already paid, but only through an electronic invoice platform confirmation and a dedicated battery-tax deduction ledger (Battery Tax Deduction Ledger). Invoices and customs excise payment books dated on or after 1 September 2026 support the credit. Firms seeking the exemption must obtain testing reports showing the battery products meet the relevant national standards and keep the reports and itemised lists for inspection. Exemption-category producers must report the relevant amounts in the “current-period exemption detail” schedule of the consumption tax return.

Practical steps for FIEs

  1. Map product exposure. Classify every battery product your entity produces, imports or uses in continuous production, and identify which rate band — 2% from Sept 2026, 4% from Sept 2027, or the exemption corridor — applies.
  2. Check invoice and deduction readiness. Verify that your ERP and e-invoice platform can issue “battery” category-code invoices, and set up the Battery Tax Deduction Ledger before the first credit claim.
  3. Audit import flows. Because excise attaches at import, confirm customs valuation and the excise line item for each battery category; keep customs excise payment vouchers dated after 1 September 2026 for any continuous-production credit.
  4. Secure exemption documentation. For exempt chemistries, obtain conformity testing reports to national standards, keep itemised product lists aligned with accounting and invoicing, and file the exemption schedule accurately.
  5. Model the phase-in. Build 2026-2028 cost scenarios under 2% and the 2027-2028 step-ups, and evaluate whether switching some product lines to exempt chemistries changes your landed cost advantage.
  6. Reassess transfer pricing. With consumption tax now layered into cost of goods, review related-party pricing and documentation so the tax change is consistently reflected in your Chinese entities’ margins.

Risks and compliance notes

The reform is phased but the compliance obligations begin on day one. Missing the category-code invoicing requirement or the deduction ledger can forfeit credits; inaccurate exemption reporting invites penalties. The announced 2028 end-date for the exemption corridor means next-generation chemistries also have a finite window, so long-term supply contracts should build in the expected future tax step-ups. Foreign firms should also remember that the same consumption tax base interacts with VAT, customs duties and transfer-pricing considerations, making this an item to coordinate across tax, customs, finance and legal functions rather than a purely tax-department issue.

The Main Taxes on a Foreign-Invested Enterprise in China and the 2026 VAT Law in Practice |

A foreign-invested enterprise (FIE) in China is subject to essentially the same tax framework as a domestic company, plus a few inbound/outbound mechanics that matter for cross-border groups. Understanding the tax base and rate of each major tax — and the 2026 codification of VAT — is the foundation of compliant structuring.

Corporate income tax

Enterprise income tax (CIT) applies at a standard 25% rate to resident enterprises (including FIEs established in China or managed from China). High-tech enterprises recognised under the 2016 recognition measures enjoy a 15% rate. Small low-profit enterprises may compute taxable income at 25% and pay 20% — a policy extended through 31 December 2027. Non-resident enterprises without a permanent establishment pay 10% withholding tax on China-sourced income, reducible under a tax treaty. A treaty example: under the Mainland–Hong Kong arrangement, qualified Hong Kong-resident recipients of dividends may be taxed at 5% rather than 10%.

The Value-Added Tax Law (effective 2026)

On 1 January 2026 the *Value-Added Tax Law* came into force, elevating VAT from a provisional regulation to a statute, with the implementing regulations effective the same day. Rates follow the supply: 13% for most goods, processing, repair, and tangible-property leasing; 9% for transport, construction, real-estate leasing, agricultural staples, utilities and imported items in the listed categories; 6% for modern services, intangibles and financial services; 0% for exports and specified cross-border services. FIEs must invoice, file and credit input VAT under the new statute.

Consumption tax, customs and surcharges

Manufacturers and importers of taxable consumer goods (tobacco, alcohol, cosmetics, jewellery, fuel, vehicles, etc.) pay consumption tax, chiefly at production/import, with some items taxed at retail. Imported goods bear customs duties plus import VAT and consumption tax under the *Customs Law*; exports are generally VAT- and consumption-tax exempt or refunded. Urban construction and education surcharges are levied on the VAT/cost basis; deed, land-appreciation, stamp and property taxes apply depending on property and transaction activity.

Incentives and the encouraged catalogue

Beyond the high-tech 15% rate, the western-development policy (extended by the 2020 No. 23 announcement) cuts CIT to 15% for encouraged industries in western regions. The *Catalogue of Encouraged Industries for Foreign Investment* is revised periodically; its 2025 edition deleted and added entries, so an FIE must re-check eligibility — mis-claiming a removed item risks back tax, late fees and credit damage. For example, foreign investment in Guizhou’s computing-power industry may qualify for the 15% rate only if the activity remains in the current catalogue.

Practical steps

  1. Classify supplies. Fix the VAT rate (13/9/6/0) for every product and service line.
  2. Elect CIT incentives deliberately. Apply high-tech or western/encouraged-industry rates only with clean accounting separation.
  3. Use treaties. Claim reduced withholding via the tax-residency certificate and beneficial-owner analysis for dividends, interest and royalties.
  4. Re-check the catalogue. Before year-end planning, confirm encouraged-industry entries against the latest catalogue.
  5. Handle cross-border GST correctly. Exports and specified cross-border services are zero-rated; document the substantive test.

IC and Industrial-Machine-Tool Enterprises: Five-Year Deferral for Non-Monetary Asset Exchange Gains (Announcement No. 23 of 2026) | 集成电路与工业母机企业:非货币性资产交换所得可五年分期纳税(2026 年第 23 号公告)

Why this matters now

On 14 August 2026, the Ministry of Finance, the State Taxation Administration, the National Development and Reform Commission and the Ministry of Industry and Information Technology published Announcement No. 23 of 2026 on the corporate income tax treatment of non-monetary asset exchanges by integrated-circuit (IC) and industrial-machine-tool enterprises. Issued on 31 July 2026, the Announcement allows qualifying enterprises to spread the gain recognised on a non-monetary asset exchange evenly into taxable income over a period of up to five years for exchanges occurring between 1 January 2026 and 31 December 2028. For the IC and high-end machine-tool sectors — where asset exchanges, in-kind contributions and consolidation are common as enterprises restructure capacity — the rule materially improves cash-flow timing and reduces the tax cost of restructuring.

What the Announcement provides

The core rule is that an IC enterprise or industrial-machine-tool enterprise that engages in a non-monetary asset exchange during 2026–2028 may recognise the exchange gain arising under the current rules and spread it evenly into the taxable income of no more than five tax years, then pay CIT on it under the standard rules. The following points matter.

First, the gain is computed as the fair value of the non-monetary asset received in the exchange, less the tax basis of the asset given out and related taxes and fees. Second, the asset received takes as its tax basis its fair value plus the taxes and fees paid in the exchange. Third, where the exchange involves a mix of monetary and non-monetary consideration, only the part of the gain corresponding to the non-monetary-for-non-monetary exchange may use the deferral; the part corresponding to the receipt of monetary consideration follows the normal rules and cannot be deferred. Fourth, losses arising from a non-monetary asset exchange cannot be spread over multiple years. Fifth, if both parties to the exchange are IC or industrial-machine-tool enterprises, both may benefit from the deferral. Sixth, anti-abuse rule: if an enterprise transfers an asset it acquired in a deferred exchange within five years, it must stop the deferral and pay all unrecognised exchange gain in a lump sum in the annual CIT filing of the year of transfer.

The Announcement defines non-monetary assets by exclusion: cash, deposits, accounts receivable, notes receivable and held-to-maturity bond investments are monetary assets; everything else is non-monetary.

How it applies to foreign-invested enterprises

Foreign-invested enterprises operating in the IC sector — wafer fabrication, packaging and testing, design houses with qualifying status — and manufacturers of high-end industrial machine tools (including CNC machines and key components) should examine whether they qualify for the IC-enterprise and machine-tool-enterprise determinations under the relevant industry catalogues. For such companies, the deferral is operationally useful in at least three situations: contributing assets to a new Chinese subsidiary or joint venture in exchange for equity; restructuring manufacturing capacity by exchanging production lines or facilities with a partner; and in-kind investment in supply-chain or R&D entities. Because the deferral is elective in effect (the enterprise recognises and spreads the gain itself, with the five-year cap), financial teams should model the cash-flow benefit and the conditions under which the five-year window is safe — particularly the anti-abuse transfer rule, which accelerates all deferred tax if the acquired asset is transferred within five years.

Practical steps

  1. Confirm qualifying status. Verify that your entity is determined to be an IC enterprise or industrial-machine-tool enterprise under the applicable catalogues administered by the NDRC, MIIT and tax authorities.
  2. Scope the exchange. Check whether the transaction is a non-monetary asset exchange under the Announcement, and separate any monetary consideration, which cannot be deferred.
  3. Compute the deferred gain correctly. Use the fair value of the asset received less the tax basis of the asset transferred plus related taxes and fees; set the tax basis of the asset received accordingly.
  4. Model the five-year schedule. Spread the gain evenly, and track the schedule carefully so that if the asset is transferred within five years, the accelerated tax payment is provisioned for.
  5. Keep the exchange documented. Records of valuation, the exchange agreement and the tax-basis calculation support the filing position and answer any inspection questions.
  6. Coordinate with other incentives. Where the enterprise also benefits from other IC or machine-tool preferences (such as special deductions or preferential rates), ensure the interaction is consistent.

Compliance notes

The Announcement is a deferral, not an exemption: the deferred gain is ultimately taxed, and the timing benefit is lost (with full acceleration) if the acquired asset is disposed of within five years. Enterprises must follow the applicable annual-filing and documentation requirements, and the loss rules are deliberately non-symmetric — a loss on such an exchange must be recognised in full under the normal rules. Because the determination of IC-enterprise and machine-tool-enterprise status sits with specific catalogues and administrative processes, foreign investors should confirm status with the relevant authorities or with qualified advisers before relying on the benefit.

IC and Industrial-Machine-Tool Enterprises: Five-Year Deferral for Non-Monetary Asset Exchange Gains (Announcement No. 23 of 2026)

The R&D Super-Deduction for Foreign-Invested Enterprises (2026)

  • Since 1 January 2023, a qualifying resident enterprise may deduct an extra 100% of its eligible R&D expenses on top of the actual amount — a “super-deduction” that has been made a permanent, economy-wide rule
  • Capitalised R&D is amortised at 200% of cost; integrated-circuit and industrial-machine-tool firms enjoy an even higher 120% super-deduction through 31 December 2027.
  • Foreign-invested enterprises are fully eligible — the rate no longer varies by “high-tech SME” or “manufacturing” status; only the six negative-list industries and non-resident enterprises are excluded.
  • The benefit is claimed on a self-assessment basis and can be enjoyed as early as the July and October prepayments, not only at annual settlement
  • R&D auxiliary accounts (辅助账) are mandatory; expenses must be separately pooled from production costs, with entrusted and overseas R&D subject to the 80% and two-thirds caps.
  • FIEs should treat R&D super-deduction as a measurable target — project authenticity, accurate pooling, and complete documentation are the focus of 2026 local-tax follow-up under the golden-tax data environment.

The R&D Super-Deduction for Foreign-Invested Enterprises (2026) |

Why this matters now

For a foreign-invested enterprise running any genuine R&D in China — a wholly owned R&D centre, a joint-venture manufacturer with a local engineering team, or a shared-service unit developing software — the R&D super-deduction is the single largest, most broadly available tax saving on the books. It is not a sector-specific perk reserved for “national champions”; since 2023 it applies uniformly to every audit-based resident enterprise that can document its R&D. For an FIE, that means the China subsidiary — a Chinese tax resident — can slash its taxable base on locally incurred innovation spend, while the offshore parent (a non-resident) cannot claim it directly.

The policy has matured into a stable, long-term instrument. The headline rate was lifted from 75% to 100% and, by a State Council decision of 24 March 2023, locked in as a permanent arrangement rather than a sunsetting stimulus. Local tax bureaus in 2026 continue to publish step-by-step guidance, and the data-cross-check environment (“Golden Tax Phase IV”) has made clean project documentation the dividing line between a smooth claim and a recovered benefit.

The core benefit and its legal basis

Under the *Announcement on Further Improving the Pre-tax Super-Deduction for R&D Expenses* (Ministry of Finance and SAT Announcement 2023 No. 7), effective 1 January 2023:

  • R&D expenses actually incurred that do not form an intangible asset are, after the actual deduction, additionally deducted at 100% of the actual amount.
  • R&D expenses that do form an intangible asset are amortised at 200% of the asset’s cost.

Announcement 2023 No. 7 repealed the earlier tiered rates (75% for general firms, 100% only for manufacturing and tech SMEs) and made the 100% rate a uniform, economy-wide, long-term rule. The State Taxation Administration’s accompanying interpretation describes this as stabilising business expectations and unifying the treatment of all enterprises. The measure sits within the framework of Cai Shui [2015] No. 119 (the master R&D-deduction notice) and Cai Shui [2018] No. 64 (overseas entrusted R&D).

Who qualifies — and who does not

Eligibility is intentionally broad. A resident enterprise that keeps sound accounting, is collected on an audit basis (查账征收), and can accurately pool its R&D expenses qualifies — regardless of ownership. A WFOE or Sino-foreign JV with real R&D is on the same footing as a domestic firm.

Two exclusions matter for an FIE group:

  1. Negative-list industries. Six sectors are excluded wholesale: tobacco manufacturing; accommodation and catering; wholesale and retail; real estate; leasing and business services; and entertainment. A multi-business FIE is excluded only if a negative-list line exceeds 50% of its relevant revenue base.
  2. Non-resident enterprises. The offshore parent is not a Chinese tax resident and cannot claim the super-deduction on its own books; the benefit accrues only to the China resident subsidiary that incurs the R&D.

For integrated-circuit and industrial-machine-tool enterprises, the rate steps up further: a 120% super-deduction (and 220% amortisation) applies for the period 1 January 2023 to 31 December 2027 under Announcement 2023 No. 44 — but only for firms on the relevant state-issued catalogue.

When you can claim: prepayment timing

A key practical improvement is timing. Under SAT and Ministry of Finance Announcement 2023 No. 11, an enterprise may enjoy the super-deduction during the July (second-quarter) prepayment and the October (third-quarter) prepayment, as well as at the annual CIT settlement. This lets an FIE shorten the gap between incurring R&D cost and realising the tax saving, improving cash flow, rather than waiting until the following year’s reconciliation. The claim remains self-assessed: the enterprise judges eligibility, computes the additional deduction in the return, and keeps the supporting files.

Documentation: the R&D auxiliary account

The super-deduction is claimed without prior approval, but the taxpayer must be able to prove it. The linchpin is the R&D auxiliary account (辅助账) — a project-by-project ledger that pools each deductible expense category. Indispensable requirements:

  • Separate accounting. R&D and production/operating expenses must be split; where they cannot be clearly allocated, the deduction is disallowed.
  • Project-by-project pooling. Multiple concurrent projects are pooled separately; a unified collection-and-allocation approach is permitted for centrally run, high-cost group R&D.
  • Entrusted R&D. Expenses paid to an external party are counted at 80% of actual cost. Where the contractor is a related party, it must supply a breakdown of its R&D spend.
  • Overseas entrusted R&D. Under Cai Shui [2018] No. 64, overseas entrusted R&D is included at 80% of actual cost, but the includable overseas portion may not exceed two-thirds of the total deductible R&D expenses.
  • Creative-design activities for innovative products may also qualify under the prescribed rules.

Local 2026 guidance (e.g. Henan and Guizhou tax bureaus) stresses standardising R&D project management, clearly distinguishing production from R&D, accurately pooling labour, direct inputs, and depreciation, and keeping the project plan, stage records, and results report as retained evidence.

Stacking with other FIE incentives

The super-deduction is not mutually exclusive with other preferences and commonly stacks:

  • High-new-tech enterprise (HNTE) 15% rate. A recognised HNTE still computes its taxable income after the 100% super-deduction, then applies the 15% rate — the deduction and the rate compound.
  • Foreign R&D centre import VAT refund. Qualifying foreign R&D centres can also claim a full VAT refund on domestically purchased equipment (Announcement 2023 No. 41), a complementary, not overlapping, saving.
  • Pre-tax deduction for foreign talent. R&D-intensive FIEs often combine the super-deduction with preferential individual-income treatment for key foreign technical staff.

A practical compliance checklist for FIE groups

  1. Confirm residency and accounting basis. Ensure the China entity is an audit-based resident enterprise; the offshore parent cannot claim.
  2. Establish the auxiliary account before R&D begins, with a project立项 document, budget, and staffing plan.
  3. Segregate R&D from production in the ERP and payroll so labour and overhead allocation is defensible.
  4. Document entrusted/overseas R&D with contracts, the 80% treatment, and — for related parties — the contractor’s cost breakdown; cap overseas at two-thirds.
  5. Claim early at the July or October prepayment to free cash flow.
  6. Retain the full file (project plan, ledgers, results, contracts) for the statutory period; expect data cross-checks on project and expense authenticity.

Common pitfalls

Frequent failure points are: no auxiliary account at all; mixing routine process optimisation or customisation with qualifying R&D; allocating non-R&D overhead into the pool; missing the 80%/two-thirds limits on entrusted and overseas R&D; and claiming for a negative-list-line business above the 50% threshold. In the 2026 enforcement climate, authorities probe whether the activity is genuinely innovative (clear novel goal, systematic organisation, uncertain outcome) and whether costs are real and traceable. Treating the super-deduction as a disciplined, year-round documentation programme — not a year-end adjustment — protects the saving.

(2026)/ The R&D Super-Deduction for Foreign-Invested Enterprises (2026)

Foreign R&D Centers’ Import Tax Concessions Extended to 2030 Under the 15th Five-Year Plan |

Overview

The 15th Five-Year Plan period (2026–2030) continues a multi-year central-government commitment to use import tax instruments as a tool for encouraging scientific and technological innovation. For foreign-invested enterprises that operate research and development functions in China, the most relevant instrument is the import tax concession that allows qualifying R&D centers to bring in scientific research, technology development and teaching supplies without paying import customs duty, import-stage value-added tax, or import-stage consumption tax. In 2026, the Ministry of Finance, the General Administration of Customs, and the State Taxation Administration issued two foundational notices — Caishuiguan [2026] No. 7 and Caishuiguan [2026] No. 8 — that lay out the central framework for this concession during the 2026–2030 window. Provincial commerce, finance, customs and tax authorities then issue or extend local qualification review measures so that eligible foreign R&D centers in their jurisdictions continue to enjoy the treatment through 2030.

On 7 August 2026, the Jilin Provincial Department of Commerce, the Jilin Provincial Department of Finance, Changchun Customs District, and the Jilin Provincial Taxation Bureau of the State Taxation Administration jointly issued the Supplementary Notice on the Continued Implementation of the “Measures for the Qualification Review of Foreign-funded R&D Centers in Jilin Province Enjoying the Import Tax Policy for Scientific and Technological Innovation” (Jishang Waizi Gui [2021] No. 3, Supplementary). The measure was made public on 17 August 2026 and, by its terms, uniformly extends the policy validity period and the application deadline of the original 2021 measures to 31 December 2030. The practical effect is that foreign-funded R&D centers in Jilin that satisfy the eligibility thresholds can continue to be reviewed and to import qualifying goods duty-free through the end of the 15th Five-Year Plan. This extension follows the pattern of other provinces keeping the concession in force through 2030.

Policy chain

The concession rests on a three-tier chain of documents that together define who qualifies, what is covered, and how the benefit is administered:

  • Caishuiguan [2026] No. 7 — the Notice of the Ministry of Finance, the General Administration of Customs and the State Taxation Administration on Supporting the Import Tax Policy for Scientific and Technological Innovation During the 15th Five-Year Plan Period. This is the central policy instrument that establishes the concession for the 2026–2030 period and sets out the broad categories of beneficiaries and covered imports.
  • Caishuiguan [2026] No. 8 — the Notice on the Administrative Measures for the Import Tax Preference Policy Supporting Scientific and Technological Innovation During the 15th Five-Year Plan Period. Annex 1 of this notice sets out the eligibility criteria applied to foreign-funded R&D centers and explains how qualification is determined and reviewed.
  • Jishang Waizi Gui [2021] No. 3 (Supplementary) — Jilin Province’s provincial extension, which aligns the provincial qualification review measures with the 2026–2030 central framework and extends both the validity period and the application deadline to 31 December 2030. It is the document that centers in Jilin rely on for the current application window.

Eligibility

To qualify for the import tax concession, a foreign-funded R&D center must satisfy the thresholds set out in Annex 1 of Caishuiguan [2026] No. 8. These thresholds are designed to confirm that the entity is a genuine, substantial R&D operation rather than a nominal presence:

  • If the center is established as an independent legal person, its total investment must be no less than USD 8 million. This captures centers set up as standalone companies dedicated to research.
  • If the center is not an independent legal person — for example, a research function within a larger foreign-invested enterprise — its total research and experimental development input must be no less than USD 8 million.
  • The center must employ no fewer than 80 full-time personnel engaged in research and experimental development. This staffing threshold signals a meaningful in-house research capability.
  • The original value of equipment purchased cumulatively since the center’s establishment must be no less than RMB 20 million. This confirms a track record of capital investment in research infrastructure.

These thresholds are applied through the provincial qualification review process, and the relevant provincial authority determines whether a given center meets them. Where a center is part of a larger enterprise, the review generally looks at the R&D function specifically.

Covered imports

Eligible foreign-funded R&D centers may import scientific research, technology development and teaching supplies that cannot be produced within China or whose performance cannot meet the required needs. For these qualifying imports, import customs duty and the import-stage value-added tax and consumption tax are exempted. The concession is therefore most valuable for specialized research instruments, laboratory equipment, prototypes, and teaching materials not yet available from domestic suppliers at the required specification or quality. The “cannot be produced domestically or performance cannot meet the need” test is central: it limits the exemption to goods that genuinely cannot be sourced locally on acceptable terms.

How to apply

A foreign-funded R&D center should follow the qualification review procedure set out in the provincial measures applicable to its location. For centers in Jilin, the relevant framework is the extended Jishang Waizi Gui [2021] No. 3 measures, now valid and open for application through 31 December 2030. The typical steps are:

  1. Confirm the applicable provincial measures and the current application window.
  2. Prepare documentation demonstrating satisfaction of the eligibility thresholds — including evidence of total investment or R&D input (at least USD 8 million), the number of full-time R&D personnel (at least 80), and the cumulative original value of equipment procured (at least RMB 20 million).
  3. Submit the application to the provincial authorities named in the measures for review and confirmation of qualification.
  4. Once qualification is confirmed, claim the import tax exemption on qualifying shipments at import, relying on the confirmation and the covered-imports test.

Centers should track the 31 December 2030 deadline, after which both policy validity and the application window close.

Practical notes

  • Determine which provincial measures govern the center’s location before preparing any application. Multiple provinces have issued comparable qualification determinations for the 2026–2030 period, including Jiangsu (Sushang Gui [2026] No. 1), Jiangxi (Gan Shangwu Waizi Zi [2026] No. 92), Shanghai, and Heilongjiang, and the detailed rules and forms may differ by province.
  • Maintain current, well-organized evidence of total investment or R&D input, the number of full-time R&D personnel, and the cumulative original value of purchased equipment, since these are the criteria reviewers check and they should reflect the center’s status at the time of review.
  • Remember that the exemption applies only to imports that are unavailable domestically or whose performance is inadequate. Goods that can be sourced domestically at the needed specification generally do not qualify, so centers should be prepared to show why a given item meets the test.
  • Plan import timing against the 31 December 2030 deadline for both policy validity and applications, and monitor for any further provincial extensions or updates to the central framework.

High-Tech Enterprise Status and the 15% Preferential CIT Rate for Foreign-Invested Firms (2026)

  • A “high-new technology enterprise” (HNTE) recognised in China pays enterprise income tax at a reduced 15% rate instead of the standard 25% — and foreign-invested firms are fully eligible if they meet the same criteria.
  • Eligibility hinges on core IP, R&D intensity, tech-staff ratio, and high-tech product revenue share — not on ownership — so a wholly foreign-owned subsidiary can qualify.
  • The incentive is claimed on a self-assessment basis (“judge yourself, enjoy on filing, keep records”) — no prior approval — but qualifications are dynamically reviewed and wrongly claimed benefits are recovered.
  • Supporting perks include a 10-year loss-carryforward extension for qualifying HNTEs, and a 5% VAT credit for advanced manufacturing HNTEs through end-2027.
  • For FIE groups, HNTE status can also lower the effective rate on offshore income where the group is recognised on worldwide R&D and revenue indicators.
  • Practical steps: self-assess against the eight conditions, register on the HNTE work-net, file the application with provincial authorities, and maintain the three annual ratios.

High-Tech Enterprise Status and the 15% Preferential CIT Rate for Foreign-Invested Firms (2026) |

Why this matters now

For any foreign-invested enterprise operating an R&D or technology-driven business in China, the high-new technology enterprise (HNTE) status is one of the most valuable, and most under-used, tax incentives available. It cuts the enterprise income tax (CIT) rate from 25% to 15% — a 40% reduction in the headline rate — and is open to wholly foreign-owned and joint-venture companies on exactly the same terms as domestic firms. Yet many FIEs assume the benefit is reserved for “national champions” and never test their eligibility.

The regime is stable and well-signposted. The *Administrative Measures for the Determination of High-New Technology Enterprises* (Guo Ke Fa Huo [2016] No. 32), issued by the Ministry of Science and Technology, the Ministry of Finance, and the SAT, remain the governing rules, reinforced by the Corporate Income Tax Law’s Article 28.

The core benefit

A recognised HNTE is taxed at 15% on its qualifying income. The status is valid for three years from the certificate date, and the tax benefit applies from the year the certificate is issued. There is no sector reservation against foreign ownership: the definition simply requires a resident enterprise registered in China (excluding Hong Kong, Macao, and Taiwan) that operates in a supported high-tech field, has core own IP, and conducts continuous R&D and technology commercialisation.

Eligibility: the eight conditions

To be determined as an HNTE, an enterprise must simultaneously meet:

  1. Incorporated for at least one year.
  2. Owns core IP supporting its key products/services (via self-development, acquisition, gift, or merger).
  3. Its key technology falls within the *Catalogue of Supported High-Tech Fields*.
  4. R&D personnel are at least 10% of total staff.
  5. R&D expense ratio meets scaled thresholds — ≥5% (revenue ≤ RMB 50m), ≥4% (RMB 50m–2bn), or ≥3% (above RMB 2bn), with ≥60% of R&D incurred in China.
  6. High-tech product/service revenue is at least 60% of total revenue.
  7. Innovation-capability score reaches the required level.
  8. No major safety, quality, or environmental incident in the prior year.

None of these conditions turns on shareholding. A WFOE with genuine R&D and qualifying revenue can qualify.

How to claim: self-assessment, no pre-approval

Under SAT Announcement 2018 No. 23, the HNTE benefit is enjoyed on a “self-judge, file-and-enjoy, retain-records” basis. The enterprise determines its own eligibility, computes the reduced tax in the CIT return, and keeps the supporting documents. No advance ruling or备案 is required. This lowers the friction for FIEs — but it also shifts the compliance burden onto the taxpayer: authorities conduct random and targeted checks, and if a determined HNTE is later found non-compliant, the qualification is cancelled and previously enjoyed tax is recovered from the non-compliant year.

Stacking with other incentives

HNTE status compounds with other preferences:

  • Loss carryforward. Pre-qualification losses of a qualifying HNTE may be carried forward for up to 10 years (vs. the normal 5), under Cai Shui [2018] No. 76.
  • VAT credit for advanced manufacturing. HNTEs that are advanced-manufacturing general VAT taxpayers may credit 5% of input VAT against output VAT through 31 December 2027 (Cai Shui [2023] No. 43).
  • Offshore income. Where the group is recognised using worldwide R&D and revenue indicators, offshore income may also be taxed at 15% with the foreign-tax credit computed on that rate (Cai Shui [2011] No. 47).

The determination process

  1. Self-assess against the eight conditions on the HNTE work-net
  2. Register and apply to the provincial determination authority (science, finance, and tax departments), submitting the application, IP and project evidence, HR and R&D staffing proof, and the certified R&D and financial reports.
  3. Expert review by a randomly drawn panel.
  4. Public notice (10 working days) and record-filing; the certificate is issued upon no objection.
  5. Annual reporting each May: IP, tech staff, R&D, and revenue indicators must be reported annually or the status lapses after two years of non-filing.

Practical notes for FIE groups

FIEs should treat HNTE as a measurable target, not a lottery. Common failure points are weak China-incurred R&D documentation, sub-60% high-tech revenue, and thin IP ownership. A WFOE that only contracts manufacturing to a related party but lacks own IP will struggle; one with locally developed IP, qualified R&D, and traceable revenue will qualify. Where the parent funds R&D offshore, the China entity should ensure at least 60% of total R&D is incurred domestically to clear the threshold.

(2026)/ High-Tech Enterprise Status and the 15% Preferential CIT Rate for Foreign-Invested Firms (2026)

  • A separate, powerful incentive is the deferred (effectively exempt) withholding tax on reinvested profits: foreign investors who plough qualifying profits back into encouraged projects enjoy a 0% withholding rate.
  • Relief is claimed on a self-assessment basis (“decide yourself, enjoy on filing, retain records for inspection”); tax authorities may seek a development-reform opinion when classification is unclear.
  • FIEs should map their product and value chain against both the western catalogue and the encouraged-FDI catalogue before committing capex, and document the main-business ratio.

Corporate Income Tax Incentives for Encouraged and Western-Development Industries: A 2026 Guide for Foreign-Invested Enterprises |

Why this matters now

China’s tax regime rewards capital that flows into industries and regions the state wants to develop. For a foreign-invested enterprise (FIE), two incentives are especially relevant in 2026: the 15% reduced CIT rate for encouraged industries in western China, and the deferred withholding tax on reinvested profits. Both can materially improve after-tax returns on China projects — but both depend on correct industry classification and documentation.

This article explains who qualifies, how the catalogues work, how to claim the relief, and the pitfalls FIEs should avoid. It pairs with our tax-incentives and FDI coverage.

The 15% western-development rate

The policy is straightforward in principle: an enterprise located in one of the twelve western provincial-level regions whose main business is an encouraged industry pays CIT at 15% instead of the statutory 25%. The Ministry of Finance, the State Taxation Administration, and the NDRC extended the policy to run from 1 January 2021 to 31 December 2030.

“Main business” means the encouraged-industry project defined by the catalogue is the enterprise’s principal activity, and encouraged-industry revenue exceeds 60% of total revenue. This 60% threshold is the single most important compliance gate.

How the catalogue defines scope

The *Catalogue of Encouraged Industries for Western Development (2025 Edition)*, promulgated by the NDRC (Order No. 28) and effective 1 January 2025, has two parts:

  1. National encouraged lists — the encouraged items in the *Catalogue for the Guidance of Foreign Investment Industries* and the *Catalogue for the Adjustment of the Industrial Structure*. Foreign-invested enterprises are governed by the encouraged-FDI catalogue.
  2. Province-specific added items — 564 entries across the twelve western regions (Chongqing, Sichuan, Guizhou, Yunnan, Tibet, Shaanxi, Gansu, Qinghai, Ningxia, Xinjiang, Inner Mongolia, Guangxi), each applicable only in its province.

The 2025 edition is a modest net expansion (+29 entries, +5.4%) over the 2020 edition, concentrated in specialty agriculture, electronic information, resource deep-processing, and equipment manufacturing. Because entries are provincial, an FIE must check the specific province where its establishment is located.

Reinvested-profit withholding relief

Beyond the rate reduction, foreign investors that reinvest qualifying distributed profits into projects within the encouraged-FDI catalogue (or into western encouraged industries) may enjoy deferred collection of the 10% withholding tax — effectively exempt where conditions are met and not subsequently clawed back. This is a powerful tool for compounding China returns without triggering an immediate tax cost on repatriation.

Claiming the relief

Relief is claimed on a self-assessment basis: the enterprise determines its own eligibility, computes the reduced tax in the CIT return, and enjoys it, while retaining supporting documents for inspection. Where a tax authority cannot readily determine whether the main business is encouraged, it may refer the question to the development-reform department for an opinion. Provincial development-reform and tax authorities issue detailed implementation rules.

Practical steps for FIEs

  1. Map the value chain against both the western catalogue and the encouraged-FDI catalogue for the intended province.
  2. Model the 60% main-business ratio — restructuring revenue streams or legal entities may be needed to cross the threshold.
  3. Document eligibility — catalogue references, product codes, and revenue attribution should be retained from year one.
  4. Consider reinvestment structures to use the deferred-withholding relief for expansion capex.
  5. Watch provincial rules — implementation details (and any local lists) differ by region.

Interaction with other incentives

The western-development and reinvestment reliefs are not the only tools. Foreign investors should also consider the Hainan Free Trade Port’s 15% CIT rate for encouraged industries, the R&D super-deduction (currently a 100% additional pre-tax deduction, doubled for industrial enterprises), and the withholding-tax exemptions available under tax treaties. These regimes can stack or overlap, and the optimal structure depends on where the entity sits, what it does, and how profits flow. Coordinating them — rather than claiming each in isolation — is where professional tax planning adds the most value for an FIE.

Tax Incentives for Foreign Investors’ Onshore Reinvestment in China (2026)

  • China operates a two-track tax incentive for foreign investors that recycle China profits into onshore direct investment: a deferral (no withholding tax until exit) and a 2025–2028 tax credit of up to 10% of the reinvested amount.
  • The deferral policy (Cai Shui [2018] No. 102) applies to profits distributed by a resident enterprise that are directly reinvested into any non-prohibited project or sector — not only encouraged categories.
  • The credit policy (MOF/STA/MOFCOM Announcement No. 2 of 2025) grants a 10% credit against the investor’s current-year liability for qualifying reinvestments made between 1 January 2025 and 31 December 2028, with carry-forward of any unused amount.
  • Both tracks require the reinvestment to be held continuously for at least five years (60 months), with funds moving directly between the distributing and investee accounts without intermediate parking.
  • Where a tax treaty sets a dividend rate below 10%, that lower rate applies; for the credit, the investor may elect the 10% or the treaty rate in computing the credit base.
  • The incentives sit alongside the 2026 Action Plan’s push to facilitate onshore reinvestment, making profit reinvestment one of the most concrete “retain and upgrade” levers for FIEs.

Tax Incentives for Foreign Investors’ Onshore Reinvestment in China (2026) |

Why this matters now

For a foreign parent deciding what to do with profits earned by its China subsidiary, the default instinct is often to repatriate. China’s tax framework now gives a reasoned alternative: keep the capital in China and reinvest it, and the tax code rewards you for doing so. Two instruments stack: a long-standing deferral of the 10% withholding tax on repatriated profits, and a newer tax credit introduced for the 2025–2028 window. Together they lower the effective cost of growing in China and align with the 2026 *Action Plan for Stabilising and Optimising Foreign Investment*, which explicitly facilitates onshore reinvestment.

This article explains both tracks, their conditions and mechanics, how tax treaties interact, and the practical steps an FIE should take. It complements our pieces on corporate income tax, tax-residency and cross-border finance.

Track one — the deferral policy (Cai Shui [2018] No. 102)

Since 1 January 2018, where a foreign investor takes profits distributed by a Chinese resident enterprise and directly reinvests them into any non-prohibited project or sector, the profit is subject to deferred withholding-tax treatment — the 10% withholding tax (or the applicable treaty rate) is not collected until the investor recovers the investment. This was a major expansion from the original policy, which limited deferral to encouraged-category projects.

The deferral is not an exemption; it is a timing benefit. The tax is due when the investor withdraws or recovers the reinvested profit. Key conditions: the reinvestment must be a direct equity investment (capital increase, new establishment, equity acquisition), the invested enterprise must operate in a non-prohibited sector, and the funds must flow directly from the distributing enterprise’s account to the investee (or transferor) account.

Track two — the 2025–2028 tax credit (Announcement No. 2 of 2025)

To further encourage “patient capital,” the Ministry of Finance, the State Taxation Administration and MOFCOM issued Announcement No. 2 of 2025. For profits distributed by a Chinese resident enterprise and used for qualifying onshore direct investment between 1 January 2025 and 31 December 2028, the foreign investor may credit 10% of the reinvested amount against its current-year corporate-income-tax liability; any shortfall carries forward to later years.

The credit and the deferral are complementary: the deferral postpones the withholding tax, while the credit reduces the investor’s *own* enterprise-income-tax bill on the reinvested profit. Where a tax treaty sets a dividend rate below 10%, that lower rate applies to the underlying distribution. For computing the credit base, the investor may elect the 10% rate or the applicable treaty’s lower dividend rate — a choice made once, locked at recovery.

Conditions and mechanics

Both tracks share core mechanics:

  • Continuous holding: the reinvestment must be held continuously for at least five years (60 months). Early withdrawal generally triggers recapture.
  • Direct passage of funds: cash payments move directly from the distributing enterprise’s account to the investee/transferor account; non-cash payments (goods, securities) transfer ownership directly, without intermediate holding.
  • Sector test: the investee must operate in a sector listed in the *Catalogue of Industries for Encouraging Foreign Investment* (for the credit) or, at minimum, a non-prohibited sector (for the deferral).
  • Exclusions: additions to, or acquisitions of, listed-company shares are generally excluded (except qualifying strategic investments); the credit does not apply to routine dividend repatriation without reinvestment.

Administratively, the investor files with the in-charge tax authority, and the investee enterprise assists with verification. The STA’s Announcement No. 18 of 2025 details the filing and recordation mechanics.

Interaction with tax treaties

China’s network of tax treaties routinely sets dividend withholding rates below the statutory 10% (commonly 5% or 0% for qualifying substantial shareholdings). Two consequences follow. First, the deferral’s eventual withholding tax is computed at the treaty rate, not 10%, where the treaty applies. Second, for the credit, the investor may elect the 10% or the treaty rate in determining the credit base — a planning choice that should be made with the recovery scenario in mind, because the election is locked when the investment is recovered.

Practical steps for FIEs

  1. Model repatriate vs. reinvest on an after-tax basis, including the deferral’s time value and the credit’s upfront reduction.
  2. Confirm sector eligibility of the investee against the Encouraged Catalogue (for the credit) or the non-prohibited test (for the deferral).
  3. Lock the fund path so distributions move directly to the investee account — no intermediate parking that would break the condition.
  4. Plan the five-year hold and avoid structures that anticipate early withdrawal.
  5. Elect the credit base deliberately (10% vs treaty rate) with the exit in view.
  6. Coordinate with the 2026 Action Plan’s reinvestment-facilitation measures and the major-project service stream for large reinvestments.

Non-Resident Taxpayers Claiming Tax-Treaty Benefits: A 2026 Compliance Guide for Foreign-Invested Enterprises |

Why this matters now

A foreign-invested enterprise in China rarely operates without cross-border flows: dividends upstreamed to an offshore parent, interest on intra-group loans, royalties for trademarks or technology, or fees for offshore management and technical services. Each outbound payment is a Chinese taxable event for the foreign recipient, and each carries a statutory withholding rate — typically 10% on dividends, interest, and royalties under the Enterprise Income Tax Law. But China has signed comprehensive double-taxation agreements (DTAs) with more than 110 jurisdictions, and most of those treaties, plus the Mainland–Hong Kong and Mainland–Macau arrangements, cut the rate substantially — often to 5% for qualifying dividends and 6% or 7% for royalties.

The catch is that the lower treaty rate is not automatic. It must be claimed, and the mechanism for claiming it is the *Administrative Measures for Non-resident Taxpayers Claiming Tax Treaty Benefits* (SAT Announcement 2019 No. 35). Many FIE finance teams still treat treaty relief as something a tax bureau must pre-approve; since 2020 it is the taxpayer’s self-service election, with the compliance burden squarely on the non-resident and its Chinese withholding agent. Understanding the path, the forms, and the retained evidence is now core FIE tax hygiene.

The legal basis: Announcement 2019 No. 35

SAT Announcement 2019 No. 35, promulgated on 14 October 2019 and effective from 1 January 2020, replaces the prior-approval system (the old “record and review” or pre-approval route under Announcement 2015 No. 60) with a self-service model. Its Article 3 states the governing principle in plain terms: non-resident taxpayers enjoy treaty benefits by means of “self-discretion, filing for eligibility, and retention of relevant materials for future review.”

The Measures apply to any non-resident taxpayer that has a Chinese tax obligation and intends to enjoy a treaty benefit. “Treaty” is defined broadly — it covers bilateral tax conventions and also international transport agreements (air, maritime, road, and vehicle transport, plus mutual-exemption exchanges). The benefit itself is a reduction or exemption of enterprise or individual income tax that would otherwise be due under domestic law. Crucially, the Mainland–Hong Kong and Mainland–Macau arrangements are explicitly brought within the same procedure.

How to claim: the self-assessment model

There is no pre-approval. The non-resident taxpayer assesses its own eligibility against the relevant treaty article and, if it concludes it qualifies, simply enjoys the reduced rate at the point of filing or withholding. Three consequences follow:

  1. The non-resident bears full legal responsibility for the truth, accuracy, and lawfulness of the information it reports and the documents it keeps.
  2. The withholding agent that relies on the non-resident’s form is not separately liable for the underlying eligibility — but it must still withhold correctly and file the form as an annex.
  3. Relief is subject to ex-post follow-up administration: the tax authority can, at any time, demand the retained documents and reconstruct the correct tax.

This “trust-but-verify-later” design lowers the friction of claiming relief but raises the cost of getting it wrong.

Two filing paths

The Measures provide two distinct routes depending on how the non-resident is taxed in China:

Path A — non-resident self-filing. Where the non-resident files its own enterprise income tax return (for example, a non-resident with a Chinese establishment reporting on an actual basis, or a non-resident making a direct CIT filing), it submits the *Information Report Form for Non-resident Taxpayers Claiming Treaty Benefits* together with the return and retains the supporting documents per Article 7.

Path B — withholding (most common for FIEs). Where tax is withheld at source or by a designated withholding agent, the non-resident fills in the Information Report Form, proactively hands it to the Chinese withholding agent, and retains its documents. The withholding agent confirms the form is complete, withholds at the treaty rate, and files the form as a supplementary schedule to the withholding return. If the non-resident fails to submit the form or fills it incompletely, the withholding agent withholds at the domestic statutory rate — the benefit is simply lost for that payment.

For the typical FIE, Path B is the live one: the FIE is the withholding agent on every outbound dividend, interest, royalty, or service fee, and the foreign parent or affiliate is the non-resident taxpayer that must supply the form.

Documents to retain

Article 7 lists four buckets of retained-for-inspection material. The non-resident (not the FIE) is the keeper, but the FIE should insist on seeing them before it relies on the lower rate:

  • Tax-residency certificate. Issued by the treaty partner’s tax authority for the current or prior year, proving the recipient is a tax resident of that jurisdiction. For international-transport treaty claims, an equivalent identity proof may substitute.
  • Transaction evidence. Contracts, agreements, board or shareholder resolutions, and payment vouchers establishing the nature, amount, and entitlement to the income.
  • Beneficial-owner proof. Required only for dividend, interest, and royalty claims — the recipient must show it is the “beneficial owner” of the income, not a mere conduit.
  • Any other material the non-resident believes supports its eligibility.

Foreign-language originals must be accompanied by a Chinese translation for which the taxpayer bears responsibility. Documents are kept for the period prescribed by the Tax Collection and Administration Law and its implementing rules.

Beneficial owner and anti-treaty-shopping

The single most litigated gate is the “beneficial owner” test, governed by SAT Announcement 2018 No. 9. A recipient that is a passive holding or “mailbox” company, or that is contractually or practically obliged to pass the income straight up to a different group entity, will be treated as a conduit and denied treaty relief even if it holds a residency certificate. Announcement 2018 No. 9 offers safe harbours — for example, where the recipient is the ultimate parent or meets certain ownership and business-substance conditions — but the analysis is fact-intensive. FIEs should not assume that routing a royalty through a low-tax holding company automatically earns the treaty rate; the substance of that entity is what the authority will probe in follow-up.

Practical steps for FIEs making outbound payments

  1. Identify the treaty. Determine which DTA or arrangement applies to the foreign recipient and the specific article (dividends, interest, royalties, services/technical fees, or business profits).
  2. Request the form early. Ask the non-resident to complete the Information Report Form and supply the tax-residency certificate and beneficial-owner evidence *before* the payment date, not after.
  3. Verify completeness. Confirm the form is filled and the residency certificate covers the relevant year; otherwise withhold at 10%.
  4. Withhold and file. Apply the treaty rate, remit the tax, and attach the form to the withholding return through the electronic tax bureau.
  5. Keep your own file. Although the non-resident retains the evidence, the FIE should keep a copy of the form and a record of its verification for its own audit defence.
  6. Correct mistakes promptly. If a benefit was wrongly enjoyed, proactively make up the tax and late payment; if over-withheld, the non-resident may claim a refund within the limitation period.

Common pitfalls and follow-up risk

The most frequent errors are: relying on an expired or wrong-jurisdiction residency certificate; claiming a royalty rate the treaty does not grant (many treaties tax royalties at 6%–10%, not 0%); ignoring the beneficial-owner analysis for a conduit holding company; and failing to attach the form to the withholding return, so the relief is never recorded. Because the regime is ex-post, a routine follow-up can reopen payments several years back. Treating the treaty claim as a documented, per-payment control — not an annual afterthought — is the cheapest way for an FIE to avoid a costly adjustment.
