Why this matters now

China’s tax regime rewards capital that flows into industries and regions the state wants to develop. For a foreign-invested enterprise (FIE), two incentives are especially relevant in 2026: the 15% reduced CIT rate for encouraged industries in western China, and the deferred withholding tax on reinvested profits. Both can materially improve after-tax returns on China projects — but both depend on correct industry classification and documentation.

This article explains who qualifies, how the catalogues work, how to claim the relief, and the pitfalls FIEs should avoid. It pairs with our tax-incentives and FDI coverage.

The 15% western-development rate

The policy is straightforward in principle: an enterprise located in one of the twelve western provincial-level regions whose main business is an encouraged industry pays CIT at 15% instead of the statutory 25%. The Ministry of Finance, the State Taxation Administration, and the NDRC extended the policy to run from 1 January 2021 to 31 December 2030.

“Main business” means the encouraged-industry project defined by the catalogue is the enterprise’s principal activity, and encouraged-industry revenue exceeds 60% of total revenue. This 60% threshold is the single most important compliance gate.

How the catalogue defines scope

The *Catalogue of Encouraged Industries for Western Development (2025 Edition)*, promulgated by the NDRC (Order No. 28) and effective 1 January 2025, has two parts:

  1. National encouraged lists — the encouraged items in the *Catalogue for the Guidance of Foreign Investment Industries* and the *Catalogue for the Adjustment of the Industrial Structure*. Foreign-invested enterprises are governed by the encouraged-FDI catalogue.
  2. Province-specific added items — 564 entries across the twelve western regions (Chongqing, Sichuan, Guizhou, Yunnan, Tibet, Shaanxi, Gansu, Qinghai, Ningxia, Xinjiang, Inner Mongolia, Guangxi), each applicable only in its province.

The 2025 edition is a modest net expansion (+29 entries, +5.4%) over the 2020 edition, concentrated in specialty agriculture, electronic information, resource deep-processing, and equipment manufacturing. Because entries are provincial, an FIE must check the specific province where its establishment is located.

Reinvested-profit withholding relief

Beyond the rate reduction, foreign investors that reinvest qualifying distributed profits into projects within the encouraged-FDI catalogue (or into western encouraged industries) may enjoy deferred collection of the 10% withholding tax — effectively exempt where conditions are met and not subsequently clawed back. This is a powerful tool for compounding China returns without triggering an immediate tax cost on repatriation.

Claiming the relief

Relief is claimed on a self-assessment basis: the enterprise determines its own eligibility, computes the reduced tax in the CIT return, and enjoys it, while retaining supporting documents for inspection. Where a tax authority cannot readily determine whether the main business is encouraged, it may refer the question to the development-reform department for an opinion. Provincial development-reform and tax authorities issue detailed implementation rules.

Practical steps for FIEs

  1. Map the value chain against both the western catalogue and the encouraged-FDI catalogue for the intended province.
  2. Model the 60% main-business ratio — restructuring revenue streams or legal entities may be needed to cross the threshold.
  3. Document eligibility — catalogue references, product codes, and revenue attribution should be retained from year one.
  4. Consider reinvestment structures to use the deferred-withholding relief for expansion capex.
  5. Watch provincial rules — implementation details (and any local lists) differ by region.

Interaction with other incentives

The western-development and reinvestment reliefs are not the only tools. Foreign investors should also consider the Hainan Free Trade Port’s 15% CIT rate for encouraged industries, the R&D super-deduction (currently a 100% additional pre-tax deduction, doubled for industrial enterprises), and the withholding-tax exemptions available under tax treaties. These regimes can stack or overlap, and the optimal structure depends on where the entity sits, what it does, and how profits flow. Coordinating them — rather than claiming each in isolation — is where professional tax planning adds the most value for an FIE.

西部大开发 15% 税率

政策原则简明:设在西部十二个省区市的、主营业务属于鼓励类产业的企业,减按 15% 税率征收企业所得税,而非法定 25%。财政部、税务总局与发改委将该政策延续至 2030 年 12 月 31 日(自 2021 年 1 月 1 日起)。

“主营业务”指企业以目录规定的鼓励类产业项目为主营业务,且鼓励类产业收入占企业收入总额 60% 以上。这一 60% 门槛是最重要的合规关口。

目录如何界定范围

发改委令第 28 号发布、自 2025 年 1 月 1 日施行的《西部地区鼓励类产业目录(2025年本)》分两部分:

  1. 国家既有鼓励类目录——《鼓励外商投资产业目录》与《产业结构调整指导目录》中的鼓励类条目。外商投资企业按鼓励外资目录执行。
  2. 分省新增条目——西部十二省区市(重庆、四川、贵州、云南、西藏、陕西、甘肃、青海、宁夏、新疆、内蒙古、广西)共 564 条,仅在相应省份适用。

2025 年本较 2020 年本净增 29 条(+5.4%),集中在特色农牧、电子信息、资源精深加工与装备制造。由于条目分省,外资企业必须核对设立所在省份的具体规定。

利润再投资预提税优惠

除低税率外,将符合条件的已分配利润再投资于鼓励外资目录内项目(或西部鼓励类产业)的境外投资者,可暂不征收 10% 的预提所得税——在满足条件且不被追回时实质免税。这是在不立即产生汇出税成本的前提下,复利式扩大中国回报的有力工具。

优惠的申报

优惠采取自行判别、申报享受、相关资料留存备查的方式:企业自行判断资格、在申报表中计算减免税额并享受,同时留存资料备查。税务机关对主业认定存疑时,可提请发展改革部门出具意见;省级发展改革与税务部门另行制定实施办法。

外资企业实务步骤

  1. 对照价值链——将产品与价值链对照目标省份的西部目录与鼓励外资目录逐项核对。
  2. 测算 60% 主业占比——必要时重组收入流或法律实体以跨越门槛。
  3. 留存资格证据——目录引用、产品代码与收入归属应自第一年即归档。
  4. 考虑再投资架构——利用暂不征收预提税支撑扩张性资本开支。
  5. 关注省级规则——实施细则(及地方清单)因地区而异。

与其他优惠的衔接
