Overview
Transfer pricing is the set of rules governing the prices that related parties charge each other for goods, services, intangibles, and financing. For foreign-invested enterprises (FIEs) in China—almost always part of a multinational group with an offshore parent, sibling, or affiliate—transfer pricing is not a back-office formality but a front-line tax risk. China’s framework rests on the arm’s-length principle in the Enterprise Income Tax Law (EIT Law), operationalised through associated-party reporting and contemporaneous documentation rules (SAT Announcement 2016 No. 42), special tax investigation procedures (SAT Announcement 2017 No. 6), and a tiered documentation regime. This article sets out what FIEs must file, what they must document, and how to manage audit exposure.
The core concern for tax authorities is “profit shifting”: a China subsidiary that buys high from a related offshore supplier and sells low to a related offshore customer may show persistent thin margins while the group profit sits offshore. Where pricing departs from what independent parties would agree, the tax authority can make a transfer-pricing adjustment, reallocate income to China, and charge back-tax plus interest.
The arm’s-length principle and why FIEs are exposed
Article 41 of the EIT Law establishes the arm’s-length principle: where a transaction between an enterprise and its related party reduces the enterprise’s (or the related party’s) taxable income or amount, the tax authority may make a reasonable adjustment. The principle is implemented through a hierarchy of accepted methods—comparable uncontrolled price (CUP), resale price, cost-plus, transactional net margin method (TNMM), profit-split, and others—applied to the relevant transaction type.
FIEs are structurally exposed because intra-group flows are ubiquitous: import of materials/components from a related offshore supplier; export of finished goods to a related offshore distributor; payment of royalties or service fees to a related offshore IP or shared-service centre; and intercompany financing. A “simple” manufacturer or contract processor that is consistently loss-making or sub-commercially-profitable is a classic audit flag, because a limited-risk entity should normally earn a routine return for the functions, assets, and risks it bears. Pricing that departs from an independent benchmark invites adjustment.
Annual associated-party reporting
Every enterprise subject to audit-based collection that is a resident enterprise, or a non-resident enterprise with an establishment in China that declares EIT on an actual basis, must, when filing its annual CIT return, report associated-party transactions by submitting the 2016-edition Annual Associated-Party Transaction Reporting Form (《企业年度关联业务往来报告表》). The form captures the relationships, the transaction types and amounts, and the pricing methods used.
“Related party” is defined broadly under Announcement 2016 No. 42: a direct or indirect shareholding of 25% or more between parties (or held 25%+ by a common third party); control of operations/profit through related-party rights; dependence on a related party’s intangible rights to operate; and certain related-party lending or guarantee thresholds. Even where no adjustment is expected, the reporting obligation is triggered by the relationship and the presence of transactions, so many FIEs must file the form as a matter of course.
Contemporaneous documentation: master, local, and special files
China uses a three-tier contemporaneous documentation regime. The master file (主体文档) is required where the enterprise has cross-border related transactions and the ultimate parent’s group has prepared a master file, or where total related-party transactions exceed RMB 1 billion. It describes the group’s global organisation, business, intangibles, and financing. The local file (本地文档) is required where annual related transactions meet thresholds—tangible-asset transfers over RMB 200 million, financial-asset transfers over RMB 100 million, intangible-asset transfers over RMB 100 million, or other related transactions totalling over RMB 40 million; critically, an enterprise engaged in contract manufacturing/processing or distribution that shows a loss must prepare a local file regardless of threshold. The special file (特殊事项文档) covers cost-sharing agreements and thin-capitalisation demonstrations.
Timing and form: the master file is due within 12 months of the ultimate parent’s fiscal-year end; the local and special files by 30 June of the year following the transaction year. Documentation must be in Chinese, cite its sources, bear the enterprise seal, and be signed by the legal representative or authorised delegate. An enterprise that has concluded an advance pricing agreement (APA) may be exempt from local/special files for the covered transactions, and an enterprise transacting only with domestic related parties may be exempt from all three.
Thin capitalisation and country-by-country reporting
Two further pillars bear on multinational FIEs. Thin capitalisation (资本弱化) limits the deductibility of interest on related-party debt: the related-party debt-to-equity ratio may not exceed 2:1 for general enterprises (5:1 for financial enterprises), and interest on the excess is not deductible. Where a group’s financing pushes a China subsidiary’s leverage beyond the standard, a capitalisation special file is needed to justify arm’s-length terms. Separately, large multinational groups—those with consolidated revenue of RMB 5.5 billion or more—must file a Country-by-Country (CbC) report (国别报告) disclosing revenue, profit, tax, and headcount by jurisdiction, typically through the ultimate parent’s jurisdiction with a China surrogate where needed.
These rules connect transfer pricing to broader international tax governance (BEPS). For FIEs, the practical effect is that financing structures and global allocation of profit, people, and functions are increasingly visible to Chinese tax authorities and are cross-checked against the local file and the CbC report.
Managing audit risk and disputes
Audit risk is managed upstream, not in the audit. FIEs should benchmark key related-party transactions against independent comparables and document the chosen method and result in the relevant file before filing. Common pitfalls include unsupported “cost-plus” or “royalty” charges, loss-making contract manufacturers, and intercompany financing that breaches the thin-cap rule. Where pricing is uncertain, an Advance Pricing Agreement (APA)—a binding upfront agreement with the tax authority on the pricing method—can provide multi-year certainty, though it requires significant preparation.
If the authority opens a special tax investigation (特别纳税调查调整), it may propose an adjustment, and the enterprise has avenues including the mutual-agreement procedure (MAP) under a tax treaty to resolve cross-border double taxation. Interest is charged on adjusted amounts, so early, evidence-based engagement is cheaper than dispute. The disciplined FIE treats transfer pricing as a continuous compliance function—benchmark, document, file, and monitor—rather than a once-a-year form.
Worked examples and practical notes
Cost-plus in practice: a China contract manufacturer buys components from its related offshore parent at market and assembles them; it should earn a routine cost-plus return (for example, 5% on fully-loaded costs) for the functions, assets, and risks it bears. If instead it consistently earns under 1% while the group margin is healthy, the authority may use the resale-price or TNMM method to benchmark a proper return and assess the difference as avoided Chinese tax.
Royalty scrutiny: the manufacturer also pays a 6% revenue royalty to the parent for a trademark. The authority checks whether the IP actually contributes value in China, whether the rate is arm’s-length versus comparable licences, and whether the payment erodes the China base without corresponding local substance. Unsupported royalties are a top adjustment target.
Thin capitalisation: the manufacturer is funded 80% by related-party loans, with a debt-to-equity ratio far above 2:1. Interest on the excess is non-deductible, and a capitalisation special file is required. Pre-structuring the leverage within the 2:1 limit avoids both the disallowance and the filing burden.
Dispute avenue: if the authority opens a special tax investigation and proposes an adjustment, the enterprise can use the mutual-agreement procedure under a tax treaty to resolve any resulting cross-border double taxation, and may have previously locked in certainty through an APA. Interest accrues on adjusted amounts, so early, evidence-based engagement is cheaper than litigation.
A closing point: the transfer-pricing file is not a year-end form but a continuous function. Benchmarking, documentation, reporting, and monitoring should run through the year so that, when the authority reviews, the position is already evidenced. Where uncertainty is high, an APA converts that uncertainty into multi-year certainty at the cost of preparation effort. Above all, the goal is not to minimise reported China profit at any price—aggressive positions that leave a limited-risk entity loss-making are precisely what triggers investigation—but to set defensible, arm’s-length prices that withstand scrutiny while still reflecting the genuine functions, assets, and risks the China entity bears.
What to do next
- Map all intra-group flows (procurement, sales, royalties, services, financing) and confirm which constitute related-party transactions.
- File the Annual Associated-Party Transaction Reporting Form with the CIT return, even where no adjustment is expected.
- Determine which contemporaneous files are required (master/local/special) and prepare them to the statutory deadlines in Chinese.
- Benchmark key transactions to independent comparables now; for uncertain pricing, consider an APA for multi-year certainty.
- Check financing against the 2:1 (5:1 financial) thin-cap limit and, if the group is large, the RMB 5.5bn CbC reporting trigger.

转让定价是规范关联方之间就货物、服务、无形资产与资金融通所定价格的一组规则。对中国境内的外商投资企业(FIE)而言——它们几乎总是拥有离岸母公司、兄弟公司或关联方的跨国集团一员——转让定价并非后台事务,而是前线的税务风险。中国框架以《企业所得税法》的独立交易原则为基,通过关联申报与同期资料规则(国家税务总局公告 2016 年第 42 号)、特别纳税调查程序(2017 年第 6 号)及分层文档制度加以落地。本文说明外资企业必须申报什么、必须留存什么文档,以及如何管理稽查风险。
税务机关的核心关切是”利润转移”:一家从中国关联供应商高价采购、又向境外关联经销商低价销售的中国子公司,可能长期微利,而集团利润滞留境外。若定价偏离独立方本会达成的价格,税务机关可作转让定价调整,将收入调回中国,并补征税款及利息。
独立交易原则与外资企业的暴露面
企业所得税法第四十一条确立独立交易原则:企业与其关联方之间的业务往来,不符合独立交易原则而减少企业或关联方应纳税收入或所得额的,税务机关有权按合理方法调整。该原则通过一套被接受的方法层级落地——可比非受控价格法(CUP)、再销售价格法、成本加成法、交易净利润法(TNMM)、利润分割法等——按交易类型适用。
外资企业因集团内流动无处不在而结构性暴露于风险:从境外关联供应商进口材料/零部件;向境外关联经销商出口产成品;向境外关联 IP 或共享服务中心支付特许权使用费或服务费;以及集团内融资。持续亏损或利润显著低于商业水平的”简单”制造商或合约加工商,是经典的稽查红旗——因为有限风险实体通常应就其承担的功能、资产与风险赚取常规回报。偏离独立基准的定价将招致调整。
年度关联申报
凡实行查账征收的居民企业,或在中国境内设立机构、场所并据实申报缴纳企业所得税的非居民企业,在向税务机关报送年度企业所得税纳税申报表时,应当就其与关联方之间的业务往来进行关联申报,附送 2016 年版《企业年度关联业务往来报告表》。该表涵盖关联关系、交易类型与金额,以及所采用的定价方法。
“关联方”在 42 号公告下界定宽泛:一方对另一方直接/间接持股 25% 以上(或同为第三方持股 25% 以上);通过关联权利控制经营或利润;依赖关联方无形资产方可运营;以及特定关联借贷或担保门槛。即便预期无调整,只要存在关联关系且有交易,即触发申报义务,因此许多外资企业须例行填报该表。
同期资料:主体文档、本地文档与特殊事项文档
中国实行三层同期资料制度。主体文档(master file)在下列情形须准备:企业发生跨境关联交易且合并其财务报表的最终控股企业所属企业集团已准备主体文档,或年度关联交易总额超过 10 亿元;其描述集团全球组织架构、业务、无形资产与融资。本地文档(local file)在年度关联交易达到门槛时须准备——有形资产所有权转让超 2 亿元、金融资产转让超 1 亿元、无形资产所有权转让超 1 亿元,或其他关联交易合计超 4000 万元;关键的是,从事来料加工/进料加工等合约制造或分销且发生亏损的企业,无论是否达门槛均须准备本地文档。特殊事项文档覆盖成本分摊协议与资本弱化说明。
期限与形式:主体文档于最终控股企业会计年度终了之日起 12 个月内准备完毕;本地文档与特殊事项文档于关联交易发生年度次年 6 月 30 日前准备完毕。文档须使用中文、标明引用出处、加盖企业印章,并由法定代表人或授权代表签章。已签订预约定价安排(APA)的企业,可就不涉及文档的覆盖交易豁免本地/特殊文档;仅与境内关联方交易的企业可豁免全部三类文档。
资本弱化与国别报告
另有两大支柱关乎跨国外资企业。资本弱化(thin capitalisation)限制关联债权性投资利息的扣除:关联债资比例一般企业不得超过 2:1(金融企业 5:1),超限部分的利息不得扣除。若集团融资使中国子公司杠杆突破标准,须以资本弱化特殊事项文档说明符合独立交易原则。此外,大型跨国集团——合并收入达 55 亿元及以上的——须报送国别报告(CbC report),按辖区披露收入、利润、税款与人数,通常由最终母公司辖区报送、必要时由中国作为代理报送。
这些规则将转让定价与更广泛的国际税治(BEPS)相连。对外资企业,实务影响是融资架构与利润、人员、功能的全球分配,对中国税务机关日益透明,并与本地文档、国别报告交叉核验。
稽查风险与争议管理
稽查风险应前置管理,而非在稽查中救火。外资企业应在申报前,将关键关联交易对照独立可比数据基准化,并在相应文档中记录所选方法与结果。常见误区包括缺乏支撑的”成本加成”或”特许权”收费、亏损的合约制造商,以及突破资本弱化规则的集团内融资。定价不确定时,预约定价安排(APA)——与税务机关就定价方法达成的有约束力的前置协议——可提供多年确定性,但需充分准备。
若税务机关启动特别纳税调查调整,可提出调整方案;企业可借助税收协定下的相互协商程序(MAP)解决跨境双重征税。调整后金额计收利息,因此尽早、以证据为基础的沟通,比事后争议成本更低。守纪的外资企业将转让定价视为持续的合规职能——基准化、留档、申报、监测——而非一年一次的表单。
实务示例与操作要点
成本加成实务:一家中国合约制造商按市价从境外关联母公司采购零部件并组装;它应就其承担的功能、资产与风险赚取常规成本加成回报(例如 fully-loaded 成本的 5%)。若相反,在集团整体利润健康时它持续盈利不足 1%,税务机关可能用再销售价格法或交易净利润法(TNMM)基准化合理回报,并将差额作为规避的中国税款予以调整。
特许权 scrutiny:该制造商还按收入 6% 向母公司支付商标特许权使用费。税务机关会核查该 IP 是否真在中国境内贡献价值、费率相对可比许可是否独立,以及该支付是否在没有相应本地实质性情况下侵蚀中国税基。缺乏支撑的特许权使用费是首选调整对象。
资本弱化:该制造商 80% 由关联方贷款融资,债资比远超 2:1。超限部分的利息不得扣除,且须准备资本弱化特殊事项文档。在 2:1 限度内预先安排杠杆,可同时避免扣除否定与文档负担。
争议路径:若税务机关启动特别纳税调查并提出调整,企业可借助税收协定下的相互协商程序(MAP)解决由此产生的跨境双重征税,亦可此前通过预约定价安排(APA)锁定确定性。调整后金额计收利息,因此尽早、以证据为基础的沟通,比事后争议更省成本。
