Jiangsu’s Foreign Investment Measures: What a Provincial Implementation Document Delivers | 江苏利用外资若干措施：一份省级落实文件究竟交付了什么

Overview

On 30 October 2026 the General Office of the Jiangsu Provincial People’s Government issued the Several Measures on Stabilising, Consolidating and Improving the Use of Foreign Investment in Jiangsu. It implements the national Action Plan for Stabilising and Optimising Foreign Investment Utilisation, numbered Shang Zi Fa [2026] No. 97 and issued with State Council approval.

A national plan states direction; a provincial implementation states who does what, in which procedure. Read as a new opening, it is over-read; read as a work list, it yields four or five items a company can act on this year.

What kind of document this is

Provincial documents come in two kinds: a breakthrough creates a licence category, a quota or a zone; an implementation makes an existing national instruction operable — which department receives the file, which verification step is shortened. Jiangsu’s is the second, and its verbs — support, encourage, explore, coordinate, advance — describe what a province can do with a national plan: convene departments and shorten its own verification, not change a national standard.

Provisions with immediate operational value

R&D centres. A centre meeting the conditions may enjoy the import tax policy for scientific and technological innovation and the VAT refund on domestically produced equipment; the same passage confirms the R&D super-deduction, the basic research incentive and, for an intra-group restructuring that sets up a domestic R&D centre, special tax restructuring treatment.

Biomedical research items. The white list for research items will be improved, and listed items are exempt from the import drug customs clearance certificate — a narrow exemption tied to research use and to a list, not a relaxation of medicine imports. Its value is lead time.

Devices. Qualifying manufacturers may adopt a release model based on biological indicators and process parameters, replacing final product sterility testing in accordance with the rules. An enterprise holding a Class II import registration certificate that moves production into Jiangsu may also have on-site verification reduced or combined.

Segmented production. Jiangsu will implement the national segmented production policy, supporting qualifying overseas marketing authorisation holders to run cross-border segmented production under a unified quality management system, through self-built lines or contract manufacturing. It also coordinates the review of converting originator drugs to domestic manufacture, and gives imported-then-domestic drugs equal clinical use status.

Capital and payments. The province supports an A-share listing cultivation alliance with full-chain legal and accounting support, facilitated external debt policies for high-tech and specialised small and medium enterprises, and foreign participation in treasury bond futures and fund advisory business.

The two most concrete items

Two provisions repay a second reading because they shorten a step a company already has to take, rather than promising a step it does not yet have.

The first is the exemption from the import drug customs clearance certificate for research items on the white list. A biomedical research centre that imports reference standards, test samples or small research quantities normally spends days on clearance. Removing the certificate for listed items does not change what may be imported; it changes how long the import takes, and speed is what a research timetable is made of.

The second is the reduction of on-site verification for a Class II device whose import registration certificate is transferred into Jiangsu production. Verification is a scheduling constraint as much as a technical one: the line is ready, the audit slot is not. Where the same enterprise qualifies on more than one product, verification may be combined, which turns several waiting periods into one.

Both items attach to a status — on the list, holding a certificate, moving a specific product — and neither attaches to a company as a whole. That is the test to run before counting the benefit.

The employment angle

Part of the document concerns payment infrastructure: the digital RMB service system, acceptance at foreign-related venues, and inbound payment for foreigners, with cross-border use extended through the multilateral central bank digital currency bridge.

Three consequences follow. Payroll in digital RMB needs a wallet an expatriate can use, putting the canteen, the site shop and the transport card on the HR checklist. Inbound payment convenience governs the first two weeks of an assignment, when a new arrival cannot yet open accounts. Settlement efficiency governs how a group funds local costs — a treasury question HR inherits when it fails.

What “support” and “explore” mean

“Support the establishment of an alliance” is a convening commitment, not a licence and not a subsidy.

“Explore a release model based on biological indicators and process parameters” is a direction for method, expressly subject to the rules; a manufacturer that stops sterility testing on this sentence alone has misread it.

“Actively apply to become a province accepting initial launch prices” is an application. Until the status is granted, a pricing strategy that assumes Jiangsu can accept a filing rests on an assumption.

Practical steps

• Screen the document in three buckets: an R&D function, a line that could be transferred, and a treasury function using the payment channels.
• Identify the lead department before drafting; work is spread across commerce, drug regulation, development and reform, and the central bank.
• Assemble evidence that the item qualifies, not that the company is impressive; every benefit here is a documentary test.
• Fix the timing: tax and customs treatment attaches to a period, so a decision taken late in the year rarely produces a benefit in that year.

Outlook

Expect departmental guidance for the white list, the R&D centre conditions and the verification reduction; those notices carry the forms. For investors already in Jiangsu, near-term value sits in the biomedical and R&D provisions, which shorten a step rather than promise a new one.

江苏利用外资若干措施：一份省级落实文件究竟交付了什么

概述

2026 年 10 月 30 日，江苏省人民政府办公厅印发《关于江苏省利用外资固稳促优若干措施》。文件落实的是国家《利用外资固稳促优行动方案》，文号商资发〔2026〕97 号，由商务部、国家发展改革委、财政部经国务院同意印发。

国家层面的方案讲方向，省级落实文件讲的是谁来做、走哪道程序。把这份文本读成新一轮开放，是读过头了；把它读成一张工作清单，则能找到四到五项今年内就能着手的事情。对已在江苏有实体、或正在比较选址的企业，后一种读法才有用。

这是一份什么性质的文件

省级文件分两种。突破型文件创造原本不存在的东西——一个新的许可类别、一项新的额度、一片新的区域。落实型文件则把既有的国家要求变成可操作的路径：哪家部门收件、哪道核查环节被压缩。

江苏这份属于后一类。它的动词是支持、鼓励、探索、协调、推进，这些词描述的正是一个省在国家方案之下能做的事：召集部门、压缩自己管辖的核查，但改变不了一项国家层面的许可标准。认清这一点，就不会把文件里的”支持”当成”已批准”。

有直接操作价值的条款

研发中心。 符合条件的外资研发中心可依法享受科技创新进口税收政策和采购国产设备增值税退税政策。同一段还明确落实企业研发费用加计扣除与基础研究税收优惠，并提出外资通过集团内重组在境内设立研发中心、重组符合条件的可适用特殊性税务重组政策。

生物医药研发用物品。 研发用物品进口白名单制度将得到优化，纳入白名单的物品免予办理进口药品通关单。这是与研发用途、与名录绑定的窄口径豁免，不是药品进口手续的普遍放松；它的价值落在时间上。

医疗器械。 符合条件的生产企业可采取基于生物指示物及过程参数的放行模式，依规替代最终产品无菌检验。已取得第二类医疗器械进口注册证的产品转入江苏生产的外资企业，还可按规定减免生产许可现场核查；涉及同一企业且符合条件的，可以合并实施现场核查。对把产能搬进江苏的项目，省下的是排期。

分段生产。 江苏将落实国家药品分段生产政策，支持符合条件的境外药品上市许可持有人在统一药品质量管理体系下，以自建生产线或委托生产形式开展跨境分段生产。文件同时协调推进原研药品转地产审评审批，并明确进口转地产药品、医用耗材在临床使用上获得进口产品一致地位。

资本与支付。 江苏支持建立外资企业 A 股上市培育联盟，提供涉外法律、会计等全链条服务；依法依规落实外资高新技术企业、专精特新企业和科技型中小企业借用外债便利化政策；支持外资机构依法参与国债期货交易、基金投资顾问等业务。

两项最具体的条款

有两处值得重读，因为它们压缩的是企业本来就要走的一步，而不是许诺一步原本没有的。

第一处是白名单内研发用物品免予办理进口药品通关单。生物医药研发中心进口对照品、检测样品或少量研发用量时，通常要在通关上花掉几天。对名录内物品免去通关单，并不改变可以进口什么，改变的是进口要多久；而研发进度表恰恰是由时间构成的。

第二处是第二类医疗器械进口注册证转入江苏生产时减免现场核查。核查既是技术问题，也是排期问题：产线准备好了，核查档期没有。同一企业多项产品符合条件时可合并实施现场核查，等于把几段等待并成一段。

这两项都绑定在某个”状态”上——在名录里、持某张证、特定产品转产——而不是绑定在一家公司整体上。核算收益之前，先做这道测试。

雇佣视角

文件中有一组关于支付基础设施的安排：数字人民币服务保障体系建设、涉外场所的受理能力、外籍来华人员的入境支付服务，跨境使用则通过多边央行数字货币桥拓展。

对雇主而言有三层影响。以数字人民币计价的薪酬，需要一个外籍员工真的能用的钱包，于是食堂、园区商店、交通卡进入人力资源的清单。入境支付便利决定的是派驻头两周的体验，那时新人还开不了本地账户。结算效率决定的是集团如何为本地开支提供资金——这本来是资金管理的题目，却往往由人力资源在出问题之后接手。

如何理解”支持”与”探索”

“支持建立联盟”是一项召集承诺，既不是许可，也不是补贴。

“探索基于生物指示物及过程参数的放行模式”是方法方向的授权，且明确依规；仅凭这一句话就停做最终产品无菌检验的企业，是读错了。

“积极申请成为新上市药品首发价格受理省份”是一项申请。在这一身份获批之前，假定江苏可以受理首发价格申报的定价策略，建立在假设之上。

落地步骤

• 先用三个筐做筛查：研发职能、可以转产或分段的产线、可以使用支付渠道的资金职能。
• 起草之前先确定牵头部门；工作分散在商务、药品监管、发展改革以及人民银行当地分支机构。
• 准备”事项符合条件”的证据，而不是”公司足够优秀”的证据；这里的每一项优惠都是文件测试。
• 把时点定下来：税收与海关待遇对应某个期间，年末才做的决定，很少能在当年产生效果。

展望

可以预期省级部门会就白名单、研发中心条件、核查减免另行发布办事指引，表格在这些通知里。对已在江苏的投资者，近期价值集中在生物医药与研发两条，它们压缩了一个既有环节，而不是许诺一个新环节。
