Streamlining Admission Approval for Foreign Investors in China | 外资企业在华准入审批的简化与提速

The admission-approval architecture

China’s foreign-investment admission system is built on a single organizing idea: pre-establishment national treatment plus a negative list. Under the Foreign Investment Law (effective 1 January 2020), if a sector is not listed on the negative list, foreign investment is admitted and managed on the same basis as domestic investment — there is no prior approval gate, only the ordinary company-registration and information-reporting steps that any Chinese company faces. The negative list is therefore the master key: it defines the only sectors where foreign access is restricted or prohibited, and it specifies the conditions (often an equity cap, a Chinese-control requirement, or a licensing condition).

Two distinct lists matter for an investor. The foreign-investment access negative list (外商投资准入负面清单), jointly issued by the National Development and Reform Commission (NDRC) and the Ministry of Commerce (MOFCOM), governs foreign capital specifically. The market-access negative list (市场准入负面清单), also issued by NDRC and MOFCOM, applies to all investors — domestic and foreign — and covers permissions and licences that are not foreign-specific. A foreign investor must screen both: a sector can be fully open to foreign equity yet still require an ordinary operating licence that applies to everyone.

From ex-ante approval to information reporting

Before 2020, establishing a foreign-invested enterprise (FIE) almost always required commerce-department approval, and every subsequent change ran through the same machinery. The Foreign Investment Law ended that. Today the foreign-specific obligation is an information report, governed by MOFCOM’s Measures on Foreign Investment Information Reporting (《外商投资信息报告办法》, 2020). An investor or FIE submits an initial report, a change report, a deregistration report and an annual report through the enterprise registration system and the National Enterprise Credit Information Publicity System.

Two points are decisive for compliance. First, reporting is an information duty, not a prior approval and not a precondition for incorporation. Second, it is a real obligation: failure to report as required can draw a rectification order and, if uncorrected, a fine of RMB 100,000 to 500,000. The system is designed around inter-departmental data sharing, so information already held by one authority should not be requested again by another. The practical effect is that, for the vast majority of sectors, “foreign access” is no longer an administrative event at all.

证照分离: decoupling the licence from the permit

A separate but complementary reform is “separating licences from permits” (证照分离), driven by the State Council and applied nationwide since 2021. The reform attacks the old problem that a business licence (营业执照) alone was not enough to operate — a stack of sector permits (许可证) sat behind it, each with its own approval clock. The reform sorts every permit-item into one of four treatments:

  • Direct cancellation of approval (直接取消审批) where the permit is no longer necessary;
  • Approval converted to filing (审批改为备案) where post-hoc record-filing suffices;
  • Inform-and-commit (实行告知承诺) where a written commitment unlocks the permit;
  • Optimised approval service (优化审批服务) where the permit is retained but streamlined, with fewer materials and shorter timelines.

For an FIE, the dividend is fewer pre-opening gates. A company can frequently obtain its business licence and begin non-restricted activities while sector permits are handled through filing or commitment rather than blocking approval.

告知承诺制: faster entry for compliant applicants

The inform-and-commit mechanism (告知承诺制) deserves special attention because it compresses time-to-market. Under it, the market-regulation authority (SAMR at the national level, and local market-regulation bureaus in practice) publishes the licence conditions, the applicant submits a written commitment that it meets them, and the licence is issued on the spot or within a compressed timeline. Compliance is then verified through post-grant inspection rather than pre-grant review.

This shifts risk: the investor attests up front and is inspected afterwards, so any material misstatement can trigger licence revocation and penalties. The mechanism is used broadly in pilot free-trade zones and is being extended to more items on the mainstream “optimised approval” track. For a foreign investor confident it meets the conditions, it is often the fastest legitimate route to operation.

一网通办: one-network incorporation

Digitization ties the reforms together. The national integrated online government-service platform and the local “one-network” (一网通办) enterprise-setup channels let an investor complete company name reservation, business-licence issuance, seal engraving, tax registration, social-insurance and foreign-exchange registration through a single window. Combined with 多证合一 (multiple certificates merged into one) and 证照分离, the physical footwork of incorporation shrinks dramatically.

For foreign investors, the same platforms increasingly support the foreign-investment information report and, in many localities, the opening of foreign-exchange capital accounts. The direction of travel in 2026 is continued consolidation — fewer portals, shared data, and “the data travel, the applicant does not.”

Sector licensing still matters

It is a mistake to read “no approval” as “no gate.” Telecom, medical, financial, food-safety, education and several other licences still apply to domestic and foreign firms alike, and they are genuine, sometimes lengthy, procedures. The 2026 trend is not abolition of these licences but standardization: clearer conditions, published timelines, and a steady migration of eligible items onto the inform-and-commit or filing tracks. An investor should budget separately for the licence clock and the incorporation clock, because they run on different rails.

A 2026 practical checklist

  1. Screen the sector against both the foreign-investment access negative list and the market-access negative list.
  2. Confirm the condition — equity cap, Chinese-control requirement, or a specific licence — if the sector appears on either list.
  3. Incorporate through SAMR / the local market-regulation bureau using the one-network channel.
  4. Submit the foreign-investment information report (initial report) through the enterprise registration and credit-information systems.
  5. Obtain the sector licence via inform-and-commit or filing where available; otherwise via optimized approval.
  6. Maintain ongoing duties — the annual report, credit-information publicity, and any change reports.
  7. Watch the two ex-ante reviews — national security review and SAMR merger control — for any deal that acquires control of a covered business.

Admission approval in China is no longer a single wall to climb; it is a sequence of screens, most of which are now fast or non-blocking. The investors who move fastest are those who map the list and the licences before they commit capital.

从事前审批到信息报告

2020 年之前,设立外商投资企业几乎总需经商务部门审批,之后的每一次变更也要走同样的程序。《外商投资法》终结了这一点。如今外资专属的义务是信息报告,依据商务部《外商投资信息报告办法》(2020 年)。投资者或外资企业须通过企业登记系统及国家企业信用信息公示系统报送初始报告、变更报告、注销报告与年度报告。

对合规而言有两点具有决定性。其一,报告是信息义务,既非事前审批,也非登记前置条件。其二,它是真实的义务:未按规定报告可被责令限期改正,逾期不改的处十万元以上五十万元以下罚款。该制度以部门间数据共享为基础,某一机关已掌握的信息不应再由另一机关重复索取。其实际效果是,在绝大多数行业中,”外资准入”本身已不再是一项行政事件。

证照分离:把许可证与营业执照脱钩

另一项互补改革是”证照分离”,由国务院推动,自 2021 年起全国推行。该项改革针对的旧痛点是:仅有营业执照往往不足以经营——其后是层层行业许可证,各自带有审批周期。改革将每一项许可事项归入四类处理:

  • 直接取消审批:该许可已无必要;
  • 审批改为备案:事后备案即可;
  • 实行告知承诺:凭书面承诺即可取得许可;
  • 优化审批服务:保留许可但简化材料、压缩时限。

对外资企业而言,红利在于开业前的关卡减少。企业常常可以领取营业执照并开始非受限业务,而行业许可通过备案或承诺方式处理,不再构成阻塞性审批。

告知承诺制:合规申请者更快进入市场

告知承诺制值得特别关注,因为它压缩了上市周期。在该机制下,市场监督管理机关(国家层面为 SAMR,实际执行中为地方市场监管局)公布许可条件,申请人提交符合条件的书面承诺,许可即当场或于压缩后的时限内核发。合规情况随后通过事后核查验证,而非事前审查。

这转移了风险:投资者先作承诺,事后接受检查;任何重大不实陈述都可能导致许可撤销及处罚。该机制在自贸试验区广泛使用,并正拓展至优化审批主赛道上的更多事项。对于确信自身符合条件的外资投资者,这往往是最快的合法经营路径。

一网通办:企业开办的一网通办

数字化将上述改革串联起来。全国一体化政务服务平台与各地”一网通办”企业开办通道,使投资者可通过单一窗口完成企业名称预留、营业执照核发、刻章、税务登记、社保登记及外汇登记。结合”多证合一”与”证照分离”,设立所需的线下奔波大幅减少。

对外资投资者而言,同一平台日益支持外商投资信息报告,且在多地支持外汇资本金账户开立。2026 年的方向是持续整合——更少门户、数据共享、”数据多跑路、群众少跑腿”。

行业许可仍具实质意义
