Overview
Company formation in China has long required a foreign investor to deliver identity and signature documents in a form acceptable to the Chinese registration authority — traditionally notarised and authenticated abroad, then reviewed against the physical file. In 2026 Shanghai removed that bottleneck for investors from at least one jurisdiction, and is building the machinery to extend it further.
According to the Shanghai municipal government, Shanghai launched China’s first fully online foreign-invested enterprise (FIE) registration service built on cross-border digital identity authentication. Using the Shanghai–Singapore cross-border digital-trust channel, an authorised signatory of an overseas investor can complete identity verification and electronic signing entirely online. The first landed case was registered in Qingpu district: a food-industry entity under Singapore-based IFBH received its business licence about two days after submitting its documents, with the market-regulation authority completing online review and licence issuance.
How the digital-trust route works
The service is described by Shanghai’s official reporting as resting on cross-border digital identity authentication — an arrangement through which an investor’s identity and signing authority are verified against recognised credentials in the partner jurisdiction, rather than by paper notarisation and consular or apostille authentication of every document.
In operation, the overseas investor’s authorised signatory logs in remotely, completes identity verification, and electronically signs the formation documents. The market-regulation side reviews online and issues the electronic business licence. In the documented case, the time from submission to licence was about two days — against a conventional process that, for a fully remote foreign investor, typically involves weeks of document preparation and authentication.
The service was first made available in the Hongqiao international open-hub area and registered through the Xihongqiao enterprise-service hub in Qingpu, which hosts the integrated service windows for cross-border matters. Shanghai’s stated roadmap is to keep expanding the cross-border digital-trust cooperation network, widen the service scope and chain, and eventually support two-way online registration — Shanghai enterprises entering Singapore and Singapore investors entering Shanghai.
The wider foundation: the Hague Apostille era
The digital-identity route is not the only recent change in how foreign documents are accepted in China. Since China’s accession to the Hague Convention Abolishing the Requirement of Legalisation for Foreign Public Documents took effect in November 2023, public documents from other contracting states need only an Apostille certificate rather than consular legalisation. That change already compressed the authentication step for jurisdictions party to the Convention. The Shanghai digital-trust channel goes further for covered jurisdictions by removing the document-authentication step altogether for identity and signature.
What this means for overseas investors
- For Singapore investors: the fully online route is proven. If your group incorporates through Singapore, the Shanghai digital-trust channel can cut formation from weeks to days, subject to the specifics of each case (scope of business, nominee arrangements, registered address).
- For investors from other jurisdictions: two routes now apply. Confirm whether Shanghai’s digital-trust coverage has been extended to your market. Where it has not, the practical fast path remains: Apostille-certified documents (for Convention parties) plus remote e-signature where the registration authority accepts it, with the remaining in-person or paper steps handled by the authorised representative in China.
- Registered address and entity choices still matter. Digital formation does not remove the need for a lawful registered address in Shanghai or the choice of entity form (WFOE, joint venture, branch, representative office); those decisions still shape the registration particulars.
- Watch the roadmap. Two-way Shanghai–Singapore online registration and expansion to more jurisdictions are stated objectives; companies planning China entry should time their formation strategy against the roll-out.

- If you are a Singapore-based investor planning a Shanghai entity, contact the Xihongqiao or Hongqiao enterprise-service hub to confirm the current scope and documentation requirements of the cross-border digital-identity route.
- For non-Singapore investors, verify (a) whether your jurisdiction is party to the Hague Apostille Convention and (b) whether the digital-trust channel covers your market; structure the authentication plan accordingly.
- Prepare the underlying corporate documents early (board resolutions authorising the signatory, passport copies, proof of address), because even in digital routes the authorisation chain must be clean.
- Decide the registered address and entity form before starting, and line up the local agent or contact person for any residual paper steps.
- Reconfirm the current service scope when you start the process, as the pilot is being expanded incrementally.
