Foreign Companies’ Copyright Registration in China: CPCC filing, national treatment and the Apostille shortcut

  • Foreign-owned works enjoy national treatment in China: a work by a foreign or stateless author is protected under the Copyright Law if the author’s home country or habitual residence has an agreement with China or is a party to the same international treaty (the Berne Convention).

Overview

For a foreign-invested enterprise (FIE) or an overseas group entering China, intellectual property is usually the first asset that needs protection — and copyright (著作权/版权) is the quiet workhorse: software, source code, marketing copy, training films, designs, databases, and user-interface assets all qualify. China’s Copyright Law protects foreign works through national treatment, and registration, while voluntary, gives a rights holder a certificate that courts and customs accept as prima facie evidence of ownership. This article walks through how a foreign entity actually registers software and works copyright in China, why the 2020 law amendment matters, and how the Hague Apostille Convention — effective in China since 7 November 2023 — removes a major paperwork bottleneck for foreign filers. It is general information, not legal advice.

National treatment: foreign works are protected

China is a party to the Berne Convention and the TRIPS Agreement. Article 2 of the Copyright Law (2020 Amendment) provides that a work by a foreign or stateless author is protected if the author’s country of nationality or habitual residence has an agreement with China or is a party to the same international treaty. A work first published in China is protected regardless. This means a US, Japanese, German or Korean company’s software and creative works are protected in China from the moment of creation — no registration required for protection to exist.

Registration, however, is the practical step that turns protection into enforceable proof.

Software copyright at the CPCC

Computer software is protected both as a “work” under the Copyright Law and under the Regulation on the Protection of Computer Software. The Copyright Protection Center of China (中国版权保护中心, CPCC) is the only software registration authority designated by the National Copyright Administration; outside the Beijing office there are no provincial alternatives, so foreign filers apply to CPCC directly.

The standard procedure: (1) register an account on the CPCC portal; (2) complete real-name authentication before filing; (3) submit the application and uploads online; (4) CPCC accepts the filing if it meets the rules; (5) review is completed within 60 days of acceptance, and a registration certificate is issued and announced. Where the application has defects, CPCC sends a correction notice and the applicant must respond within 30 days.

Key practical notes for foreign applicants:

  • Identity document of a foreign company. If the home state is a party to the Hague Apostille Convention, submit a photo/scan of the valid identity document with an Apostille attached (per the Ministry of Foreign Affairs rules). If not a party, the document must be authenticated by the Chinese embassy or consulate in that country; where no Chinese mission exists, notarisation by a local notary is required.
  • Chinese translation. Any foreign-language identity document or supporting exhibit must be accompanied by a Chinese translation produced by a qualified translation agency and stamped with its official seal.
  • Content. Source code and documentation are filed; the applicant should keep functional descriptions accurate and consistent with the software as deployed.

Works copyright registration

The CPCC also handles voluntary registration of “works” — literary, artistic and scientific works with originality. Registration is not a condition of protection, but the certificate serves as prima facie evidence in ownership, licensing and infringement disputes, and the Supreme People’s Court’s evidentiary rules list a copyright registration certificate among the documents that may be submitted as evidence. Real-name authentication for a works filing generally takes 1–3 working days; where an agent files, the agent (not the rights holder) is authenticated.

A foreign individual or entity may apply where the conditions of Article 2 are met. For foreign filers the same Apostille/authentication and translation rules apply to identity documents.

The 2020 amendment: stronger remedies

The Copyright Law as amended in 2020 (effective 1 June 2021) is the version foreign rights holders should know. It introduced:

  • Punitive damages. For wilful infringement of serious circumstance, damages may be one to five times the computed amount.
  • Higher statutory damages. Where actual loss or infringement gain cannot be ascertained, statutory damages were raised to a notable ceiling (with a lower floor for minor cases).
  • Expanded “work” definition and clearer treatment of audiovisual works and the attribution of rights.
  • Broadened injunctive and evidence-preserving tools, including a duty on internet service providers to act on takedown notices.

For an FIE whose software or content is copied in China, these remedies materially improve the economics of enforcement.

The Apostille shortcut (effective 7 November 2023)

Before China joined the Hague Convention, a foreign company’s incorporation certificate, power of attorney or board resolution destined for use in China had to go through “double authentication” — notarisation in the home country plus authentication by that country’s foreign ministry and then by the Chinese embassy or consulate. That loop commonly took around 20 working days and carried consular fees.

China acceded to the Convention on 8 March 2023; it entered into force on 7 November 2023. Since then, a public document issued in a Contracting Party and destined for use in mainland China needs only an Apostille issued by that country’s competent authority — no Chinese consular authentication. Conversely, Chinese public documents sent to other Contracting Parties need only a Chinese Apostille (issued by the Ministry of Foreign Affairs or authorised local foreign affairs offices), verifiable online. With roughly 125–126 Contracting Parties — including the US, Japan, Korea, the EU, the UK, Australia and most Belt and Road countries — most foreign filers now benefit.

For copyright registration specifically, the Apostille applies to the foreign company’s identity document and, where relevant, to powers of attorney and certificates attached to the filing. The translation requirement remains, but the consular-authentication step is gone for treaty members.

What this means for foreign investors and FIEs

  • Register early. File software copyright at the CPCC as soon as the product is ready; treat works registration as standard hygiene for marketing and training assets.
  • Plan the document chain. For a foreign parent’s supporting documents, confirm whether the home state is a Hague member; if yes, obtain an Apostille, not consular authentication.
  • Use a qualified translator. Budget for a stamped Chinese translation of every foreign-language exhibit.
  • Keep the certificate. It is your prima facie ownership evidence before courts, administrative enforcement and Customs recordal.
  • Leverage the 2020 remedies if infringement occurs — punitive damages and injunctions are now on the table.
  • Confirm specifics with qualified PRC IP counsel before filing or enforcing.

What to do next

  1. Inventory the software and creative assets you will deploy in China and decide what to register first.
  2. Open a CPCC account and complete real-name authentication (1–3 working days).
  3. For any foreign-entity supporting document, obtain an Apostille if the home state is a Hague member; otherwise arrange consular authentication.
  4. Commission a qualified translation agency to produce stamped Chinese translations of foreign-language filings.
  5. File software and works registrations, and store the certificates in your IP dossier.
  6. Consult PRC copyright counsel on enforcement strategy if you discover unauthorised copying.

外国企业在华著作权登记:版权中心申报、国民待遇与海牙认证捷径

概述

对来华的外资企业或境外集团而言,知识产权往往是最需要先保护的核心资产,而著作权(版权)正是其中低调的”主力”:软件、源代码、营销文案、培训影片、设计图、数据库与界面素材均在其列。中国《著作权法》通过国民待遇保护外国作品,登记虽采自愿原则,却能为权利人提供一份法院与海关均认可的权属初步证据。本文说明外国主体在华如何实际办理软件与作品著作权登记、2020 年修法为何重要,以及 2023 年 11 月 7 日生效的《海牙认证公约》如何为外国申请人扫清文书瓶颈。本文仅为一般性信息,非法律意见。

国民待遇:外国作品受保护

中国系《伯尔尼公约》与 TRIPS 协定缔约方。2020 年修正《著作权法》第二条规定,外国人或无国籍人的作品,依其所属国或经常居住地国同中国签订的协议或共同参加的国际条约享有的著作权,受本法保护;首次在中国境内出版的作品亦受保护。这意味着美国、日本、德国、韩国等企业的软件与创作成果,自创作完成之时即在中国受保护——保护本身并不以登记为前提。

但登记是将”保护”转化为”可执行证据”的实操步骤。

软件著作权在版权中心

计算机软件既受《著作权法》作为”作品”保护,也受《计算机软件保护条例》保护。中国版权保护中心(CPCC)是国家版权局认定的唯一软件登记机构,除北京代办机构外各地均须向其申请,外国申请人亦直接向其提交。

标准流程:(1)在版权中心官网注册账号;(2)申报前完成实名认证;(3)在线填报并上传申请文件;(4)符合规定的予以受理;(5)自受理日起 60 日内审查完成,符合条件即登记发证并公告。申请文件有缺陷的,发补正通知,申请人须于 30 日内补正。

外国申请人实务要点:

  • 外国机构身份证明。 所属国为海牙公约缔约方的,提交有效身份证明文件原件照片/扫描件并附该国附加证明书(依外交部规定);非缔约方的,须办理中国驻当地使领馆认证,无中国使领馆的须经当地公证机构公证。
  • 中文译本。 外文身份证明及与登记有关的其他外文证明文件,须一并提交经有翻译资质机构翻译并加盖公章的中文译本。
  • 内容。 须提交源程序与文档;功能说明应与实际部署的软件一致、准确。

作品著作权登记

版权中心亦办理”作品”(具独创性的文学、艺术、科学作品)自愿登记。登记非保护要件,但登记证书是权属、许可与侵权争议的初步证据;最高人民法院相关司法解释将著作权登记证书列为可提交的证据之一。作品登记实名认证通常需 1–3 个工作日;由代理人办理的,由代理人(而非权利人)认证。

符合第二条条件的外国个人或组织亦可申请,身份证明同样适用附加证明书/认证与翻译规则。

2020 年修法:更强的救济

2020 年修正、2021 年 6 月 1 日施行的《著作权法》是外国权利人应当掌握的版本,其要点:

  • 惩罚性赔偿。 对故意侵权且情节严重的,可在确定数额的一倍以上五倍以下给予赔偿。
  • 提高法定赔偿。 难以查明实际损失或侵权获利的,法定赔偿上限显著提高(轻微案件设下限)。
  • 扩大”作品”定义,并厘清视听作品及权利归属。
  • 强化禁令与证据保全工具,明确网络服务提供者接到通知后的处理义务。

对于软件或内容在华被抄袭的外资企业,这些救济显著改善了维权经济账。

海牙认证捷径(2023 年 11 月 7 日生效)

在中国加入海牙公约前,外国公司的注册证书、授权委托书或董事会决议要在华使用,须经过”双认证”——所在国公证、该国外交部认证、再由中国使领馆认证,通常耗时约 20 个工作日并负担领事费用。

中国于 2023 年 3 月 8 日加入公约,2023 年 11 月 7 日生效。此后,缔约方出具的公文书送往中国内地使用,仅需该国主管机关签发的附加证明书(Apostille),无需中国领事认证;反之,中国公文书送往其他缔约方亦仅需中国附加证明书(由外交部或授权地方外办签发,可在线核验)。缔约方约 125–126 个,含美国、日本、韩国、欧盟、英国、澳大利亚及大多数”一带一路”国家,多数外国申请人因此受益。

就著作权登记而言,附加证明书适用于外国公司的身份证明文件,以及在案的权力委托书与证明书。翻译要求仍须满足,但条约成员间的领事认证环节已取消。

对外资与外资企业的意义

  • 尽早登记。 产品就绪即向版权中心申请软件著作权;把作品登记作为营销与培训资产的常规动作。
  • 规划文书链。 对外国母公司的支撑文件,先确认所属国是否为海牙成员;若是,办理附加证明书而非领事认证。
  • 使用合格翻译。 为每份外文材料预留加盖公章的中文译本预算。
  • 妥善保管证书。 它是你面向法院、行政执法与海关备案的权属初步证据。
  • 善用 2020 年救济,遇侵权时惩罚性赔偿与禁令均可主张。
  • 签署或维权前,与执业中国知识产权律师确认具体事项。

下一步建议

  1. 梳理将在华部署的软件与创作资产,确定优先登记清单;
  2. 开通版权中心账号并完成实名认证(1–3 个工作日);
  3. 对外国主体的支撑文件,若所属国为海牙成员则办理附加证明书,否则安排领事认证;
  4. 委托有资质的翻译机构出具加盖公章的中文译本;
  5. 提交软件与作品登记,并将证书归入 IP 档案;
  6. 发现未经授权复制时,咨询中国著作权律师制定维权策略。
