Personal Information Protection Officer and the Domestic Institution or Designated Representative for Overseas Processors under China’s PIPL: Governance Roles and Filing Obligations

  • PIPL creates two distinct governance roles: a personal information protection officer (PIPO) under Article 52, and a domestic dedicated institution or designated representative for overseas processors under Article 53.
  • The 100-million-person threshold is the operative trigger: processors handling over one million individuals’ personal information must designate a PIPO and are subject to the 2025 CAC filing obligation.
  • The 2025 CAC announcement makes filing online-only via the “Personal Information Protection Business System”, with a 30-working-day deadline for newly qualifying entities and for material changes.
  • Overseas processors with no China entity must still designate a domestic representative, whose legal status, duties and filing are separate from but parallel to the PIPO requirement.
  • The draft large-platform rules tighten PIPO qualifications—management membership, Chinese nationality, five years’ experience, veto and direct-report rights—foreshadowing stricter expectations for major players.
  • The PIPO obligation interconnects with Articles 51, 54, 55–56 (PIPIA) and 57 (breach notification); the officer is the coordinator across all of them.
  • Compared with the EU GDPR’s DPO and representative regime, China’s PIPO is narrower in threshold but imposes an explicit, centralized filing and consistency obligation with public disclosures.

Personal Information Protection Officer and the Domestic Institution or Designated Representative for Overseas Processors under China’s PIPL: Governance Roles and Filing Obligations | 《个人信息保护法》项下的个人信息保护负责人与境外处理者境内专门机构、指定代表:治理角色与报送备案义务

Two Governance Roles, Two Legal Bases

China’s PIPL does not rely on a single compliance officer model. It separates two roles often conflated by foreign investors. Article 52 addresses the personal information protection officer (PIPO)—an internal role for processors reaching a statutory volume. Article 53 addresses the domestic dedicated institution or designated representative required of overseas processors within Article 3(2). An FIE with a China subsidiary typically triggers Article 52; a foreign company with no China entity serving individuals in China typically triggers Article 53; some groups trigger both and must manage the two obligations in parallel.

Article 52: The Personal Information Protection Officer

Article 52 of PIPL provides that a processor whose processing reaches the volume prescribed by the national cyberspace authority must designate a personal information protection officer, publicly disclose the officer’s contact details, and file the name and contact with the authority. The Measures for the Administration of Personal Information Protection Compliance Audits, effective 1 May 2025, state in Article 12 that a processor of over one million individuals must designate a PIPO responsible for compliance audits. The CAC’s 18 July 2025 filing announcement adopts the same one-million threshold. In practice, “reaching the prescribed volume” means processing over one million individuals’ personal information.

The PIPO’s core function is coordination and accountability: serving as the internal point of contact for regulators and data subjects, overseeing the processor’s compliance programme, and—under the Audit Measures—owning the compliance-audit function. The officer’s name and contact must also be published in the privacy policy and on the official website, creating a public, verifiable commitment.

Article 53: Domestic Institution or Representative for Overseas Processors

Article 3(2) of PIPL extends the law’s territorial reach to processing conducted outside China where the purpose is to provide products or services to individuals within China, or to analyse or evaluate their behaviour. For such overseas processors, Article 53 requires the establishment of a dedicated institution within China or the designation of a representative, and the filing of its name and contact with the competent authority.

This is a separate role from the Article 52 PIPO. An overseas processor meeting the one-million threshold may, and often should, designate the same person as both its Article 53 representative and Article 52 PIPO—but the legal bases, filing fields and rationales differ. The Article 53 representative is the statutory touchpoint that makes an otherwise extraterritorial controller reachable by Chinese regulators and, in principle, by affected individuals. For a foreign e-commerce, SaaS or app operator with no China subsidiary, the designated representative is the single most important compliance anchor.

The 2025 CAC Filing Announcement: Online, Time-Bound, Consistent

On 18 July 2025 the CAC issued the Announcement on PIPO Information Filing. Key mechanics:

  • Who files: processors of over one million individuals file with the district-level (设区的市级) cyberspace authority where they are located.
  • Deadlines: a processor reaching one million from publication files within 30 working days; those already above threshold filed by 29 August 2025; material changes update within 30 working days.
  • Channel: online only, via the “Personal Information Protection Business System” (https://grxxbh.cacdtsc.cn) or the CAC website’s government service hall, per the system’s first-version guide.
  • Group filing: groups or affiliates may file consolidated.
  • Consistency: filed data must match the official website and privacy policy—a direct cross-check.

Non-compliance is handled under PIPL and the Audit Measures.

Article 12 of the Compliance Audit Measures and the PIPO’s Audit Role

The Audit Measures (CAC Order No. 18) give the PIPO a defined statutory job. Article 12 makes the one-million-person PIPO responsible for compliance audits, linking the role to Article 54’s regular-audit duty. For processors of over 10 million, the Measures require at least one audit every two years. The PIPO thus owns a recurring, evidence-producing obligation: the audit report, remediation, and—where regulators demand—engaging a professional firm and submitting the report.

Draft Large-Platform Rules: Raising the Bar on the PIPO

The draft Large Online Platform Personal Information Protection Provisions (征求意见稿) would tighten PIPO qualifications for the largest platforms. Per the CAC expert interpretation, the PIPO must be a management member, hold Chinese nationality without permanent or long-term foreign residence, and have at least five years’ relevant experience; the role may be held concurrently with the network-data security officer. The draft would grant participation and veto rights in personal-information decisions, a direct report right to the board or top management, and require a designated working body. Although it applies only to large platforms, its design signals the direction for high-risk processors and a useful benchmark for any FIE.

How the PIPO Connects to the Rest of PIPL

The officer is not an island. The role sits at the intersection of several PIPL obligations run as a system:

  • Article 51—internal management systems, procedures, classification, encryption, access control and emergency plans; the PIPO owns the programme.
  • Article 54—regular compliance audits, now operationalised by the Audit Measures and the officer’s Article 12 duty.
  • Articles 55–56—PIPIA. Five scenarios trigger it: sensitive personal information; automated decision-making; external entrusting, disclosure or transfer; outbound provision; and other CAC-prescribed cases. The assessment covers lawfulness, necessity, impact and safeguards, and the report and record must be kept for at least three years. The PIPO usually sponsors and files these.
  • Article 57—breach notification: the processor must promptly remedy and notify the authority and affected individuals; the PIPO is the natural incident owner and Article 57 conduit.

A Landing Checklist for FIEs and Borderless Foreign Entities

For a foreign investor, the practical steps are concrete:

  1. Appoint the PIPO. For a China subsidiary, name a senior owner (DPO, legal or compliance) whose details are filed and published; start the 30-working-day clock at the one-million threshold, not at any inquiry.
  2. Assess Article 53 representative need. If the group processes Chinese data from abroad with no China entity, designate and file a domestic representative as the regulatory address—a local subsidiary, branch, or named individual/entity—and document it.
  3. Keep filings consistent. Business System, privacy policy and website details must match; mismatches are the easiest regulatory finding.
  4. Build audit and PIPIA machinery. The PIPO owns the calendar: biennial audits above 10 million, PIPIAs before high-risk processing, three-year PIPIA retention.
  5. Prepare breach response. Pre-authorise Article 57 notification with templates and a contact tree.

Comparison with the EU GDPR’s DPO and Representative

Foreign groups often map the PIPO onto the GDPR data protection officer (DPO, Article 37) and the Article 53 representative onto the GDPR Article 27 representative. The parallels are real but the differences matter:

  • Trigger: GDPR DPO appointment turns on specific activities (large-scale systematic monitoring or special-category data) set by member states; PIPL’s PIPO turns on a clear numeric threshold (over one million individuals) plus the CAC’s prescribed-volume power.
  • Filing: The GDPR has no centralized, China-style filing of DPO identity; PIPL imposes an explicit, online, time-bound filing and a published-contact requirement.
  • Representative location: Both require the representative to be local—within the EU for GDPR, within China for PIPL—making an extraterritorial controller reachable.
  • Independence and rights: The GDPR stresses DPO independence; China’s draft large-platform rules add management membership, veto and direct-report rights, embedding the PIPO deeper into governance than a purely advisory DPO.

The takeaway for a cross-border group is to run two registers—one for GDPR, one for PIPL—and reconcile overlaps: one person may wear both hats, but the filings, publications and duties are distinct.

App personal-information collection compliance in China (2026): the CAC draft rules and what FIEs must do | 2026年中国App个人信息收集合规:网信办征求意见稿与外资企业义务

Overview: from principle to procedure

China’s Personal Information Protection Law (PIPL) sets broad principles — lawfulness, necessity, informed consent. In January 2026, the Cyberspace Administration of China (CAC) published the “Rules on Personal Information Collection and Use by Internet Applications (Draft for Comment)”, turning those principles into concrete app-level duties. For foreign-invested apps, SaaS and device makers, this draft is the practical compliance blueprint for 2026.

The legal basis and scope

Drafted under the Cybersecurity Law, the PIPL and the Network Data Security Regulation, the CAC draft applies to collecting/using personal information by internet applications within China, and to SDKs, distribution platforms and smart terminals that serve them. It also reaches apps operated outside China that collect personal information of individuals inside China where Article 3(2) PIPL applies. Collection must follow lawful, legitimate, necessary and good-faith principles; sensitive personal information requires the data subject’s separate consent.

Consent, separate consent and no coercion

Article 3 of the draft requires fully informing the collection rules and obtaining consent; for sensitive information, separate consent is mandatory. Apps may not refuse to provide services because a user refuses non-essential data or withdraws consent (except where the data is essential). The rules push transparency: key items must be highlighted in bold or color, and a one-tap access to the rules must sit on the settings page. Where an app has 50 million+ registered or 10 million+ monthly-active users and a complex business, rule changes need a ≥7-working-day public comment period.

Minimal collection and permission gating

The draft limits collection to what each function needs, at the minimum frequency and scope. Apps must request a permission only when the user uses the specific function, inform the purpose, and stop calling it when no longer needed (Articles 12–14). Calling contacts, call logs or SMS to collect others’ information is barred unless for communications. Biometric collection (face, fingerprint, voiceprint) needs specific purpose and necessity, strict protection, and — except as lawful or with separate consent — storage on the biometric device and no internet transmission (Article 15).

Sensitive data, minors and automated decisions

Collecting personal information of children under 14 requires a dedicated rules and parental consent (Article 16). Automated decision-making (e.g., recommendations) must offer an easy-to-close personalization switch (Article 17). Account deletion must be convenient, completed within 15 working days with deletion or anonymization, and must not demand new excess information (Article 18).

Distribution platforms and device makers

Distribution platforms must vet apps on onboarding, record personal-information issues and penalty history, and within 6 months of the rules taking effect, audit in-store apps and remove non-compliant ones (Article 26). They must show permission lists and rules links on download pages and flag apps penalized by authorities. Smart-terminal makers must verify app identities before preinstalling and surface real-time permission indicators (Articles 29–32).

The protection-officer and CAC filing duty

The PIPL and the CAC’s 2025 announcement on filing personal-information protection-officer information converge here: processors of 1 million or more individuals’ personal information must designate a protection officer; the Compliance Audit Measures add that processors of 1 million+ must also designate an officer for compliance audit. Filing is online via the CAC “Personal Information Protection Business System.” Foreign-invested apps crossing the threshold must name and file the officer.

How this dovetails with cross-border transfer

The same separate-consent and minimal-necessity principles govern outbound transfer under the PIPL. Our separate articles cover the three export routes — the negative list / standard contract, the PIPL export certification (open 1 January 2026) and the security assessment. Apps that collect biometrics or sensitive data domestically and wish to process abroad must satisfy both this draft’s on-device storage expectation and the export-route obligation.

Practical steps for foreign-invested apps

  1. Map data to functions; cut non-essential collection and over-broad permissions.
  2. Build separate-consent flows for biometrics and other sensitive data; default to on-device storage.
  3. Gate permissions to active functions; add one-tap rules access and 15-day deletion.
  4. Audit embedded SDKs against declared behavior; keep a compliance record.
  5. Designate and file a protection officer if processing 1 million+ individuals.
  6. Align export with the certification / negative-list / assessment route.

China’s PIPL Compliance Audit Regime: What Foreign-Invested Enterprises Must Do in 2026 | 中国个人信息保护合规审计制度:2026年外资企业的实操要求

Why the Audit Rule Matters to Foreign-Invested Enterprises

Most foreign-invested enterprises (FIEs) in China already run a PIPL programme. The audit regime asks a different question: not whether controls exist, but whether you can prove, on a fixed cycle and to an evidentiary standard, that they work. For consumer-facing FIEs it is now the most predictable interaction they will have with China’s data regulators.

The Legal Basis and Effective Date

The duty comes from Article 54 of the Personal Information Protection Law and the Regulations on Network Data Security Management. The operative rule is the *Measures for the Administration of Personal Information Protection Compliance Audits*, issued by the Cyberspace Administration of China (CAC) as Order No. 18 on 14 February 2025, effective 1 May 2025; the annexed *Compliance Audit Guidelines* are the working checklist. State organs and legally authorised public-affairs bodies are excluded; every commercial FIE is in scope.

Two Triggers: Self-Initiated and Regulator-Ordered

Self-initiated. A handler processing the personal information of more than 10 million people must audit at least once every two years, in-house or through an outside firm; no regulator instruction is needed.

Regulator-ordered. A protection authority may require an external audit where processing carries major risk — serious impact on individual rights, or a serious lack of security measures — where it may infringe the rights of numerous individuals, or where an incident has leaked, altered, lost or destroyed the personal information of 1 million or more people, or the sensitive personal information of 100,000 or more. Duplicate orders for one incident or risk are barred.

How Often: The Tiered Frequency Ladder

The Measures fix only the top band; the tiers beneath come from the national standard *Data Security Technology — Personal Information Protection Compliance Audit Requirements*, confirmed in the CAC’s April 2026 *Q&A on Personal Information Protection Policies and Regulations*.

Volume of individuals processedMinimum audit frequency
More than 10 millionAt least once every 2 years
1 million to 10 millionAt least once every 3 or 4 years
Not more than 1 millionAt least once every 5 years
Minors’ personal information (any volume)Annually

The last row is separate law: Article 37 of the Regulations on the Protection of Minors Online requires an annual audit of minors’ data handling, reported promptly to the CAC.

Counting Headcount: The April 2026 Clarification

The April 2026 Q&A settled three points: every figure is inclusive of the stated number; the count covers natural persons whose personal information is currently processed, not a historical total; and already-deleted data is excluded. Disciplined deletion can move a business down a tier.

Governance: The DPO and the Independent Supervisory Body

Above 1 million people, a handler must designate a personal information protection officer who owns the audit. Handlers providing important internet platform services, with very large user numbers and complex business types, must also set up an independent body composed mainly of external members to supervise it.

Choosing and Rotating the Professional Auditor

An engaged firm needs auditors, premises, facilities and funding commensurate with the service and may not subcontract; it must keep what it learns confidential and delete it once the audit closes. Rotation is mandatory: the same firm, its affiliates, or the same audit lead may not audit the same client more than three consecutive times.

The Regulator-Ordered Workflow and the 15-Working-Day Clock

The chain is fixed: select the firm as the authority requires; finish within the stipulated period, extendable with approval where matters are complex; submit the report, signed by the firm’s principal and the audit lead and stamped with the official seal; rectify; and file a rectification report within 15 working days of completing remediation. The handler bears the cost; violations are handled under the PIPL and the Network Data Security Regulations.

What the Audit Guidelines Actually Check

The Guidelines cover lawful basis, processing rules, notification, joint and entrusted processing, provision to third parties, automated decision-making, public disclosure, image collection in public places, sensitive personal information, the data of minors under 14, cross-border provision, deletion, rights requests and internal management. For FIEs, Article 15 — cross-border provision — carries the most exposure.

Outbound scenarioRequired route
CIIO transferring any personal information abroadCAC security assessment
Non-CIIO: 1 million people or more non-sensitive, or 10,000 or more sensitive, cumulative in the yearCAC security assessment
Non-CIIO: 100,000 to under 1 million non-sensitive, or under 10,000 sensitiveCertification, or standard contract filed with the provincial CAC
Provision to a foreign judicial or law-enforcement bodyPrior approval of the competent authority

That last row is the scenario multinationals meet in overseas litigation, and skipping approval is a discrete violation.

Practical Steps for a Foreign-Invested Enterprise

  1. Count first: current natural persons, net of deletions, then place the entity on the ladder.
  2. Name the owner above 1 million people and write the audit into their mandate.
  3. Re-test the outbound route against cumulative annual export volumes.
  4. Pre-build evidence: retention logs, consent records, entrusted-processing agreements, rights-response times.
  5. Plan rotation before the third consecutive engagement, and check the under-14 overlay.
  6. Reserve the remediation window; the 15-working-day clock starts when rectification is complete.

Enforcing Foreign Arbitral Awards and Judgments in China: the New York Convention path

Enforcing Foreign Arbitral Awards and Judgments in China: the New York Convention path |

Overview

A foreign-invested enterprise that wins an arbitration in Singapore, Paris, or London still has to collect — often from assets inside China. The good news is that China’s enforcement climate for foreign awards has become markedly friendlier, anchored by the 1958 New York Convention and reinforced by a 2023 civil-procedure overhaul and a Supreme People’s Court (SPC) arbitration-review regime.

This article maps the Convention path for awards, the reciprocity path for judgments, the 2024 SPC review report’s principles, procedure, and practical steps for foreign creditors. It is informational; confirm with qualified PRC litigation counsel.

The New York Convention: China’s anchor

China acceded to the Convention on the Recognition and Enforcement of Foreign Arbitral Awards (1958, “the New York Convention”) in 1987. As a contracting state, Chinese courts are obliged to recognize and enforce foreign awards made in the territory of another contracting state, subject only to the Convention’s narrow refusal grounds.

The Convention’s refusal regime (Art.V) splits into two groups:

  • Respondent-borne defenses (raised by the party resisting enforcement): incapacity of a party or invalid arbitration agreement; lack of proper notice or inability to present one’s case; the award dealing with matters beyond the submission (ultra petita) or containing decisions on matters not submitted; composition of the tribunal or procedure contravening the agreement or the law of the seat; and the award not yet binding or set aside at the seat.
  • Court-examinable on its own motion: the subject matter is not capable of settlement by arbitration under Chinese law, or recognition/enforcement would be contrary to China’s public policy.

The deliberate narrowness — and the fact that most grounds need the respondent to prove them — is why a clean, procedurally regular award is usually enforceable.

The 2024 SPC arbitration judicial-review report

On 28 December 2025, the SPC released its 2024 Commercial Arbitration Judicial Review Annual Report. Its headline figures show a pro-enforcement, pro-arbitration environment:

  • 42 applications to recognize and enforce foreign awards concluded in 2024 — zero refusals.
  • Awards came from arbitral institutions in 15 countries and ad-hoc tribunals seated outside China.
  • More broadly: 18,566 arbitration judicial-review cases concluded; setting-aside rate just 2.22% (11,016 cases); preservation rate 98.90% (27,069 cases) — evidencing strong procedural support.
  • 62 applications concerning Hong Kong/Macao/Taiwan awards: 53 recognized and enforced, 6 withdrawals permitted.

The report distils three principles:

  1. Uphold arbitration agreements (“in favorem validitatis”). “Or/and” (or-arbitration-or-litigation) clauses, “negotiation-first” clauses, “claimant’s seat” clauses, and ad-hoc agreements are construed to favor validity and encourage arbitration.
  2. Strictly apply setting-aside/refusal grounds; protect finality. Courts respect the “one award, final” principle while exercising supervisory power to safeguard due process.
  3. Faithfully perform treaty duties; enforce in favorem executionis. Courts strictly apply the New York Convention and build a friendly environment for cross-border award enforcement.

Foreign judgments: the reciprocity path

For court judgments (rather than arbitral awards), China enforces foreign civil and commercial judgments on the basis of reciprocity and treaties. The trend is liberalizing: Chinese courts have moved from a strict, case-by-case reciprocity test toward a “de jure reciprocity” standard.

A landmark: in March 2022, the Shanghai Maritime Court recognized and enforced a UK court judgment for the first time on a de-jure-reciprocity basis, affirming reciprocity between China and the UK. Courts continue to enrich the content of reciprocity through bilateral arrangements and practice.

The practical upshot: a foreign judgment with a sound jurisdictional basis and no public-policy defect stands a materially better chance of enforcement in China today than a decade ago.

Procedure: where and how to file

The channels are codified in the Civil Procedure Law (amended 2023, effective 1 January 2024), whose special foreign-related part governs recognition and enforcement of foreign awards and judgments.

  • Court: the intermediate people’s court at the respondent’s domicile or where the respondent’s property is located.
  • Documentary basis: the original (or certified copy) of the award/judgment and the arbitration agreement (for awards); proof of service/notice where relevant; and, for judgments, materials supporting reciprocity.
  • Bifurcated review: Chinese courts typically first examine whether recognition is warranted, then proceed to enforcement — meaning a successful recognition is the gateway to attaching and realizing Chinese assets.
  • Preservation: given the 98.90% preservation rate, a parallel asset-preservation application (to freeze bank accounts, equity, or property) is often the decisive tactical step to prevent dissipation before enforcement.

The supportive ecosystem

Beyond the statutes, China has built institutions that ease cross-border dispute resolution:

  • International commercial courts: 12 intermediate courts — including Beijing and Suzhou — have established international commercial courts with streamlined “green channels” for preservation, filing, trial, and enforcement in foreign-related cases.
  • One-stop diversified resolution: platforms integrate early neutral evaluation and seamless online handling of litigation, arbitration, and mediation.
  • Judicial transparency: annual arbitration-review reports and typical cases unify standards and signal the pro-arbitration stance to foreign parties.

What to do next

  • Clause for enforcement from day one. In China-facing contracts, specify a New York Convention-covered seat and a reputable institution (e.g., SIAC, ICC, HKIAC, or a Chinese institution with a recognized foreign-related panel). Avoid “or/and” or “negotiation-first” wording that, while valid, invites battle over clause efficacy.
  • Keep the record clean. Retain the signed arbitration agreement, the full award, and proof of notice/service to the respondent — these defeat most Art.V defenses before they start.
  • Locate assets early. Before or at filing, map the respondent’s Chinese bank accounts, equity, IP, and real property; pair the recognition application with a preservation application to freeze them.
  • Mind public policy and arbitrability. Keep the underlying dispute within arbitrable subject matter and avoid conduct that could trigger a public-policy objection.
  • Use the ecosystem. Where appropriate, route through an international commercial court’s green channel and consider mediation-hybrid clauses for enforcement-stage settlement.

Practical example

“AquaTech,” a foreign-invested group, won an SIAC award in Singapore against a Chinese distributor that stopped paying. Rather than litigate the clause, AquaTech’s counsel filed a recognition-and-enforcement application with the intermediate court at the distributor’s domicile, simultaneously applying for preservation that froze the distributor’s local bank account. Because the award was procedurally regular and the arbitration agreement valid, the court recognized it under the New York Convention with no refusal — the frozen funds then became the source of recovery. The case illustrates the modern reality: a foreign award is not a paper trophy in China, provided the clause, the record, and the asset map are handled up front.

Being Sued in China: Jurisdiction, Cross-Border Service and the Amended Civil Procedure Law

  • The Civil Procedure Law’s foreign-related chapter was substantially amended (in force from 1 January 2024), reshaping jurisdiction, cross-border service, evidence-taking and recognition/enforcement of foreign judgments.

  • Not every “foreign-related” case needs “cross-border service” — if the defendant or an authorised agent is inside China, domestic-style service applies; only a defendant with no China domicile and no in-China recipient triggers true overseas service.
  • Overseas service follows treaty channels: bilateral judicial-assistance treaties or the Hague Service Convention; mail service, service on an in-China agent/representative office, and other confirmable methods (fax, email) are also permitted where allowed.

  • The Foreign State Immunity Law (with SPC Notice 法〔2025〕39号) sets special procedures for suits against foreign states, concentrating jurisdiction in designated intermediate/specialised courts.
  • Practical defence: appoint a China-based service agent, monitor deadlines (foreign states get three months to answer), and consider arbitration clauses to avoid litigation uncertainty.

Being Sued in China: Jurisdiction, Cross-Border Service and the Amended Civil Procedure Law |

Overview

Many foreign companies assume that because they have no office or assets in China, a Chinese court cannot reach them — or that ignoring a lawsuit filed abroad makes it disappear. Both assumptions are dangerous. Since 1 January 2024, an amended foreign-related chapter of the Civil Procedure Law (CPL) has broadened jurisdiction and modernised how documents are served and evidence taken across borders, and the Supreme People’s Court (SPC) is finishing implementing interpretations that fill in the detail. This article explains when a foreign firm can be sued in China, how cross-border service actually works (and when it is not even needed), the special track for suing foreign states, and how to build a sensible defensive posture.

When can a foreign company be sued in China?

The amended CPL widened the jurisdictional net for foreign-related civil and commercial cases. Beyond the classic bases (contract performed in China, subject matter located in China, tort committed in China), jurisdiction can attach where the dispute has an “appropriate connection” (适当联系) with China, and through a defendant’s representative office, branch, business agent or property in China. Chinese courts also respect party autonomy: a valid choice-of-court agreement selecting a Chinese court will generally be honoured, and the SPC is developing model choice-of-court clauses. The upshot: a foreign firm doing business connected to China can find itself properly within a Chinese court’s reach.

“Foreign-related” does not always mean “overseas service”

A common misconception is that every foreign party must be served abroad. Chinese law actually sorts service into three types: domestic service, foreign-related in-territory service, and foreign-related overseas service. The sequence a court follows:

  1. Does the recipient have a domicile in China? If yes, ordinary domestic service applies — no overseas service needed.
  2. Is the recipient (or an authorised agent) physically in China? If yes, foreign-related in-territory service applies.
  3. Only if the recipient has no China domicile and neither the party nor an agent is in China does the court resort to true overseas service.

This matters enormously: a foreign company with a China representative office, subsidiary officer, or litigation agent may be validly served inside China, quickly.

How overseas service works

When true overseas service is required, the CPL and SPC rules provide a menu:

  • Treaty channels: if the recipient’s state has a bilateral judicial-assistance treaty with China, serve under it; if the state is a party to the Hague Service Convention (关于向国外送达民事或商事司法文书和司法外文书公约), serve via the Convention.
  • Mail service: permitted if the recipient’s state allows it; a return receipt is attached, and signing the mail receipt can count as service.
  • Service on an in-China nexus: on the foreign party’s PRC legal representative, chief officer, litigation agent, representative office, or an authorised branch/business agent — expressly allowed.
  • Other confirmable methods: fax, email and other means that can confirm receipt.
  • Public announcement: as a last resort, by publication in newspapers circulated at home and abroad.

Time rules apply — for treaty/diplomatic channels, if no proof of service arrives within six months (three months for mail) and receipt cannot otherwise be inferred, that method is deemed to have failed, and the court moves on.

Deemed service — you cannot simply ignore documents

Even without a signed receipt, service can be deemed effective if, for example, the recipient has referred in writing to the served document’s contents, or has already performed according to it. In short, a foreign defendant cannot defeat a Chinese proceeding by refusing to acknowledge documents it has clearly received.

The SPC’s modernisation of foreign-related procedure

The SPC has described a multi-front upgrade: optimising jurisdiction rules and handling of parallel proceedings and jurisdictional conflicts; completing judicial interpretations of the CPL foreign-related chapter, the Arbitration Law and the Maritime Law; improving ascertainment of foreign law; simplifying cross-border evidence circulation and authorisation formalities; and building a fair, professional, efficient, low-cost international commercial dispute-resolution system, supported by the International Commercial Court (CICC), case databases and the online “law-answer” network.

Special track: suing a foreign state

China’s Foreign State Immunity Law adopts restrictive immunity with defined exceptions. The SPC’s Notice on Procedural Matters in Civil Cases Involving Foreign State Immunity (法〔2025〕39号) sets special rules: such first-instance cases are concentrated in designated intermediate courts (and maritime, financial and IP courts) at provincial capitals; service on a foreign state follows treaty methods or, failing that, diplomatic note through the Ministry of Foreign Affairs (no public-announcement service); the foreign state gets three months to file a defence; and a foreign state that appears only to contest jurisdiction is not deemed to have accepted the court’s jurisdiction.

Building a defensive posture

  • Appoint a China service agent / keep entity records current so you learn of any suit promptly rather than through delayed foreign mail.
  • Do not ignore documents — deemed service and default judgment are real risks; engage counsel immediately.
  • Assess jurisdiction early — challenge improper jurisdiction within the answer period; note parallel-proceedings rules if you are also litigating elsewhere.
  • Prefer well-drafted dispute clauses — a clear choice-of-court or, often better for cross-border deals, an arbitration clause (e.g. CIETAC) can reduce litigation uncertainty and ease enforcement.
  • Preserve cross-border evidence properly — follow the streamlined but formal channels for overseas evidence and notarisation/legalisation or apostille.

What to do next

  • Confirm whether your China nexus (rep office, subsidiary, agent) exposes you to in-territory service.
  • Put a monitoring process in place so served documents are never missed or ignored.
  • Review contracts for jurisdiction and dispute-resolution clauses; consider arbitration for cross-border deals.
  • If sued, retain PRC counsel at once and calendar all deadlines (including the special three-month window for foreign states).
  • For enforcement or recognition questions, check the latest SPC interpretations and applicable treaties/Convention status.

Jiangxi trade-policy compliance rules & overseas rights channel |

Overview

From 1 July 2026, Jiangxi Province’s Implementation Rules for Trade-Policy Compliance (贸易政策合规工作实施细则) entered into force (23 articles, revised from a 2015 trial version and adopted at the 129th provincial executive meeting). The rules align Jiangxi’s trade policies — including those touching foreign investment — with WTO rules and China’s accession commitments, and add an overseas trade-barrier reporting and rights-protection channel for enterprises.

This article highlights what the rules mean for foreign-invested enterprises (FIEs) operating or investing in Jiangxi.

Informational guidance only; the exact procedures are set by the Jiangxi commerce authorities, so verify with the competent department before acting.

Key innovations

Three “firsts”

  1. Broader compliance scope. For the first time, FDI-related policies are formally included in compliance assessment, achieving full coverage of goods, services, IP and FDI policies.
  2. Local-government responsibility. For the first time, city- and county-level governments are made responsible for compliance self-review under the principle of “who makes the policy, who assesses it” (谁制定、谁评估).
  3. Mandatory pre-procedure. For the first time, compliance assessment is a mandatory pre-step for policy issuance; policies found inconsistent with national-treatment or non-discrimination rules must be revised, with the adjustment explained in the approval materials.

Three new mechanisms

  1. Overseas trade-barrier channel. A reporting route for overseas unfair trade/investment measures: enterprises report → provincial commerce department → escalated to MOFCOM for consultation.
  2. Support system. Regular professional training and third-party/ university technical support for compliance work.
  3. Accountability. Supervision and accountability for units that skip compliance assessment and cause negative impact.

Implications for FIEs

  • National treatment institutionalised. FDI policies undergo full compliance review, embedding national-treatment and non-discrimination principles; FIEs may participate equally in government procurement and equipment-upgrade programmes.
  • Predictable environment. By screening out non-compliant clauses at the source, the rules aim to stabilise long-term foreign-investment expectations in Jiangxi.
  • Overseas protection. Jiangxi-based FIEs (and their groups) gain an official channel to surface overseas trade/investment barriers for provincial and central follow-up.

What to do next

  • If operating in Jiangxi, review whether local support or procurement policies treat FIEs equally; raise concerns through the compliance framework if not.
  • For Jiangxi groups facing overseas trade/investment barriers, use the new reporting channel via the provincial commerce department.
  • Track Jiangxi’s published compliance notices and training; engage early when local policies affect your sector.
  • Coordinate with your provincial commerce department contact for escalation to MOFCOM where needed.
  • Keep internal records of any discriminatory clauses encountered, as evidence for compliance review or overseas-rights cases.

Foreign-related Dispute Resolution: Litigation vs. Arbitration |

Overview

A foreign business operating or investing in China will, at some point, need to enforce a contract, recover a debt, or defend a claim. China offers two principal routes for foreign-related civil and commercial disputes: litigation in the Chinese courts and arbitration (domestic or international). The choice shapes everything that follows — where the hearing is held, what language is used, whether the outcome is confidential, and, crucially, how the result is recognized and enforced across borders. This article outlines China’s court system for foreign-related cases, the rise of specialized foreign-related tribunals and the International Commercial Court, and the rules for recognizing and enforcing foreign court judgments and arbitral awards in China.

China’s court system for foreign-related cases

China has a four-tier court structure: basic people’s courts, intermediate people’s courts, high people’s courts (provincial), and the Supreme People’s Court (SPC) at the apex. Foreign-related civil and commercial cases are generally heard at the intermediate court level or above; the SPC has issued guidance concentrating such cases in designated courts to build expertise. The SPC’s 2022 report to the NPC noted that first-instance foreign-related civil and commercial cases grew from 14,800 in 2013 to 27,300 in 2021, underscoring how central these disputes have become.

Procedure is governed by the Civil Procedure Law (CPL). Foreign parties enjoy equal procedural standing; they may appoint local or foreign lawyers (though only Chinese-licensed lawyers may appear as agents in Chinese courts), and courts in major hubs provide English and other multilingual services. The SPC has also launched an online filing platform for cross-border litigants and a unified foreign-law ascertainment platform, addressing two historic pain points — service abroad and proving foreign law.

Specialized foreign-related tribunals and the International Commercial Court

To raise the quality and international credibility of foreign-related adjudication, China has built a tier of specialized foreign-related tribunals (涉外法庭) within selected intermediate and primary courts — for example, in Shenzhen (Qianhai), Beijing, Shanghai, and other pilot zones. These courts concentrate complex cross-border commercial disputes, apply international treaties and trade-usage reasoning, and publish guiding cases.

At the national apex, the SPC established the International Commercial Court (CICC) in 2018. The CICC hears first-instance international commercial disputes directly, applies a “one-instance finality” model for selected cases, maintains a panel of international commercial expert mediators, and aims to align with internationally accepted commercial-judgment standards. For a foreign investor choosing litigation, designating a seat in a city with a strong foreign-related tribunal — and, where eligible, the CICC — materially improves predictability.

Recognition and enforcement of foreign court judgments

Enforcing a foreign court judgment in China is harder than enforcing an arbitral award, because there is no multilateral treaty equivalent to the New York Convention for judgments. The pathway is the CPL plus international bilateral judicial-assistance treaties. As of the SPC’s 2022 briefing, China had concluded judicial-assistance treaties with 39 countries, of which 35 contain provisions on recognition and enforcement of civil and commercial judgments. Within those treaty partners, a foreign judgment is recognized and enforced through the treaty mechanism.

For countries without a treaty, enforcement rests on reciprocity. China has moved from strict, case-by-case reciprocity toward a more flexible “presumed reciprocity” (推定互惠) standard — reflected in the 2017 Nanning Statement from the China-ASEAN Chief Justices’ Roundtable and the 2018 SPC–Singapore memorandum. Landmark cases include the Nanjing Intermediate Court’s recognition of a Singapore commercial judgment (the *Kolmar* case, the first PRC recognition under reciprocity) and, in 2022, a Shanghai maritime court’s recognition of an English commercial judgment on a legal-reciprocity basis. The SPC’s 2021 Minutes of the National Forum on Foreign-related Commercial and Maritime Trials systematized the review standard — scope of foreign judgments, reciprocity analysis, grounds for refusal, and punitive-damages handling — giving lower courts a uniform framework.

Arbitration as the foreign-friendly default

Because of the treaty gap for judgments, arbitration is usually the preferred dispute-resolution clause for foreign parties. A valid arbitration agreement ousts the courts (subject to the separability of the arbitration clause), proceedings can be conducted in English with a neutral seat, and — above all — the award is enforceable across borders under the New York Convention (China has been a member since 1987). For enforcement inside China, the CPL (Article 290, formerly 283) lets a foreign party apply to an intermediate court at the place of the awarded party’s domicile or property; Chinese courts recognize and enforce New York Convention awards except on narrow public-policy or due-process grounds. The SPC has also clarified that an award rendered in China with a foreign arbitral institution as the seat is treated as a Chinese foreign-related award and enforced accordingly. (See the CIETAC article for institutional detail.)

What to do next

  • Choose the forum deliberately — arbitration for cross-border enforceability; litigation where you need injunctive relief, evidence preservation, or a treaty-based judgment route.
  • Pick a strong seat — a city with a specialized foreign-related tribunal, or the SPC International Commercial Court where eligible.
  • Check treaty coverage before relying on a foreign court judgment; absent a treaty, plan for a reciprocity analysis and budget for a harder fight.
  • Put a clear arbitration clause (institution, seat, language, rules) in every cross-border contract — it is the single most important enforceability decision.
  • For enforcement in China, apply to the intermediate court at the debtor’s domicile or asset location; for awards, rely on the New York Convention.

Litigating in Chinese Courts: A 2026 Practical Guide for Foreign Parties in Foreign-Related Civil and Commercial Cases |

The framework after the 2023 Civil Procedure Law amendment

The fifth amendment to the Civil Procedure Law, adopted on 1 September 2023 and in force since 1 January 2024, was the first to systematically revise the special provisions on foreign-related civil procedure. For foreign parties, the headline change is jurisdiction: in addition to the six traditional connecting factors (place of contract conclusion, place of contract performance, location of the subject matter, location of seizable property, place of the tort, and domicile of the representative office), Article 276(2) now provides that Chinese courts may hear a foreign-related dispute if there are “other proper connections” with China. This is the statutory codification of the “proper connection” doctrine first applied by the SPC in the 2019 ZTE v. Conversant standard-essential-patent case. In practice it means that disputes which do not map onto the six factors — for example, standard-essential patent global licensing disputes or disputes where China is the main market — can still be heard in China. Foreign parties negotiating contracts with Chinese counterparties should assume that Chinese courts may assert jurisdiction more readily than before, and should draft jurisdiction clauses accordingly.

Service of process

Service on a party without a domicile in China follows a hierarchy set out in the Civil Procedure Law: judicial-assistance agreements between China and the foreign state; the Hague Convention on the Service Abroad of Judicial and Extrajudicial Documents (China is a member); postal service where the receiving state permits it; service through the litigant’s authorised agent; and, as a last resort, public notice (a three-month period, with notice published in newspapers distributed domestically and abroad). Two 2026-relevant points: first, electronic service is available — under the SPC’s Online Litigation Rules, with the consent of the addressee, courts may serve documents to an e-mail address, instant-messaging account or the litigation platform account; second, the SPC’s December 2025 batch of judicial interpretation amendments (published as Fa Shi [2026] No. 16 and related instruments, effective 15 August 2026) updated the provisions on service through judicial-assistance channels and translation requirements, aligning the wording with the 2023 Civil Procedure Law. For a foreign company served in China, the practical response is the same as for any defendant: verify the authenticity of the service, check deadlines (answer period for foreign parties is 30 days, extendable), and instruct counsel immediately.

Evidence from abroad

Foreign-origin evidence raises authentication questions. Documents created outside China that are used as evidence in Chinese civil proceedings generally require notarisation in the country of origin and consular legalisation by the Chinese embassy or consulate, unless the state is a party to the Hague Apostille Convention — for the states that have joined, an apostille certificate issued by the competent authority suffices and no consular legalisation is needed. Translations into Chinese must be provided. Two nuances are worth stating: first, a foreign court judgment or arbitral award may be submitted as documentary evidence without a prior recognition proceeding; second, facts confirmed by a foreign judgment or award are not “exemption-from-proof” facts under the Civil Procedure Law interpretation — the opposing party may challenge them and the court will examine them through cross-examination together with the rest of the evidence. This means a foreign judgment can be persuasive, but it does not automatically prove its underlying facts in Chinese proceedings.

Online litigation and the video-witness mechanism

The SPC’s Online Litigation Rules (Fa Shi [2021] No. 12, effective 1 August 2021) established that online filing, mediation, evidence exchange, hearings and service have the same legal effect as offline equivalents, subject to party consent. For cross-border parties, the most useful mechanism is online video witnessing: a party outside China authorising a Chinese lawyer may, instead of notarising and legalising the power of attorney, apply for an online video witness session in which the judge, the foreign party and the entrusted lawyer appear simultaneously; the power of attorney is signed under the judge’s video supervision and no notarisation, authentication or forwarding is required. After the video witness, the lawyer may proceed with online filing and fee payment. In practice, foreign parties should still check with the specific court whether the video-witness route is available for their case type, and should have the entity’s identity documents and signatory authority ready in advance.

Which court and which procedure

Since the 2022 jurisdiction provisions (Fa Shi [2022] No. 18), first-instance foreign-related civil and commercial cases are generally handled by grassroots courts, with intermediate courts hearing cases above value thresholds or of particular types. Centralisation is the other trend: SPC-approved international commercial tribunals operate in Wuxi, Suzhou, Chengdu and other cities, Shanghai and Beijing run international commercial courts, and on 20 August 2026 the Fujian Higher People’s Court announced that from 1 October 2026 first-instance foreign, Hong Kong/Macao/Taiwan-related commercial cases under RMB 40 million in Fuzhou’s six urban districts will be centralised in Cangshan District People’s Court. For a foreign party, the practical question is not “which court is generally competent” but “which court is designated for this case type and amount” — check the local higher court’s announcements, which are increasingly specific.

Recognition and enforcement of foreign judgments and awards

Enforcement of a foreign judgment in China requires an application to the intermediate court, grounded in a judicial-assistance treaty or reciprocity, and recognition is granted only where the judgment is final, the rendering court had proper jurisdiction, no violation of China’s basic legal principles, sovereignty, security or public interest, and no conflict with an existing Chinese judgment or a previously recognised foreign judgment. Foreign arbitral awards are enforced under the New York Convention (China acceded in 1987), and the 2023 Civil Procedure Law amendment adopted the “seat of arbitration” standard for determining the nationality of foreign awards — an award made in the territory of a foreign state is a foreign award, to be enforced under the Convention. The practical message: enforcement is possible but procedurally exacting, and the strength of the underlying dispute-resolution clause (arbitration vs. litigation, seat, governing law) is decided at contract-drafting stage, not at enforcement stage.

Practical checklist for foreign parties in 2026

  1. Determine jurisdiction at the contract stage: specify the Chinese court or the arbitration institution, seat and governing law; be aware that “proper connection” gives Chinese courts broad jurisdiction where no clause exists.
  2. Before filing, plan service: if the defendant is abroad, estimate the route (treaty, Hague, postal, agent, public notice) and the time cost; consider electronic service with consent.
  3. Prepare evidence in advance: notarise and apostille (for Hague members) foreign documents, obtain certified Chinese translations, and do not rely on a foreign judgment as proof of facts without supporting evidence.
  4. Use the online platform: register for online filing, consider the video-witness mechanism for the power of attorney, and expect e-service once you consent.
  5. Check centralisation announcements: confirm the designated court for the case type and amount in the relevant province or city.
  6. For enforcement, confirm treaty or reciprocity grounds and the finality of the judgment before commencing the case in China.

Outlook

Chinese courts are consolidating their position as a serious forum for cross-border commercial disputes: broader jurisdiction, modernised service rules, online procedure and specialised tribunals. For foreign parties the practical implication is that careful drafting and early procedural planning now matter more than ever — the system is faster, more digital and more predictable than a decade ago, but it demands that foreign parties engage with its rules deliberately.

Fuzhou Centralises Foreign-Related Commercial Jurisdiction in Six Urban Districts: What It Means for Cross-Border Dispute Resolution in Fujian |

The announcement

On 20 August 2026 the Fujian Higher People’s Court published a public notice on centralised jurisdiction over first-instance foreign-related, Hong Kong-, Macao- and Taiwan-related commercial cases in six urban districts of Fuzhou. With the approval of the Supreme People’s Court, and with effect from 1 October 2026, Fuzhou’s Cangshan District People’s Court will centrally handle such cases within its own jurisdiction and those previously handled by the district courts of Gulou, Taijiang, Jin’an, Mawei and Changle, where the amount in dispute in the first instance is below RMB 40 million (not including RMB 40 million itself). Cases already accepted but not yet concluded by the five district courts before 1 October 2026 remain with the original courts. The notice states that any earlier rules inconsistent with it are superseded.

The legal basis

The announcement cites Article 4(1) of the Supreme People’s Court’s Provisions on Jurisdiction over Foreign-Related Civil and Commercial Cases (Fa Shi [2022] No. 18), in force since 1 January 2023. That instrument reformed the old system under which first-instance foreign-related cases were concentrated in intermediate courts: it returned most first-instance foreign-related civil and commercial cases to grassroots courts, set standards based on case value and case type, and — relevant here — expressly permitted a higher people’s court, with SPC approval, to designate specific lower courts for centralised handling. Fuzhou’s Cangshan court is a designated court under exactly this authority. The legal effect is that parties no longer need to guess which of six urban-district courts will hear a cross-border commercial dispute; the forum is fixed by a single notice.

Why centralisation matters in practice

Centralised jurisdiction produces three practical benefits for foreign parties. First, predictability: a foreign investor or trading partner can determine the competent court in advance, which matters for drafting jurisdiction clauses and for estimating procedural timelines. Second, specialisation: concentrating cross-border commercial cases in one court builds judicial expertise in foreign contract law, letters of credit, guarantees, bills of lading, foreign-invested enterprise disputes and recognition and enforcement issues; consistent rulings reduce forum-shopping and legal risk. Third, procedural efficiency: one court applies one set of filing, service and evidence rules, reducing the risk of venue objections and transfers between district courts, which in cross-border cases are particularly costly in time. The RMB 40 million threshold also signals a division of labour: cases above the threshold continue to follow the standard jurisdiction rules, typically to the intermediate court.

The context: the Maritime Silk Road Legal Services District

The centralisation is not an isolated measure. Cangshan hosts the Maritime Silk Road Court (Haishi Fating), created by converting the Jinshan Tribunal into a specialised court for commercial, IP and property-related disputes in Cangshan. Fuzhou is simultaneously building the Fuzhou Section of the Maritime Silk Road Central Legal Services District, which relocated to a new site at the end of 2025 and integrates a lawyer services centre, an administrative reconsideration centre, a notary centre, an international arbitration centre and a “Maritime Silk Road Legal Services Development Centre” in a “front shop, back factory” model — unified intake at the front, professional service units at the back. The district brings together 633 law firms across 33 provincial regions online, with service coverage reaching 35 countries and regions. The district courts’ business is the judicial arm of this broader legal-services ecosystem: a company that contracts in Fuzhou can now litigate in Cangshan, arbitrate at the international arbitration centre and obtain notarisation and certification in the same legal-services cluster.

The national trend behind the local move

Fuzhou follows a pattern visible across China since the 2023 amendment to the Civil Procedure Law and the 2022 jurisdiction provisions: encouraging lower-court centralisation of foreign-related cases and the establishment of international commercial courts and tribunals in major cities. Wuxi, Shenzhen, Suzhou, Chengdu and other cities have set up international commercial tribunals approved by the SPC; Shanghai and Beijing have international commercial courts. The rationale is consistent: as cross-border dispute volumes rise, China’s courts are concentrating expertise, unifying procedure and signalling to foreign parties that Chinese courts are a professional, efficient forum for commercial disputes — a deliberate complement to the arbitration institutions that have long been the default for international parties.

Practical guidance for foreign companies

For a foreign-invested enterprise or trading counterparty with operations in Fujian, the practical checklist is: (1) review jurisdiction clauses in contracts governed by Chinese law to confirm whether Cangshan is the designated forum for disputes under RMB 40 million; (2) when drafting new contracts with Fujian counterparties, consider whether to elect Cangshan or the international arbitration centre in the legal services district; (3) for existing cases, confirm which court holds jurisdiction under the transitional rule — cases accepted before 1 October 2026 stay where they are; (4) use the legal services district for notarisation, authentication and translation services to keep evidence in order; and (5) monitor whether neighbouring regions adopt similar centralisation, which would further streamline cross-border dispute resolution in the province. The new regime does not change substantive law or the recognition and enforcement of foreign judgments — it changes which Chinese court hears a first-instance cross-border commercial case, and that change is, for most parties, a welcome simplification.

Outlook

Centralised foreign-related jurisdiction in Fuzhou will take effect on 1 October 2026. In the medium term, expect the Cangshan court to publish its own procedural guidance, for the volume of cross-border commercial cases in Fuzhou to concentrate in a single docket, and for the Maritime Silk Road legal-services ecosystem to deepen the integration of litigation, arbitration and notarial services. For foreign parties, the practical message is simple: cross-border dispute resolution in Fujian is becoming more specialised, more centralised and more predictable.

Foreign-Related Civil and Commercial Litigation in China: The CICC Mechanism and Extraterritorial-Law Ascertainment (2025–2026) |

China is actively shaping itself as a preferred venue for international commercial disputes. Two instruments matter for foreign investors: the Supreme People’s Court’s (SPC) mechanism for the International Commercial Court (CICC), and the evolving system for ascertaining foreign law. The 2025 SPC opinion and the 2026 work report show where the reform is heading.

The CICC upgrade

In September 2025 the SPC issued the *Opinion on Promoting High-Quality Development of the International Commercial Court*, setting out six innovations. It optimises foreign-related jurisdiction by giving the CICC a demonstrative role, improving party-agreed jurisdiction, and publishing a model jurisdiction clause. It refines case management with pre-trial conferences and unified workflow norms. It simplifies the proof of overseas official documents and standardises English versions of common bilingual judicial documents. It strengthens treaty and customary-law application with a filing mechanism for such rulings. And it innovates the tribunal by allowing qualified mainland/HK/Macau expert members as people’s assessors in designated first-instance CICC cases.

Extraterritorial-law ascertainment

A recurring pain point in foreign-related cases is proving what foreign law says. The opinion pushes a cross-border legal-service database to let courts ascertain foreign law efficiently and accurately, and brings expert committee members into the proceedings to give ascertainment assistance. On the ground, 15 provincial courts — Chongqing, Yunnan, Gansu, Qinghai and others — have deepened ascertainment cooperation; Guangxi has built an “ASEAN corpus” for judicial application. The direction is “soft connectivity” of rules to serve the western land-sea corridor.

Why parties are choosing China

The 2026 SPC work report shows growing confidence. The Shanghai Maritime Court promoted a model jurisdiction clause; cases where parties contracted for its jurisdiction rose from 361 (2021) to 712 (2025). In 2025, in 23 cases with no real connection to China, foreign parties still chose a Chinese maritime court — a notable vote of confidence. The one-stop international commercial dispute platform mediated 155 foreign-related cases, while litigation, mediation and arbitration were linked.

Enforcement and reciprocity

The SPC handled 21,000 commercial arbitration judicial-review cases (up 12.8% yoy) and concluded 108 applications to recognise/enforce overseas arbitral awards. On treaty or reciprocity grounds it recognised and enforced 972 foreign judgments (up 2x). The Hainan Free Trade Port adapted interim-arbitration innovation and concluded its first foreign-related ad-hoc arbitration case. For foreign investors, this means a Chinese judgment or an award routed through China is increasingly portable abroad, and foreign awards are enforceable here.

Practical steps

  1. Draft the clause carefully. Use the CICC model jurisdiction clause and a clear arbitration agreement.
  2. Keep bilingual records. Standardised English judicial documents ease cross-border proof.
  3. Use the platform. For mid-tier disputes, the one-stop mediation platform can resolve faster than litigation.
  4. Plan for enforcement. Prefer seats/awards recognised under treaties China applies; document the connection.
  5. Ascertain foreign law early. Engage experts and the cross-border database before the merits hearing.
