Why this matters now

When a foreign-invested enterprise (FIE) drafts a dispute-resolution clause, the two details that most affect outcomes are often the ones given least thought: the seat of arbitration and the availability of interim measures. Get them wrong and a winning award may be unenforceable, or a critical asset may vanish before the tribunal is even formed.

This article explains how the seat functions in Chinese-connected arbitration, how emergency-arbitrator and tribunal interim measures work under 2024 institutional rules, and what FIEs should specify in their contracts. The seat, not the venue

The seat (legal place) of arbitration is a legal concept, distinct from where hearings are held. The seat determines:

  • which country’s courts have supervisory jurisdiction (e.g., to set aside or assist the proceedings);
  • the procedural law that fills gaps in the arbitral rules; and
  • the legal character of the award (a “seat” award is enforced under the New York Convention as an award made in that place).

For an FIE, a well-chosen seat — mainland China, Hong Kong, Singapore, or elsewhere — should match where the counterparty’s assets and enforcement realistically lie. China’s institutions now expressly address the seat in their rules, and CIETAC’s 2024 rules confirm that the emergency-arbitrator proceeding is located at the seat.

Emergency arbitration before the tribunal exists

A core problem: by the time a three-member tribunal is constituted, the asset may already be gone. China’s leading arbitral institutions responded by embedding emergency-arbitrator (EA) procedures in their 2024 rules. Under CIETAC’s rules:

  • A party may apply for urgent interim relief before the tribunal is formed.
  • The arbitration court designates an emergency arbitrator within one day of receiving the application and fee.
  • The EA must render a decision within 15 days; the decision is binding on both parties.
  • The EA’s powers cease when the tribunal is constituted, which may modify, suspend, or terminate the decision.

Other major Chinese institutions (Beijing, Shanghai, Guangzhou) follow a similar model, with designation in one to two days and decisions in ten to fifteen days.

Enforcement reality in mainland China

The honest caveat: under current PRC law, an emergency-arbitrator decision is contractually binding but is not directly enforceable by a Chinese court as a preservation order — the power to order property or conduct preservation rests with the people’s courts. In practice, parties use the EA decision to (a) obtain the counterparty’s voluntary compliance, (b) support a parallel court preservation application, or (c) secure recognition in a foreign enforcement jurisdiction (e.g., Hong Kong, which has legislated enforceability).

Once the tribunal is constituted, it may order interim measures, and Chinese courts have, in appropriate cross-border cases, shown a pragmatic willingness to recognise and support arbitral relief.

What FIEs should specify

  1. Seat: choose deliberately, aligning the seat with asset location and enforcement strategy.
  2. Rules: adopt 2024 institutional rules that include an EA procedure (CIETAC, BAC/BIAC, SHIAC, etc.).
  3. Interim-measure clause: expressly contemplate EA relief and, where relevant, court-preservation coordination.
  4. Security: be prepared to post appropriate security — EA tribunals routinely require it.
  5. Cross-border plan: if assets are offshore, pair the EA decision with recognition strategy in the asset jurisdiction.

Practical steps

  • At contracting, run a “seat–assets–enforcement” assessment rather than defaulting to a familiar institution.
  • Preserve evidence of urgency and a prima-facie case; EA relief turns on both.
  • Coordinate EA and court-preservation timelines so relief is not lost in the gap.
  • Brief counsel early — EA windows are measured in days.

Cost and timing in practice

EA relief is cheap relative to a full arbitration: institutions set modest EA fees, and the decision arrives in days. By contrast, a constituted tribunal’s interim measure and the underlying arbitration can run for months and cost substantially more. The practical calculus for an FIE is therefore: use EA for urgent, time-critical preservation; use the tribunal’s measures (or court preservation) for the main proceeding; and reserve litigation for points that turn on precedent or high damages. Documenting the urgency and a prima-facie case from day one is what makes any of these routes work.
