Overview

The Notice of the People’s Bank of China and the State Administration of Foreign Exchange on Matters Concerning the Cross-Border RMB and Foreign-Currency Fund Concentration Operation Business for Multinational Companies was issued on 14 August 2026 and took effect on 14 September 2026. The two regulators had sought public comment between 25 July and 25 August 2025, so the text in force since 14 September is the settled version rather than a draft.

This guide covers the operating layer: regime choice, who files and where, quota centralisation and collection ratios, single-account management, document and anti-money-laundering duties, post-filing supervision, and the mutual-exclusivity rule. It is limited to the cash-pooling business and does not cover the separate revision of the foreign M&A rules.

Two regimes coexist, and they are not interchangeable

Two regimes run in parallel. The integrated RMB and foreign-currency cash pool, generalised nationwide in December 2025, is the more comprehensive instrument aimed at larger groups. The cross-border fund concentration operation business covered by the August 2026 notice is the lower-threshold, lighter-filing variant, often called the “lower version” cash pool. They are layered and tiered, serving different populations, and filings are not mutually recognised.

The choice follows scale and management need. A group with substantial cross-border current-account and financing flows looks at the integrated pool; a mid-sized group that could not clear that entry bar, but has genuine cross-border needs, looks at the concentration operation business. Because the notice lowers the threshold and a free-trade-zone lead enterprise may use an even lower one, the second route now serves groups it did not previously reach.

Filing: who applies, and through which channel

A qualifying group designates a domestic member as the lead enterprise, which files for and operates the pool. Filing is handled externally by the SAFE branch where the lead enterprise is located — a single window that compresses the chain rather than routing the group through several desks. Some change registrations may be handled directly at the co-operating bank, removing a layer of travel and lead time for routine adjustments.

The co-operating bank is therefore no longer only a settlement counterparty; it becomes part of the pool’s administrative workflow. Groups should select the bank with that in mind and agree which categories of change it can process. The regulators describe this as reducing institutional transaction costs — cutting the administrative burden of running a pool, not relaxing the substantive rules.

Quota centralisation and the collection ratio

Inside the pool, a group may centralise members’ external-debt and outbound-lending quotas. Rather than each member holding a separate quota, the group deploys its balance sheet as a whole and allocates headroom where needed. This is the feature that changes treasury behaviour most: financing and outbound-lending decisions can be taken at group level rather than entity by entity.

The notice also lets the multinational decide its own fund-collection ratio — how much member liquidity is swept into the pool — and adjust it as cash-flow geography changes. A conservative ratio keeps more cash at member level; an aggressive ratio maximises central liquidity but demands tighter forecasting. Either way the ratio should be documented, because it drives both the pool’s funding position and the bank’s monitoring. The notice encourages using the domestic currency first, broadening RMB use in cross-border settlement.

One account for both currencies

The notice permits a single account to manage both RMB and foreign-currency funds, removing the duplicated account structure of earlier arrangements: the group no longer runs parallel pooling accounts and reconciles them.

In practice, treasury teams must map which existing accounts are absorbed and which are closed, and revisit controls over conversion, position limits and reporting. A simpler account structure does not simplify the group’s own risk-management duties.

Transitional rules

From the date of effect, newly added cash-pooling business in each locality — excluding the integrated pool — and existing multinational cross-border centralised fund operation business are handled under this notice. Article 3 of the SAFE notice Hui Fa [2017] No. 3 no longer applies, and the SAFE Provisions on the Administration of Multinational Companies’ Cross-Border Centralised Fund Operations (Hui Fa [2019] No. 7) is simultaneously repealed.

For a group holding a pool set up under the old rules, the old framework is gone and the new one governs. The transition should be planned with the SAFE branch and the bank rather than assumed to be automatic.

Documents, anti-money-laundering and the five-year archive

The notice places record-keeping duties on both sides. The co-operating bank and the lead enterprise must each retain archives and documents sufficient to prove the underlying transactions genuine and lawful, kept for five years for inspection. Because the duty falls on both, a group cannot rely on the bank’s records alone; it should keep its own file per transaction.

When handling the business, the parties must conduct authenticity and compliance review under the “know your customer”, “know your business” and “due diligence” principles, and earnestly perform anti-money-laundering obligations. The bank must also establish a monitoring and evaluation mechanism, periodically assess the business and assist with off-site monitoring. Abnormal circumstances must be reported promptly to the local PBOC branch and SAFE branch.

For a foreign-invested group this means three workstreams: a per-transaction file that can survive a five-year lookback; internal policies giving the “know your business” standard real content for cross-border flows; and a defined escalation path to the regulators.

Supervision after filing

Regulators supervise during and after the event, not only at the gate. PBOC branches and SAFE branches strengthen ongoing supervision: guiding banks and enterprises, requiring banks to establish operating procedures and internal control systems, strengthening off-site monitoring together with on-site inspection, and establishing a list of participating multinational companies.

Risk assessment follows: periodic or ad-hoc assessments, and for companies and banks with relatively high risk, interviews, risk-warning letters or rectification within a time limit; suspected violations are filed and investigated. Filing is therefore the start of a supervised relationship.

The mutual-exclusivity rule

A company conducting cash-pooling business under this notice may in principle not conduct other cross-border cash-pooling business, except where it already holds a cross-border two-way RMB cash-pooling filing under the PBOC notice Yin Fa [2015] No. 279.

The rule has architectural consequences. A group already running, or considering, a cross-border two-way RMB pool cannot treat the new regime as an add-on layer: it must decide which structure to run and plan the migration or retention of existing arrangements. The decision tree has two levels — which regime fits, and whether mutual exclusivity forces a choice against any other pool held. Settle this before filing, not after.

Implementation checklist

  1. Classify the group. Confirm eligibility and check whether the lead enterprise’s location brings a lower threshold.
  2. Choose the regime. Weigh the integrated pool against the concentration operation business.
  3. Map existing pools. Identify any cross-border cash-pooling business already held.
  4. Pick the lead enterprise and bank. The bank now handles routine changes.
  5. Agree the ratio and quota allocation, and document both.
  6. Redesign the account structure and revisit currency and position controls.
  7. Build the archive: per-transaction files retained for five years.
  8. Operationalise anti-money-laundering and reporting, including the escalation path.
  9. Prepare for supervision: off-site monitoring, assessment and possible on-site inspection.
  10. Plan the transition with the SAFE branch and the bank.

跨国公司本外币跨境资金集中运营业务实操指南:准入放宽、额度归集、备案简化

概述

中国人民银行、国家外汇管理局《关于跨国公司本外币跨境资金集中运营业务有关事宜的通知》于 2026 年 8 月 14 日发布,自 2026 年 9 月 14 日起施行。两部门曾于 2025 年 7 月 25 日至 8 月 25 日就该政策向社会公开征求意见,故自 9 月 14 日起施行的文本是定稿而非草案。

本指南聚焦操作层:制度选择、备案通道、额度集中与归集比例、同一账户管理、档案与反洗钱义务、备案后监管,以及互斥限制对架构的影响。本文只讨论资金池业务本身,不涉及外资并购规定的修订。

两套制度并存,且不可互认

目前两套制度并行。2025 年 12 月全国推广的本外币一体化资金池,是面向大型集团的更综合工具;2026 年 8 月《通知》覆盖的本外币跨境资金集中运营业务,是门槛更低、备案更简的版本,业内常称”低版本资金池”。二者分层分类,服务不同群体,备案不可互认。

选择取决于规模与管理需求。跨境经常项目与融资收付规模较大的集团会考虑一体化资金池;此前达不到该门槛、但确有真实跨境需求的中小规模集团则会考虑集中运营业务。由于《通知》降低门槛、自贸试验区内的主办企业可适用更低门槛,后一条路径如今覆盖到此前未被覆盖的群体。

备案:由谁申请、通过什么通道

符合条件的集团指定一家境内成员企业作为主办企业,由其负责备案与运营。备案由主办企业所在地外汇局分局对外办理——”一个窗口”压缩流程链条,而非让集团在多处窗口间往返。部分变更登记可直接在合作银行办理,为常规调整省去一层差旅与等待。

其操作含义是:合作银行不再只是结算对手方,而成为资金池行政管理流程的一部分。集团应据此选择银行,并事先约定变更办理权限。官方将此表述为降低企业制度性交易成本——削减建池与运营的行政负担,而非放松实体规则。

额度集中与归集比例

在资金池内,集团可集中成员企业的外债与境外放款额度。不再是各成员分别持有额度,而是集团把资产负债表作为整体调度,将额度余量配置到需要处。这是最能改变财资行为的特征:融资与境外放款决策可在集团层面作出,而非逐户决策。

《通知》还允许跨国公司自主决定资金归集比例,即成员企业流动性中被归集入池的比例,并可随资金流地理分布变化调整。比例保守则成员层保留更多现金;比例进取则集中流动性最大化,但对预测要求更高。无论哪种,比例都应留档,因为它同时决定资金池融资头寸与银行监测口径。《通知》鼓励优先使用本币,扩大人民币在跨境结算中的使用。

同一账户承载两种货币

《通知》允许使用同一账户管理本外币资金,消除以往重复的账户结构:集团不必再并行运行两套归集账户并相互对账。

实务上,财资团队须梳理哪些现有账户被并入、哪些关闭,并同步复核货币兑换、头寸限额与报送的内部控制。账户结构更简,并不等于集团自身风险管理职责更简。

制度衔接

自施行之日起,各地新增资金池业务(不含一体化资金池)与存量跨国公司跨境资金集中运营管理业务,均按本《通知》办理。汇发〔2017〕3 号第三条不再适用;汇发〔2019〕7 号《跨国公司跨境资金集中运营管理规定》同时废止。

对持有按旧规则设立资金池的集团而言,旧框架已不再适用,由新制度管辖。衔接安排应与外汇局分局、合作银行共同规划,而非默认自动完成。

档案、反洗钱与五年备查

《通知》对两端均设留档义务。合作银行、主办企业应分别留存充分证明其交易真实、合法的相关档案和单证等五年备查。因义务同时落在银行与主办企业身上,集团不能只依赖银行记录,而应就每笔交易保留自有档案。

办理业务时,应按”了解客户””了解业务””尽职审查”等展业原则进行真实性和合规性审核,并切实履行反洗钱义务。银行还须建立监测评估机制,定期评估资金池业务并协助非现场监测。发现异常情况的,应及时向所在地中国人民银行分支机构和外汇局分局报告。

对在华外资集团而言,这转化为三条工作线:一套能经得起五年回溯的逐笔档案;让”了解业务”标准对跨境资金流真正有内容的内部制度;以及发现异常时向监管机构的明确上报路径。

备案之后的监管

监管贯穿事中事后,而不止于准入关口。中国人民银行分支机构、外汇局分局加强事中事后监管:做好银行、企业业务指导,督促银行建立操作规程和内控制度,强化非现场监测与现场核查检查,并建立参与资金池业务的跨国公司名单。

风险评估随之而来:定期或不定期评估,对业务风险较高的跨国公司和合作银行可约谈、发放风险提示函或要求限期整改;涉嫌违规的立案查处。故备案是一段被监管关系的起点,集团应保留既能支撑资金池设计、又能支撑单笔交易的佐证材料。

互斥限制

按本《通知》开展资金池业务的跨国公司,原则上不得办理其他跨境资金池业务;已按银发〔2015〕279 号取得跨境双向人民币资金池业务备案的除外。

该规则影响架构。已运行或正考虑跨境双向人民币资金池的集团,不能把新制度当作可叠加的附加层,而须决定运行哪一套结构,并据此规划存量安排的迁移或保留。决策树因此有两个层级:哪一套制度适合;互斥规则是否迫使其在所持其他资金池之间取舍。这一点应在备案前而非备案后确定。

落地清单

  1. 给集团归类。 确认适用条件,并核查主办企业注册地是否适用更低门槛。
  2. 选择制度。 在一体化资金池与集中运营业务之间权衡。
  3. 梳理存量资金池。 识别已持有的跨境资金池业务。
  4. 确定主办企业与银行。 银行如今负责常规变更。
  5. 约定归集比例与额度配置,并予留档。
  6. 重构账户结构,复核货币与头寸控制。
  7. 建立档案:逐笔留存五年。
  8. 落实反洗钱与报告,包括上报路径。
  9. 做好被监管准备:非现场监测、评估与可能的现场核查。
  10. 规划衔接,与外汇局分局、银行共同推进。
