Why free-trade zones lead on admission

China uses its free-trade zones (FTZs) as controlled laboratories for opening. The logic is deliberate: test liberalization in a bounded geography, observe the effects, then adopt what works nationally. The clearest expression of this is the FTZ foreign-investment access negative list (自由贸易试验区外商投资准入负面清单), jointly issued by NDRC and MOFCOM. It is consistently shorter than the nationwide negative list, meaning sectors closed or capped nationally may be open or relaxed inside an FTZ. For a foreign investor, locating in the right zone can therefore convert a “restricted” sector into an “admitted” one.

The FTZ negative list and how it differs

The FTZ list mirrors the structure of the national list but carves out additional openings — historically in services such as finance, telecom, culture, and professional services, and in selected manufacturing and healthcare items. The 2024 FTZ negative list (《自由贸易试验区外商投资准入特别管理措施(负面清单)(2024年版)》) continued this pattern, aligning with the national 2024 list while preserving a thinner set of restrictions inside the zones. The practical rule for an investor: screen both lists, and where the FTZ list is more open, site the project inside that zone to capture the benefit.

A zone’s openness is not uniform across China. The original Shanghai FTZ, the Guangdong, Tianjin, Fujian zones, and later additions each carry the same FTZ negative list, but local implementation — the depth of one-window service, the maturity of inform-and-commit — varies. Choosing a zone is partly a sector question and partly an administrative-capability question.

Inform-and-commit inside the zone

FTZs were among the first places to apply the inform-and-commit mechanism (告知承诺制) at scale. For eligible licence items, the investor submits a written commitment to the market-regulation authority and receives the licence on the spot or within a compressed timeline, with compliance verified by post-grant inspection. Because the zone’s whole purpose is to be fast, the surrounding support functions — name reservation, business-licence issuance, seal engraving, tax and foreign-exchange registration — are typically bundled into a single integrated service counter.

One-window and one-network admission

The FTZ “single window” (一窗受理) and the local one-network platform (一网通办) are where the fast track becomes tangible. An investor can, in many zones, complete the entire setup sequence — incorporation, the foreign-investment information report, bank and foreign-exchange formalities, and eligible licence applications — without leaving one counter or one portal. The zone’s investment-promotion and service bureaus often provide bilingual guidance and a dedicated account manager for significant projects, which further shortens the learning curve for first-time entrants.

Deeper experiments: Hainan and Lingang

Two locations deserve special mention for 2026 planning. The Hainan Free Trade Port is built for the fullest opening, with its own tailored negative list and a roadmap toward a “zero-tariff, low-tax, freer flow” regime. Certain services and investment items are opened first or only in Hainan. The Lingang New Area of the Shanghai FTZ (临港新片区) runs pilot measures on cross-border data, professional services, and advanced manufacturing access that go beyond the standard FTZ list. An investor whose sector is not yet open nationally should check whether Hainan or Lingang offers a pilot path.

The rollout logic: pilot then nationalize

A defining feature of the FTZ system is that successful pilots migrate upward. Items proven manageable inside a zone — a relaxed equity cap, a new inform-and-commit licence, a simplified reporting step — are written into the next national negative list or the national 证照分离 catalogue. This means an FTZ admission today may become a nationwide right tomorrow; conversely, an investor should not assume a zone-level opening is permanent if it is later narrowed during nationalization. The safe play is to lock in the zone advantage contractually and monitor the annual list revisions.

2026 planning checklist for an FTZ entry

  1. Pick the zone by sector fit — confirm the target business is on the FTZ list but not the national list, or is materially more relaxed.
  2. Verify local capability — the same FTZ list can be faster in one municipality than another; ask about one-window maturity and inform-and-commit coverage.
  3. Check Hainan / Lingang carve-outs — for frontier sectors, a dedicated pilot may exist only there.
  4. Use the integrated counter — bundle incorporation, information report, and eligible licences into one filing.
  5. Still clear national gates — security review and SAMR merger control apply inside zones exactly as outside.
  6. Plan for nationalization — assume a successful pilot may spread nationwide; position the project to benefit rather than be disrupted.

The FTZ fast track is the most reliable way for a foreign investor to reach a sector that is not yet open everywhere. Used well, it turns a national restriction into a local admission — and often, eventually, into a national one.

一窗受理与一网通办

自贸区的”一窗受理”与本地”一网通办”平台,是快速通道落到实处的载体。在许多片区,投资者可于一个窗口或门户内完成整个设立序列——设立登记、外商投资信息报告、银行与外汇手续,以及符合条件的许可申请。片区投资促进与服务局常为重点项目提供双语指导与专属服务管家,进一步缩短首次进入者的学习曲线。

更深度试验:海南与临港
