Foreign-Invested Enterprise Setup and the Investment-Information Reporting Duty | 外商投资企业设立与投资信息报告义务

Setting up a foreign-invested enterprise (FIE) in China is no longer a “register and forget” event. Under the *Foreign Investment Law* and its implementing regulations, an FIE must feed investment information into the state system continuously — at setup, on change and every year. Understanding this reporting duty is as important as the licence itself.

The legal backbone

Article 34 of the *Foreign Investment Law* establishes a foreign-investment information-reporting system: foreign investors or FIEs report investment information through the enterprise registration system and the enterprise credit-information publicity system to the commerce authorities. The *Foreign Investment Information Reporting Measures* (promulgated by MOFCOM and SAMR as Order No. 2 of 2019, effective 1 January 2020) operationalise this.

The reporting philosophy is “only what is necessary”: information obtainable through inter-department sharing need not be reported again. But the items that must be reported are specific and time-bound.

The three recurring reports

  1. Initial report. When a foreign investor establishes an FIE in China, the initial report is submitted through the enterprise registration system at the time of FIE setup registration. For an equity merger of a domestic enterprise, the initial report is submitted when the acquired enterprise’s change registration is handled.
  2. Change report. When initial-report information changes and the change requires SAMR registration/filing, the FIE submits the change report through the registration system; where no SAMR filing is needed, it must be submitted within 20 working days of the change.
  3. Annual report. Every year from 1 January to 30 June, the FIE submits the prior year’s annual report through the national enterprise credit-information publicity system. New FIEs start the year after establishment.

Local commerce authorities publish reminders — e.g., Hainan’s 2026 annual-report notice and Xi’an’s 2026 annual-report announcement — confirming the 1 January–30 June window and the consequence (late filers are listed in the business-abnormality catalogue by SAMR).

The Shanghai in-market investment pilot

A notable refinement: MOFCOM Announcement No. 12 (2025) launched a pilot for FIEs’ domestic investment information reporting, with Shanghai as a first batch from 1 July 2025. The pilot covers an FIE using its own name to invest in, capital-increase or buy equity in a domestic enterprise (excluding multi-layer investment). Reported items include the investee’s name, unified social credit code, paid-in registered capital, actual investment amount and time, and funding source. Shanghai routes this through its “Enterprise Registration Online (Foreign Investment Information Reporting)” portal.

The 2026 upgrade signal

The *Action Plan for Stabilising and Improving Foreign Investment* (Shang Zi Fa [2026] No. 97) directs a comprehensive optimisation of the foreign-investment information-reporting system: a direct reporting channel, ensuring information is true, accurate and complete, and an information-sharing mechanism to support foreign-exchange registration, administrative licensing and fixed-asset-investment management. For foreign groups, this points to tighter integration between the commerce report, the SAMR filing and the SAFE (foreign-exchange) registration.

Practical steps

  1. Calendar the three reports. Log setup, 20-working-day change and 30 June annual deadlines per entity.
  2. Reconcile systems. Ensure the commerce report, SAMR filing and SAFE registration tell the same story on investors, capital and equity.
  3. Use the Shanghai pilot if eligible. If investing domestically from a Shanghai FIE, file through the dedicated in-market investment track.
  4. Watch the 2026 upgrade. Expect a consolidated direct-reporting channel; prepare data feeds accordingly.
  5. Avoid the abnormality list. File the annual report on time — late filers face SAMR’s business-abnormality catalogue and Foreign Investment Law liability.

外商投资企业设立与投资信息报告义务

在中国设立外商投资企业(FIE)已不是”注册即了事”。依《外商投资法》及其实施条例,外商投资企业须持续向国家系统报送投资信息——设立时、变更时与每年。理解这一报告义务与许可证本身同等重要。

法律骨架

《外商投资法》第三十四条规定建立外商投资信息报告制度:外国投资者或外商投资企业通过上述企业登记系统与企业信用信息公示系统向商务主管部门报送投资信息。《外商投资信息报告办法》(商务部、市场监管总局2019年第2号令,2020年1月1日施行)将其落地。

报告理念为”确有必要的原则”:通过部门共享可获得的信息不再重复报送。但须报送的事项具体且有时间限制。

三类反复报告

  1. 初始报告。 外国投资者在华设立外商投资企业,在办设立登记时通过企业登记系统提交初始报告;股权并购境内企业的,在被并购企业办理变更登记时提交。
  2. 变更报告。 初始报告信息发生变更且需市场监管登记的,通过登记系统提交;无需登记的,须于变更发生后20个工作日内提交。
  3. 年度报告。 每年1月1日至6月30日,通过国家企业信用信息公示系统报送上一年度年度报告。新设企业自次年报送。

地方商务主管部门发布提醒——如海南2026年报提醒、西安2026年报公告——确认1月1日至6月30日窗口及后果(逾期者由市场监管部门列入经营异常名录)。

上海境内投资试点

一项值得注意的细化:商务部公告2025年第12号启动外商投资企业境内投资信息报告试点,上海自2025年7月1日作为首批试点。试点覆盖外商投资企业以本企业名义境内投资设立企业、增资或购买被投资企业股权(不含多层次投资)。报告项含被投资企业名称、统一社会信用代码、实缴注册资本、实际投资金额与时间、资金来源。上海经”企业登记在线(外商投资信息报告)”报送。

2026年升级信号

《利用外资固稳促优行动方案》(商资发〔2026〕97号)要求全面优化外商投资信息报告制度:建立直报渠道,确保信息真实、准确、完整,并健全信息共享机制,为外汇登记、行政许可、固定资产投资等管理提供支撑。对外资集团,这意味着商务报告、市场监管登记与外汇(SAFE)登记之间更紧密的整合。

实操步骤

  1. 排定三类报告日历。 按实体记录设立、20个工作日变更与6月30日年度截止。
  2. 对账系统。 确保商务报告、市场监管登记与外汇登记在投资者、资本与股权上口径一致。
  3. 符合条件即用上海试点。 上海FIE境内投资的,经专门境内投资通道报送。
  4. 关注2026升级。 预期整合的直报渠道;相应准备数据报送。
  5. 避免异常名录。 按时年报——逾期者面临市场监管经营异常名录与《外商投资法》责任。
